2)未經(jīng)對(duì)方同意,不得向任何第三方泄露保密內(nèi)容。十、不可抗力10.1不可抗力定義:不可抗力是指合同簽訂后發(fā)生的,不能預(yù)見、不能避免并不能克服的客觀情況,如自然災(zāi)害、戰(zhàn)爭、政府行為等。10.2不可抗力事件:(1)自然災(zāi)害:地震、洪水、臺(tái)風(fēng)等。(2)戰(zhàn)爭:戰(zhàn)爭、軍事沖突等。(3)政府行為:政府命令、政策調(diào)整等。10.3不可抗力發(fā)生時(shí)的責(zé)任和義務(wù):(1)發(fā)生不可抗力事件的一方應(yīng)立即通知對(duì)方。(2)雙方應(yīng)協(xié)商解決不可抗力事件帶來的影響。10.4不可抗力實(shí)例:(1)新冠疫情。(2)地震。十一、爭議解決11.1協(xié)商解決:雙方應(yīng)友好協(xié)商解決合同履行過程中產(chǎn)生的爭議。11.2調(diào)解、仲裁或訴訟:(1)協(xié)商不成的,任何一方均可向合同簽訂地的人民法院提起訴訟。(2)雙方也可選擇仲裁方式解決爭議,仲裁機(jī)構(gòu)為_______。十二、合同的轉(zhuǎn)讓12.1轉(zhuǎn)讓規(guī)定:(1)未經(jīng)對(duì)方同意,任何一方不得轉(zhuǎn)讓本合同。(2)經(jīng)雙方協(xié)商一致,可以轉(zhuǎn)讓本合同。12.2不得轉(zhuǎn)讓的情形:(1)涉及國家安全、商業(yè)秘密的合同內(nèi)容。(2)合同中明確約定不得轉(zhuǎn)讓的情形。十三、權(quán)利的保留13.1權(quán)力保留:甲方保留對(duì)本合同條款的解釋權(quán),并有權(quán)根據(jù)實(shí)際情況調(diào)整激勵(lì)方案。13.2特殊權(quán)力保留:(1)甲方保留對(duì)員工激勵(lì)結(jié)果進(jìn)行最終審核的權(quán)利。(2)甲方保留對(duì)違反激勵(lì)方案規(guī)定行為的處罰權(quán)。十四、合同的修改和補(bǔ)充14.1修改和補(bǔ)充程序:(1)本合同的修改和補(bǔ)充,需經(jīng)甲乙雙方協(xié)商一致。(2)修改和補(bǔ)充的內(nèi)容應(yīng)以書面形式確定,并由雙方簽字蓋章。14.2修改和補(bǔ)充效力:本合同的修改和補(bǔ)充自雙方簽字蓋章之日起生效,與本合同具有同等法律效力。十五、協(xié)助與配合15.1相互協(xié)作事項(xiàng):(1)雙方應(yīng)相互配合,共同推動(dòng)員工激勵(lì)方案的順利實(shí)施。(2)雙方應(yīng)定期溝通,及時(shí)解決實(shí)施過程中遇到的問題。15.2協(xié)作與配合方式:(1)通過定期會(huì)議、書面報(bào)告等方式進(jìn)行溝通。(2)根據(jù)實(shí)際情況,采取其他有效方式進(jìn)行協(xié)作與配合。十六、其他條款16.1法律適用:本合同適用中華人民共和國法律。16.2合同的完整性和獨(dú)立性:本合同構(gòu)成雙方之間關(guān)于員工激勵(lì)方案的完整協(xié)議,取代了此前所有口頭或書面協(xié)議。16.3增減條款:(1)未經(jīng)雙方協(xié)商一致,任何一方不得增加或減少本合同的內(nèi)容。(2)任何增加或減少本合同內(nèi)容的協(xié)議,均需以書面形式確定。十七、簽字、日期、蓋章甲方(蓋章):代表簽名:________________日期:________________乙方(蓋章):代表簽名:________________日期:______________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________
