WHEREAS,PartyAandPartyB,throughfriendlyconsultationandmutualagreement,havedecidedtoenterintothisContracttoregulatetherightsandobligationsofthetwopartiesintheperformanceof[ContractSubject](hereinafterreferredtoas"theSubject").
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:
1.Subject
PartyAandPartyBagreetocarryoutthefollowingSubject:[DetailedDescriptionoftheSubject].
2.RightsandObligations
2.1PartyAshall:
(a)PerformtheSubjectinaccordancewiththeprovisionsofthisContract;
(b)ProvidenecessaryinformationandmaterialsfortheimplementationoftheSubject;
(c)Abidebytherelevantlaws,regulationsandindustrystandardsintheperformanceoftheSubject;
(d)Fulfillotherobligationsasagreeduponbytheparties.
2.2PartyBshall:
(a)PerformtheSubjectinaccordancewiththeprovisionsofthisContract;
(b)ProvidenecessaryinformationandmaterialsfortheimplementationoftheSubject;
(c)Abidebytherelevantlaws,regulationsandindustrystandardsintheperformanceoftheSubject;
(d)Fulfillotherobligationsasagreeduponbytheparties.
3.TermandTermination
3.1ThetermofthisContractshallbe[Term],commencingon[StartDate]andendingon[EndDate].
3.2EitherpartymayterminatethisContractuponpriorwrittennoticetotheotherpartyinthefollowingcircumstances:
(a)Breachofcontractbytheotherparty;
(b)ForcemajeureeventsthatmaketheperformanceoftheContractimpossible;
(c)Othercircumstancesasagreeduponbytheparties.
4.PaymentandCompensation
4.1PartyAshallpayPartyB[PaymentAmount]asconsiderationfortheperformanceoftheSubject.
4.2Thepaymentmethodandtimeshallbeasfollows:
(a)[PaymentMethod];
(b)[PaymentTime].
4.3IfPartyAfailstopaytheagreedconsideration,PartyBshallhavetherighttoterminatethisContractandclaimcompensationforthelossescaused.
5.Confidentiality
5.1BothpartiesagreetokeepthecontentsofthisContractandtheSubjectconfidentialandnottodisclosethemtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.
5.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
6.DisputeResolution
6.1AnydisputesarisingfromtheexecutionofthisContractshallberesolvedthroughfriendlynegotiationbetweentheparties.
6.2Ifthepartiesfailtoreachanagreementthroughnegotiation,thedisputeshallbesubmittedtothepeople'scourtwithjurisdictionoverthecasefortrial.
7.GeneralProvisions
7.1ThisContractiswritteninduplicate,eachpartyholdingonecopy,whichshallbeequallyeffective.
7.2ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[CountryorRegion].
7.3AnyamendmentorsupplementtothisContractshallbeinwritingandsignedbybothparties.
7.4ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,writtenororal,betweenthepartiesconcerningtheSubject.

2.2PartyAshallhavethefollowingobligations:
(a)TopaytheagreedconsiderationtoPartyBandPartyCfortheperformanceoftheSubject;
(b)ToprovidenecessaryinformationandmaterialsfortheimplementationoftheSubject;
(c)Toabidebytherelevantlaws,regulations,andindustrystandardsintheperformanceoftheSubject;
(d)Tofulfillotherobligationsasagreeduponbytheparties.
3.RightsandObligationsofPartyBandPartyC
3.1PartyBandPartyCshallhavethefollowingrights:
(a)ToreceivetheagreedconsiderationfromPartyAfortheperformanceoftheSubject;
(b)TorequestPartyAtoprovidenecessaryinformationandmaterialsfortheimplementationoftheSubject;
(c)ToclaimcompensationfromPartyAforanylossesincurredduetotheirbreachofcontract.
3.2PartyBandPartyCshallhavethefollowingobligations:
(a)ToperformtheSubjectinaccordancewiththeprovisionsofthisContract;
(b)ToprovidenecessaryinformationandmaterialsfortheimplementationoftheSubject;
(c)Toabidebytherelevantlaws,regulations,andindustrystandardsintheperformanceoftheSubject;
(d)Tofulfillotherobligationsasagreeduponbytheparties.
4.ThirdParty'sRoleandObligations(PartyC)
4.1PartyC,asathird-partyserviceprovider,shallhavethefollowingrights:
(a)ToreceivetheagreedconsiderationfromPartyAfortheservicesprovided;
(b)TorequestPartyAtoprovidenecessaryinformationandmaterialsfortheimplementationoftheSubject.
4.2PartyCshallhavethefollowingobligations:
(a)ToperformtheservicesinaccordancewiththespecificationsandstandardsagreeduponbyPartyAandPartyB;
(b)TomaintainconfidentialityoftheinformationandmaterialsprovidedbyPartyA;
(c)Tofulfillotherobligationsasagreeduponbytheparties.
5.PartyB'sandPartyC's違約及限制條款
5.1IfPartyBorPartyCfailstoperformtheirobligationsunderthisContract,theyshallbeliableforbreachofcontractandshallcompensatePartyAforanylossesincurred.
5.2IntheeventofabreachofcontractbyPartyBorPartyC,PartyAshallhavetherighttoterminatethisContractimmediatelyandclaimdamages.
6.GeneralProvisions
6.1ThisContractiswritteninduplicate,eachpartyholdingonecopy,whichshallbeequallyeffective.
6.2ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[CountryorRegion].
6.3AnyamendmentorsupplementtothisContractshallbeinwritingandsignedbyallparties.

SUMMARYOFPARTYA'SDOMINANTROLEANDPURPOSE:
PartyA,astheprimarycontractingparty,holdsthedominantpositioninthisContract.TheinclusionofspecificrightsandobligationsensuresthatPartyA'sinterestsareprioritized.ThedetailedprovisionsregardingbreachofcontractandcompensationprotectPartyAfrompotentiallosses.ThepurposeofPartyA'sdominantroleistoensurethesmoothandeffectiveexecutionoftheSubject,whilealsosecuringthemaximumbenefitforPartyA.

4.PartyA's違約及限制條款
4.1IfPartyAfailstoperformtheirobligationsunderthisContract,theyshallbeliableforbreachofcontractandshallcompensatePartyBforanylossesincurred.
4.2IntheeventofabreachofcontractbyPartyA,PartyBshallhavetherighttoterminatethisContractimmediatelyandclaimdamages.
