RECITALS

c)AssistingtheClientinimplementingthestrategiesandrecommendations;

d)ProvidingongoingsupportandguidanceasrequiredbytheClient.

2.Term

ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofAgreement]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.FeesandPayment

3.1TheConsultantshallbeentitledtoreceiveconsultancyfeesattherateof[FeeRate]perhourfortheservicesprovidedunderthisAgreement.

3.2TheClientshallpaytheConsultanttheconsultancyfeesinaccordancewiththefollowingschedule:

a)[PercentageofTotalFees]ofthetotalconsultancyfeesshallbepaiduponexecutionofthisAgreement;

3.3AllpaymentsshallbemadebywiretransfertotheConsultant'sdesignatedbankaccountwithin[NumberofDays]daysfromthedateofinvoice.

4.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

5.IntellectualProperty

AllintellectualpropertyrightsarisingfromtheservicesprovidedunderthisAgreementshallvestintheConsultant.TheClientshallhaveanon-exclusive,non-transferable,androyalty-freelicensetousetheintellectualpropertyrightsforthepurposeofimplementingthestrategiesandrecommendationsprovidedbytheConsultant.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast[NumberofDays]dayspriortotheeffectivedateoftermination.

6.2Intheeventoftermination,theConsultantshallbeentitledtoreceivepaymentfortheservicesrendereduptotheeffectivedateoftermination.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof[ArbitrationInstitution].

c)Assistanceincoordinatingwithotherstakeholders.

2.Term

3.FeesandPayment

5.ThirdParty'sObligationsandRights

b)EnsuretheconfidentialityofanyinformationsharedwiththeConsultantandtheClient;

c)NotengageinanyactivitythatmayconflictwiththeinterestsoftheClient.

5.2TheThirdPartyshallhavetherightto:

a)BecompensatedforthesupportandresourcesprovidedunderthisAgreement;

b)Receiveupdatesandprogressreportsontheconsultancyservicesforthepurposeofprovidingeffectivesupport.

6.Consultant'sObligationsandRights
