derthisagreement.6.2WarrantiesTheContractorwarrantsthatallservicesprovidedunderthisagreementwillbeperformedinaprofessionalandworkmanlikemanner.6.3IndemnificationTheContractorshallindemnifyandholdharmlesstheClientfromandagainstanyandallclaims,actions,proceedings,losses,damages,liabilities,expenses,andcostsarisingoutoforinconnectionwithanybreachoftheContractor'srepresentationsandwarranties.7.CompliancewithLawsandRegulations7.1LegalCompliance7.2ReportingRequirementsTheContractorshallpromptlyreporttotheClientanychangesinlegalrequirementsorregulationsthatmayaffecttheperformanceofitsobligationsunderthisagreement.7.3LiabilityforNonCompliance8.TerminationforCause8.1GroundsforTerminationEitherpartymayterminatethisagreementforcauseupontheoccurrenceofanyofthefollowingevents:Apartyengagesinfraudulentorillegalactivitiesthatadverselyaffecttheotherparty'sinterests.8.2NoticeRequirementsAnyterminationforcauseshallbeeffectiveupontheexpirationofthecureperiodorupontheoccurrenceoftheeventgivingrisetothetermination,whicheverisearlier.8.3ConsequencesofTerminationUponterminationforcause,thenonbreachingpartyshallbeendtoallremediesavailableatlaworinequity,including,butnotlimitedto,damages,attorney'sfees,andtherecoveryofanyfeespaidinadvancethatarenotearned.9.DisputeResolution9.1GoverningLawThisagreementshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheClient'sprincipalplaceofbusinessislocated.9.2ArbitrationAnydisputearisingoutoforinconnectionwiththisagreement,includinganyquestionregardingitsexistence,validity,interpretation,performance,breach,ortermination,shallberesolvedarbitrationinaccordancewiththerulesofthe[nameofarbitrationbody].9.3MediationBeforeresortingtoarbitration,thepartiesagreetoattemptingoodfaithtomediateanydisputesarisingoutoforinconnectionwiththisagreementthroughamutuallyagreeduponmediator.9.4LitigationIfthepartiesareunabletoresolveadisputethroughmediation,thedisputeshallbesubmittedtoarbitrationasprovidedabove.10.MiscellaneousProvisions10.1EntireAgreementThisagreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisagreement.10.2AmendmentsAnyamendmenttothisagreementmustbeinwritingandexecutedbothparties.10.3AssignmentNeitherpartymayassignitsrightsorobligationsunderthisagreementwithoutthepriorwrittenconsentoftheotherparty,exceptthateitherpartymayassignthisagreementtoasuccessorinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.10.4ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisagreementduetoanycausebeyonditsreasonablecontrol,includingactsofGod,labordisputes,orgovernmentalactions.11.NotificationandCommunication11.1ContactInformation11.2CommunicationMethods11.3NoticeRequirements12.AssignmentandSubcontracting12.1AssignmentofRightsTheContractormaynotassignitsrightsorobligationsunderthisagreementwithoutthepriorwrittenconsentoftheClient.12.2SubcontractingTheContractormaysubcontractanyofitsobligationsunderthisagreementtoathirdparty,providedthatsuchsubcontractoriscapableofperformingtheservicesinamannerconsistentwiththerequirementsofthisagreementandtheContractorremainsresponsiblefortheperformanceofthesubcontractor.12.3ApprovalProcessAnysubcontractingtheContractorshallbesubjecttothepriorwrittenapprovaloftheClient,whichshallnotbeunreasonablywithheld.13.SurvivalofProvisions13.1ContinuingObligationsTheprovisionsofthisagreementthattheirnatureareintendedtosurviveterminationorexpirationofthisagreementshallsurvivesuchterminationorexpiration.13.2NonDischargeableProvisionsTheobligationsofconfidentialityandnondisclosure,andanyindemnificationobligations,shallsurvivetheterminationorexpirationofthisagreement.13.3EntireContractThisagreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisagreement.14.SignaturesandExecution14.1SignatoryAuthorityEachpersonsigningthisagreementonbehalfofapartyrepresentsandwarrantsthattheyhavetheauthoritytoenterintothisagreementonbehalfofsuchparty.14.2ExecutionDateThisagreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.14.3AcceptanceofTermsBysigningthisagreement,eachpartyacknowledgesthatithasread,understands,andagreestobeboundallofthetermsandconditionssetforthherein.第二部分：第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthisagreement,"ThirdParty"referstoanyentityorindividualnotapartytothisagreementthatisengagedormaybeengagedinprovidingservices,support,orassistancetoeithertheClientortheContractorintheperformanceoftheirobligationsunderthisagreement.Thisincludes,butisnotlimitedto,consultants,subcontractors,vendors,oranyotherthirdpartyserviceproviders.15.2ApprovalofThirdParty15.3ResponsibilitiesofThirdParty15.4IndemnificationThirdPartyTheThirdPartyagreestoindemnifyandholdharmlesstheClientandtheC bcontracting14.MiscellaneousProvisions第一部分：合同如下：1.ContractParties1.1Parties'Information1.1.1TheServiceProvider:[ServiceProvider'sName],withregisteredaddressat[ServiceProvider'sAddress],represented[ServiceProvider'sAuthorizedRepresentative],holdingthepositionof[ServiceProvider'sAuthorizedRepresentative'sPosition].1.1.2TheClient:[Client'sName],withregisteredaddressat[Client'sAddress],represented[Client'sAuthorizedRepresentative],holdingthepositionof[Client'sAuthorizedRepresentative'sPosition].1.2ContactInformation2.ContractPurposeThepurposeofthiscontractistoestablishthetermsandconditionsfortheprovisionofhumanresourcesintermediaryservicestheServiceProvidertotheClientfortheyear2024.3.ScopeofService3.1ServiceDescriptionTheServiceProvidershallprovidethefollowingservicestotheClient:a.RecruitmentandselectionofqualifiedcandidatesfortheClient'sjobopenings.b.Assistanceintheonboardingprocessfornewemployees.c.Traininganddevelopmentprogramsforexistingemployees.d.Consultationonhumanresourcesmanagementbestpractices.3.2ServiceDuration3.3ServiceLocationTheservicesshallbeprovidedattheClient'sofficesorsuchotherlocationsasagreeduponbothparties.4.ServiceDelivery4.1ServiceDeliveryMethod4.2ServiceDeliverySchedule4.3ServiceQualityAssuranceTheServiceProvidershallensurethattheservicesprovidedmeetthequalitystandardsagreeduponbothparties.5.FeesandPaymentTerms5.1FeesStructureThetotalfeesfortheservicesshallbe[TotalFeesAmount],tobepaidin[Number]installments.5.2PaymentScheduleThefirstinstallmentof[FirstInstallmentAmount]shallbepaidwithin[Number]daysoftheexecutionofthiscontract.Subsequentinstallmentsshallbepaidonthe[PaymentDueDate]ofeachmonth.5.3LatePaymentPenaltiesIntheeventoflatepayment,theClientshallbeliabletopayalatepaymentpenaltyof[LatePaymentPenaltyRate]%permonthontheoutstandingamount.6.ConfidentialityandNonDisclosure6.1ConfidentialInformation"ConfidentialInformation"shallmeananyandallnonpublicinformationthatisdisclosedeitherpartytotheother,eitherdirectlyorindirectly,inwriting,orally,orinspectionoftangibleobjects.6.2NonDisclosureObligationBothpartiesagreetoholdtheConfidentialInformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.7.IntellectualPropertyRights7.1OwnershipofIntellectualPropertyAllintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingfromorinconnectionwiththeservicesprovidedunderthiscontractshallremaintheexclusivepropertyoftheServiceProvider.7.2LicenseGrantTheServiceProvidergrantstheClientanonexclusive,nontransferable,andrevocablelicensetousetheintellectualpropertyrightssolelyforthepurposeofreceivingtheservicesunderthiscontract.8.TerminationandCancellation8.1TerminationConditionsThecontractmaybeterminatedeitherpartyupontheoccurrenceofanyofthefollowingconditions:a.Abreachofanymaterialtermorconditionofthiscontracttheotherparty,whichisnotcuredwithin[Number]daysofreceiptofwrittennotice.b.Theinsolvency,bankruptcy,orliquidationofeitherparty.c.Theexpirationorterminationoftheservicedurationwithoutrenewal.8.2CancellationPolicyTheClientmaycancelthiscontractatanytimeproviding[Number]days'writtennoticetotheServiceProvider.Insuchevent,theClientshallbeliableforpaymentofthefeesuptothedateofcancellation.8.3NoticeofTerminationAnyterminationorcancellationofthiscontractshallbeinwritingandshallbedeemedeffectiveuponthereceiptofsuchwrittennoticetheotherparty.9.GoverningLawandDisputeResolution9.1GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].9.2DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththiscontractshallbesettledamicablythroughnegotiationsbetweentheparties.Ifthedisputecannotberesolvedamicably,itshallbesubmittedto[DisputeResolutionBody]forarbitrationinaccordancewithitsrules.10.EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,oralorwritten,relatingtothesubjectmatterhereof.11.AmendmentsandModificationsAnyamendmentormodificationofthiscontractshallbebindingonlyifitisinwritingandsignedbothparties.12.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthiscontractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strike,labordisputes,riot,orgovernmentalactions.13.AssignmentandSubcontracting13.1AssignmentTheClientmaynotassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheServiceProvider.13.2SubcontractingTheServiceProvidermaysubcontractanyofitsobligationsunderthiscontracttoathirdparty,providedthatsuchsubcontractingdoesnotimpairthequalityoftheservicestobeprovidedtotheClient.14.MiscellaneousProvisions14.1WaiverThefailureofeitherpartytoenforceanyprovisionofthiscontractshallnotbedeemedawaiverofsuchprovisionnoroftherighttoenforcesuchprovision.14.2severability14.3Notice第二部分：第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthiscontract,a"ThirdParty"shallmeananyentityorindividual,otherthantheServiceProviderandtheClient,thatisengagedeitherpartytoprovideservices,goods,oradviceinconnectionwiththeperformanceofthiscontract.15.2TypesofThirdPartyInvolvementThirdpartiesmaybeinvolvedinthefollowingcapacities:a.ServiceProviders:Toassistwiththedeliveryofspecificservices.b.Consultants:Toprovideexpertadviceorspecializedservices.c.Suppliers:Todelivergoodsormaterialsrequiredforthecontract.d.Subcontractors:ToperformworkonbehalfoftheServiceProvider.15.3NotificationofThirdPartyInvolvement15.3.1BeforeengagingaThirdParty,eitherpartyshallprovidewrittennoticetotheotherparty,includingthename,address,andscopeofservicestobeprovidedtheThirdParty.15.3.2Thenoticeshallbeprovidedatleast[Number]dayspriortotheengagementoftheThirdParty.15.4ThirdPartyAgreements15.4.1EachpartyshallenterintoaseparateagreementwithitsrespectiveThirdParty,whichshallbeconsistentwiththetermsofthiscontract.15.4.2Theseparateagreementshallincludeprovisionsforthescopeofwork,fees,paymentterms,confidentiality,andtermination.16.AdditionalTermsandConditionsforThirdPartyInvolvement16.1AdditionalObligationsoftheClientandServiceProvider16.1.2TheClientandtheServiceProvidershallbejointlyandseverallyliablefortheactsandomissionsoftheirrespectiveThirdPartiestotheextentsuchactsandomissionsareattributabletotheClientortheServiceProvider.16.2LimitationofLiabilityforThirdParties16.2.1TheliabilityofanyThirdPartyforanylossordamagearisingoutoforinconnectionwiththeperformanceofitsobligationsunderthiscontractshallbelimitedtothefeespaidtheClientortheServiceProvidertotheThirdPartyfortheservicesrendered.16.2.2ThelimitationofliabilityshallnotapplytoanylossordamagecausedthegrossnegligenceorwillfulmisconductoftheThirdParty.16.3Indemnification16.3.1TheClientandtheServiceProvidershallindemnifyeachotheragainstanyclaims,damages,orliabilitiesarisingoutoforinconnectionwiththeactsoromissionsoftheirrespectiveThirdParties.16.3.2Theindemnificationobligationshallbesubjecttothelimitationsofliabilitysetforthinthiscontract.17.RoleandResponsibilitiesofThirdParties17.1EachThirdPartyshallperformitsobligationsunderthiscontractinaccordancewiththetermsofitsagreementwiththeClientortheServiceProvider.17.2ThirdPartiesshallreporttotheClientortheServiceProvider,asapplicable,ontheprogressandqualityoftheirwork.18.TerminationofThirdPartyInvolvement18.1EitherpartymayterminatetheinvolvementofaThirdPartyproviding[Number]days'writtennoticetotheThirdPartyandtheotherparty.19.ThirdPartyCompliance20.DisputeResolutionforThirdPartyInvolvement20.1AnydisputesarisingoutoforinconnectionwiththeinvolvementofaThirdPartyshallberesolvedinaccordancewiththedisputeresolutionmechanismsetforthinthiscontract.20.2Ifadisputecannotberesolvedamicably,itshallbesubmittedto[DisputeResolutionBody]forarbitrationinaccordancewithitsrules.第三部分：其他補充性說明和解釋說明一：附件列表：1.ServiceScopeandDescriptionDocument詳細描述服務內(nèi)容和交付標準。包括服務流程、時間表和關鍵里程碑。2.FeesandPaymentScheduleDocument列
