Recitals

WHEREAS,PartyAiswillingtoleasecertainproperty(hereinafterreferredtoas"theProperty")toPartyB;

WHEREAS,PartyBdesirestoleasethePropertyfromPartyA;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.Property

ThePropertyisdescribedasfollows:[DescriptionoftheProperty,includingbutnotlimitedtotype,location,andcondition].

2.Rent

2.1TheLesseeshallpaytotheLessoramonthlyrentof[Amount]duringtheleaseperiod.

2.2Therentshallbepayableinadvanceonthefirstdayofeachmonth,unlessotherwiseagreeduponbybothparties.

2.3FailuretopayrentontimemayresultinterminationofthisContractandtheLesseeshallbeliableforallcostsandexpensesincurredbytheLessorinenforcingthetermsofthisContract.

3.Deposit

3.1UponexecutionofthisContract,theLesseeshallpaytotheLessoradepositof[Amount]assecurityfortheperformanceofitsobligationsunderthisContract.

3.2ThedepositshallberefundableupontheterminationofthisContract,providedthatthePropertyisreturnedtotheLessoringoodcondition,freefromanydamageordefectcausedbytheLessee.

4.Term

4.1ThetermofthisContractshallcommenceon[StartDate]andterminateon[EndDate].

4.2EitherpartymayterminatethisContractbygivingtheotherpartywrittennoticeofterminationatleast[NoticePeriod]dayspriortotheterminationdate.

5.RepairsandMaintenance

5.1TheLesseeshallberesponsibleforthereasonablerepairsandmaintenanceofthePropertyduringtheleaseperiod.

5.2TheLessorshallberesponsibleforthestructuralrepairsandmaintenanceoftheProperty.

6.Insurance

6.1TheLesseeshallobtainandmaintainadequateinsurancecoverageforthePropertyduringtheleaseperiod,includingbutnotlimitedtofireinsuranceandliabilityinsurance.

6.2TheLessorshallobtainandmaintainadequateinsurancecoverageforthePropertyduringtheleaseperiod,includingbutnotlimitedtofireinsuranceandliabilityinsurance.

7.Indemnification

7.1TheLesseeagreestoindemnifyandholdharmlesstheLessorfromandagainstanyandallclaims,actions,suits,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeLessee'suseoroccupationoftheProperty.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

5.PartyA'sRightsandInterests

5.1PartyAshallhavetherighttoinspectthePropertyatanyreasonabletimetoensurecompliancewiththetermsofthisContract.

5.2PartyAshallhavetherighttoterminatethisContractimmediatelyintheeventofanymaterialbreachbyPartyB,withoutnotice.

5.3PartyAshallhavetherighttorecoverthedepositintheeventofdefaultbyPartyB.

5.4PartyAshallhavetherighttoseeklegalremediesagainstPartyBorPartyCforanybreachofthisContract.

6.Lessee'sObligationsandLimitations

6.1PartyBshallcomplywithalltermsandconditionsofthisContractandshallnotusethePropertyforanypurposeotherthanthatagreedupon.

6.2PartyBshallnotsubletorassignthePropertywithoutthepriorwrittenconsentofPartyA.

6.3PartyBshallnotmakeanyalterationstothePropertywithoutthepriorwrittenconsentofPartyA.

6.4IntheeventofanybreachofthisContractbyPartyB,PartyAshallhavetherighttoterminatethisContractandseekdamages.

7.GoverningLaw

8.EntireAgreement

10.PartyA'sDominantRoleandPurpose

AstheLessor,PartyA'sprimarygoalistoprotectitsinterestsandensurethesmoothoperationoftheProperty.Byhavingastrongcontractwithcomprehensiverightsandinterests,PartyAcaneffectivelymanagethePropertyandmitigaterisksassociatedwithPartyB'sperformance.ThisalsoallowsPartyAtomaintainitsreputationandprofitabilityintheleasingmarket.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

4.4PartyBshallhavetherighttotransferthefinancingarrangementtoanotherpartywiththeconsentofPartyC.

5.Vendor'sObligations

5.1PartyAshalldelivertheGoodstoPartyBinaccordancewiththeagreedspecifications,qualitystandards,anddeliveryschedule.

5.2PartyAshallprovideallnecessarydocumentationandsupporttofacilitatethefinancingarrangementwithPartyC.

5.3PartyAshallberesponsibleforanybreachofwarrantyordefectintheGoods,andshallrectifysuchissuesatitsownexpense.

6.Financier'sObligations

6.1PartyCshallprovidethefinancingforthepurchaseoftheGoodsinaccordancewiththeagreedtermsandconditions.

6.2PartyCshallhavetherighttoinspecttheGoodsandverifytheircompliancewiththeContract.

6.3PartyCshallhavetherighttorecoverthefinancingamountfromPartyBintheeventofdefault.

7.Purchaser'sLimitationsandVendor'sRights

7.1PartyBshallnotmakeanyalterationstothefinancingarrangementwithoutthepriorwrittenconsentofPartyC.

7.2PartyBshallnotsell,assign,orotherwisedisposeoftheGoodsbeforethefinancingarrangementisfullyrepaid.

7.3IntheeventofabreachoftheContractbyPartyB,PartyAshallhavetherighttoterminatetheContractandseekdamages.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
