2.PartyBagreesto:

a)PaytheconsiderationfortheservicesorgoodsasdescribedinExhibitAattachedhereto.

b)ProvideanynecessaryassistanceandcooperationtoenablePartyAtoperformitsobligationsunderthisContract.

c)MaintainconfidentialityofallinformationobtainedfromPartyAinthecourseofthisContract.

TERMANDTERMINATION:

1.ThetermofthisContractshallcommenceontheEffectiveDate(definedbelow)andshallcontinueforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.EitherPartymayterminatethisContractuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast[NumberofDays]dayspriortotheterminationdate.

INDEMNIFICATION:

1.PartyAshallindemnify,defend,andholdharmlessPartyBfromandagainstanyandallclaims,actions,demands,liabilities,losses,costs,andexpensesarisingoutoforresultingfromPartyA'sbreachofthisContractorthenegligenceofPartyA.

2.PartyBshallindemnify,defend,andholdharmlessPartyAfromandagainstanyandallclaims,actions,demands,liabilities,losses,costs,andexpensesarisingoutoforresultingfromPartyB'sbreachofthisContractorthenegligenceofPartyB.

LIMITATIONOFLIABILITY:

1.InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,punitive,incidental,orconsequentialdamages,includingbutnotlimitedtolossofprofits,revenue,orbusinessopportunities,arisingoutoforresultingfromthisContract.
