5.Security:TheDepositoragreestoprovidetheReceiverwithadequatesecurityfortheDeposit,including,butnotlimitedto,[SecurityDetails].TheReceivershallhavetherighttosell,pledge,orotherwisedisposeofthesecurityintheeventofdefaultbytheDepositor.

6.TerminationofContract:EitherPartymayterminatethisContractupon[TerminationConditions],uponwrittennoticetotheotherParty.

7.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthrough[DisputeResolutionMechanism].

8.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

4.Receiver'sRightsandObligations:

b.TheReceivershallcomplywiththeinstructionsoftheDepositorandtheThirdPartyinrelationtotheDeposit;

5.ThirdParty'sRightsandObligations:

c.TheThirdPartyshallactingoodfaithandwithduecareintheperformanceofitsobligationsunderthisContract.

6.ThirdParty'sLiability:

a.TheThirdPartyshallbeliableforanylossordamagetotheDepositcausedbyitsnegligenceorwillfulmisconduct;

b.TheThirdPartyshallnotbeliableforanylossordamageresultingfromforcemajeureoreventsbeyonditscontrol.

7.Receiver'sTerminationandDefault:

a.TheReceivermayterminatethisContractupontheoccurrenceofanyoftheterminationconditions;

b.TheReceivershallbeliableforanydirectorindirectlosssufferedbytheDepositorasaresultofitsbreachofthisContract.
