2.WorkHoursandCompensation

2.1TheEmployeeshallworkaregularworkweekof__________hoursperweek,asdeterminedbytheEmployer.

4.ConfidentialityandNon-CompeteClause

4.1TheEmployeeagreestomaintaintheconfidentialityofallproprietaryinformation,tradesecrets,andotherconfidentialinformationoftheEmployerduringthetermofthisContractandforaperiodof__________yearsthereafter.

4.2TheEmployeeagreesnottoengageinanycompetingbusinessduringthetermofthisContractorforaperiodof__________yearsthereafter.

5.TerminationofEmployment

5.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast__________dayspriortotheeffectivedateoftermination.

c)TerminatethisContractupontheoccurrenceofamaterialbreachbyeithertheEmployeeortheThirdParty,inaccordancewithSection5below.

5.RightsandObligationsoftheEmployee

5.1TheEmployeeshall:

a)PerformthedutiesandresponsibilitiesassociatedwiththePositionwithduediligenceandskill;

b)ComplywiththeEmployer’spoliciesandprocedures;

c)ProvidetheEmployerwithasatisfactoryperformanceevaluationuponterminationofthisContract.

6.RightsandObligationsoftheThirdParty

6.1TheThirdPartyshall:

a)ProvidetheservicesasagreeduponinExhibitB;

b)MaintainconfidentialityoftheEmployer’sinformation;

c)CooperatewiththeEmployerandtheEmployeeintheexecutionoftheservices.

7.TerminationoftheContract

7.1ThisContractmaybeterminatedbyeitherPartyA,PartyB,orPartyCuponwrittennoticetotheotherparties,providedthatsuchnoticeisgivenatleast__________dayspriortotheeffectivedateoftermination.

7.2Intheeventoftermination,PartyAshallpayPartyBanyoutstandingsalaryandbenefitsdueuptotheeffectivedateoftermination.

c)ReceivetimelypaymentfromtheEmployeefortheservicesrendered.

5.CompensationandBenefits

c)PaytheEmployeefortheservicesrenderedinaccordancewiththetermsofthisContract.
