WHEREAS,PartyAandPartyBhaveenteredintoabusinessrelationship,andWHEREAS,PartyAandPartyBwishtoprotecttheirconfidentialinformation,thepartiesagreeasfollows:

1.ConfidentialInformation:AsusedinthisAgreement,"ConfidentialInformation"meansallnon-publicinformationthatisdisclosedbyeitherPartytotheother,eitherdirectlyorindirectly,inwriting,orally,orbyinspectionoftangibleobjects,thatrelatestothebusiness,operations,orfinancialconditionofeitherParty,oranythirdparty,includingbutnotlimitedto,technical,commercial,financial,operational,orpersonnelinformation.

2.ObligationofConfidentiality:EachPartyagreestoholdinstrictconfidenceandnotdisclose,directlyorindirectly,toanythirdparty,anyConfidentialInformationreceivedfromtheotherParty.EachPartyshallusetheConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotusetheConfidentialInformationforanyotherpurposeortothebenefitofanythirdparty.

3.Exclusions:TheobligationsofconfidentialityunderthisAgreementshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurebytheotherParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheotherPartytothereceivingPartythroughnoactionorinactionofthereceivingParty;(c)isalreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;(d)isobtainedbythereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or(e)isindependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheConfidentialInformation.

4.ReturnofConfidentialInformation:UpontheexpirationorterminationofthisAgreement,oruponthewrittenrequestofthedisclosingParty,thereceivingPartyshallreturnallcopiesofConfidentialInformationreceivedfromthedisclosingParty,orcertify,ifrequested,thedestructionofsuchConfidentialInformation.

5.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheparties.

6.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.Amendments:ThisAgreementmayonlybeamendedbyawrittenagreementexecutedbybothParties.

8.Waiver:ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchPartytoenforcesuchprovision.

9.Assignment:ThisAgreementmaynotbeassignedbyeitherPartywithoutthepriorwrittenconsentoftheotherParty.

c.PartyAshallhavetherighttoterminatethisAgreementatanytimeuponwrittennoticetoPartyBandPartyC,inwhichcasePartyBandPartyCshallimmediatelyceaseanyuseordisclosureofConfidentialInformation.

d.PartyAshallhavetherighttoauditPartyB'sandPartyC'scompliancewiththisAgreement.

3.PartyBandPartyC'sRightsandObligations:

b.PartyBandPartyCshallusetheConfidentialInformationsolelyforthepurposeofprovidingservicestoPartyAandshallnotuseitforanyotherpurposeortothebenefitofanythirdparty.

c.TheThirdPartyshallbeliableforanybreachofconfidentialitybyitsemployees,agents,orsubcontractors.

6.PartyB'sandPartyC'sLiability:

a.PartyBandPartyCshallbejointlyandseverallyliableforanybreachofconfidentiality.

b.PartyBandPartyCagreetoindemnifyandholdharmlessPartyAfromandagainstanyclaims,losses,liabilities,ordamagesarisingfromtheirbreachofthisAgreement.

7.Non-Disparagement:PartyBandPartyCagreenottomakeanyfalse,misleading,ordisparagingstatementsaboutPartyAoritsproducts,services,orbusinesspractices.

8.Termination:ThisAgreementmaybeterminatedbyPartyAuponwrittennoticetoPartyBandPartyCiftheybreachanytermofthisAgreement.

9.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.PartyA'sLiability:

a.PartyAshallbeliableforanybreachofconfidentialitybyitsemployeesoragents.

b.PartyAagreestoindemnifyandholdharmlessPartyBfromandagainstanyclaims,losses,liabilities,ordamagesarisingfromPartyA'sbreachofthisAgreement.

7.Non-Compete:PartyAagreesnottoengageinanycompetitiveactivitiesrelatedtothenewproductforaperiodof[X]yearsfollowingtheterminationofthisAgreement.
