Article3:RightsandObligations

Article4:Confidentiality

4.2Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

4.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

Article5:TermandTermination

5.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof_____(insertduration)unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

6.1EachpartyshallbeliableforanydamagescausedtotheotherpartyasaresultofitsbreachofthisAgreement.

6.2Thepartiesagreetoindemnifyandholdeachotherharmlessfromandagainstanyandalllosses,damages,liabilities,andcostsincurredasaresultofaclaimbyathirdpartyarisingoutoforinconnectionwiththisAgreement.

Article7:DisputeResolution

7.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledamicablythroughnegotiations.

7.2Ifthedisputecannotberesolvedamicablywithin_____(inserttimeframe),eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththerulesof_____(insertarbitrationinstitution)byoneormorearbitratorsappointedinaccordancewiththesaidrules.

Article8:Miscellaneous

8.1ThisAgreementmaybeamendedonlybyawritteninstrumentsignedbybothparties.

8.3ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotconstituteawaiverofsuchprovisionoraffecttherightofsuchpartytoenforceeachandeveryprovisionofthisAgreement.

8.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof_____(insertgoverninglaw).
