根據(jù)《中華人民共和國合同法》和《建筑安裝工程承包合同條例》及有關(guān)規(guī)定，為明確雙方在施工過程中的權(quán)利、義務(wù)和經(jīng)濟(jì)責(zé)任，經(jīng)雙方協(xié)商同意簽訂本合同。Inordertomakedefiniteoftherights,obligationsandeconomicresponsibilitiesofbothpartiesduringtheconstruction,theparties,inaccordancewithThePRCContractLawandConstructionEngineeringContractRegulationsandrelevantprovisions,agreetosignthiscontract.

第一條 工程項(xiàng)目Article1,Projectitem1． 工程地點(diǎn)：,Projectsite:2． 工程范圍：Scopeofproject3．工程造價：人民幣元整(該造價為包工包料價)3,Projectcost:PMBYuanonly(Costofthiscontractisthecontractpriceforlaborandmaterials)

第二條 施工準(zhǔn)備Article2,Preparationforconstruction1．甲方協(xié)助乙方辦理臨時水電及垂直運(yùn)輸,提供建筑圖紙及有關(guān)隱蔽障礙物的資料。PartyAshallassistspartyBtodealwiththeproceduresoftemporaryhydropowerandverticaltransportationandprovidearchitecturaldrawingsanddocumentsofrelevantconcealedobstacles.

2．乙方：.PartyB:①負(fù)責(zé)施工區(qū)域的臨時設(shè)施、水電管線的鋪設(shè)、管理、使用和維修工作；Beresponsiblefortheworksoflaying,management,useandmaintenanceofthetemporaryfacilities,waterandelectricitypipelineintheconstructionarea.

②組織施工管理人員和材料、施工機(jī)械進(jìn)場；Organizeconstructionmanagementstaffandconstructionmaterials,constructionmachineryentertheSite.

③負(fù)責(zé)在裝修期間保持公共地方清潔及每天負(fù)責(zé)將裝物料棄置于由管理處指定的垃圾收集處。Beresponsibleforkeepingpublicplacescleanduringconstructionandpackingconstructionmaterialandleavinginthegarbagecollectionplacedesignatedbymanagementofficeeachday.

第三條 工程期限Article3PeriodofConstruction1． 根據(jù)工期和使用需要，商定工程總施工期為天（日歷天），自年月日開工至年月日完工1.Accordingtotheperiodofconstructionandtheuseneed,thetotalconstructionperiodagreedshallbedays(Calendardays),startfromthedateofandcompleteonthedateof.

2．如遇下列情況，經(jīng)甲方現(xiàn)場代表簽證后，工期相應(yīng)順延：ConstructionperiodshallbeprolongeduponPartyAsiterepresentative'sconfirmationwhenthemattersoccurasfollows.

①按施工準(zhǔn)備規(guī)定，甲方未協(xié)助乙方辦理臨時水電及垂直運(yùn)輸,影響進(jìn)場施工；Accordingtotherequirementsofconstructionpreparation,PartyAfailtotassistPartyBtoapplyfortemporarywaterandelectricityandverticaltransportationandhaveanimpactonPartyBconstruction;

②因甲方提出增減項(xiàng)目而造成重大設(shè)計(jì)變更，因而影響進(jìn)度；ThematerialmodificationorchangeofdesignduetothepartyA’srequirementofadditionordeletionofprojecthavetheeffectofhindranceontheprogressofworks.

③未按合同規(guī)定撥付預(yù)付款、工程款而影響施工；PartyAfailtopaytheadvancepaymentandconstructioncosttopartyBandimpacttheconstructionprogress;

④人力不可抗拒的因素而延誤工期。ThedelayofscheduleofconstructionduetoForceMajeure.

第四條工程質(zhì)量Article4Thequalityofproject一．本工程質(zhì)量經(jīng)雙方研究要求達(dá)到雙方約定之驗(yàn)收標(biāo)準(zhǔn)。Thequalityofprojectshouldachievetherequirementsofacceptanceagreedbybothparties.

二．乙方必須嚴(yán)格按照施工圖紙、說明文件和國家頒發(fā)的建筑工程規(guī)范、規(guī)程和標(biāo)準(zhǔn)進(jìn)行施工，并接受甲方的監(jiān)督。PartyBshouldcarryontheconstructioninstrictaccordancewithdrawing,specificationfileandregulationsandspecificationsauthorizedbythecompetentauthoritiesandbeunderthesupervisionofPartyA.

三．乙方在施工過程中必須遵守下列規(guī)定：PartyBshould,duringtheconstruction,complywiththeprovisionsasfollows:

1．由乙方提供給甲方的所有材料必須經(jīng)甲方同意方可使用，未按要求購買嚴(yán)禁使用；AllmaterialsprovidedbyPartyBshouldbesubjecttotheapprovalofPartyApriortouse,AndnoneofthesamebeingboughtwithoutconformitywithPartyArequirementscanbeused.

2．隱蔽工程必須經(jīng)甲乙雙方檢查，方可進(jìn)行下一道工序；Theconcealedworksshouldbecheckedbybothpartiesbeforethenextprogress;

3．工程竣工后，乙方按規(guī)定對工程實(shí)行保修，保修時間自通過竣工驗(yàn)收之日算起，保修期一年。PartyBshalltaketheliabilityofmaintenancefollowingthecompleteofworks.Theperiodofmaintenanceshallbeoneyearfromthedayofacceptanceofcomplete.

第五條工程價款的支付與結(jié)算Article5Paymentandsettlementofthecontractprice

合同總價×50%,即元Thetotalcontractprice×50%,whichisYuan.

中期款Thepaymentofmedium-term 工程進(jìn)度過半三日內(nèi)Within3(three)daysaftertheprogressmorethanhalf.

合同總價×40%,即元Thetotalcontractprice×40%,whichisYuan.

尾款FinalPayment

竣工驗(yàn)收結(jié)算后七日內(nèi)Within7(seven)daysafterthecompletionacceptanceandsettlement.

合同總價×10%,即元Thetotalcontractprice×10%,whichisYuan.

第六條施工與設(shè)計(jì)變更Article6TheModificationofConstructionandDesign一．乙方交付的設(shè)計(jì)圖紙、說明和有關(guān)技術(shù)資料，作為施工的有效依據(jù)，開工前由甲方組織簽字認(rèn)同，作為施工的補(bǔ)充依據(jù)，甲、乙雙方均不得擅自修改。Ⅰ.Designdrawing,illustrationandrelevanttechnicaldataconsignedbypartyBarethebasisforconstructionandshallbeconfirmedbypartyA’ssignature,whichisdeemedasthesupplementarybasisandshallbemodifiedbyanypartywithoutauthorization.

二．施工中如發(fā)現(xiàn)因甲方要求而發(fā)生的設(shè)計(jì)錯誤或嚴(yán)重不合理的地方，乙方應(yīng)及時以書面形式通知甲方，由甲方及時會同乙方等有關(guān)單位研究確定修改意見或變更設(shè)計(jì)文件，乙方按修改或變更的設(shè)計(jì)文件進(jìn)行施工。若發(fā)生增加費(fèi)用（包括返工損失、停工、窩工、人員和機(jī)構(gòu)設(shè)備調(diào)遷、材料構(gòu)配件積壓的實(shí)際損失）由甲方負(fù)責(zé)，并調(diào)整合同造價。IfandwhenanyerrorormaterialunreasonableproblemofdesignduetopartyA’srequirement,PartyBshallnotifyPartyApromptlyinwritinganddecidetheamendmentormodificationofthedesigndocumentationbytheconsultationandnegotiationbetweenpartiesandunitsconcerned.PartyBshallcarryoutconstructionaccordingtothedesigndocumentsmodifiedorchanged.Ifprojectcostincrease(includingtheactuallossofreworkloss,stoppageorslowdown,personnelandmachineequipmentrelocated,materialstructures,fixturesbacklog),shallberesponsibilitybyPartyA,andbeadjustedthecontractpricetogetherwithPartyB.

三．乙方在保證工程質(zhì)量和不降低設(shè)計(jì)標(biāo)準(zhǔn)的前提下，提出修改設(shè)計(jì)、修改工藝的合理化建議，經(jīng)甲方、設(shè)計(jì)單位或有關(guān)技術(shù)部門同意后采取實(shí)施。AnyreasonablesuggestiononthemodificationsofdesignandcraftproposedbyPartyB,subjecttothequalityandwithoutreducingstandardsofdesign,couldbecarriedoutupontheapprovalofPartyA,designunitorconcernedtechnicaldepartment.

四．甲方如需設(shè)計(jì)變更，必須作出正式修改通知書和修改圖紙，乙方才予實(shí)施。重大修改和增加造價時，必須另行協(xié)商，乙方才予實(shí)施。PartyAshould,ifanynecessarydesignchange,maketheformalamendmentandmodifydrawingsforPartyB’simplementation..MaterialchangesandcostincreasedmustbenegotiatedbybothpartiesbeforePartyBimplementthesame.

第七條工程驗(yàn)收Article7Acceptanceofproject一．工程施工中地下工程、結(jié)構(gòu)工程必須具有隱蔽驗(yàn)收簽證、試水、抗?jié)B等驗(yàn)收合格記錄。甲方須及時辦理驗(yàn)收簽訂手續(xù)。Theundergroundengineering,structuralengineeringintheconstructionofprojectshouldbecheckedandwithissueofcertificateandtherecordofacceptanceofwatertest,anti-permeabilityandsoon.PartyAshoulddealwiththeacceptancesignedformalitiestimely.

二．工程竣工驗(yàn)收后，甲方才可使用PartyAcanusetheprojectaftercompletionacceptance

在規(guī)定的保修期內(nèi)，凡因施工造成的質(zhì)量缺陷應(yīng)由乙方無償保修。其保修條件、范圍和期限按城鄉(xiāng)建設(shè)環(huán)境保護(hù)部（84）城建字第79號通知印發(fā)的《建筑工程保修辦法（試行）》執(zhí)行。Intheprovisionwarrantyperiod,anyconstructionqualitydefects,PartyBshouldmakemaintenancefreeofthequalitydefectduetoconstruction,thescopeanddurationcarryoutaccordingtotheissuanceofChengJianNo.79notification"Constructionengineeringguaranteemeasures(Trial)"byUrbanandRuralConstructionandEnvironmentalProtectionDepartment(84).

第八條違約責(zé)任Article8Liabilityforbreachofcontract

乙方的責(zé)任：ResponsibilityofPartyB:一．工程質(zhì)量不符合合同規(guī)定的，負(fù)責(zé)無償修理和返工。Takechargeofgratisrepairandreworkifprojectqualitydoesn'tmeetcontact'sstipulation

二．工程不能按合同規(guī)定的工期交付使用的，按合同中關(guān)于建設(shè)工期提交或拖后的獎罰規(guī)定償付逾期罰款。Iffailtodelivertheconstructionaccordingtothecontractontime,Theoverduefinesaccordingtopunishmentorawardoftheprovisionconcerningthedeliveryordelay.

甲方的責(zé)任：TheresponsibilityofPartyA:一．未能按照合同的規(guī)定履行自己應(yīng)負(fù)的責(zé)任，除竣工日期得以順延外，還應(yīng)賠償乙方由此造成的實(shí)際損失。Failedtofulfilltheirresponsibilitiesinaccordancewiththeprovisionsofthecontract,inadditiontothecompletiondatetobepostponedshouldbecompensationfortheactuallossofPartyB.

二．工程中途停建、緩建或由于設(shè)計(jì)變更以及設(shè)計(jì)錯誤造成的返工，應(yīng)采取措施彌補(bǔ)或減少損失。同時，賠償乙方由此造成的停工、窩工、返工、倒運(yùn)、人員和機(jī)械設(shè)備調(diào)遷、材料和構(gòu)件積壓的實(shí)際損失。II.Theongoingprojectisstopped,postponedorduetodesignchangesandreworkcausedbydesignerrors,shouldtakemeasurestoremedyorreducelosses.Atthesametime,compensatePartyBtheactuallossofworkstoppage,slowdown,re-dispatchrework,reshipment,staffandmechanicalequipmentrelocating,thebacklogofmaterialsandcomponents.
