Article1:GeneralProvisions

1.1Thiscontract(the"Contract")isenteredintoasof[Date],byandbetween[OutsourcingCompanyName](the"Company")and[LaborServiceProviderName](the"Provider").

1.2ThepurposeofthisContractistodefinethetermsandconditionsunderwhichtheProvidershallsupplylaborservices(the"Services")totheCompany.

Article2:ScopeofServices

2.1TheProvideragreestoprovidethefollowingServicestotheCompany:

2.2TheProvidershallperformtheServicesinaprofessional,skillful,andworkmanlikemanner,incompliancewithapplicablelaws,regulations,andindustrystandards.

Article3:TermandTermination

3.1ThetermofthisContractshallcommenceon[CommencementDate]andcontinueuntil[ExpirationDate],unlessterminatedearlierinaccordancewiththeprovisionshereof.

3.2EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyintheeventofamaterialbreachbytheotherpartythatisnotcuredwithin[NoticePeriod].

Article4:CompensationandPayment

4.1InconsiderationfortheServices,theCompanyshallpaytheProviderafee(the"Fee")asspecifiedinExhibitAattachedhereto.

4.2TheProvidershallsubmitinvoicestotheCompanyfortheServicesrendered.TheCompanyshallpaysuchinvoiceswithin[PaymentTerms].

Article5:Confidentiality

5.1TheProvideragreestomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedbytheCompanyduringthetermofthisContractandforaperiodof[ConfidentialityPeriod]thereafter.

5.2TheProvidershallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheCompany.

Article6:Indemnification

6.1TheProvidershallindemnifyandholdtheCompanyharmlessagainstanyclaims,losses,ordamagesarisingoutofanynegligence,misconduct,orbreachofthisContractbytheProvider.

Article7:DisputeResolution

7.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablythroughnegotiation.Ifthepartiesfailtoreachanagreement,suchdisputesshallbefinallysettledbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

Article8:Miscellaneous

8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

8.2ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
