ConfidentialityAgreementTemplate

ThisConfidentialityAgreement(the"Agreement")ismadeandenteredintobetween[CompanyA]("DisclosingParty")and[CompanyB]("ReceivingParty"),collectivelyreferredtoasthe"Parties".

1.Purpose

ThePartiesagreethatduringthecourseoftheirbusinessrelationship,certainconfidentialandproprietaryinformation(the"ConfidentialInformation")willbesharedbetweenthem.ThisAgreementisintendedtoprotecttheConfidentialInformationfromunauthorizeduseordisclosure.

2.DefinitionofConfidentialInformation

ForthepurposesofthisAgreement,"ConfidentialInformation"meansanyandallinformation,data,know-how,tradesecrets,andotherproprietaryinformationthatisdisclosedbytheDisclosingPartytotheReceivingParty,whetherorally,inwriting,orinanyotherform,andincludes,butisnotlimitedto,businessplans,financialstatements,customerlists,productspecifications,andresearchanddevelopmentdata.

3.DutyofConfidentiality

TheReceivingPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottodiscloseorusetheConfidentialInformationforanypurposeotherthanthoseexpresslypermittedunderthisAgreement.TheReceivingPartyshalltakeallreasonablestepstoprotecttheconfidentialityoftheConfidentialInformation,including,butnotlimitedto,maintainingtheconfidentialityofanydocumentsormaterialscontainingConfidentialInformationandlimitingaccesstosuchdocumentsormaterialstothoseemployeesoragentsoftheReceivingPartywhohaveaneedtoknowforthepurposeofperformingtheirdutiesunderthisAgreement.

4.Exceptions

TheReceivingParty'sobligationsunderthisAgreementshallnotapplytoanyinformationthat:(a)isorbecomespubliclyknownthroughnofaultoftheReceivingParty;(b)wasintheReceivingParty'spossessionpriortothedisclosurebytheDisclosingParty;(c)isdisclosedtotheReceivingPartybyathirdpartywhoisnotsubjecttoanyconfidentialityobligationswithrespecttosuchinformation;or(d)isrequiredtobedisclosedbylaworregulation,providedthattheReceivingPartyprovidestheDisclosingPartywithadvancenoticeofsuchrequirement.

5.DurationofAgreement

ThetermsofthisAgreementshallremainineffectforaperiodof[term]yearsfromthedatehereof,unlessearlierterminatedinwritingbytheParties.UpontheexpirationorterminationofthisAgreement,theReceivingPartyshallreturnallConfidentialInformationtotheDisclosingPartyordestroyallsuchinformation,attheoptionoftheDisclosingParty.

6.Remedies

IntheeventofabreachofthisAgreementbytheReceivingParty,theDisclosingPartyshallbeentitledtoseekinjunctiverelief,monetarydamages,andanyotherremediesavailableatlaworinequity.

7.Miscellaneous

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

INWITNESSWHEREOF,thePartieshaveexecutedthisConfidentialityAgreementasofthedatefirstabovewritten.
