ContractforProcurementAgency

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),acompanyorganizedandexistingunderthelawsof[InsertCountry/State],withaprincipalplaceofbusinessat[InsertClientAddress],and[InsertAgentName]("Agent"),acompanyorganizedandexistingunderthelawsof[InsertCountry/State],withaprincipalplaceofbusinessat[InsertAgentAddress].

1.AppointmentofAgent

1.1ClientherebyappointsAgentasitsexclusiveagent(the"Agency")forthepurchaseofgoodsandservices(the"Products")fromsupplierslocatedin[InsertCountry/State]onbehalfofClient.

1.2AgentacceptstheappointmentandagreestoperformtheAgencyinaccordancewiththetermsandconditionssetforthinthisContract.

2.DutiesandResponsibilitiesofAgent

2.1AgentshalluseitsbesteffortstonegotiateandenterintopurchaseagreementswithsuppliersfortheProductsonbehalfofClient.

2.2AgentshallprovideClientwithallnecessaryinformationanddocumentationregardingtheProducts,includingbutnotlimitedtospecifications,samples,pricelists,anddeliveryschedules.

2.3AgentshallpromptlyinformClientofanychangesorissuesaffectingtheProductsorthepurchaseagreements.

3.CommissionsandFees

3.1ClientagreestopayAgentacommission(the"Commission")equalto[InsertPercentage]ofthetotalpurchasepriceoftheProducts.

3.2TheCommissionshallbepayablewithin[InsertNumber]daysafterClientreceivesthepaymentfromthesuppliers.

4.Confidentiality

4.1BothpartiesagreetokeepconfidentialallinformationexchangedbetweentheminconnectionwiththeAgency,exceptforinformationthatispubliclyavailableorrequiredtobedisclosedbyapplicablelawsorregulations.

4.2TheconfidentialityobligationshallsurvivetheterminationofthisContract.

5.TermandTermination

5.1ThisContractshallcommenceontheEffectiveDateandshallcontinuefor[InsertNumber]years,unlessterminatedearlierbyeitherpartyuponwrittennotice.

5.2EitherpartymayterminatethisContractuponwrittennoticeintheeventofamaterialbreachbytheotherpartythatisnotcuredwithin[InsertNumber]daysafterwrittennotice.

6.GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertCountry/State].

6.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].Theplaceofarbitrationshallbe[InsertCity].

7.Miscellaneous

7.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

7.2ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

7.3IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,suchprovisionshallbeenforcedtothemaximumextentpossibleandtheotherprovisionsofthisContractshallremaininfullforceandeffect.
