ThisSalesContract(hereinafterreferredtoasthe"Contract")isenteredintobetweenPartyAandPartyB,withthepurposeofestablishingthetermsandconditionsunderwhichPartyAshallpurchase,andPartyBshallsell,thespecifiedAudivehicles.TheContractisestablishedonthefollowingbackgroundand前提條件(preconditions),whichareintegraltotheunderstandingandexecutionofthisagreement.

ThepartiesheretoagreethatthefollowingrecitalsformthebasisforenteringintothisContract:

a)PartyAhasconductedduediligenceandissatisfiedwiththequality,specifications,andreliabilityoftheAudivehiclesofferedbyPartyB.

b)PartyBhasthelegalauthorityandiscapableofenteringintothisContractanddeliveringtheAudivehiclesinaccordancewiththetermsandconditionssetforthherein.

c)Bothpartieshaveagreedupontheprices,paymentterms,deliveryschedules,andotherconditionsthatarefavorableandconducivetotheirrespectivebusinessinterests.

d)ThepartiesacknowledgethatthisContractissubjecttothelawsandregulationsof[specifythegoverningjurisdiction],andanychangesinsuchlawsorregulationsthataffecttheperformanceofthisContractshallbepromptlycommunicatedandappropriatelyaddressed.

ByenteringintothisContract,thepartiesexpresstheircommitmenttoacollaborativepartnershipthatensurestheefficientandsuccessfultransferofownershipoftheAudivehiclesfromPartyBtoPartyA,whileupholdingthereputationandqualityassociatedwiththeAudibrand.Itisthesharedintentionofbothpartiestofosterarelationshipthatmayleadtofuturebusinessopportunitiesandmutualgrowth.

ThesubsequentsectionsofthisContractprovidedetledtermsandconditionsthatarebindinguponbothPartyAandPartyB,andtheirexecutionbelowsignifiesunderstanding,acceptance,andagreementtoalltermsspecifiedwithinthisdocument.

第一條合同目的與范圍

TheprimarypurposeofthisContractistodefinethetermsandscopeofthesaleandpurchaseofAudivehiclesbetweenPartyAandPartyB.Specifically,thisContractcoversthefollowingaspects:thetypeandquantityofAudivehiclestobepurchased,thespecificationsandqualitystandardsofthevehicles,thedeliverytimelines,theresponsibilitiesfortransportationandinsurance,thepaymentterms,andtheafter-salesservices.TheContractensuresthatbothpartiesareawareoftheirobligationsandrightsinrelationtothetransaction,anditsetsforththeframeworkfortheorderlyandefficientfulfillmentofthedeal.

ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsascribedbelow:

-"AudiVehicles"referstothespecificmodelsandunitsofAudicarsasidentifiedintheAnnexattachedtothisContract.

-"Delivery"meansthetransferoftheAudivehiclesfromPartyBtoPartyA,whichoccursuponthevehicles'physicalhandovertoPartyAoritsdesignatedrepresentative.

-"ForceMajeure"referstoanyunforeseeableandirresistibleeventsbeyondthecontroloftheparties,whichmayincludenaturaldisasters,war,strikes,andgovernmentorders.

-"PerformancePeriod"referstotheperiodspecifiedintheContractduringwhichPartyBisobligatedtodelivertheAudivehiclestoPartyA.

1.PartyA'sRightsandObligations:

-PartyAhastherighttoreceivetheAudivehiclesthatmeettheagreedspecificationsandqualitystandards.

-PartyAshallprovidePartyBwiththenecessaryinformationanddocumentationtofacilitatethepurchaseandregistrationofthevehicles.

-PartyAisobligatedtomakepaymentinaccordancewiththeagreedpaymenttermsandconditions.

-PartyAhastherighttoinspectthevehiclesupondeliveryandtorejectanyvehiclethatdoesnotconformtotheagreedstandards.

-PartyAshallberesponsibleforanyimportduties,taxes,andotherchargesassociatedwiththeimportationofthevehicles,unlessotherwisespecifiedintheContract.

2.PartyB'sRightsandObligations:

-PartyBhastheobligationtosupplytheAudivehiclesinaccordancewiththespecifications,quantity,andtimelinesoutlinedintheContract.

-PartyBisresponsibleforensuringthatthevehiclesarecoveredbyappropriateinsuranceduringtransportationuntildeliverytoPartyA.

-PartyBhastherighttoreceivetimelypaymentsfromPartyAasperthepaymentscheduleagreedupon.

-PartyBisobligatedtoprovideanynecessarydocumentationandassistancerequiredfortheregistrationandlicensingofthevehiclesbyPartyA.

-PartyBshallprovideafter-salessupportandservicesasoutlinedintheContract,includingwarrantyclmsandmntenancesupport.

Bothpartiesshallperformtheirrespectiverightsandobligationswithduediligenceandincompliancewithallapplicablelawsandregulations.AnychangestotherightsandobligationsmustbemutuallyagreeduponinwritingandappendedtothisContract.

ThepricesoftheAudivehiclesshallbeasspecifiedintheAnnexattachedtothisContract,whichshallbefixedandnon-negotiablethroughoutthetermofthisContract.PartyAshallmakepaymentforthevehiclesasfollows:

-Anupfrontpaymentof[specifypercentage]ofthetotalcontractpriceshallbemadeuponthesigningofthisContract.

-ThebalanceofthetotalcontractpriceshallbepduponthedeliveryoftheAudivehiclestoPartyA,orasotherwiseagreedinwritingbybothparties.

PaymentsshallbemadebywiretransfertoPartyB'sdesignatedbankaccount,detlsofwhichshallbeprovidedbyPartyB.AllbankingfeesandchargesassociatedwiththetransfershallbebornebyPartyA.PaymentshallbeconsideredeffectiveuponreceiptofthefundsbyPartyB.

第五條履行期限

ThisContractshallbeeffectivefromthedateofitssigningandshallremninforceuntilthefullperformanceoftheobligationsbybothparties.ThedeliveryoftheAudivehiclesshalltakeplacewithintheperformanceperiodspecifiedintheContract,whichbeginson[startdate]andendson[enddate].AnydelaysindeliveryduetounforeseencircumstancesmustbecommunicatedpromptlybyPartyB,andbothpartiesshallagreeonareasonableextensionoftheperformanceperiod,ifnecessary.

Criticalmilestones,includingthedatesforpartialdeliveriesorthecompletionofspecifictasks,shallbesetforthintheAnnexandshallbeadheredtobybothparties.

第六條違約責(zé)任

IntheeventofabreachofthisContractbyeitherparty,thenon-breachingpartyshallbeentitledtoseekremediesasfollows:

-FlurebyPartyBtodelivertheAudivehicleswithinthespecifiedperformanceperiodortomeettheagreedspecificationsandqualitystandardsshallentitlePartyAtoclmapenalty,whichshallbespecifiedasapercentageofthedelayeddeliveryornon-conformingvehicles.

-FlurebyPartyAtomaketimelypaymentasstipulatedintheContractshallentitlePartyBtochargeinterestontheoutstandingamountataratetobemutuallyagreedupon.

Inadditiontotheabove,thebreachingpartyshallbeliableforanydirect,indirect,orconsequentialdamagescausedbythebreach,andshallberesponsibleforreimbursingthenon-breachingpartyforanycostsandexpensesincurredduetothebreach.

Intheeventofamaterialbreachthatisnotremediedwithinareasonableperiod,thenon-breachingpartyshallhavetherighttoterminatethisContractandseekfurtherlegalremediesasmaybeavlableunderapplicablelaw.

第七條不可抗力

"ForceMajeure"asreferredtointhisContractshallmeananyunforeseeable,irresistible,andexternaleventsthatpreventeitherpartyfromperformingitsobligationsunderthisContract.Sucheventsinclude,butarenotlimitedto,naturaldisasters,fires,floods,explosions,wars,riots,strikes,governmentactions,andanyothereventsthatarebeyondthereasonablecontroloftheparties.

IfapartyisunabletoperformitsobligationsduetoaForceMajeureevent,itshallpromptlynotifytheotherpartyinwriting,providingevidenceoftheoccurrenceanditsimpactontheperformanceoftheContract.TheaffectedpartyshallbeexcusedfromitsobligationtoperformorfromthedelayinperformanceduringthedurationoftheForceMajeureevent,providedthatittakesallreasonablestepstomitigatetheeffectsoftheeventandtoresumeperformanceassoonaspossible.

ThepartyaffectedbytheForceMajeureeventshallnotifytheotherpartyoncetheeventhasendedandtheperformanceofitsobligationscanberesumed.IftheForceMajeureeventcontinuesforaperiodexceeding[specifyperiod],eitherpartyshallhavetherighttoterminatethisContractbywrittennotice,withoutliabilityforanybreachofcontract.

IntheeventofanydisputesarisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiations.Ifthenegotiationdoesnotresolvethedisputewithin[specifyperiod],thepartiesmayagreetoseekmediationinanattempttoreachamutuallyacceptableresolution.

Ifmediationflstoresolvethedispute,orifeitherpartychoosestobypassmediation,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[specifyarbitrationinstitution],whichshallbeconductedin[specifylocation].Thedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

Notwithstandingtheabove,eitherpartymayseekinjunctiverelieforotherequitablereliefinanycourtofcompetentjurisdictiontopreventanyactualorthreatenedbreachofthisContract.

ThepartiesagreethatthechoiceoflawandvenueforanylegalactionarisingoutofthisContractshallbe[specifyjurisdiction],andtheyconsenttotheexclusivejurisdictionofsuchcourts.Thepartiesfurtheragreetowveanyobjectionstosuchjurisdictionandvenue,includinganydefenseofaninconvenientforum.

1.Notices:Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthepartytowhomitisaddressed,oronthethirddayaftermlingifmledtothepartyattheaddressspecifiedinthisContractbyregisteredorcertifiedml,returnreceiptrequested.
