PartyBshallindemnifyandholdPartyAharmlessfromanyandallclaims,losses,liabilities,damages,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyB.

6.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiation.Ifsuchnegotiationfails,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.EntireAgreement

ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
