rshallnotifytheSellerwithinareasonabletimeafterdiscoveringthedefect.TheSellershallhaveareasonableopportunitytoinspecttheGoodsandremedythedefect.Chapter8:DefaultandRemedies8.1EventsofDefaultEventsofdefaultbytheSellerinclude,butarenotlimitedto,failuretodelivertheGoodsasperthecontractterms,providingGoodsthatdonotmeetthecontractspecifications,orfailuretoperformanyotherobligationsunderthecontract.EventsofdefaultbytheBuyerinclude,butarenotlimitedto,failuretomakepaymentsasperthecontractterms,failuretoacceptdeliveryoftheGoods,orfailuretoperformanyotherobligationsunderthecontract.8.2ConsequencesofDefaultUpontheoccurrenceofaneventofdefault,thenon-defaultingpartymay,atitsoption,terminatethecontractandclaimdamagesforanylossessufferedasaresultofthedefault.8.3RemediesforDefaultTheremediesfordefaultmayinclude,butarenotlimitedto,therighttowithholdperformance,therighttoterminatethecontract,andtherighttoclaimdamages.Chapter9:AmendmentsandTermination9.1ConditionsforAmendmentsAnyamendmenttothiscontractshallbemadeinwritingandsignedbybothparties.Amendmentsshallbeeffectiveonlyuponmutualagreement.9.2GroundsforTerminationThiscontractmaybeterminatedbyeitherpartyupontheoccurrenceofamaterialbreachbytheotherparty,orbymutualagreementinwriting.9.3ProcedureforAmendmentsandTerminationAnyamendmentorterminationofthiscontractshallbeinwritingandshallspecifytheeffectivedateofsuchamendmentortermination.Chapter10:DisputeResolution10.1MethodsofDisputeResolutionAnydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughfriendlyconsultation.Ifthedisputecannotberesolvedthroughconsultation,eitherpartymaysubmitthedisputetoarbitrationorlitigationasprovidedinthiscontract.10.2GoverningLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.10.3JurisdictionandVenueAnydisputesarisingoutoforinconnectionwiththiscontractshallbesubmittedtothearbitrationcommissionorthepeople'scourtattheplaceofsigningofthiscontract,asagreeduponbytheparties.Chapter11:MiscellaneousProvisions11.1ConfidentialityClauseBothpartiesshallkeepconfidentialallinformationobtainedfromtheotherpartyduringtheperformanceofthiscontractandshallnotdis
