煙酒店2024年銷售代理合同樣稿本合同目錄一覽1.代理商品及范圍1.1商品種類1.2商品質(zhì)量標(biāo)準(zhǔn)1.3商品供應(yīng)數(shù)量2.代理權(quán)限與責(zé)任2.1代理權(quán)限2.2代理責(zé)任2.3代理期限3.銷售區(qū)域與價格3.1銷售區(qū)域3.2銷售價格3.3價格調(diào)整機制4.銷售業(yè)績與獎勵4.1銷售業(yè)績目標(biāo)4.2獎勵政策4.3獎勵發(fā)放方式5.貨款結(jié)算與支付5.1貨款結(jié)算周期5.2支付方式5.3支付時間6.售后服務(wù)與維修6.1售后服務(wù)政策6.2維修責(zé)任與費用6.3售后服務(wù)投訴與處理7.合同的變更與解除7.1變更條件7.2解除條件7.3變更與解除的程序8.違約責(zé)任與賠償8.1違約行為8.2違約責(zé)任8.3賠償金額計算方式9.爭議解決方式9.1協(xié)商解決9.2調(diào)解解決9.3仲裁解決9.4法律途徑10.合同的生效、終止與續(xù)約10.1合同生效條件10.2合同終止條件10.3合同續(xù)約程序11.保密條款11.1保密內(nèi)容11.2保密期限11.3違約泄露的后果12.知識產(chǎn)權(quán)保護12.1知識產(chǎn)權(quán)歸屬12.2侵權(quán)責(zé)任12.3知識產(chǎn)權(quán)維權(quán)費用承擔(dān)13.合同的簽署與份數(shù)13.1簽署地點與時間13.2簽署主體資格13.3合同份數(shù)與保存14.其他約定事項14.1雙方的其他權(quán)利與義務(wù)14.2合同的附件說明14.3未盡事宜的補充協(xié)議第一部分:合同如下:第一條代理商品及范圍1.1商品種類代理商shallactastheexclusivesalesagentforthefollowingtypesofgoodssuppliedtheManufacturer:spirits,wines,andotheralcoholicbeverages.1.2商品質(zhì)量標(biāo)準(zhǔn)ThegoodsshallmeetthequalitystandardssetforththeManufacturer,asdefinedintheattachedQualityAssuranceDocument.1.3商品供應(yīng)數(shù)量TheManufacturershallprovidethegoodsinquantitiesagreeduponbothpartiesintheattachedSupplySchedule.第二條代理權(quán)限與責(zé)任2.1代理權(quán)限TheAgentshallhavetheexclusiverighttosellthegoodswithinthedesignatedsalesarea,asspecifiedintheattachedSalesAreaMap.2.2代理責(zé)任TheAgentshallberesponsibleforthepromotion,sales,andaftersalesserviceofthegoods.2.3代理期限Thetermofthisagencyagreementshallbeforaperiodof__years,startingfromtheeffectivedateofthiscontract.第三條銷售區(qū)域與價格3.1銷售區(qū)域ThesalesareashallbelimitedtotheterritoryindicatedintheattachedSalesAreaMap.3.2銷售價格TheAgentshallsellthegoodsatthepricessetforththeManufacturer,asindicatedintheattachedPriceList.3.3價格調(diào)整機制TheManufacturerreservestherighttoadjustthepricesofthegoodsuponwrittennoticetotheAgent.第四條銷售業(yè)績與獎勵4.1銷售業(yè)績目標(biāo)TheAgentshallachieveaminimumannualsalestargetof__units/amountofgoods,asspecifiedintheattachedSalesTargetDocument.4.2獎勵政策4.3獎勵發(fā)放方式TherewardsshallbepaidtotheAgentonaquarterlybasis,within__daysaftertheendofeachquarter.第五條貨款結(jié)算與支付5.1貨款結(jié)算周期TheAgentshallsubmitpaymentforthegoodstotheManufactureronamonthlybasis,within__daysaftertheendofeachmonth.5.2支付方式PaymentsshallbemadebanktransfertotheaccountspecifiedtheManufacturer.5.3支付時間ThepaymentshallberemittedtheAgentwithinthetimeframementionedabove,failingwhichtheManufacturerreservestherighttochargeinterestattherateof__%perannumontheoutstandingamount.第六條售后服務(wù)與維修6.1售后服務(wù)政策TheAgentshallprovideaftersalesservice,includingbutnotlimitedtocustomerinquiries,productrepairs,andreplacements,inaccordancewiththeManufacturer'sguidelines.6.2維修責(zé)任與費用TheAgentshallberesponsibleforhandlingandbearingthecostsofrepairingorreplacinganydefectivegoodswithinthewarrantyperiod,asstatedintheattachedWarrantyTerms.6.3售后服務(wù)投訴與處理第七條合同的變更與解除7.1變更條件Eitherpartymayrequestachangeinthetermsofthisagreementuponwrittennoticetotheotherparty,providedthatsuchchangesdonotfundamentallyalterthenatureorpurposeofthisagreement.7.2解除條件Thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherparty,intheeventofamaterialbreachofthisagreementtheotherpartythatremainsunremediedforaperiodof__daysafterwrittennoticeofsuchbreachhasbeengiven.7.3變更與解除的程序Anyproposedamendmentorterminationofthisagreementshallbesubjecttothemutualagreementofbothparties,andshallbeeffectiveupontheexecutionofanamendmentagreementorterminationnoticeinwritingbothparties.第八條違約責(zé)任與賠償8.1違約行為Thefollowingshallconstituteabreachofthisagreement:1.Thefailureofeitherpartytoperformanyofitsmaterialobligationsunderthisagreement;2.Themisrepresentationorfalsestatementmadeeitherpartyinconnectionwiththisagreement;3.Theunauthorizeduseordisclosureoftheconfidentialinformationoftheotherparty.8.2違約責(zé)任8.3賠償金額計算方式第九條爭議解決方式9.1協(xié)商解決Thepartiesshallfirstattempttoresolveanydisputesarisingoutoforinconnectionwiththisagreementthroughamicablenegotiations.9.2調(diào)解解決Ifthedisputescannotberesolvedthroughnegotiation,eitherpartymayrequesttheappointmentofamediatortoassistintheresolutionofthedisputes.Themediatorshallbeappointedinaccordancewiththerulesofthemediationorganizationmutuallyagreedupontheparties.9.3仲裁解決Ifthedisputesremainunresolvedaftermediation,eitherpartymaysubmitthedisputestoarbitrationinaccordancewiththerulesofthearbitrationinstitutionmutuallyagreedupontheparties.TheplaceofarbitrationshallbethecityspecifiedintheattachedArbitrationAgreement.9.4法律途徑Ifarbitrationfailsorisnotapplicable,eitherpartymayseeklegalremediesinthecourtsofthecountry/regionwherethebreachoccurred,andthelawsofthatcountry/regionshallapplytotheresolutionofthedisputes.第十條合同的生效、終止與續(xù)約10.1合同生效條件10.2合同終止條件Thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherparty,intheeventofamaterialbreachofthisagreementtheotherpartythatremainsunremediedforaperiodof__daysafterwrittennoticeofsuchbreachhasbeengiven.10.3合同續(xù)約程序Upontheexpirationofthetermofthisagreement,eitherpartymayrequestarenewalofthisagreementgivingwrittennoticetotheotherpartyatleast__monthspriortotheexpirationdate.Thetermsoftherenewedagreementshallbenegotiatedandagreeduponbothparties.第十一條保密條款11.1保密內(nèi)容Thepartiesagreetokeepconfidentialallinformationconcerningthebusiness,operations,andaffairsoftheotherpartythatisnotgenerallyknowntothepublic,includingbutnotlimitedtocustomerlists,salesdata,andpricinginformation.11.2保密期限Theconfidentialityobligationsunderthisagreementshallcontinueforaperiodof__yearsfromthedateofterminationorexpirationofthisagreement.11.3違約泄露的后果第十二條知識產(chǎn)權(quán)保護12.1知識產(chǎn)權(quán)歸屬Allintellectualpropertyrightsinandtothegoods,includingbutnotlimitedtotrademarks,patents,andcopyrights,shallremaintheexclusivepropertyoftheManufacturer.12.2侵權(quán)責(zé)任TheAgentshallnotuse,copy,orotherwiseinfringeuponanyoftheManufacturer'sintellectualpropertyrightsinconnectionwiththesaleofthegoods,andshallindemnifytheManufactureragainstanyclaimsordamagesresultingfromsuchinfringement.12.3知識產(chǎn)權(quán)維權(quán)費用承擔(dān)TheManufacturershallberesponsibleforhandlingandbearingthecostsofenforcingitsintellectualpropertyrights,includingbutnotlimitedtolegalfeesandexpensesincurredinconnectionwithanyinfringementaction.第十三條合同的簽署與份數(shù)13.1簽署地點與時間ThisagreementshallbeexecutedbothpartiesatthelocationspecifiedintheattachedSigningLocation,onthedatespecifiedintheattachedSigningDate.13.2簽署主體資格Eachpartyrepresentsandwarrantsthatithasthefulllegalcapacityandauthoritytoenterintothisagreementandtoperformitsobligationsunderthisagreement.13.3合同份數(shù)與保存Eachpartyshallretainacopyofthisagreement,whichshall第二部分:其他補充性說明和解釋說明一:附件列表:1.附件一:品質(zhì)保證書詳細說明:該附件應(yīng)包含商品的質(zhì)量標(biāo)準(zhǔn)、檢驗方法、保質(zhì)期等信息,由制造商提供,以確保代理商銷售的商品符合制造商的質(zhì)量要求。2.附件二:銷售區(qū)域地圖詳細說明:該附件應(yīng)明確指出銷售區(qū)域的范圍,包括國家、城市、地區(qū)等,以確保代理商在指定的區(qū)域內(nèi)進行銷售活動。3.附件三:價格列表詳細說明:該附件應(yīng)詳細列出所有商品的價格,包括建議零售價、批發(fā)價等,以便代理商了解并遵守銷售價格。4.附件四:銷售目標(biāo)文檔5.附件五:傭金結(jié)構(gòu)詳細說明:該附件應(yīng)詳細說明傭金計算方法、支付比例、支付時間等信息,以便代理商了解其銷售業(yè)績與收益之間的關(guān)系。6.附件六:付款條款詳細說明:該附件應(yīng)詳細說明貨款的結(jié)算周期、支付方式、支付時間等要求,以確保雙方在財務(wù)上的清晰和信任。7.附件七:售后服務(wù)政策詳細說明:該附件應(yīng)詳細說明售后服務(wù)的范圍、維修責(zé)任、費用承擔(dān)等信息,以指導(dǎo)代理商在售后服務(wù)方面的工作。8.附件八:爭議解決條款詳細說明:該附件應(yīng)詳細說明爭議解決的程序和機構(gòu),包括協(xié)商、調(diào)解、仲裁或法律途徑等,以及相關(guān)的規(guī)則和
