2024版oem合作協(xié)議書范本合同編號(hào):__________partiesthisagreement(hereinafterreferredtoasthe"agreement")isenteredintoasof__________(the"effectivedate")andbetween__________(the"manufacturer")and__________(the"distributor").themanufacturerandthedistributorarecollectivelyreferredtoasthe"parties".Whereas,themanufacturerisengagedinthebusinessofmanufacturingandsupplying__________(the"products")andthedistributorisengagedinthebusinessofdistributingtheproducts;Whereas,themanufacturerdesirestograntthedistributortherighttodistributetheproductsin__________(the"territory")andthedistributordesirestopurchaseanddistributetheproductsintheterritory;Now,therefore,inconsiderationofthemutualpromisescontainedherein,thepartiesagreeasfollows:articles1.appointmentofdistributor1.1themanufacturerhereappointsthedistributorasitsexclusivedistributoroftheproductsintheterritoryduringthetermofthisagreement.1.2thedistributorshalluseitsbesteffortstopromote,market,sellanddistributetheproductsintheterritoryinaccordancewiththetermsandconditionsofthisagreement.2.purchaseofproducts2.1thedistributoragreestopurchasetheproductsfromthemanufactureratthepricessetforthinthemanufacturer'spricelistineffectfromtimetotime,lessanyapplicablediscounts,rebatesorotherincentivesprovidedthemanufacturer.2.2thedistributoragreestopurchaseaminimumquantityofproductsfromthemanufacturereachcalendarquarter,assetforthinthemanufacturer'sminimumpurchaserequirements.3.deliveryandshipping3.1themanufactureragreestodelivertheproductstothedistributor'sdesignateddeliverypointintheterritoryonorbeforetheagreedupondeliverydates.3.2thedistributorshallberesponsibleforallshippingandtransportationcostsassociatedwiththedeliveryoftheproductstothedistributor'sdesignateddeliverypoint.4.payment4.1thedistributoragreestomakepaymentfortheproductspurchasedunderthisagreementthetermssetforthinthemanufacturer'spaymentterms.4.2themanufacturerreservestherighttochargeinterestonanypastduepaymentsattherateof__________perannum,orsuchotherrateasmaybespecifiedinthemanufacturer'spaymentterms.5.promotionandmarketing5.1thedistributorshalluseitsbesteffortstopromote,marketandadvertisetheproductsintheterritoryinaccordancewiththemanufacturer'sguidelinesandmarketingplans.6.territorialexclusivity6.1themanufactureragreesthatduringthetermofthisagreement,itshallnotdirectlyorindirectlysell,offerforsale,distributeorotherwisesupplytheproductsintheterritory,excepttothedistributor.6.2thedistributoragreesthatduringthetermofthisagreement,itshallnotsell,offerforsale,distributeorotherwisesupplytheproductsoutsideoftheterritory.7.termination7.1eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisagreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereoffromtheterminatingparty.8.indemnification8.1themanufactureragreestoindemnifyandholdharmlessthedistributoragainstanyandallclaims,liabilities,damages,lossesandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyproductliabilityclaimsoranyclaimsthattheproductsinfringeorviolateanypatent,trademark,copyrightorotherintellectualpropertyrightofathirdparty,excepttotheextentsuchclaimsariseoutoforinconnectionwiththedistributor'snegligenceorwillfulmisconduct.8.2thedistributoragreestoindemnifyandholdharmlessthemanufactureragainstanyandallclaims,liabilities,damages,lossesandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaimthatthedistributor'suseofthemanufacturer'strademarks,tradenamesorotherintellectualpropertyviolatesanyapplicablelaw,regulationorindustrystandard.9.confidentialinformation9.1thepartiesagreethatallinformationconcerningthebusiness,operations,products,servicesandotheraffairsoftheotherpartythatisdisclosedorobtainedeitherpartyunderthisagreement,whetherbeforeoraftertheeffectivedate,isandshallbetreatedasconfidentialinformation.9多方為主導(dǎo)時(shí)的,附件條款及說明1.甲方為主導(dǎo)時(shí)的附加條款及說明1.1甲方權(quán)利和義務(wù)的補(bǔ)充(1)甲方有權(quán)對(duì)乙方進(jìn)行業(yè)務(wù)指導(dǎo)和監(jiān)督,確保乙方按照甲方的要求和標(biāo)準(zhǔn)進(jìn)行業(yè)務(wù)開展。(2)甲方有權(quán)要求乙方提供業(yè)務(wù)報(bào)告和相關(guān)信息,以便甲方了解乙方的業(yè)務(wù)運(yùn)營(yíng)情況。(3)甲方應(yīng)協(xié)助乙方解決在業(yè)務(wù)開展過程中遇到的問題和困難,提供必要的支持和幫助。1.2乙方權(quán)利和義務(wù)的補(bǔ)充(1)乙方有權(quán)根據(jù)市場(chǎng)情況和業(yè)務(wù)需要,提出對(duì)甲方產(chǎn)品的改進(jìn)意見和建議,甲方應(yīng)給予充分重視并適時(shí)作出調(diào)整。(2)乙方有權(quán)在合同約定的范圍內(nèi),自主決定產(chǎn)品的銷售價(jià)格和促銷策略。(3)乙方應(yīng)主動(dòng)向甲方匯報(bào)業(yè)務(wù)運(yùn)營(yíng)情況,及時(shí)反饋市場(chǎng)信息和客戶需求,以便甲方調(diào)整生產(chǎn)和供應(yīng)策略。2.乙方為主導(dǎo)時(shí)的附加條款及說明2.1乙方權(quán)利和義務(wù)的補(bǔ)充(1)乙方有權(quán)根據(jù)市場(chǎng)情況和業(yè)務(wù)需要,提出對(duì)甲方產(chǎn)品的改進(jìn)意見和建議,甲方應(yīng)給予充分重視并適時(shí)作出調(diào)整。(2)乙方有權(quán)在合同約定的范圍內(nèi),自主決定產(chǎn)品的銷售價(jià)格和促銷策略。(3)乙方應(yīng)主動(dòng)向甲方匯報(bào)業(yè)務(wù)運(yùn)營(yíng)情況,及時(shí)反饋市場(chǎng)信息和客戶需求,以便甲方調(diào)整生產(chǎn)和供應(yīng)策略。2.2甲方權(quán)利和義務(wù)的補(bǔ)充(1)甲方有權(quán)對(duì)乙方進(jìn)行業(yè)務(wù)指導(dǎo)和監(jiān)督,確保乙方按照甲方的要求和標(biāo)準(zhǔn)進(jìn)行業(yè)務(wù)開展。(2)甲方有權(quán)要求乙方提供業(yè)務(wù)報(bào)告和相關(guān)信息,以便甲方了解乙方的業(yè)務(wù)運(yùn)營(yíng)情況。(3)甲方應(yīng)協(xié)助乙方解決在業(yè)務(wù)開展過程中遇到的問題和困難,提供必要的支持和幫助。3.存在第三方中介時(shí)的附加條款及說明3.1第三方中介的選擇和職責(zé)當(dāng)合同執(zhí)行過程中涉及第三方中介時(shí),甲乙雙方應(yīng)共同選擇具備資質(zhì)和信譽(yù)的第三方中介,并明確第三方中介的職責(zé)和義務(wù)。第三方中介的主要職責(zé)包括:(1)協(xié)助甲乙雙方完成合同的簽訂和履行,提供專業(yè)化的服務(wù)和支持。(2)負(fù)責(zé)協(xié)調(diào)甲乙雙方之間的溝通和協(xié)作,確保合同執(zhí)行的順利進(jìn)行。(3)對(duì)合同執(zhí)行過程中出現(xiàn)的問題和糾紛進(jìn)行調(diào)解,協(xié)助甲乙雙方達(dá)成共識(shí)。3.2第三方中介的費(fèi)用和支付方式甲乙雙方應(yīng)根據(jù)實(shí)際情況商定第三方中介的費(fèi)用,并在合同中予以明確。第三方中介費(fèi)用的支付方式如下:(1)甲乙雙方可根據(jù)合同履行進(jìn)度,按照約定的比例和時(shí)間向第三方中介支付費(fèi)用。(2)第三方中介費(fèi)用的支付應(yīng)及時(shí)、準(zhǔn)確,甲乙雙方應(yīng)對(duì)支付情況進(jìn)行相互告知和確認(rèn)。3.3第三方中介的責(zé)任和義務(wù)(1)保持中立立場(chǎng),公正、客觀地處理合同執(zhí)行過程中出現(xiàn)的問題和糾紛。(2)保守甲乙雙方的商業(yè)秘密和隱私,不得泄露相關(guān)信息。(3)按照甲乙雙方的要求,提供專業(yè)化的服務(wù)和支持,確保合同執(zhí)行的順利進(jìn)行。一、附件列表:1.產(chǎn)品目錄和價(jià)格列表2.最小購(gòu)買量要求和交付時(shí)間表3.市場(chǎng)推廣和廣告材料4.地域獨(dú)家分銷授權(quán)書5.保密協(xié)議6.第三方中介服務(wù)協(xié)議7.補(bǔ)充協(xié)議(如有)二、違約行為及認(rèn)定:1.甲方違約行為:未能按時(shí)交付產(chǎn)品未能按照約定提供產(chǎn)品直接或間接在授權(quán)區(qū)域內(nèi)銷售產(chǎn)品給第三方2.乙方違約行為:未能按時(shí)支付貨款未能達(dá)到最小購(gòu)買量要求在未經(jīng)授權(quán)的區(qū)域內(nèi)銷售產(chǎn)品3.違約行為的認(rèn)定:違約行為將通過書面通知進(jìn)行認(rèn)定,并要求違約方在規(guī)定
