塑料絲網(wǎng)印刷購銷合同合同編號：__________plasticscreenprintingpurchaseandsalecontractBETWEEN:[ContractorName][ContractorAddress][ContractorContactInformation]AND[CustomerName][CustomerAddress][CustomerContactInformation]RECITALSWHEREAS,theContractorisengagedinthebusinessofmanufacturingandsupplyingplasticproducts,includingplasticproductsthatrequirescreenprinting;WHEREAS,theCustomerdesirestopurchasefromtheContractorcertainplasticproductsthatrequirescreenprinting,andtheContractoriswillingtosellsuchproductstotheCustomeronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.PRODUCTS1.1TheContractoragreestosell,andtheCustomeragreestobuy,thefollowingplasticproducts(the"Products"):[ProductDescription][Quantity][Units]1.2TheProductsshallbemanufacturedandsuppliedtheContractorinaccordancewiththespecificationssetforthinExhibitAattachedhereto(the"Specifications").2.SCREENPRINTING2.1TheContractoragreestoperformscreenprintingontheProductsinaccordancewiththeSpecifications.3.DELIVERY3.1TheContractorshalldelivertheProductstotheCustomer'sdesignatedlocationat[DeliveryAddress]onorbefore[DeliveryDate].3.2TheContractorshallberesponsibleforthetransportationanddeliveryoftheProductstotheCustomer'sdesignatedlocation.4.PRICEANDPAYMENT4.1ThepurchasepricefortheProductsshallbe[Price](the"PurchasePrice").4.2TheCustomershallmakepaymentfortheProducts[PaymentMethod]within[PaymentTime]afterthedateoftheinvoiceissuedtheContractor.5.WARRANTY5.1TheContractorwarrantsthattheProductsconformtotheSpecificationsandarefreefromdefectsinmaterialsandworkmanship.5.2TheContractor'swarrantyshallexpire[WarrantyPeriod]fromthedateofdeliveryoftheProducts.6.LIABILITY6.1TheContractorshallbeliableforanybreachofitsobligationsunderthisContract,includinganyfailuretomeettheDeliveryDateoranydefectintheProducts,andshallindemnifytheCustomerforanyresultingloss,damage,orexpense.6.2TheContractorshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceorbreachofthisContract.7.TERMINATION7.1EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisContracttheotherpartythatisnotcuredwithin[CurePeriod].8.GENERAL8.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.8.2ThisContractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.8.3ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[GoverningLaw].INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.[ContractorName]By:___________________________Name:[ContractorRepresentative]Title:[ContractorRepresentative'sTitle]Date:[Date][CustomerName]By:___________________________Name:[CustomerRepresentative]Title:[CustomerRepresentative'sTitle]Date:[Date]一、附件列表：1.ExhibitAProductSpecifications2.ExhibitBScreenPrintingArtwork3.ExhibitCDeliverySchedule4.ExhibitDPaymentTerms5.ExhibitEWarrantyInformation二、違約行為及認定：1.未能按照合同約定的Specifications制造和供應(yīng)產(chǎn)品。2.未能在約定的DeliveryDate之前交付產(chǎn)品。3.產(chǎn)品存在材料或工藝上的缺陷。4.未能按照合同約定的PaymentTerms進行支付。5.未能在約定時間內(nèi)curingthebreach或者未能履行合同項下的其他義務(wù)。三、法律名詞及解釋：1.合同方指雙方簽訂合同的實體，包括Contractor和Customer。2.產(chǎn)品指合同中規(guī)定的由Contractor制造和供應(yīng)的塑料產(chǎn)品。3.屏幕印刷指在產(chǎn)品上進行的印刷工藝。4.規(guī)格指產(chǎn)品應(yīng)滿足的技術(shù)和要求，詳見附件A。5.交貨日期指合同中約定的Products交付的日期。6.購買價格指合同中約定的Products的價格。7.違約一方未能履行合同約定的義務(wù)。四、執(zhí)行中遇到的問題及解決辦法：1.交貨延誤：Contractor應(yīng)及時通知Customer并采取措施加快生產(chǎn)進度。2.產(chǎn)品質(zhì)量問題：Contractor應(yīng)更換或修復(fù)有缺陷的產(chǎn)品。3.支付問題：Customer應(yīng)按照約
