8.簽約合同（SignofContract）：本合同傳真有效Thiscontractwillvalidforfaxcontractsign

9.人力不可抗議(ForceMajeure)：由于水災，火災，地震，干旱，戰(zhàn)爭或協議一方無法預見，控制，避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責托。但是，受不可抗議力事件影響的一方必須盡快將發(fā)生的時間通知另一方，并在不可抗議力事件發(fā)生15（拾伍）天內將有關機構的不可抗議力事件的證明寄交對方。Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,co(轉載于:w:協議書英文范本)ntrolled,avoided,orovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafterit’soccurrence.

12.違約（Breakingthecontract）：

若超過裝運期限賣方每天必須向買方支付貨物總價款的違約金。Thesellersmustpaytheofthepriceofallthegoodsperdayforbreakingthecontractofshippingtime.

如果延期超過5天賣方須向買方支付貨物總價款5%的違約金。與此同時，買方保留是否繼續(xù)履行合同的決定權。

Iftheshippingtimeisdeferedforover5days,thesellersmustpay5%ofthepriceofallthegoods.Atthesametime,thebuyersreservetherighttogooncarryingoutthepromiseornot.

13.仲裁（Arbitration）：在履行協議過程中，如發(fā)生爭議，雙方應友好協商解決，若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規(guī)定進行仲裁。若以方不符裁決，再則由新加坡國際仲裁法按照該會仲裁程序的有關規(guī)定進行仲裁。以上所有仲裁費用，除另有規(guī)定外，均由敗訴方負擔。Alldisputesarisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheForeignTradArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTradeforArbitrationinaccordancewithitsProvisionalRulesofProcedure.Thedecesionmadebythiscommissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.

六、保證金：

6.為確保出租房屋及其設施之安全并完好及租賃期內相關費用之如期結算，乙方同意于簽訂合同0天內支付給甲方貳個月租金的租賃押金計__________________人民幣作為乙方確保合同履行之保證金。乙方搬入后十天內付壹個與租金計______________人民幣。

七、其他費用：

八、甲方的責任：

8.甲方須按時將出租房屋及其家私家具用品與其設施以良好狀態(tài)交付乙方使用。

租賃期內甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。

在乙方遵守本合同的條款及支付租金的前提下，乙方有權于租賃期內拒絕甲方或其他人騷擾而安靜享用出租房屋。

租賃期內出租房屋的結構，進出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。

九、乙方的責任：

partyb’sobligations:

9.乙方應按合同的規(guī)定，按時支付租金，保證金及其他各項應付費用。

partybshallpromptlypayallrent,securitydepositandotherchargespayablebyitinaccordancewiththetermsofthisagreement.

乙方應愛護使用出租房屋，如因乙方的過失或過錯致使房屋設施及屋內用具和飾品受到損壞(正常損耗除外)，乙方應負賠償責任。

parytbshalltreattheleasedpropertywithcare.ifasaresultofpartyb’snegligenceormisconduct,theleasedpropertyandtherelatedfacilitiesandaccessortiessufferanydamage(fairwearandtearexcepted),partybshallbereonsibleforcompensatingpartyaforsuchdamages.

乙方應按本合同的約定合法使用出租房屋，不得擅自改變使用性質，不應存放xxx法律下所禁止的危險物品，如因此發(fā)生損害，乙方應承擔全部責任。

partybshallusetheleasedpropertylegallyasagreedinthisagreementandmaynotchangesuchuseonitsown…partybshallnotstoreanydangerousitemswhichareprohibitedbythelawsinthepeople’srepublicofchinaintheleasedpropertyandshallbefullyreonsibleforanyadmagesoflossesasresultthereof.

未經甲方事先書面同意，乙方不得將出租房屋轉租或租給其他的第三者。

十、違約處理：

breachofagreement:

10.1甲、乙任何一方如未按本合同的條款履行，構成違約，應承擔相應的違約責任。雙方同意違約方應賠償守約方之直接損失人民幣____________元。

altersthestructureoftheleasedpropertyorusestheleasedpropertyotherthanforthepurposestartedhereinwithoutpartya’sconsent;

c.無故拖欠租金超過三天(除雙方就本合同存在爭議除外)。

failstopayrentwithoutanyreasonformorethanthirty(30)daysaftertheduedateexceptwherethereisadiuteinreectofthisagreement.

十一、適用法律：

applicablelaw:

本合同的成立，其有效性、結實、簽署和解決與其他有關的一切糾紛均應受中國法律的管轄并依據中國法律解釋。

十二、爭議的解決：

凡因執(zhí)行本合同所產生的或與本合同有關的一切爭議，雙方應通過友好協商解決;協商不成，應提交中國國際經濟貿易仲裁委員會，按其仲裁規(guī)則和xxx仲裁法進行仲裁。仲裁解決是終局的，對雙方都有約束力。

二、【轉讓總價及定金與款項的選擇適用】

4）房屋交付：甲方于收到乙方全部轉讓款項當日，將該房地產交付乙方，雙方應簽署《房屋交接書》。交付前的物業(yè)管理費及公用事業(yè)費由甲方承擔，交付后的物業(yè)管理費及公用事業(yè)費由乙方承擔。固定裝修、附屬設施設備以及經甲乙雙方確認的家電、家具等價格已經包含在該房地產轉讓總價款內，甲方須保證該房屋內附屬設施、設備均能正常使用及室內裝飾與簽訂買賣合同之日的狀況相符。

4）Delivery.Atthedateonwhichalltransferprices，partyAshalldeliverthisrealestatetoParty

BandtheCertificateofTransferandHandovershallbeconcludedbythePartiestherefore.PropertyManagementFeesandUtilitiesExpensesarisingoutoforinconnectionwiththisrealestateshallbebornebyPartyApriortosuchdelivery,orshallbebornebyPartyBuponsuchdelivery.

Chargesorexpensesrelatedtothefixturesandancillaryequipments&facilitiesofthisrealestate,aswellasthepricesofhomeappliancesandfurnitureagreedbytheParties,havebeenincludedinthetransferpriceandPartyAguaranteethatallsuchancillaryequipments&facilitiesmayworkproperly,allinteriordecorationsthereofsatisfytheconditionsprovidedherein.

5）相關費用：MiscellaneousCharge.

[交易稅費]：雙方同意，交易中所涉及的上述買賣雙方的稅費由□各自承擔并支付；□由甲方承擔并支付；□由乙方承擔并支付。

四、【法律責任的選擇適用】

4.APPLICATIONOFLEGALLIABILITIES

甲方保證該房地產產權清晰、權屬明確，無異議登記、單方預告登記，無司法、行政查封等限制xxx易情形存在；若因本條所述情況導致本協議效力瑕疵，甲方應返還乙方所有已付房款并賠償乙方實際損失。

Partyaguaranteesthatithasfullandclearownershiptothisrealestate,whichisfreeofanydisputeregistered,unilateraladvancedregistration,judicialoradministrativeattachmentorothereventsrestrictingtrades.IfanydefectaffectingthevalidityofthisContractisoccurredduetoanymisrepresentationhereunder,PartyAshallrefundalltransferpricespaidbyPartyB,andindemnifyanyandalllossesanddamagessufferedbyPartyBthere-from.

五、【爭議解決】

6.DISPUTESETTLEMENT

各方在本協議履行過程中發(fā)生爭議的，應友好協商；協商不成的，應向該房地產所在地人民法院起訴。

Anydisputearisingoutoforinconnectionwiththeperformancehereofshallbesettledbyamiablenegotiation,iffails,eitherPartymaybringalawsuitbeforethePeople’sCourtwithjurisdictionwherethisrealestateislocated.

六、【合同效力】

本協議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執(zhí)一份。

A.AgencyshallreceiveanamountequaltoMediaCommissionRateofthegrosschargesleviedbymediaforadvertisingplacedtherewithbyAgencypursuanttothisAgreement;andNon-MediaCommissionRateaftervolumediscount,ofthechargesofsuppliersofservicesorproperties,suchasfinishedart,comprehensivelayouts,typecomposition,photos,engravings,printing,radioandtelevisionprograms,talent,literary,dramaticandmusicalworks,recordsandexhibits,purchasedbyAgencyonAdvertiser’sauthorizationduringthetermofthisAgreement;providedthat:

PartyacommissionedpartyBtocompletethewholeprocessofpropagandaandplanning,andentrustedtheplanedesign,advertisingagencyandotherbusiness,fullyresponsiblefortheprojectpublicityandplanning.

Fourth:therightsandobligationsofPartyA

1.Intheagreedperiod,PartyBshouldberequiredtosubmittherelevantpropagandaandplanningscheme,andthePartyAwillassisttheorganizationaftertheconfirmationofthemarketinvestigation.

2,ithastherighttorequirePartyBtoprovidewrittenopinionsandsuggestionsfromtheangleofplanningwithinthescopeoftheCommission.

3,PartyBwillberequiredtoprovidePartyAwithplanningplansandadjustmentofpropagandastrategiesandsuggestions.

4,toapprovetheoverallpropagandastrategyformulatedbyPartyB,andtobearallthecostsrelatedtopublicityandpromotion,advertisingandsoon.

5,paymentshallbepaidinaccordancewiththeagreementofthecontractwithPartyBforthepaymentofthepublicityandplanningfeeandontime.
