年專利產(chǎn)品保密協(xié)議合同編號：__________parties1.partya(the"discloser"):[insertnameofdisclosingparty][insertaddressofdisclosingparty][insertcontactinformationofdiscloser]2.partyb(the"recipient"):[insertnameofrecipientparty][insertaddressofrecipientparty][insertcontactinformationofrecipient]agreement1.confidentialinformation1.1thedisclosershalldiscloseormakeavailabletotherecipientcertainproprietaryandconfidentialinformation(the"confidentialinformation")inconnectionwiththedevelopment,productionandmarketingofthepatentedproduct(asdefinedinsection1.2).1.2forthepurposesofthisagreement,the"patentedproduct"means[insertnameofthepatentedproduct].1.3theconfidentialinformationshallinclude,butnotbelimitedto,technicaldata,knowhow,tradesecrets,designs,specifications,processes,customerlists,pricinginformation,salesinformation,marketingplans,businessstrategiesandanyotherinformationthatisdesignatedasconfidentialthediscloser.1.4therecipientacknowledgesthattheconfidentialinformationisvaluabletothediscloserandthatunauthorizeduseordisclosureoftheconfidentialinformationwouldcausesignificantharmtothediscloser.2.obligationsoftherecipient2.1therecipientagreesto:(a)usetheconfidentialinformationonlyforthepurposeofevaluatingthepatentedproductanddiscussingpotentialbusinessopportunitieswiththediscloser;(b)maintaintheconfidentialityoftheconfidentialinformationandnotdiscloseittoanythirdparty,exceptasrequiredlaworwiththepriorwrittenconsentofthediscloser;(c)limitaccesstotheconfidentialinformationtothoseofitsemployees,agentsandrepresentativeswhohaveaneedtoknowtheinformationforthepurposeofperformingtheirdutiesandwhoareboundconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisagreement;(d)notusetheconfidentialinformationforanypurposeotherthanthoseexpresslypermittedinthisagreement;and(e)promptlynotifythediscloserofanyunauthorizeduseordisclosureoftheconfidentialinformation.3.durationandtermination3.1thisagreementshallremainineffectforaperiodof[insertdurationoftheagreement,e.g.,twoyears]fromthedateofexecution(the"term").3.2eitherpartymayterminatethisagreementatanytimeuponwrittennoticetotheotherparty.3.3uponterminationofthisagreement,therecipientshall:(a)returnallcopiesoftheconfidentialinformationtothediscloser;(b)destroyallcopiesoftheconfidentialinformationintherecipient'spossessionorcontrol,excepttotheextentthattherecipientisrequiredlawtoretaintheinformation;and4.indemnification4.1therecipientshallindemnifyandholdharmlessthediscloserfromanyclaims,damages,lossesorexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanybreachofthisagreementtherecipientoranyunauthorizeduseordisclosureoftheconfidentialinformationtherecipient.5.generalprovisions5.1thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.5.2ifanyprovisionofthisagreementisheldtobeinvalidorunenforceable,suchprovisionshallbeconstruedascloselyaspossibletoreflecttheoriginalintentoftheparties,andtheotherprovisionsofthisagreementshallremaininfullforceandeffect.5.3thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecutedthisagreementasofthedatefirstabovewritten.partya:[signatureofauthorizedrepresentativeofpartya][nameofauthorizedrepresentativeofpartya][ofauthorizedrepresentativeofpartya]partyb:[signatureofauthorizedrepresentativeofpartyb][nameofauthorizedrepresentativeofpartyb][ofauthorizedrepresentativeofpartyb]一、附件列表：1.年專利產(chǎn)品保密協(xié)議二、違約行為及認定：1.未經(jīng)許可使用或披露保密信息；2.未按約定時間終止保密義務；3.未按約定方式處理保密信息；4.違反約定使用專利產(chǎn)品。三、法律名詞及解釋：1.保密信息：指專利產(chǎn)品的技術數(shù)據(jù)、商業(yè)秘密等對披露方具有商業(yè)價值的信息。2.專利產(chǎn)品：指雙方約定的受專利保護的產(chǎn)品。四、執(zhí)行中遇到的問題及解決辦法
