PagePAGE4ofNUMPAGES6進口設(shè)備買賣合同PurchaseContract合同號ContractNo:簽訂日期DateofSignature:簽訂地點PlaceofSignature:買方:TheBuyer:地址:Address:電話:Tel:傳真:Fax:賣方:TheSeller:地址:Address:電話:Tel:傳真:Fax:買方、賣方同意按下列條款由買方購進，由賣方出售下列商品，訂立本合約：ThiscontractismadebytheBuyerandtheSeller,wherebytheBuyeragreetobuyandtheSelleragreetosellundermentionedgoodsaccordingtothetermsandconditionsstipulatedbelow:名稱,規(guī)格、數(shù)量、總價及服務(wù)等COMMODITY,SPECIFICATIONS,QUANTITYANDAMOUNTOFGOODSANDSERVICESETC1.1設(shè)備名稱:Commodity:1.2數(shù)量Quantity：規(guī)格SPECIFICATIONS：1.3合同金額TotalContractValue:1.4生產(chǎn)國別CountryofOrigin:生產(chǎn)廠商Manufacturer:1.5保修Warranty：自設(shè)備安裝驗收合格，用戶簽署驗收報告之日起，設(shè)備保修期為12個月。在保修期間如設(shè)備因自身制造的原因造成損壞，賣方應(yīng)免費維修及更換。設(shè)備發(fā)生故障后，用戶應(yīng)以傳真或書面形式通知賣方，賣方在2個工作日內(nèi)需做出反應(yīng)。Qualitywarrantyperiodis12monthscountingfromthedateoftheUsersignedCertificateofAcceptance.Shouldtheequiptmentfailduetomanufacturingfaultwithinthesaid12months,theSellershallrepairandexchangethemfreeofcharge.TheSellershalltakeanactiveresponsein2workingdaysuponreceiptoftheUsers'writingadviceofthebreak-downofthecontractedequipment.1.6售后服務(wù)PostSalesService:保修期后賣方負責終身維修及技術(shù)支持,并收取合理費用。TheSellershallbeheldresponsibleforthepost-salesserviceafterthewarrantyperiodandtakeinchargelifetimerepairsandtechnologicsupportsfortheproductsatreasonableprice.1.7操作培訓OperatingTraining：在設(shè)備安裝驗收過程中，賣方在現(xiàn)場向用戶提供對操作人員的基本培訓，培訓內(nèi)容包括設(shè)備結(jié)構(gòu)介紹，操作軟件使用，設(shè)備操作使用，日常保養(yǎng)及維護等。Duringtheequipmentinstallationandacceptancetest-run,theengineerfromtheSellershalltraintheoperatorsattheuser’ssites.Thistrainingincludesintroductionofequipmentstructure,softwareoperation,equipmentoperation,routinemaintenanceetc.2.裝運期限TIMEOFSHIPMENT2.1裝運Shipment:收到預(yù)付款后45天內(nèi),但賣方發(fā)貨須以收到買方全款為前提。within45daysafterreceiptofpayment,butsubjecttothereceiptoffullpayment.2.2不允許分批裝運，允許轉(zhuǎn)運。Partialshipmentisnotallowed;andtransshipmentisallowed.3.裝貨口岸PORTOFDELIVERY:4.到貨口岸PORTOFARRIVAL：5.包裝PACKING用木箱包裝，根據(jù)貨物不同的形狀和特殊的品質(zhì)，保證貨物防濕，防潮，防震，防銹并經(jīng)得起多次的搬運，裝貨和卸貨以及長途海、陸運輸。賣方應(yīng)對由于包裝不良和采用不充分或不妥善的防護措施而造成的任何破損承擔責任并負擔由此而產(chǎn)生的一切費用。賣方應(yīng)向買方提交非木質(zhì)包裝證明或木質(zhì)包裝熱處理證明。證明原件應(yīng)與貨物一同提交。Tobepackedinwoodencasesandwellprotectedagainstdampness,moisture,shock,rustandwithstandnumeroushandling,loadingandunloadingaswellaslongdistanceseaandinlandtransportationaccordingtothegoodsdifferentshapesandspecialfeature,TheSellersshallbeliableforanydamagetothegoodsonaccountofimproperpackingandforanydamageattributabletoinadequateorimproperprotectivemeasurestakenbytheSellers,andinsuchcasesanyandallexpensesincurredinconsequencethereofshallbebornebytheSellers.TheSellershallsubmittotheBuyerCertificateofnon-woodpackingorheattreatCertificateofwoodenpacking.TheoriginalcertificateshallbesubmittedtogetherwiththeGoodsdelivered.6.嘜頭SHIPPINGMARK賣方應(yīng)在每件包裝上，用不褪色油墨清楚地標刷件號、尺碼、毛重、凈重、”此端向上”“小心輕放”“切勿受潮”等字樣，并刷有下列嘜頭：Onthesurfaceofeachpackage,thepackagenumber,grossweight,netweight,measurements,“DONOTSTACKUPSIDEDOWN”,“HANDLEWITHCARE”,“KEEPAWAYFROMMOISTURE”andtheshippingmarkshallbestenciledlegiblyinfadelesspaint:嘜頭Shippingmarks:（合同號）HohhotAirport,China7.保險INSURANCE由賣方按合同金額110％投保一切險和戰(zhàn)爭險至呼和浩特機場。TobecoveredbytheSellerfor110%oftheContractvalueagainstAllRisksandWarRisksfromtheportofdeliverytillatHohhotAirport,15.4如果賣方在接到買方索賠30天內(nèi)未予答復(fù)則表明賣方已經(jīng)接受索賠，賣方需在接受索賠30日內(nèi)完成賠償。TheclaimmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyer’sclaim.Thebuyer’sclaimshallbesatisfiedwithin30dayscountingfromseller’sacceptanceoftheclaim.16.不可抗拒FORCEMAJEURE由于人力不可抗拒的事故，導致賣方交貨遲延或不能交貨時，責任不在賣方，但賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機關(guān)出具的事故證明書用空郵寄交買方為證，并取得買方認可，在上述情況下，賣方仍負有采取一切必要措施從速交貨的責任。如果事故持續(xù)超過十個星期，買方有權(quán)撤消本合同(同時，賣方無條件在合同撤消后15個工作日退回全部預(yù)付貨款)。TheSellersshallnotberesponsibleforthedelayinshipmentornon–deliveryofthegoodsduetoForceMajeurecases,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellershallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereofundersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.IncasetheaccidentlastsformorethantenweekstheBuyershallhavetherighttocanceltheContract.(atsametime，thesellerwithin15daysafterthecancellationofthecontractunconditionallyreturnallprepaid)。17.遲交和罰款LATEDELIVERYANDPENALTY除人力不可抗拒的事故外，若賣方不能按合同規(guī)定及時交貨,經(jīng)買方同意,賣方可在繳納罰金的條件下延期交貨。此項罰款總額不超過全部遲交貨物總額的5%,付罰金的比例為每一星期按遲交貨總值的0.5%交罰款，不足一星期的遲交日數(shù)作為一星期計算，如遲延交貨超過原定期限十星期時，買方有權(quán)終止本合同。但賣方仍應(yīng)向買方繳付以上規(guī)定之罰款，不得推諉或遲延。(同時賣方無條件退回全部預(yù)付貨款)ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofforcemajeurecausesspecifiedinClause18ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendaysodddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandthesellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.atsametime，thesellerunconditionallyreturnallprepaid。責任與賠償AbilityandIndemnity:TheSellershallindemnifytheBuyeragainstliabilitiesincurredorsufferedbytheBuyerinconnectionwithanydeathorpersonalinjurycausedbytheSeller’snegligenceorresultingfromanydefectinthegoodscausedbytheSeller. 賣方應(yīng)確保，買方不因賣方過失或其產(chǎn)品的任何缺陷而承擔任何人身損害賠償責任；就該等損害賠償責任，應(yīng)由賣方予以承擔。TheSellershallbeliabletotheBuyerforphysicallossoforphysicaldamagetopropertyoftheBuyercausedbytheSeller’snegligenceorwhichresultsdirectlyfromabreachofthiscontractbytheSellerordirectlyfromanydefectinthegoodscausedbytheSeller. 因賣方過失、賣方違約行為或賣方原因造成的產(chǎn)品缺陷，直接導致買方實體損失或買方有形財產(chǎn)的損失，賣方應(yīng)當向買方承擔責任。TheSeller’stotalliabilitytotheBuyerinrespectoflossordamagearisingundersection18.2shallbelimitedtothetotalamountpayablebytheBuyerunderthiscontract. 就第18.2條中所約定的損失或損害，賣方的全部責任應(yīng)限定于買方根據(jù)本合同所應(yīng)支付的全部價款。InnoeventshalltheSellerbeliableforanyindirect,specialorconsequentiallossesincludingbutnotlimitedtolossofuse,business,production,goodwill,revenue,profitsoropportunity 在任何情形下，賣方均不承擔任何特別、間接、附帶或從屬損失，包括但不限于基于對喪失用途、業(yè)務(wù)、生產(chǎn)、商譽、利潤損失或商機的主張所提出的損失。TheBuyershallindemnifytheSeller,itsofficers,employees,subsidiaries,parentsandaffiliatesagainstliabilitiesfordeathorpersonalinjurytoanypersonorforlossofanypropertycausedbytheBuyer’snegligence. 買方應(yīng)確保，賣方及其經(jīng)理人員、雇員、分支機構(gòu)、母公司及聯(lián)屬機構(gòu)不因買方過失而承擔任何人身損害或財產(chǎn)損失；就該等人身損害及財產(chǎn)損失，應(yīng)由買方予以承擔。19.仲裁ARBITRATION19.1仲裁：凡因本合同引起的或與本合同有關(guān)的任何爭議，均應(yīng)通過友好協(xié)商解決。如協(xié)商不成應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，依照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)定，在北京進行仲裁。仲裁裁決是終局的，對雙方均有約束力。AlldisputesarisingfromorinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijing,ChinaforarbitrationinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitrationawardshallbefinalandbindinguponbothparties,andneitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Thearbitrationfeeshallbebornebythelosingparty.19.2標準法GoverningLaw本合同受中華人民共和國法律管轄并依其進行解釋。ThisContractshallbegovernedbyandconstruedinaccordancewiththeLawsofthePeople'sRepublicofChina.20.銀行費用BANKINGCHARGES中國境內(nèi)發(fā)生的銀行費用由買方負責，境外發(fā)生的銀行費用由賣方負責。AllthebankingchargesincurredinChinashallbebornebytheBuyerswhileallthebankingchargesincurredoutsideChinashallbebornebytheSellers.21.商務(wù)保密約定BUSINESSCONFIDENTIALITYAGREEMENT買賣雙方應(yīng)嚴格保守商務(wù)秘密，不得向與本合同無關(guān)的個人及單位泄漏，包括合同
