金協(xié)議本傭金協(xié)議書于2013年08月日在中國北京由雙方在平等互利基礎(chǔ)上達成，按雙方同意

3.任：Appointment

甲方指定乙方為其在中國的全權(quán)采購代理，采購甲方指定的烯烴芳烴加氫和異構(gòu)化催化劑，瓦斯油（AGO+VGO）脫硫催化劑，石腦油加氫催化劑（詳見產(chǎn)品采購合同）。

4.雙方的職責(zé)：Dutiesoftwoparties:

(1)甲方所需的'采購業(yè)務(wù)應(yīng)提交給乙方詳細的采購產(chǎn)品信息，比如材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體要求。PartyAshallprovidealltheinformationofthepurchasingproductstoPartyB,suchasmaterial,size,quantity,qualityandotherconcreterequirements.

乙方向甲方提供采購產(chǎn)品客戶信息，代理信息，代理租船顧問業(yè)務(wù)等。負責(zé)落實甲方采購產(chǎn)品資源，渠道和談成供貨意向一并介紹給甲方。

PartyBshallprovidePartyAcustomers’informationandagentinformation,consultancyserviceonagentschartering.Besides,heshallfindandconfirmtheproductsresourcesandsupplychannel,thenintroducetheseinformationtotallytoPartyA.

(2)因甲方購買的產(chǎn)品涉及專利產(chǎn)權(quán)和產(chǎn)品生產(chǎn)者指定代理的情況，乙方負責(zé)促成甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代理商之間簽署采購協(xié)議，實現(xiàn)貿(mào)易，并負責(zé)為甲方對采購產(chǎn)品取樣、驗貨、出貨等的環(huán)節(jié)進行服務(wù)。

PartyBshallhelpandfacilitatePartyAsignthePurchasingAgreementwiththesuppliersoragents,alsoshouldprovideservicesinmanyaspects,suchassampling,inspection,deliveryandothermatters.

5.貨款的支付方式：Paymentofgoods

甲方購買的產(chǎn)品涉及專利產(chǎn)權(quán)或產(chǎn)品生產(chǎn)者指定代理的情況，甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代理商之間直接簽署采購協(xié)議，貨款支付方式由協(xié)議雙方協(xié)商達成一致。

PartyAwillsignPurchasingAgreementdirectlywithproducersoritsagents,andthe

paymenttermofgoodswillbenegotiatedandagreedbyPartyAandtheSeller.

6.傭金的計算、給付方式、給付時間：Commissioncalculation,paymentmethods,paymenttime甲方同意按照采購產(chǎn)品總金額的（1-5）%支付傭金給乙方，支付日期為付款給賣方的同一天，傭金匯入乙方指定銀行賬戶。如甲方以預(yù)付款或分期付款的形式向賣方支付貨款，在甲方向賣方支付第一筆貨款的同時向乙方全額支付采購產(chǎn)品總金額的傭金。

ForthePurchasingAgent'sservices,thePartyAshallpaythePartyBthefollowingcommissionpercentage:(1-5)%ofPartB’spurchasingaggregateamountoftheinvoicevalue,simultaneouslywithinthesamebankingdayasthepartyAmakespaymenttotheSeller.CommissionshouldberemittedtoPartyB’sdesignatedbankaccount.IfthePartyAmakesadvancepaymentstotheSellerorpaymentbyinstallments,heshouldpaythecommissiontoPartyBsimultaneouslywiththefirstpaymenthemadetotheSeller.

7.違約責(zé)任：

(1)甲方若不按本合同第6條的執(zhí)行，逾期一天應(yīng)支付乙方滯納金，滯納金系數(shù)為：總傭金的5‰/天。

8.協(xié)議的修改：Modification

此協(xié)議書只有經(jīng)雙方共同簽字后才能作修改，

ThisAgreementmaynotbemodifiedexceptbyamendmentreducedtowritingandsignedbybothParties.

9.不可抗力：ForceMajeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。

10.仲裁：Arbitration

因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟貿(mào)易仲裁員會(北京)，依據(jù)其仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費用，除另有規(guī)定外，由敗訴一方負擔(dān)。

Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitration

11.協(xié)議有效期：ValidityofAgreement

本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為年，從2013年08月日到年月日。

12.協(xié)議的終止：Termination

五、租金：

六、保證金：

6.為確保出租房屋及其設(shè)施之安全并完好及租賃期內(nèi)相關(guān)費用之如期結(jié)算，乙方同意于簽訂合同0天內(nèi)支付給甲方貳個月租金的租賃押金計__________________人民幣作為乙方確保合同履行之保證金。乙方搬入后十天內(nèi)付壹個與租金計______________人民幣。

七、其他費用：

乙方應(yīng)承擔(dān)租賃期內(nèi)實際使用而產(chǎn)生的水、電、液化氣費、電話費并按單自行如期交納所屬管理公司或有關(guān)機構(gòu)。

八、甲方的責(zé)任：

8.甲方須按時將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。

租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。

在乙方遵守本合同的條款及支付租金的前提下，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。

九、乙方的責(zé)任：

9.乙方應(yīng)按合同的規(guī)定，按時支付租金，保證金及其他各項應(yīng)付費用。

乙方應(yīng)愛護使用出租房屋，如因乙方的過失或過錯致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外)，乙方應(yīng)負賠償責(zé)任。

乙方應(yīng)按本合同的約定合法使用出租房屋，不得擅自改變使用性質(zhì)，不應(yīng)存放xxx法律下所禁止的危險物品，如因此發(fā)生損害，乙方應(yīng)承擔(dān)全部責(zé)任。

十、違約處理：

10.1甲、乙任何一方如未按本合同的條款履行，構(gòu)成違約，應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。雙方同意違約方應(yīng)賠償守約方之直接損失人民幣____________元。

b.未得甲方同意將出租房擅自拆改結(jié)構(gòu)或改變用途的：

altersthestructureoftheleasedpropertyorusestheleasedpropertyotherthanforthepurposestartedhereinwithoutpartya’sconsent;

c.無故拖欠租金超過三天(除雙方就本合同存在爭議除外)。

十一、適用法律：

applicablelaw:

本合同的成立，其有效性、結(jié)實、簽署和解決與其他有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。

十二、爭議的解決：

十三、其他

仲裁:

Anydisputesarisingfromtheexecutionof,orinconnectionwiththiscontractshallbesettledamicablythroughfriendlynegotiationsbetweenbothparties.Incasenosettlementcanbereachedwithin21daysthroughnegotiation,thecaseshallbesubmittedtotheForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionalInternationalTrade,forarbitration,inaccordancewithitsprovisionruleofprocedure.Thearbitralawardshallbeacceptedasfinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingparty.

本合同在執(zhí)行過程中引起的，或與本合同有關(guān)的任何爭議將由雙方友好協(xié)商解決。如果就爭議雙方在21天內(nèi)未協(xié)商達成一致，應(yīng)提交中國國際貿(mào)易促進員會對外貿(mào)易仲裁員會根據(jù)該會的仲裁程序暫行規(guī)則進行仲裁.仲裁結(jié)果對雙方都是最終的，有約束力的。仲裁費用由敗訴方承擔(dān)。

(15)逾期發(fā)運：如果由于買方原因造成逾期發(fā)運，買方承擔(dān)責(zé)任。造成自簽訂合同之日起超過45天不能發(fā)運的，賣方將每日按貨物金額的3%收取保管費；如果由于買方原因造成逾期發(fā)運超過6個月，賣方有權(quán)自行處置定金和貨物。如果是賣方原因造成的逾期發(fā)運，賣方需提前告知買方并得到買方的確認并承擔(dān)其他相關(guān)費用。

(17)不可抗力：賣方對由于下列原因而導(dǎo)致不能或暫時不能履行全部或部分合同義務(wù)的.，不負責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或其他任何在簽約時賣方不能預(yù)料、無法控制且不能避免和克服的事件。但賣方因盡快地將所發(fā)生的事件通知對方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。如果不可抗力事件之影響超過120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

FORCEMAJEURE:SellershallnotberesponsibleforfailureordelayinperformanceofentireorportionoftheseSaleContractobligationsinconsequenceofForceMajeureincidents:flood,fire,earthquake,drought,war,oranyothermatterscouldn’tbeforeseenorcontrolledorcouldn’tbeavoided.ButSellershallinformtheincidentstoBuyerimmediately,andshalldeliverythecertificateofForceMajeureincidentsissuedbyrelatedorganizationwithin15daysaftertheincidentshappened.Iftheincidentsinfluencemorethan120days,bothpartiesshallnegotiatetodecidewhethertoexecuteorterminatetheSalesContract.

(18)仲裁：因履行本合同所發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟貿(mào)易仲裁委員會（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費應(yīng)由敗訴一方承擔(dān)，但仲裁委員會另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

第四條借款劃付Article4Transferringofloan.

借款人辦妥借款手續(xù)后5個營業(yè)日內(nèi)將全部款項劃至借款人指定的賬戶，劃付次數(shù)、時間、金額見。

第五條借款利率和計息Article5.Interestrateofloanandcalculation

借款利率。本合同項下借款利率根據(jù)國家有關(guān)規(guī)定，確定利率見。遇利率調(diào)整時，借款期限在1年(含)以下的，執(zhí)行合同利率，不分段計息;借款期限在1年以上的，實行分段計息，從利率調(diào)整的次年1月1日開始，按相應(yīng)利率的檔次執(zhí)行新的利率;如借款人未按約定時間歸還借款本息或未按合同約定用途使用借款，貸款人將按國家規(guī)定對借款人計收罰息，罰息率見。

遇利率調(diào)整時，實行分段計息的，貸款人有權(quán)根據(jù)國家有關(guān)規(guī)定自行調(diào)整，不另行通知借款人。

第六條還款方式Article6TypeofRepaymentofLoan

借款人應(yīng)在貸款人開設(shè)帳戶，戶名和帳號見，并保證在每次還款日前足額存入當(dāng)期應(yīng)還款項的存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的復(fù)利、罰息、違約金、保費、損害賠償金及實現(xiàn)債權(quán)的費用(含律師費和訴訟費)。如該帳戶資產(chǎn)不足以歸還到期的貸款本息，貸款人有權(quán)從借款人在中國工商銀行任何分支機構(gòu)開立的任何帳戶劃收。

TheBorrowershouldopenanaccountwiththeLender(Theaccountnameandaccountnumberarespecifiedin.)andpromisetodepositsufficientmoneyforrepaymentbeforeeachduedate.TheBorrowerherebyauthorizestheLendertocollect,ifany,compoundinterest,defaultinterest,liquidateddamage,premium,compensationandexpensesarisingfromtherealizationofcreditorsright(includinglawyersfeeandcourtexpense)inadditiontodueprincipalandinterestofloan.IncasetheassetinthisAccountisnotenoughforrepaymentofdueprincipalandinterest,theLendershallbeentitledtocollectfromanyAccountopenedbytheBorrowerwithanybranchofICBC.

貸款人與借款人雙方商定，自貸款發(fā)放次月起，借款人按月歸還貸款本息(一次性還本付息除外)，還款期數(shù)及還款方式見。

借款人提前歸還貸款須經(jīng)貸款人書面同意，，提前歸還部分的'利息仍按本合同約定的利率和該部分實際使用天數(shù)計算。
