extendedhoursshallnotexceedthreehoursaday.however,thetotalextensioninamonthshallnotexceedthirty-sixhours.

5.socialsecurity&welfare

a.theemployerwillpayforallmandatorysocialsecurityprogramssuchpensioninsurance,unemploymentinsurance,medicalinsuranceoftheemployeeaccordingtotherelevantgovernmentandcityregulations.

b.duringtheperiodofthecontract,theemployee’swelfareshallbeimplementedaccordancewiththelawsandrelevantregulationsofp.r.c.

6.workingprotection&workingconditions

a.theemployershouldprovidetheemployeewithoccupationalsafetyandhealthconditionsconformingtotheprovisionsofthestateandnecessaryarticlesoflaborprotectiontoguaranteethesafetyandhealthduringtheworkingprocess.

b.theemployershouldprovidetheemployeewithsafetyeducationandtechniquetraining;theemployeetobeengagedinspecializedoperationsshouldreceivespecializedtrainingandacquirequalificationsforsuchspecialoperations.

c.theemployeeshouldstrictlyabidebytherulesofsafeoperationintheprocessoftheirwork.

7.labourdiscipline

a.theemployermaydraftbylawsandlabourdisciplinesofthecompany,accordingtowhich,the

employershallhavetherighttogiverewardsortakedisciplinaryactionstotheemployee;

b.theemployeeshallcomplywiththemanagementdirectionsoftheemployerandobeythebylawsandlabourdisciplinesoftheemployer.

c.theemployeeshallundertaketheobligationtokeepandnottodisclosethetradesecretforthe

employerduringtheperiodofthiscontract;thisobligationofconfidentialityshallsurvivethe

terminationofthiscontractforaperiodoftwo(2)years.

8.termination,modification,renewanddischargeofthecontract

a.therelevantclausesofthecontractmaybemodifiedbytheparties:

i.thespecificclauseisrequiredtobemodifiedbythepartiesthrough

consultation;

ii.duetotheforcemajeure,thecontractcannotbeexecuted;

iii.therelevantlawsandregulationshavebeenmodifiedorabolishedbythetimeofsigningthe

contract.

b.thecontractmaybeautomaticallyterminated:

i)thiscontractisnotrenewedattheexpirationofthiscontract;

ii)theemployerislegallyannouncedtobebankruptcy,dismissed,orcanceled;

iii)thedeathoftheemployeeoccurs;

iv)theforcemajeuretakesplace;

v)theconditionsofterminationagreedinthecontractbythepartiesarise.

c.thecontractmayberenewedattheexpirationthroughconsultationbythepartieswiththefulfillmentoftheprocedurewithin15daystotheexpiration;

d.thecontractmaybedischargedthroughconsultationbytheparties;

e.thecontractmaybedischargedbytheemployerwithimmediateeffectandtheemployeewillnotbecompensated:

i.theemployeedoesnotmeetthejobrequirementsduringtheprobationaryperiod;

ii.theemployeeseriouslyviolatesdisciplinesorbylawsoftheemployer;

iii.theemployeeseriouslyneglectshisduty,engagesinmalpracticeforselfishendsandbrings

significantlosstotheemployer;

iv.theemployeeisbeingpunishedbyphysicallabourforitsmisfeasance

v.theemployeeisbeingchargedwithcriminaloffences:

f.thecontractmaybeterminatedbytheemployerbygivingnoticeinwrittenform30(thirty)daysinadvance:

i.theemployeefailsillorisinjuredto(otherthanduetowork)andaftercompletionofmedical

treatment,isnotabletoperformhispreviousfunctionoranyotherfunctiontheemployerassignstohim;

ii.theemployeedoesnotshowsatisfactoryperformanceandaftertrainingandadjustingmeasuresisstillnotabletoperformsatisfactorily;

iii.thecircumstanceshavemateriallychangedfromthedatethiscontractwassignedtotheextentthatitisimpossibletoexecutethecontractprovided,however,thatthepartiescannotreachanagreementtoamendthecontracttoreflectthechangedcircumstances.

iv.theemployerisbeingconsolidatedinthelegalconsolidationperiodonthebrinkofbankruptcyorthesituationofbusinessisseriouslyintrouble,undersuchcondition,itisrequiredtoreducethe

emplouee.(inlegalprocedure)

g.theemployeeshallnotbedismissed:

i.thecontracthasneitherexpirednorconformedto8.d,8.e,8.f,8.g;

ii.theemployeeisillwithoccupationaldiseaseorinjuredduetoworkandhasbeenauthenticatedfullyorpartlydisabledbythelabourauthenticationcommissioninbaodicounty,tianjin.

iii.theemployeeisillorinjured(otherthanduetowork)andiswithintheperiodofmedicalleaveprovidedforbyapplicableprclawandregulationsandcompanypolicy;

iv.theemployeeiswomanwhoispregnant,onmaternityleave,ornursingababyunderoneyearofage;or

iii.theapplicableprclawsandregulationsotherwiseprohibittheterminationofthiscontract.

h.thecontractmaybedichargedbytheemployeebygivingnoticeinwrittenform30(thirty)daysinadvance.however,theemployeemayinformtheemployertodischargethecontractatrandomunderthefollowingoccasions:

i.theemployeeisstillintheprobationaryperiod;

ii.theemployerforcetheemployeetoworkbyviolence,duressorillegalrestrictiontophysical

freedom;

iii.theemployerdoesnotpaytheremunerationoftheemployeeaccordancewiththerelevantclauseinthecontract;

iv.theemployerviolatestherelevantregulationsofstateortianjinforitsterriblesafeandhealth

condition,whichisharmfultotheemployee’shealth.

i.thecontractcannotbeterminatedbytheemployeebeforetheexpirationifnotconformingto8.d,8.h,

j.theemployershallpaytheeconomiccompensationtotheemployerifthecontractisterminatedconformingto8.d,8.f,8.h.i-8.h.iv.additionalfeeformedicalallowanceshouldbepaidtotheemployeeifthecontractisterminatedconformingto8.f.i.

9.breachliabilities

a.duetoeitherparty’sfault,ifbreachingthecontract,thatpartyshallundertakethebreach

liabilityaccordingtotheextenttotheperformanceofthecontract;ifthepartiesbothbreachthecontract,theyshallundertakeitsseparateliabilityaccordingtotheconcretesituation.

b.duetoeitherparty’sfault,ifbreachingthecontracttodamagetheotherparty.thedamageshouldbecompensatedbythefaultypartyaccordancewiththerelevantlawsandregulationsofprc.

c.duetotheforcemajeure,causingthenon-performanceorthedamagestoeitherparty,theotherpartymaynotundertakethebreachliability;

c.theemployeewantstoresignandhasreceivedtrainingprovidedbytheemployer,theemployeeshallcompensateforthetrainingcost.themethodofcompensationshouldbefixedaccordingtotherelevantcompanyregulationsasfollows:

10.labordisputes

wherealabordisputebetweenthepartiestakesplaceduringtheperformanceofthiscontract,the

partiesconcernedmayseekforasettlementthroughconsultation;oreitherpartymayapplytothelabordisputemediationcommitteeoftheirunitformediation;ifthemediationfailsandoneofthepartiesrequestsforarbitration,thatpartymayapplytothelabordisputearbitrationcommitteeforarbitration.eitherpartymayalsodirectlyapplytothelabordisputearbitrationcommitteeforarbitrationwithin60daysstartingfromthedateoftheoccurrenceofalabordispute.ifoneofthepartiesisnotsatisfiedwiththeadjudicationofarbitration,thepartymaybringthecasetoapeople’scourtwithin15daysofthedateofreceivingtherulingofarbitration

11.theverificationofthiscontractshallbemadeinbaodilabourbureau,tianjinwithin30daysafterbeingsignedbytheparties.

三、工資salary

五、超時工作overtime

乙方應致力于提高工作效率,按時完成生產(chǎn)、工作任務。如因特殊情況需要加班,可自行安排。如乙方希望通過自行安排加班取得加班費,則乙方必須在加班前四小時填寫加班申請表呈總經(jīng)理審批。否則,視為無效加班,詳見《員工手冊》。

partybmusttryhisbesttoincreasetheworkingefficiencytomeetpartya'srequirement.iftherearespecialcircumstancesthatpartybhastoworkovertime,partybcanarrangebythemselves.ifpartybrequestsotpayment,he/shemustfillintheotapplicationformandhaveitapprovedbygm.otapplicationformwithoutauthorizedsignatureisnotvalid.

六、加班費otcompensation

乙方經(jīng)甲方批準在工作日加班,甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時間的補休,則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

七、假期與福利holiday&benefits

1.有薪國家法定假日statutoryholidayofprcchinawithpay

2.有薪婚假/產(chǎn)假/喪假leaveformarriage,maternityandmourningwithpay.

3.有薪年假annualleavewithpay

4.社會保險socialinsurance

5.年度獎金annualbonus(basedonthemonthsworkedwithpartyaattherateofonemonth‘swageforeachfullyearworked.)

八、勞動紀律discipline

乙方應嚴格遵守甲方制定的各項規(guī)章制度和勞動紀律(詳請請參照《員工手冊》執(zhí)行)

partybshallstrictlyobeypartya‘regulationsanddiscipline.pleaserefertopartya'semployeemanual.

九、保密協(xié)議confidentiality

乙方需嚴格保守工作過程中接觸和了解到的公司商業(yè)秘密(包括生產(chǎn)技巧、工藝流程、技術秘密、管理方法、產(chǎn)銷策略、貨源情報、設計圖紙、成本價格和客戶資料),否則將受到行政處罰(如無條件解雇、賠償?shù)?;觸犯刑法的,甲方將有權移交司法機關處理。乙方調離甲方,應得到甲方同意,并將所有商業(yè)秘密資料移交甲方,同時承擔不向外泄露的義務,并保證半年內(nèi)不得利用甲方商業(yè)秘密在生產(chǎn)同類且與甲方有競爭關系的產(chǎn)品的其他企業(yè)內(nèi)任職。否則,甲方有權要求乙方賠償因此而帶來的一切經(jīng)濟損失。

十、合同終止termination

1.終止本合同條件terminationconditions

a.試用期間,雙方皆可即時通知對方解除本合同;

duringtheprobationperiod,eithersidecanterminatethecontractbyimmediateeffect.

b.試用期滿后,任何一方欲解除合同,須提前三十日以書面形式通知對方。否則,違約方須向守約方支付違約金(違約金為乙方一個月的工資),若造成守約方經(jīng)濟損失的,應依法承擔賠償責任。

c.ifthedelayordefaultofsalarytakesplace,theemployershallpaytheeconomiccompensationexceptthesalaryitselfinaccordancewiththerelevantlawsandregulations.

4.workinghours&rest&vocation

a.thenormalworkinghoursoftheemployeeshallbeeighthourseachday,excludingmealsandrestforanaverageoffivedaysperweek,foranaverageoffortyhoursperweek.

b.theemployeeisentitledtoalllegalholidaysandotherpaidleavesofabsenceinaccordancewiththelawsandregulationsoftheprcandthecompany’sworkrules.

c.theemployermayextendworkinghoursduetotherequirementsofitsproductionorbusinessafterconsultationwiththetradeunionandtheemployee,buttheextendedworkinghourforadayshallgenerallynotexceedonehour;ifsuchextensioniscalledforduetospecialreasons,the

extendedhoursshallnotexceedthreehoursaday.however,thetotalextensioninamonthshallnotexceedthirty-sixhours.

5.socialsecurity&welfare

a.theemployerwillpayforallmandatorysocialsecurityprogramssuchpensioninsurance,unemploymentinsurance,medicalinsuranceoftheemployeeaccordingtotherelevantgovernmentandcityregulations.

b.duringtheperiodofthecontract,theemployee’swelfareshallbeimplementedaccordancewiththelawsandrelevantregulationsofp.r.c.

6.workingprotection&workingconditions

a.theemployershouldprovidetheemployeewithoccupationalsafetyandhealthconditionsconformingtotheprovisionsofthestateandnecessaryarticlesoflaborprotectiontoguaranteethesafetyandhealthduringtheworkingprocess.

b.theemployershouldprovidetheemployeewithsafetyeducationandtechniquetraining;theemployeetobeengagedinspecializedoperationsshouldreceivespecializedtrainingandacquirequalificationsforsuchspecialoperations.

c.theemployeeshouldstrictlyabidebytherulesofsafeoperationintheprocessoftheirwork.

7.labourdiscipline

a.theemployermaydraftbylawsandlabourdisciplinesofthecompany,accordingtowhich,the

employershallhavetherighttogiverewardsortakedisciplinaryactionstotheemployee;

b.theemployeeshallcomplywiththemanagementdirectionsoftheemployerandobeythebylawsandlabourdisciplinesoftheemployer.

c.theemployeeshallundertaketheobligationtokeepandnottodisclosethetradesecretforthe

employerduringtheperiodofthiscontract;thisobligationofconfidentialityshallsurvivethe

terminationofthiscontractforaperiodoftwo(2)years.

8.termination,modification,renewanddischargeofthecontract

a.therelevantclausesofthecontractmaybemodifiedbytheparties:

i.thespecificclauseisrequiredtobemodifiedbythepartiesthrough

consultation;

ii.duetotheforcemajeure,thecontractcannotbeexecuted;

iii.therelevantlawsandregulationshavebeenmodifiedorabolishedbythetimeofsigningthe

contract.

b.thecontractmaybeautomaticallyterminated:

i)thiscontractisnotrenewedattheexpirationofthiscontract;

ii)theemployerislegallyannouncedtobebankruptcy,dismissed,orcanceled;

iii)thedeathoftheemployeeoccurs;

iv)theforcemajeuretakesplace;

v)theconditionsofterminationagreedinthecontractbythepartiesarise.

c.thecontractmayberenewedattheexpirationthroughconsultationbythepartieswiththefulfillmentoftheprocedurewithin15daystotheexpiration;

d.thecontractmaybedischargedthroughconsultationbytheparties;

e.thecontractmaybedischargedbytheemployerwithimmediateeffectandtheemployeewillnotbecompensated:

i.theemployeedoesnotmeetthejobrequirementsduringtheprobationaryperiod;

ii.theemployeeseriouslyviolatesdisciplinesorbylawsoftheemployer;

iii.theemployeeseriouslyneglectshisduty,engagesinmalpracticeforselfishendsandbrings

significantlosstotheemployer;

iv.theemployeeisbeingpunishedbyphysicallabourforitsmisfeasance

v.theemployeeisbeingchargedwithcriminaloffences:

f.thecontractmaybeterminatedbytheemployerbygivingnoticeinwrittenform30(thirty)daysinadvance:

i.theemployeefailsillorisinjuredto(otherthanduetowork)andaftercompletionofmedical

treatment,isnotabletoperformhispreviousfunctionoranyotherfunctiontheemployerassignstohim;

ii.theemployeedoesnotshowsatisfactoryperformanceandaftertrainingandadjustingmeasuresisstil
