英文合同中英文英文合同中英文ContractThiscontract(the“Contract”)isenteredintobyandbetween___________[PartyA]and___________[PartyB](hereinaftercollectivelyreferredtoasthe“Parties”).DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:“PartyA”means___________.“PartyB”means___________.“EffectiveDate”meansthedateonwhichthisContractissignedbybothParties.“Term”meanstheperiodbeginningontheEffectiveDateandendingon___________.“ConfidentialInformation”meansallinformationdisclosedbyonePartytotheotherPartythatismarkedorotherwisedesignatedasconfidentialorproprietaryorthatthereceivingPartyshouldreasonablyunderstandtobeconfidentialorproprietaryunderthecircumstancesofitsdisclosure.“IntellectualPropertyRights”meansallindustrialandintellectualpropertyrights,includingpatents,copyrights,trademarks,tradesecrets,moralrights,andotherproprietaryrights.“Law”meansallapplicablelaws,regulations,andrulesexistingandenforceableinChina.ServicesandPaymentPartyBwillprovide___________services(the“Services”)toPartyAfor___________(the“Fee”).PaymentoftheFeewillbemadebyPartyAtoPartyBwithin___________ofeachinvoice.TermandTerminationThisContractshallbeginontheEffectiveDateandshallcontinueuntiltheendoftheTerm,unlessearlierterminatedaspermittedbythisContract.EitherPartymayterminatethisContractbygiving___________days’writtennoticetotheotherParty.ConfidentialityEachPartyagreestokeeptheotherParty’sConfidentialInformationconfidentialandnottodiscloseorusesuchConfidentialInformationforanypurposeotherthanasexpresslyallowedunderthisContract.IntellectualPropertyPartyBretainsallIntellectualPropertyRightsinanymaterials,documents,orotherworksdevelopedorprovidedbyitoronitsbehalfinconnectionwiththeServices.PartyAacknowledgesthatithasnotbeengrantedanylicenseorrighttouseanyIntellectualPropertyRightsownedbyPartyBexcepttotheextentexpresslystatedinthisContract.IndemnificationandLimitationofLiabilityPartyBagreestoindemnify,defend,andholdharmlessPartyA,itsaffiliates,andtheirrespectivedirectors,officers,employees,andagentsfromanyandallclaims,demands,suits,actions,orproceedingsbroughtbyathirdpartyarisingoutoforrelatingtoanybreachbyPartyBofthisContractoranynegligentactoromissionofPartyB.PartyAagreesthatinnoeventshallPartyBoritsaffiliatesbeliabletoPartyAoranythirdpartyforanyspecial,incidental,consequential,punitive,orindirectdamagesarisingoutoforinconnectionwiththisContract.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofChina.AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlyconsultationbetweentheParties.Intheeventthatadisputecannotberesolvedthroughconsultation,thePartiesagreetosubmitthedisputetoarbitrationinaccordancewiththeRulesoftheChinaInternationalEconomicandTradeArbitrationCommission.MiscellaneousThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriornegotiations,understandings,andagreements,whetherwrittenororal,relatingtothesubjectmatterofthisContract.ThisContractmaynotbeamendedormodifiedexceptinwritingsignedbybothParties.ThisContractshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectivesuccessorsandassigns.ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginalandallofwhichtogethershallconstituteoneandthesameinstrument.AnynoticerequiredorpermittedbythisContractshallbegiveninwritingandshallbedeemedeffectivewhendeliveredinpersonorsentbyregi
