醫(yī)療器械最完善的外貿(mào)代理商合同模板DistributionAgreementTemplateAgreementNo.:AgreementNo.DISTRIBUTIONAGREEMENTThisAgreementismadebyandbetweenShenzhenMindray’sBio-MedicalElectronicsCo.,Ltd.(“theSupplier”)and[DistributorName](“theDistributor”)underwhichtheSupplierwillappointtheDistributorasthenon-exclusivedistributorforsale,marketingoftheProductsdescribedbelowduringthetermoftheAgreementsubjecttothetermsandconditionssetforthasfollows:1.GENERALPROVISIONSThetermsandconditionsstatedhereinandallstatementsshownontheconfirmedproformainvoice(…PI?)hereof,containsthefinalandentireagreementbetweentheSupplierandtheDistributorconcerningthepurchaseoftheProductsandnounderstandings,representations,agreements,modifications,waivers,alterationsoradditionspreviouslyorhereaftermadebytheSupplierandtheDistributorshallbeeffectiveunlessinwritinganddulysignedbytheSupplierandtheDistributor.2.PURCHASEOFPRODUCTSTheSupplieragreestosellandtheDistributoragreestopurchaseanddistributetheproducts(“theProducts”)non-exclusivelywithin[Territory]intheminimumquantityand/oramountasdescribedbelow(“MinimumCommitment”)duringtheInitialPeriod(definedhereinafter)ofthisAgreement.ItemNo.ModelDescriptionoftheproductsQuantityUnitPrice*(USD)SubtotalTotal:Theabove-mentionedpriceisonlyforthemainunitsoftheProducts,otherpricesincludingbutnotlimitedto,demoprice,sparepartspriceanddiscountsforunits,options,andaccessoriesaresubjecttothepricelistnewlyrenderedbytheSupplierfromtimetotime.ThepurchasepricesoftheProductsshallbeseparatelyagreedandstatedintheconfirmedProformaInvoicebytwoParties.TheDistributorwillplaceapurchaseorderinwritingforanyProductsitdesirestopurchasefromtheSupplierbasedonthisAgreement,andthentheSupplierwillissueaPIuponreceiptofthepurchaseordersignandsubmittotheDistributorforitsconfirmationeitherbysigningbacksaidPIwithintheperiodofvalidityofthePIordirectlymakethepaymentfortheProductsaccordingtosaidPItotheSupplier.TheconfirmedPI,infax,scannedororiginalcopy,shallberegardedasanindividualcontractwithlegallybindingeffect.ThetermsandconditionsundertheAgreementhereinareautomaticallydeemedtobeincorporatedintoallindividualcontractstobeconcludedbetweentheSupplierandtheDistributor,unlessdifferingagreementshavebeenmadeinwritinginsuchindividualcontracts3.PRICESANDPAYMENTThepricesoftheProductsarebasedon“EXWorkstheSupplier?sShenzhenfacility”(INCOTERMS2000)andtotalamountfortheProductsshallbepaidbytheDistributortotheSupplierviaTelegraphicTransferorconfirmedirrevocabledocumentaryLetterofCredit(L/C)payableatsightiftheordervalueishigherthanacertainamountasagreedbybothpartiesbeforetheshipmentdateunlessotherwiseagreeduponbythepartiesinwriting.ThepricesdonotincludeanyVATandsalestaxesand/oranyotherdutiesortaxesleviedontheProductsorrequiredtobepaidtoenableProductstobeexportedandimported.Thepricemaybeadjusteduponthirty(30)dayspriorwrittennoticebytheSupplier.4.DELIVERYUnlessotherwiseagreedinwriting,deliverywillbearrangedbytheSuppliernotlaterthanthirty(30)workingdaysfromthedateofreceiptofthepaymentorthedeliverydateoftheoriginalL/C.IncasethedeliveryoftheProductsismadebytheDistributor?sappointedforwarderorcarrier,theDistributorundertakesthattheyshallgothroughthecustomsformalitiesstrictlyaccordingtotherequirementsofChinaCustomsnotlaterthan60daysafterreceivingtheconsignmentandrelatedcustomsdocumentsfromMindrayandshallindemnifyandholdMindrayharmlessforandagainstanyandallliabilities,losses,damagesandpenaltiesarisingoutoforresultingfromanyfraudulence,misrepresentation,negligence,nonperformance,willfulaction,oranyotherbreachofanyobligationorcommitmenttoChinaCustombytheDistributororitsappointedforwarderorcarrier.5.SALESTERRITORYTheDistributorshalldistribute,reselltheProductsonlywithinTerritoryandshallnotactivelysolicitordersfromcustomersdomiciledoutsidetheTerritory,orsellordeliveranyProductstoanycustomerwhichisnotdomiciledintheTerritory.IftheDistributorisprovedtosellordelivertheProductsoutsideofTerritorywithouttheSupplier?swrittenconsent,theSuppliermayrequiretheDistributortopaytheSupplier,asliquidateddamagesandasitsremedyfortheviolation,theamountofnotlessthan50%ofthesalesvalueoftheProductssoldoutsidetheTerritory.6.RISKOFLOSSRegardlessoftradetermsshownintheconfirmedPI,titleandriskoflosstotheProductsshalltransferfromtheSuppliertotheDistributoratthemomentoftransferoftheProductstothefirstforwardingcarrierattheSupplier?smanufacturingfacilityinShenzhen,P.R.China.7.WARRANTYANDSERVICEThemainunitsoftheProductswillbe,undernormalandproperuseandcare,freefromalldefectsordeficiencyindesign,material,andworkmanshipforaperiodrespectivelystatedintheSupplier?slatestliteraturedescribingthesaidProductsexceptotherwiseagreedinwrittenbybothparties..ThedetailedwarrantyandservicepolicywillbeexplicitlystatedintheliteratureoftheProductsprovidedbytheSupplier.ExceptfortheexpresswarrantieshereinandinSupplier?sliteraturedescribing,theSuppliergrantsnowarranties,eitherexpressorimplied,ontheproducts.RepairofProductsistobeperformedonlybytheSupplierorTheDistributor.Anyunauthorizedrepairworkmay,attheSupplier?soption,voidthewarranty.ReturnofdefectiveProductsorpartsforin-warrantyorout-of-warrantyrepairorreplacementshallfollowprocedureinstructionsoftheSupplier.TheDistributorshall,atitsowncost,holdadequatestockofsparepartsanduseitsbesteffortstoservicetheProductsadequatelyandshallberesponsibleforthesale,training,aftersalesserviceandmaintenancefortheProducts,withinandafterthewarrantyperiodsoldinitsterritory.TheDistributorshallberesponsibleforthesale,installation,training,aftersalesserviceandmaintenancefortheProductssoldbyit,withinandafterthewarrantyperiod.Anyserviceengineerand/orclinicalrepresentativeoftheDistributorwithresponsibilityforinstallation,training,service,maintenance,repairingand/ortestingoftheProductsshallmeetthefollowingstandards:(a)AchievingeducationalandvocationaldiplomasintherelevantdisciplinethatmeetminimumstandardsintheTerritory;(b)QualifiedbyManufacturer?strainingoftheSupplierontheProductsinstalledintheTerritory.TheDistributorshallnotuseanyunqualifiedpersonneltoservicetheProducts.8.REGULATORYCOMPLIANCETheDistributorshallcomplyatalltimeswithallapplicablelaws,statuesandregulationsgoverningtheperformanceofitsobligationshereunderandshallberesponsibleforsecuringanygovernmentalorregulatoryapprovalsnecessaryfortheimport,salesanduseoftheProductsinitsterritoryandproviderelevantproofsasrequestedbytheSupplier.TheDistributorisobligatedtokeeprecordswithrespecttotheProductsundertheappropriategovernmentregulations.IntheeventthattheDistributorbecomesawareofanyeventinvolvingtheProductswhichisrequiredtobereportedunderthesegovernmentregulations,itshallusecommerciallyreasonableeffortstogivenoticeofsucheventtotheSupplierwithintwenty-four(24)hours.TheDistributorshallundertaketheresponsibilitytoperformsafetytestswhenrepairorserviceisperformedbytheDistributororanyonedesignatedbytheDistributor.TheDistributorshallprovideannualcalibrationoftheProductsfortheenduser.TheDistributorshallpromptlyreporttotheSupplierallcomplaints(including,butnotlimitedto,warrantyclaims)receivedbytheDistributorwithregardtotheProductsandsparepartsthereofwithin24hoursofreceiptbytheDistributor.TheDistributorwilluseitsbesteffortstopromptly,courteouslyandequitablyrespondto,adjustandsettle(withoutincurringanyobligationorliabilityonbehalfoftheSupplier)allcomplaintsreceivedbytheDistributorinconnectionwiththeDistributor'spromotion,marketingorsaleofanyProductorsparepartsthereof.Inhandlinganycomplaints,theDistributorwilluseitsbesteffortstomaintainandpromotegoodpublicrelationsfortheSupplier.UpontheSupplier'srequest,theDistributorshallremoveanypersonnelthattheSupplierdeterminestobeincompetent,carelessorotherwiseobjectionable.TheDistributorshallbeatthepointofcontactforEndUsersandassistorcooperationwiththeSupplierineffectinganyrecall,updateoftheProductsorfieldcorrectiveactionwhich,intheSupplier'sopinion,isnecessary.Inparticular,theDistributorshallcomplywithprotocolsandtimeframesestablishedbytheSupplierforsuchrecall,updateorcorrectiveactions.TheDistributorshallundertaketheresponsibilityforthetraceabilityofdeliveredProductsinitsterritory.TheDistributorshallkeepinstallation,repair,updateandmaintenancerecords,foreachitem,ofthenameandaddressesoftheendusers.TheserecordsshallbedeliveredtotheSupplier,inatimelymanner,uponrequestbytheSupplierorcompetentauthorities,and/oruponterminationoftheAgreement.TheDistributorshallberesponsible,atitsownexpense,forthecollection,treatment,recoveryandenvironmentallysounddisposalofwasteProductsfromendusersinaccordancewiththeregulationsofDirective2002/96/EConWasteElectricalandElectronicEquipment(W.E.E.E.).9.REAGENTSPOLICYTheDistributorshallstoreanddisplayIn-vitrodiagnosticreagentsinaccordancewithexplicitinstructionsasdirectedininstrumentoperationmanual.Ifanysuchreagentsinshelf-lifehavebeenprovenunqualifiedandconfirmedbyMindrayinwritten,theDistributorisobligatedtodestroyallsuchunqualifiedreagentsimmediatelyaccordingtotheapplicablelaws,statuesorregulationsatitsownexpensesuponreceiptofthewritteninstructionbyMindray.TheDistributorshallkeeptherelevantrecordsorproofforsuchdestructionforaperiodofatleasttwoyears.SuchrecordsorproofshallbeimmediatelysubmittedtoMindrayuponrequest.Mindrayshallre-deliverthenewandgoodqualityreagentsatthesamequantitytotheDistributorforreplenishmentoftheorderhereof,providedthatMindrayhasbeenconfirmedtoberesponsibleforsuchunqualifiedreagents.IncasetheDistributorfailstofulfilltheobligationunderthisprovisionand/ormakesboldtosell,useordisposebyanyothermeanslikethis,suchunqualifiedreagents,theDistributorshallbesolelyresponsibleforanyconsequencethereofandshalldefend,indemnifyandholdMindrayharmlessfromanyandalldamagesand/orlossesmayariseoutoforinconnectionwithanybreachofsuchobligationunderthisprovisionbytheDistributor10.INTELLECTUALPROPERTYAllintellectualpropertyrightsassociatedwiththeSupplierortheProductsremainthepropertyoftheSupplier.Further,anygoodwillassociatedwiththeSupplier?sintellectualpropertyrightswillaccruetothesolebenefitoftheSupplier.AtnotimeduringshalltheDistributorchallengeorassistothersinchallengingtheSupplier?sintellectualproperty.TheDistributorshallnotadoptorseektoregisteranyintellectualproperty,includingwithoutlimitation,trademark,tradename,servicemark,domainname,patent,copyright,etc.withanyagencyoradministrativebodyanywhereintheworldwhichisconfusingsimilartotheSupplier?sintellectualpropertyortheirtranslationthereof,inanyjurisdiction.11.STOPPRODUCTION.IntheeventthatMindrayintendstodiscontinuemanufactureofanymodeloftheProducts,theSuppliershallprovideawrittennoticewiththeDistributoratleastthirty(30)dayspriortotheintendeddiscontinuation.Insuchanevent,theDistributorshallhavetherighttoplacea“finalbuy”orderofthesaidProducttomeetitsobligationtoitscustomers,andtheSupplierwilldoitsbesteffortstosatisfysuch“finalbuy”orderinaccordancetherewith.12.TERMINATIONUnlesseitherofthePartieselectstoterminatethisAgreementbygivingtotheotherpartyatleastthirty(30)dayswrittennoticepriorthereto,thisAgreementcommencesonthesigningdatebybothpartiesandremainsinfullforceandeffectuntil31stDecember,2010(“InitialPeriod”)andshallbeautomaticallyrenewedforsuccessiveoneyearperiod(“RenewalPeriod”)subjecttonewyearlyMinimumCommitmenttobesetthroughfurthernegotiationandwrittensupplementaryagreementsignedbydulyauthorizedrepresentativeofbothPartiespriortotwo(2)monthstheendofeachyearperiodofthisAgreement.SuchwrittensupplementaryagreementistheintegralpartofthisAgreement.IfthesaidnegotiationdoesnotresultinamutualunderstandingandagreementthenthisAgreementshallterminatewithoutanyfurtherwrittennotice.UpontheterminationofthisAgreement,bothParitieshavetheobligationtoexecuteanyoutstandingclaimsandliabilitiesandtheDistributorshallbeobligatedtoprovidetheSupplierwithallrecordslistofinstallation,repair,updateandmaintenanceforallProductsinstalledbytheDistributorinitsterritoryandthenameandaddressoftheenderuserthereofupontherequestoftheSupplier.13.FORCEMAJEURE.NeitherpartyshallberesponsibleorliabletotheotherhereunderforanycircumstancesbeyondthereasonablecontrolofthePartiestothisAgreement,oreitherofthem,arisingoutoforcausedbytherequisitionbyanygovernmentauthority,oranyothergovernmentalorderorregulation,wars,strikes,lockouts,riots,epidemic,disease,actofGod,civilcommotion,fire,earthquake,stormorfailureofpublicutilitiesorcommoncarriers.14.APPLICABLELAWThisAgreementshallbeconstrued,andtherespectiverightsanddutiesofthePartiesheretoaretobedetermined,accordingtothelawsofthePeople?sRepublicofChina,withoutregardtoitsconflictoflawprinciples15.DISPUTERESOLUTIONThepartiesagreetousetheirbestreasonableeffortstoresolve
