鑒于甲方具備經(jīng)營某類商品（具體商品名稱）的資質(zhì)和條件，并有意委托乙方代為開展經(jīng)營活動，為確保雙方的合法權(quán)益，根據(jù)《中華人民共和國合同法》及相關(guān)法律法規(guī)，雙方協(xié)商一致，達(dá)成如下合同：

第一條合同目的

甲方委托乙方負(fù)責(zé)經(jīng)營某類商品（具體商品名稱），以取得預(yù)期的經(jīng)濟(jì)效益。

第二條委托內(nèi)容

1.甲方授權(quán)乙方負(fù)責(zé)生產(chǎn)、銷售、推廣、物流及售后服務(wù)等相關(guān)工作；

2.乙方應(yīng)積極推進(jìn)委托業(yè)務(wù)的拓展，并努力提升市場份額和銷售量；

3.乙方應(yīng)確保商品質(zhì)量，履行售后服務(wù)義務(wù)，保證客戶的合法權(quán)益。

第三條權(quán)利與義務(wù)

1.甲方有權(quán)監(jiān)督乙方的經(jīng)營活動，包括但不限于檢查銷售情況、核對財(cái)務(wù)報(bào)表等；

2.乙方應(yīng)按照甲方的要求準(zhǔn)確、及時地提供相關(guān)業(yè)務(wù)信息、報(bào)表及財(cái)務(wù)數(shù)據(jù)；

3.雙方應(yīng)保持良好的溝通合作，共同制定市場推廣策略，并相互協(xié)助完成委托工作；

4.雙方應(yīng)互相保守商業(yè)秘密并承擔(dān)相應(yīng)的保密義務(wù)。

第四條傭金與費(fèi)用

1.乙方獲得的收益以提成的形式計(jì)算，提成比例為（具體提成比例）；

2.甲方需支付乙方合理的推廣費(fèi)用和運(yùn)營成本。

第五條保證金

1.甲方應(yīng)在合同簽訂后三日內(nèi)支付給乙方作為履約保證的金額，具體金額為（具體金額），并存放于指定銀行賬戶；

2.在合同終止后，甲方如無違約行為，保證金將在五個工作日內(nèi)返還，但乙方有權(quán)從保證金中扣除甲方的欠款和違約金。

第六條違約責(zé)任

1.若甲方未按照約定向乙方支付傭金、推廣費(fèi)用和運(yùn)營成本，乙方有權(quán)要求支付違約金，違約金金額為未支付金額的30%；

2.若乙方未按照約定履行經(jīng)營義務(wù)，甲方有權(quán)解除合同，并要求乙方支付違約金，違約金金額為已獲得傭金的30%；

3.任一方違反合同內(nèi)容，均應(yīng)賠償對方因此遭受的經(jīng)濟(jì)損失。

第七條合同的解除與終止

1.合同有效期為（具體有效期），自合同簽訂之日起生效；

2.若雙方一致同意，可提前解除合同；

3.若一方發(fā)生違約行為，對方有權(quán)解除合同，并要求賠償相應(yīng)損失。

第八條爭議解決

第九條其他約定

1.雙方所發(fā)生的爭議應(yīng)友好協(xié)商解決，協(xié)商不成的，應(yīng)提交相關(guān)法院解決；

2.本合同一經(jīng)簽署并加蓋法人印章即生效，未盡事宜，雙方可另行協(xié)商確定。
