買受方〔乙方〕居間方〔丙方〕上海德佑房地產(chǎn)經(jīng)紀seller(theFirstParty) Buyer(theSecondParty)thebrokerageparty(theThirdPart):ShanghaiDooiooRealEstateCompany,Ltd.一、乙方為表示對丙方居間供給的房地產(chǎn)之購置誠意,向丙方支付意向金計人民幣 元整。假設(shè)甲方承受本協(xié)議的商定,并簽訂本協(xié)議,則丙方馬上將乙方支付的意向金人民幣 元轉(zhuǎn)交甲方,由此構(gòu)成乙方交付給甲方的首期定金。一、PaymentTerm:SecondPartyisrequestedtopayintentiondepositRMB _toThirdParty,whenheintendstopurchasetherealestateintroducedbyThirdPartyasthebrokerageparty.IfFirstPartyconcedeswithallthetermsandconditionssetforthinthiscontract,anddoessignsthecontract,ThirdPartyshouldimmediatelypassthedesignatedintentiondeposit paidbySecondPartyontoFirstParty,whichconstitutesthefirstdownpaymentfromSecondPartytoFirstParty.二、買賣房地產(chǎn)的根本狀況〔證明或相關(guān)法律文書的記載內(nèi)容為準,且三方同意不再另行簽訂補充協(xié)議予以變更和確認〕PropertyBasicinformationTerm:(Underthecircumstancesthatpropertyinformationdescribedinthiscontractdoesnotconformtotheactualstatusorisnotadequateenough,allpartiesshouldrefertotherecordationcontentsintheOwnershipCertificateorotherrelevantlegaldocumentsofthisrealestate,asthebenchmark;andallthreepartiesconcedetothefactthatnomoresupplementarycontractsofamendmentsoragreementswouldbesignedforthisbasicinformationdescriptionterm.)2.1 號;CertificateofRealEstate/HouseOwnership(No.):滬房〔地〕字〔 〕第 號;是否已設(shè)立抵押:Whetherornotmortgaged:是否已設(shè)立租賃:2.7 Whetherornotsetwithlease:三、買賣條件:三、TradingTerms:3.1甲乙雙方共同商定該房地產(chǎn)買賣成交總房價款為人民幣 元〔大寫人民幣 元整。SecondandThirdPartiescommonlyagreethatthetotaldealpriceoftherealestateis :RMBAmountinWordsThreemillionSixhundredthousan。定金、房價款的支付方式:PaymentmethodTerms:A待甲、乙雙方簽訂《上海市房地產(chǎn)買賣合同〔買賣合同〕或類似合同并申請辦理買賣合同公證手續(xù)〔假設(shè)需后 日內(nèi)乙方應(yīng)以現(xiàn)金或轉(zhuǎn)帳的方式支付給甲方局部首期房價款計人民幣 元整。并將定金計人民幣 元整轉(zhuǎn)為首期房價款如此共同構(gòu)成乙方支付給甲方的首期房價款計人民幣 元整〔大寫人民幣 元整〕A Within daysafterbuyerandsellersignthe<ShanghaiRealEstatePurchaseandsalesContract>(buyandsellcontract)orothercontractsofthesamesorts,andmakethedesignatedcontract publically notarized (if necessary), Second Party is requested to settle down-paymenttoFirstPartyasRMB_ bycashoraccounttransfer.AndthepreviousintentiondepositofRMB _willbetakenaspartofthedown-payment.Thuscommonlyconstitutetotalactualdown-paymentRMB (AmountinWords,say_ ),madebySecondPartytoFirstParty.B甲方同意乙方通過向貸款銀行申請人民幣 元整貸款的形式支付其次期房價款乙方應(yīng)于簽訂買賣合同后七日內(nèi)向該貸款銀行申請貸款,簽訂借款抵押合同等一切相關(guān)協(xié)議,辦理一切相關(guān)手續(xù),并支付一切相關(guān)費用并申請辦理借款抵押合同公證手續(xù)〔假設(shè)需。BFirstPartyconcedeswiththefactthatSecondPartywillpayforsecondinstallmentRMB_bymortgageloanappliedfromlendingbank.SecondParty(ifnecessary)shouldaccordinglyfinishloanapplicationprocedurefromthelendingbankwithinsevendaysaftersigningthiscontract,includingapplyingfortheloan,signingmortgageloancontractandotherrelativeagreements,dealingwithallrelevantaffaires,settlingallrelativepayments,andapplying/conductingthenotarizationforthemortgageloancontract(ifnecessary).C乙方其次期房價款的支付方式為:〔假設(shè)有〔假設(shè)有〕后個工作日內(nèi),甲、乙雙方親自或托付丙方赴上海市區(qū)房地產(chǎn)交易中心申請辦理產(chǎn)權(quán)過戶及抵押登記手續(xù)〔送件,并由丙方收執(zhí)收件收據(jù)。待上海市 區(qū)房地產(chǎn)交易中心出具以乙方為全部權(quán)人的房地產(chǎn)證和以貸款銀行為抵押權(quán)人的他項權(quán)證,由丙方將該他項權(quán)證送交貸款銀行,貸款銀行放貸當(dāng)日,乙方應(yīng)支付給甲方其次期房價款,該期房價款由貸款銀行代為乙方支付。PaymentmethodofsecondinstallmentbySecondParty:Within_ daysafterthemortgageloanapplicationofSecondPartyisapprovedbythelendingbank,thenotarydeedsof1)buyandsalescontract(ifany),2)mortgageloancontract(ifany)havebeenissuedbynotarypublicoffice,andFirstPartynominalmortgageregistrationhasbeenlogout,FirstPartyandSecondPartywillgotoShanghaiXuHuidistrictrealestatetradingcenterinpersonorentrustThirdPartyasconsignee,applyanddealwithpropertyownershiptransferringandmortgageregistrationprocedure (bydelivery),withdocumentdeliveryreceiptkeptupbytheirparty.WhenShanghai_ _DistrictRealEstateTradingCenterissuestheCertificateofRealEstateCopyofSecondPartyaspropertyownerandtheCertificateofotherrightsoflendingbankaspropertyowner,theThirdPartywillberesponsibleforprovidingtheCertificateofotherrightstothelendingbank.Atthesamedayofloanrelease,SecondPartyshouldsettlethesecondinstallmenttoFirstParty,whichisactuallypaidbythelendingbankonbehalfofSecondParty.D待貸款銀行將上述其次期房價款支付至指定帳戶后 日內(nèi)甲、乙雙方應(yīng)對該房地產(chǎn)進展驗看清點,確認無誤后,甲方應(yīng)將該房地產(chǎn)交付乙方。轉(zhuǎn)移占有前的全部費用〔水、電、煤氣、、有線電視、物業(yè)治理、電梯、清潔等費用〕由甲方負責(zé),轉(zhuǎn)移占有后的全部費用〔水、電、煤氣、、有線電視、物業(yè)治理、電梯、清潔等費用〕由乙方負責(zé),同時乙方應(yīng)以現(xiàn)金或轉(zhuǎn)帳方式支付給甲方房價尾款〔假設(shè)有〕計人民幣 元整。 Within_ estatetoSecondParty.Allrelativebills(water,electricity,gas,telephone,cableTV,estatemanagement,elevator,cleaningetc.)beforetheownershipturn-overshouldbetakenchargebyFirstParty,whilebillsafterturn-overshouldbetakenchargebySecondParty.ThirdPartyshouldberesponsibleforsettlefinalpaymentofthehousepricetoFirstPartyasRMB_ _byeithercashoraccounttransfer.其他:3.3Otherterms:A甲方已經(jīng)支付給該房地產(chǎn)進展商或物業(yè)治理公司或其他相關(guān)部門的修理基金〔假設(shè)有、治理費押金〔假設(shè)有、初裝費〔假設(shè)有、煤氣初裝費〔假設(shè)有、有線電視申請費〔假設(shè)有、 等已包含在房價款內(nèi),不再另行結(jié)算,但以上各項的更名費用由乙方擔(dān)當(dāng)。BillswhichFirstPartyhaspaidtothepropertydevelopersorrealestatemanagementcompanyoranyotherrelevantdepartments,includingmaintenancefund(ifthereis),managementexpensedeposit(ifthereis),installationfeesfortelephone(ifthereis),installationfeesforgasservice(ifthereis),applicationfeesforcableTV(ifthereis),and etc.areallincludedinthetotalrealestatepriceandwillnotundergoextrasettlement.ButtherenamefeeofallthecaptionedchargesisduetobepaidbySecondParty. 該房地產(chǎn)內(nèi)的附屬設(shè)施、設(shè)備及室內(nèi)裝飾的價格均已包含在房價款內(nèi),并隨該房地產(chǎn)交付同時一并轉(zhuǎn)讓乙方。Theownershipofallancillaryequipments,installationsandinteriordecorationsoftherealestatearetransferredtotheSecondPartyduringturn-overmoment,chargesofwhichareallincludedinthetotalrealestateprice.C甲方應(yīng)自該房地產(chǎn)權(quán)利轉(zhuǎn)移〔送件取得收件收據(jù)〕之日起的20日內(nèi),向房屋所在地的公安派出所機構(gòu)辦理原有戶口〔假設(shè)有〕的遷出手續(xù),假設(shè)在前述期限內(nèi),原有戶口〔假設(shè)有〕未能遷出的,則每逾期一日,甲方應(yīng)當(dāng)依據(jù)該房地產(chǎn)轉(zhuǎn)讓價款的萬分之五向乙方支付賠償金,直至原有戶口〔假設(shè)有〕遷出時止。FirstPartyisresponsiblefordoingtheoriginalresidentialregistration(ifthereis)transferenceprocedureattherealestatesubordinatedpoliceoffice,within20daysafterthepropertyownershipturn-overmoment(thetimeofreceivingthereceiptofdocumentdelivery).Ifthetransferenceprocedureisnotaccomplishedwithintheaforementionedtimeperiod,foreverydayoverdue,FirstPartywillbechargedcompensationtoSecondPartyby0.5‰oftotalrealestatevalue,tillthedaywhenoriginalresidentialtransferenceisaccomplished.D〔買賣合同如需公證,公證費用由引發(fā)公證的緣由方擔(dān)當(dāng),借款抵押合同如需公證,公證費用由乙方擔(dān)當(dāng)。DBothfirstandsecondpartiesshouldberesponsibleforpayingthetaxandchargesgeneratedbythistransactionbasedontherelativelawsandregulations.(Ifthebuyandsalescontractisrequestedtobenotarized,thenotaryfeeisduetobepaidbythenotarycausalparty.Ifthemortgageloancontractisrequestedtobenotarized,notaryfeeisduetobepaidbySecondParty.)E如3.2款B項所述乙方的貸款申請未經(jīng)貸款銀行審核通過或者審核通過的額度缺乏申請額度,則乙方應(yīng)于3.2款C項所述送件當(dāng)日將其補足并以現(xiàn)金或轉(zhuǎn)帳方式支付給甲方。 IfmortgageloanappliedbySecondPartyisnotapprovedbylendingbankorapprovedcreditislessthanappliedamount,atthedayofdocumentdelivery,statedin3.2(D),SecondPartyshouldmakethedeficitupbypayingtoFirstPartyincashoraccounttransfer.F在本交易履行過程中,甲方應(yīng)自行出具或托付稅務(wù)機關(guān)出具全額房價款發(fā)票給乙方,并由甲方擔(dān)當(dāng)因此而涉及的費用。Duringtheexecutionprocedureofthistransaction,FirstPartyisresponsibleforvoluntarilyorbyentrustingtaxauthorityissuingtheinvoiceoftotalrealestatepricetoSecondParty.FirstPartyshouldtakechargeofallchargeshenceinvolved.四、丙方應(yīng)在收到意向金后個工作日內(nèi)告知乙方業(yè)務(wù)處理狀況。四ThirdPartyshouldinformthedealingprogresstoSecondPartywithin_ _daysafterreceivingintentionpaymentfromSecondParty.4.1 在此期間內(nèi),乙方不得解除對丙方的托付,亦不得向丙方主見收回意向金。Withinthisperiod,neithercouldSecondPartywithdrawhisentrusttoThirdParty,norcouldherequesttoregainintentionpaymentfromThirdParty.Otherwise,SecondPartyshouldbechargedwithpenaltytoThirdPartyby2%oftotalrealestatepricestatedinterm3.1ofthisagreement.在此期間后,息返還乙方。4.2Withinthisperiod,ifFirstPartyrefusetoacceptanyofthebuyandsalesclausesintheTerm3ofthiscontractandleadtothefailureofmakingthistransaction, ThirdPartywillrestoretheintentionpaymentbacktoSecondPartywithoutinterestwithin2workingdaysoratcertaintimeaccreditedbySecondPartyoutofnext2workingdays,exceptfirstandsecondpartiesreachtootheragreements.五、如甲方承受本協(xié)議第三條所述買賣條件并簽訂本協(xié)議,則乙方同意將意向金作為定金,由丙方轉(zhuǎn)付甲方。本協(xié)議甲方簽訂后,即說明居間成功,居間方有權(quán)依據(jù)本協(xié)議的商定向甲乙雙方要求支付傭金。如甲乙雙方按約簽訂《上海市房地產(chǎn)買賣合同》或類似合同,則甲乙雙方應(yīng)在簽訂合同時各自支付丙方傭金計人民幣 元整。共計人民幣 元整。五、IfFirstPartyconsentwiththebuyandsalesclausesintheTerm3ofthiscontractandsignthecontract,SecondPartyagreetomaketheintentionpaymentthedeposit,passedbyThirdPartytoFirstParty.ThesigningofFirstPartyofthiscontactstandsforthesuccessofbrokerage,thatbrokeragepartygetstherighttoaskforcommissionsfrombothfirstandsecondpartiesaccordingtotheagreementsinthiscontract.Whenfirstandsecondpartiessignthe<ShanghaiRealEstatePurchaseandSalescontract>orothercontractsofthesamesort,FirstPartyareduetopay50%grosscommissionRMB_ _andSecondPartyareduetopay50%grosscommissionRMB_ _toThirdPartyduringcontractsigning.六、甲方承受本協(xié)議第三條所述買賣條件并簽訂本協(xié)議的,乙方同意在甲方簽訂本協(xié)議后天內(nèi)與甲方簽訂《上海市房地產(chǎn)買賣合同》或類似合同〔簽訂合同的具體時間可由丙方安排或者乙方與甲方在本協(xié)議中另行商定。假設(shè)乙方未能履行本條所述事項,則已支付甲方的定金不予返還外,甲方亦可要求乙方支付違約金為總房價款的 %,甲方亦可要求乙方連續(xù)履行本協(xié)議。UndertheconditionthatFirstPartyconsentswiththepurchaseandsalesclausesofTerm3inthiscontract,SecondPartyagreestosign<ShanghaiRealEstateBuyandSalesContract>orothercontractofthesamesortswithFirstPartywithin _daysafterlaterpartysignsthiscontract(Specific contract signing time can either be confirmed by Third Party arrangement supplementaryagreementstatedinthiscontractbyFirstPartyandSecondParty).IfSecondPartyfailstofulfilltasksinthisterm,theintentionpaymentpaidto FirstPartywillnotberestored,whileFirstPartyhastherighttoaskforpenaltyas_ %oftotalrealestatepricefromSecondPartyandaskforcontinuousactualfulfillmentofthiscontractfromSecondParty.七、甲方同意將本協(xié)議其次條所述房地產(chǎn)通過丙方,按本協(xié)議第三條的買賣條件或甲、乙雙方另行達成一致的條件出賣給乙方。七、FirstPartyaccedestosellouttherealestatenotedintheTerm2toSecondParty,viaThirdPartyandbasedonthetradingclausesstatedinTerm3orotherclausescommonlyconsentedbybothfirstandsecondparties.八乙方承受本協(xié)議第三條所述買賣條件并簽訂本協(xié)議的甲方同意在簽訂本協(xié)議后 天內(nèi)與乙方簽《上海市房地產(chǎn)買賣合同》或類似合同〔簽訂合同的具體時間可由丙方安排或者甲方與乙方在本協(xié)議中另行商定。假設(shè)甲方未能履行本條所述事項,則應(yīng)向乙方雙倍返還定金外,乙方亦可要求甲方支付違約金為總房價款的 %,乙方亦可要求甲方連續(xù)履行本協(xié)議。UnderthecircumstancethatSecondPartyagreeswithallthetradingclausesstatedinTerm3andsignsthecontract,FirstPartyaccedetosign<ShanghaiRealEstatePurchaseandsalescontract>orothercontractsofthesamesortwithSecondPartywithin_ ThirdPartyarrangementorsupplementaryagreementstatedinthiscontractbyFirstPartyandSecondParty).IfFirstPartyfailstofulfillthetasksstatedinthisterm,exceptforthecompensationthatheshouldrestoredoubleamountofintentionpaymentbacktoSecondParty,SecondPartyalsohastherighttoaskforpenaltyas %oftotalrealestateprice;SecondPartyalsohastherighttoaskforcontinuousactualfulfillmentfromFirstParty.九、如甲方或乙方,或甲方與乙方未能履行本協(xié)議,導(dǎo)致雙方的《上海市房地產(chǎn)買賣合同》或類似合同無法50%支付給居間方,作為居間方的居間費用。九、UnderthecircumstancethateitherfirstorSecondParty,orbothFirstandSecondPartyfailtofulfillthiscontract,andleadtothefactthat<ShanghaiRealEstatePurchaseandSalesContract>orothercontractsofthesamesortfailstobesigned,thedelinquentpartyisduetobeliableforthebreachofcontractbasedontheagreementsofTerm6orTerm8ofthiscontract.Whentheobservantpartyactuallyacquirespenaltypaidfromdelinquentparty,heshouldpay50%oftheactualamountofthepenaltytobrokerageparty,asbrokerageexpenseofbrokerageparty.十、依據(jù)本協(xié)議,乙方應(yīng)當(dāng)支付給甲方的任何款項假設(shè)需通過轉(zhuǎn)帳等方式支付的,甲方同意支付至以下帳戶:戶名 。十、Underthiscontract,ifSecondPartyrequeststosettleanypaymentstoFirstPartybyaccounttransfermethod,FirstPartyaccededthatthedesignatedamountofpaymenttransferredtothefollowingaccount:Accountname: .十一、甲、乙、丙三方在本協(xié)議簽章處書寫的聯(lián)絡(luò)地址即為本協(xié)議下任何書面通知的送達地址,假設(shè)因受送達方拒收或因聯(lián)絡(luò)地址錯誤無法送達的,均依據(jù)付郵日〔以郵局郵戳為準〕視作通知方已依本協(xié)議賜予書面通知。假設(shè)任何一方聯(lián)絡(luò)地址變更的,應(yīng)準時書面通知相對方。十一、ItiscommonlyaccededthatthecontractaddressinformationwrittenonthesignatureplaceofthiscontractbyallofFirstParty,SecondPartyandThirdPartyisthedocumentdeliveryaddressofanydocumentnotificationunderthiscontract.Ifthedocumentrecipientrefusesthedeliveryorwrittenaddressinformationiswrongandleadtothefailureofdelivery,bothinstancesaretakenasthefactthatnotifypartyhasfulfilledthewrittennoticeonthepostdate(benchmarkedbypostmarktime).Ifanypartyaltershiscontractaddress,heisobligedtonotifycounterpartyinwrittenformattimely.十二、甲、乙、丙三方在履行本協(xié)議過程中發(fā)生爭議,應(yīng)自行協(xié)商解決;自行協(xié)商解決不成的,三方同意依法向該房地產(chǎn)所在地人民法院起訴。如遇不行抗力導(dǎo)致本協(xié)議無法履行,本協(xié)議自動解除,甲乙丙三方各不擔(dān)當(dāng)違約責(zé)任。十二、Underthecircumstancethatanydisputehappenedduringtheexecutionofthiscontract,spontaneousnegotiatedsettlementamongFirstParty,SecondPartyandThirdPartyisobligated.Ifspontaneousnegotiationisunsuccessful,allthreepartiesaccedetomakeresolutionbylodgmentintherealestatevenueofPeople’sCourt.Ifanyforcemajeureencounteredleadstothefailureofactualexecutionofthiscontract,thecontractisautomaticallydischarged,andallthreepartiesarefreeoftheliabilityforbreachofcontract.十三、本協(xié)議系甲、乙、丙三方在公平自愿的根底上經(jīng)過充分協(xié)商后達成的全都意見,任何一方在未征得其他方同意的前提下不得擅自變更本協(xié)議內(nèi)容;在簽訂本協(xié)議時,丙方已經(jīng)盡到良好居間義務(wù),且甲、乙、丙三方對各自的權(quán)利、義務(wù)、責(zé)任清楚明白,并愿按本協(xié)議商定嚴格履行,甲乙丙
