9.質(zhì)量保證WARRANTYFORTHE

QUALITYOFCOMMODITY9.1賣(mài)方保證其所提供的貨品系用最佳的材料和工藝制造，保證其所提供的貨品為全新的未曾使用過(guò)的，并且符合本協(xié)議約定。The

shallbemadefromthebestmaterialandbythefirstworkman-shipandnewlymanufactured,unusedandcomplieswiththisContract.10.索賠CLAIMS10.1貨到目的港后,買(mǎi)方如發(fā)現(xiàn)貨品質(zhì)量、數(shù)量或重量與協(xié)議規(guī)定不符，除屬于保險(xiǎn)企業(yè)或貨運(yùn)企業(yè)的責(zé)任外，買(mǎi)方可以憑雙方同意的檢查機(jī)構(gòu)出具的檢查證明向賣(mài)方提出異議，質(zhì)量異議須于貨到目的港之日起20日內(nèi)提出，數(shù)量或重量異議須于貨到目的港之日起10日內(nèi)提出。買(mǎi)方逾期提出異議的，賣(mài)方將不負(fù)任何責(zé)任。Incasethequality,quantityandweightarefoundbytheBuyernottoconformwiththecontractafterarrivalofthecommodityattheportofdestination,theBuyermaylodgeaclaimagainsttheSellersupportedbyasurveyreportissuedbyaninspectionorganizationagreeduponbybothpartieswiththeexceptionofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.ClaimforqualitydiscrepancyshouldbefiledbytheBuyerwithin20daysafterarrivalofthegoodsattheportofdestinationwhileforquantity/weightdiscrepancyclaimshouldbefiledbytheBuyerwithin10daysafterarrivalofthecommodityattheportofdestination.Iftheclaimisoverdue,the

foranydiscrepancycliam.11.不可抗力FORCEMAJEURE11.1如因不可抗力原因致使賣(mài)方不能履約或延期交付本協(xié)議項(xiàng)下所有或部分貨品，賣(mài)方不負(fù)任何責(zé)任。TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentireorportionofthecommodityunderthisContractinconsequenceofanyForceMajeureaccident.12.仲裁及適使用方法律ARBITRATIONANDGOVERNINGLAW12.1在履行本協(xié)議過(guò)程中發(fā)生的或與本協(xié)議有關(guān)的所有爭(zhēng)議由雙方友好協(xié)商處理。假如未能協(xié)商處理，則提交位于北京的中國(guó)國(guó)際經(jīng)濟(jì)和貿(mào)易仲裁委員會(huì)仲裁處理，按照申請(qǐng)仲裁時(shí)該仲裁委員會(huì)實(shí)行的仲裁規(guī)則進(jìn)行仲裁。該仲裁委員會(huì)的仲裁裁決是終局的，買(mǎi)賣(mài)雙方均應(yīng)受其約束。仲裁費(fèi)用由敗訴一方承擔(dān)。AlldisputesarisingfromtheexecutionoforinconnectionwiththeContractshallbesettledthroughfriendlyconsultationbetweenbothparties.Shouldnoagreementbereachedthroughconsultation,thedispute(s)shallthenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommission,Beijing,inaccordancewiththeexistingrulesofthesaidCommission.ThedecisionrenderedbythesaidCommissionshallbefinalandbindinguponbothparties.Bothpartiesshallexecutethedecisionaccordingly.Thearbitrationfeeshallbebornebythelosingparty.12.2在仲裁階段，除提交仲裁的部分外，買(mǎi)賣(mài)雙方應(yīng)繼續(xù)履行協(xié)議。Inthecourseofarbitration,theContractshallbeexecutedcontinuouslybybothpartiesexceptthosepartsunderarbitration.12.3本協(xié)議及其解釋合用中華人民共和國(guó)法律。ThisContractshallbegovernedbyandinterpretedinaccordancewithLawsofthePeople’sRepublicofChina.13.協(xié)議生效及其他EFFECTIVENESSOFCONTRACTANDMISCELLANEOUS13.1本協(xié)議在雙方簽字蓋章后生效。本協(xié)議正本2份，雙方各執(zhí)1份，具有同等法律效力。ThisContractshallbecomeeffectiveimmediatelyafterbeingsignedandsealedbythetwopartiesconcerned.ThisContractiswrittenin2originals,bothoriginalshavingthesameforce,1ofwhichisheldbyeachparty.13.2本協(xié)議以中文和英文兩種語(yǔ)言書(shū)寫(xiě)。假如中文版本與英文版本發(fā)生沖突，以中文版本為準(zhǔn)。ThisContractismadeoutandwritteninChine
