(Name,SpecificationsandQualityofCommodity):2.數(shù)量(Quantity)：3.單價(jià)及價(jià)格條款(UnitPriceandTermsofDelivery):除非另有規(guī)定，“FOB、“CFR和“CIF”均應(yīng)依照國際商會(huì)制定的《2010年國際貿(mào)易術(shù)語解釋通則》解釋。ThetermsFOB,CFR,orCIFshallbesubjectedtotheInternationalRulesfortheInterpretationofTradeTerms(INCOTERMS2010)providedbyInternationalChamberofCommerce(ICC)uniessotherwisestipulatedherein.4.總價(jià)(TotalAmount):5.允許溢短裝(MoreorLess)6.裝運(yùn)期限(TimeofShipment)7.付款條件(TermsofPayment)8.包裝(Packing):貨物應(yīng)具有防潮、防銹蝕、防震并適合于 的包裝，由于貨物包裝不良而造成的貨物殘損、滅失應(yīng)由賣方負(fù)責(zé)。賣方應(yīng)在每個(gè)包裝箱上用不褪色的顏色標(biāo)明尺碼、 包裝箱號(hào)碼、毛重、凈重及此端向上”防潮”小心輕放”等標(biāo)記。Thepackingofthegoodsshallbepreventivefromdampness,rust,moisture,erosionandshock,andshallbesuitablefor transportation/multipletransportation.TheSellershallbeliableforanydamageandlossofthegoodsattributabletotheinadequateorimproperpacking.Themeasurement,grossweight,netweightandthecautionssuchas"Donotstackupsidedown","Keepawayfrommoisture","Handlewithcare"shallbestenciledonthesurfaceofeachpackagewithfadelesspigment.9.單證(DocumentsRequired)：賣方應(yīng)將下列單據(jù)提交銀行議付 /托收：標(biāo)明通知收貨人/收貨代理人的全套清潔的、 已裝船的、空白抬頭、空白背書并注明運(yùn)費(fèi)已付/到付的海運(yùn)/聯(lián)運(yùn)/陸運(yùn)提單。標(biāo)有合同編號(hào)、信用證號(hào)(信用證支付條件下)及裝運(yùn)嘜頭的商業(yè)發(fā)票一式份；TOC\o"1-5"\h\z由 出具的裝箱或重量單一式 份；由 出具的質(zhì)量證明書一式 份；由 出具的數(shù)量證明書一式 份；保險(xiǎn)單正本一式 份(CIF交貨條件)； 簽發(fā)的產(chǎn)地證一式份；裝運(yùn)通知：賣方應(yīng)在交運(yùn)后—小時(shí)內(nèi)以特快專遞方式郵寄給買方上述第 險(xiǎn)，由 負(fù)責(zé)投保。Covering Risksfor %ofInvoiceValuetobeeffectedbythe .檢驗(yàn)條款(Inspection):雙方同意以 簽發(fā)的品質(zhì)及數(shù)量檢驗(yàn)證書為最后依據(jù)， .TheCertificateshallbebindingonbothparties.品質(zhì)/數(shù)量異議(Quality/Quantitydiscrepancy):如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起 天內(nèi)提出，凡屬數(shù)量異議須于貨到目的口岸之日起 天內(nèi)提出，對(duì)所裝貨物所提任何異議屬保險(xiǎn)公司、輪船公司、其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)者，賣方不負(fù)責(zé)任。Incaseofqualitydiscrepancy,claimshouldbefilledbytheBuyerwithin_daysafterthearrivalofthegoodsatportofdestination,whileforquantitydiscrepancy,claimshouldbefilledbytheBuyerwithindaysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetocausesforwhichtheInsuraneeCompany,ShippingCompany,otherTransportationOrganization/orPostOfficeareliable.風(fēng)險(xiǎn)轉(zhuǎn)移與所有權(quán)(RiskandTitle)：除非合同雙方另有約定，貨物毀損滅失的風(fēng)險(xiǎn)在交付后轉(zhuǎn)移給買方承擔(dān)。 貨物的所有權(quán)在買方支付了所有合同價(jià)款之后方始轉(zhuǎn)移，但賣方保留所售軟件以及其他知識(shí)產(chǎn)權(quán)的所有權(quán)。Uniessotherwiseprovidedbytheparties,riskofdamagetoorlossofthegoodsshallpasstopurchaserupondelivery.Thetitletothegoods,exceptsoftwareandotherintellectualpropertyrightwhichareretainedwiththeSeller,shallpasstotheBuyeruponreceiptoffullpaymentbytheSeller.不可抗力(ForceMajeure):不可抗力是指不能預(yù)見、不能避免并不能克服的事件。因不可抗力所造成該方延遲或無法履行本合同中的義務(wù)，則該方不被視作違反本合同，無須向另一方負(fù)責(zé)，履行相關(guān)義務(wù)的期限可以相應(yīng)延長。這些情形包括但不限于:天災(zāi)、戰(zhàn)爭、暴亂、火災(zāi)、爆炸、水災(zāi)、政府當(dāng)局行為。ForceMajeureisdefinedascircumstances,whichareunforeseeable,unavoidableandinsuperable.IfForceMajeurecausesdelayinorfailureofaParty'sperformaneeofitsobligationspursuanttothisContract,suchPartyshallnotbeconsideredinbreachofthisContractorbeliabletotheotherParty,andthetermofimplementationofsuchParty'srespectiveobligationmaybeextendedaccordingly.Theaforementionedcircumstancesinclude,butshallnotbelimitedto,naturaldisaster,war,unrest,fire,explosion,flood,actsofthegovernment..由于上述情形而造成延遲或無法履行本合同規(guī)定義務(wù)的一方，應(yīng)立即通知另一方，并合理地盡其努力，將此類情形對(duì)其履行義務(wù)的影響降至最低， 而且在此類情形結(jié)束之后，馬上就此書面通知另一方，并繼續(xù)完全履行本合同規(guī)定的義務(wù)。WhenaParty'performaneeofitsobligationspursuanttothisContractisdelayedorrenderedimpossibleduetotheaforementionedcircumstances,suchPartyshallimmediatelyinformtheotherParty,andmakeallreasonableeffortstominimizetheeffectoftheaforementionedcircumstancesontheperformaneeofitsobligations.Furthermore,suchPartyshallimmediatelyinformtheotherPartyofthecessationoftherespectivecircumstancesandcontinuetofullyperformitsobligationspursuanttotheprovisionsofthisContract..15.遲交和違約金(LateDeliveryandLiquidatedDamages)：賣方延遲交貨，應(yīng)向買方按日支付延遲交貨部分對(duì)應(yīng)貨款金額的 %的違約金； 買方延遲付款，應(yīng)向賣方按日支付延遲付款金額的 %的違約金；賣方延遲交貨或買方延遲付款 15個(gè)工作日以上，對(duì)方有權(quán)終止合同， 追索違約金，并有權(quán)以任何方式收回已交付的貨物或已支付的貨款，由此造成的全部損失由違約方承擔(dān)。Ifthesellerdeliversthegoodsexceedthetimelimit,heshallpaytothebuyerthepenaltyat %perdayofthelatepaymentamount..EitherPartyhastherighttoterminatethecontractandclaimforthepenalty,aswellastherighttoretrievehispaymentordeliveredgoodsinanyway,wheretheotherPartydelaysdeliveryorpaymentover15workdays,andallofthelossshouldbeaffordedbythedefaultparty.16.保證和責(zé)任(WarrantyandLiability)：賣方保證貨物在交貨時(shí)符合規(guī)格，并保證在貨物啟用日期開始_月內(nèi)，或在提貨或交貨后(以較早日期為準(zhǔn)) _月內(nèi)，貨物不會(huì)出現(xiàn)材料或工藝上的缺陷。第(1)款所述的保證取決于以下的條款和條件：對(duì)于應(yīng)買方的要求而對(duì)貨物規(guī)格作出的變更和改動(dòng)所導(dǎo)致的貨物缺陷， 賣方不承擔(dān)責(zé)任；對(duì)于任何由于合理磨損、有意損壞、疏忽大意、使用不當(dāng)、不遵循賣方指導(dǎo)、未經(jīng)賣方同意對(duì)貨物進(jìn)行錯(cuò)誤使用、改動(dòng)或修理而造成的缺陷，賣方不承擔(dān)責(zé)任；保證范圍不包括非賣方制造的零部件、材料或設(shè)備，在此類情況下，買方將有權(quán)從該零部件、材料或裝備的制造商對(duì)賣方所作的保證中受益；如果買方希望就任何其聲稱有缺陷的貨物提出索賠，買方必須在提貨或交貨之日起天內(nèi)將該等索賠書面通知賣方。如果買方根據(jù)本條提出了有效的索賠，賣方可以選擇無償更換貨物，或者向買方退回貨物的全部或部分價(jià)款，此后賣方對(duì)買方不再負(fù)有任何責(zé)任。TheSellerwarrantsthattheGoodsshallconformtospecificationsupondelivery,andthatnomaterialortechnicaldefectsshallappearintheGoodsforaperiodof monthsaftercommencementofuse,orforaperiodof monthsaftertheearlierofcollectionordeliveryoftheGoods.ThewarrantyprovidedinParagraph(1)shallbesubjecttothetermsandconditionssetforthbelow:TheSellershallnotbeliablefordefectsintheGoodsresultingfrommodificationsorchangesinspecificationsiftheaforementionedmodificationsorchangeswererequestedbytheBuyer;TheSellershallnotbeliablefordefectscausedbynormalwearandtear,wilfuldamage,negligenee,improperusage,failuretofollowtheSeller'sinstructions,incorrectusagewithouttheSeller'sappromobdificationorrepair;Thewarrantydoesnotextendtoparts,accessories,materialsorequipmentthatwasnotmanufacturedbytheSeller.Withregardtoanyonepart,accessory,materialorpieceofequipment,theBuyershallhavetherightofbenefitwithrespecttothecorrespondingwarrantyprovidedbythemanufacturertotheSeller;IftheBuyerwishestoclaimcompensationforanyGoodsthatitclaimsaredefective,theBuyershallnotifytheSellerinwritingoftheclaimforcompensationwithin daysofcollectionordelivery.IntheeventthattheBuyerissuesavalidclaimforcompensationbasedonArticle16,theSellermaychoosetoexchangetheGood(s)freeofcharge,ormayelecttorefundalloraportionofthepaymentpriceoftheGood(s)totheBuyer.Oncethisisdone,theSellershallnothaveanyfurtherliabilitytotheBuyer.責(zé)任限制條款(LimitationofLiability)：不論合同其它條款另有規(guī)定，不論索賠是根據(jù)合同還是侵權(quán)(包括重大過失) ，也不論索賠是因?yàn)樨浳锘蜍浖闹圃?、銷售、許可、交付、修理、更換或使用所造成的，賣方對(duì)買方所遭受的任何損失、損壞所承擔(dān)的損害賠償責(zé)任(包括違約金)不超過賣方實(shí)際從買方收受的貨款的100%。如果發(fā)生賣方違約的情形，買方應(yīng)該采取任何必要的措施減損損害的擴(kuò)大。不論合同其它條款另有規(guī)定，合同任何一方對(duì)另一方的收入利潤的減少、 商業(yè)機(jī)會(huì)的喪失以及商譽(yù)的損失和任何間接的損失不負(fù)賠償責(zé)任。Notwithstandinganyotherprovisioninthiscontract,thetotalliability(includingforliquidateddamages)oftheSellerforanyclaim,lossordamage,whetherincontract,tort(includinggrossnegligenee),orotherwise,arisingoutof,connectedwith,orresultingfromthemanufacture,sale,license,delivery,repair,replacementoruseofanygoodsorsoftwareshallnotexceed100%ofthepricereceivedbytheSellerfromtheBuyer.IftheSellerisinbreachofthiscontract,theBuyershalltakeanynecessarymeasurestomitigateitslossanddamages.Notwithstandinganyotherprovisioninthiscontract,neitherpartyshallbeliabletotheotherpartyforanylossofprofitorrevenues,lossofopportunity,lossofgoodwillorreputation,and/oranyindirectorconsequentiallosseswhatsoever.爭議解決(SettlementofDisputes)：凡因本合同引起的或與本合同有關(guān)的任何爭議，在廣交會(huì)期間應(yīng)提交大會(huì)投訴接待站，按照《中國進(jìn)出口商品交易會(huì)貿(mào)易糾紛防范與解決辦法》 進(jìn)行調(diào)解。一方不愿調(diào)解或調(diào)解不成的，應(yīng)提交華南國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)仲裁，除非合同各方另行約定通過
