本合同是根據(jù)雙方自愿的原則訂立，經(jīng)過(guò)友好協(xié)商達(dá)成并共同遵守。雙方約定如下：

Thiscontractismadeandenteredintobymutualconsentafterfriendlynegotiationsbetweenthetwoparties.Bothpartiesagreetoabidebythefollowingterms:

一、合同目的：

1.PurposeofContract:

甲方同意向乙方委托進(jìn)行產(chǎn)品加工，乙方同意接受甲方委托進(jìn)行產(chǎn)品加工。

PartyAagreestoentrustPartyBwiththeprocessingofproducts,andPartyBagreestoacceptPartyA'sentrustmentfortheprocessingofproducts.

二、委托加工產(chǎn)品：

三、質(zhì)量要求：

3.QualityRequirements:

1.委托產(chǎn)品的質(zhì)量必須符合國(guó)家相關(guān)標(biāo)準(zhǔn)和乙方承諾的質(zhì)量要求。

2.如乙方無(wú)法按照約定的質(zhì)量要求完成加工，乙方應(yīng)當(dāng)承擔(dān)相應(yīng)的責(zé)任。

2.IfPartyBfailstocompletetheprocessingaccordingtotheagreedqualityrequirements,PartyBshallbearthecorrespondingresponsibility.

四、加工期限：

4.ProcessingPeriod:

2.如因不可抗力等原因無(wú)法按時(shí)完成加工，乙方應(yīng)當(dāng)及時(shí)通知甲方并說(shuō)明原因，甲方同意給予適當(dāng)?shù)膶捪奁凇?/p>

五、加工費(fèi)用與結(jié)算：

六、加工責(zé)任：

6.ProcessingResponsibilities:

1.乙方應(yīng)安全、合法地保管委托產(chǎn)品，并妥善安排加工工藝，確保產(chǎn)品質(zhì)量和安全。

2.如乙方因自身原因造成委托產(chǎn)品損壞，應(yīng)當(dāng)依法承擔(dān)賠償責(zé)任。

2.IfPartyBcausesdamagetotheentrustedproductsduetoitsownreasons,PartyBshallbearthecompensationliabilityinaccordancewiththelaw.

七、保密條款：

7.ConfidentialityClause:

1.雙方同意對(duì)于對(duì)方在加工過(guò)程中披露的商業(yè)秘密或技術(shù)資料進(jìn)行保密。

2.未經(jīng)甲方事先書(shū)面同意，乙方不得披露、使用或復(fù)制甲方的商業(yè)秘密或技術(shù)資料。

2.WithoutpriorwrittenconsentfromPartyA,PartyBshallnotdisclose,use,orreplicatePartyA'sbusinesssecretsortechnicalinformation.

八、違約責(zé)任：

8.BreachofContractLiability:

1.如一方違約，應(yīng)當(dāng)根據(jù)損失情況進(jìn)行賠償，包括但不限于直接損失、間接損失和違約金等。

2.雙方同意依照國(guó)家相關(guān)法律法規(guī)解決爭(zhēng)議。

1.Intheeventofabreachbyeitherparty,compensationshallbemadebasedontheloss,includingbutnotlimitedtodirectloss,indirectloss,andliquidateddamages.

2.Bothpartiesagreetoresolvedisputesinaccordancewithrelevantnationallawsandregulations.

九、生效與終止：

9.EffectivenessandTermination:

1.本合同自雙方簽字蓋章之日起生效，有效期為_(kāi)____________。

11.IntellectualPropertyProtection:

1.乙方在進(jìn)行產(chǎn)品加工過(guò)程中，應(yīng)當(dāng)嚴(yán)格遵守相關(guān)知識(shí)產(chǎn)權(quán)法律法規(guī)，保護(hù)甲方的知識(shí)產(chǎn)權(quán)。

2.乙方不得在未經(jīng)甲方事先書(shū)面同意的情況下，擅自復(fù)制、使用、修改或泄露甲方的專有技術(shù)和商業(yè)秘密。

3.如乙方違反以上約定，應(yīng)當(dāng)承擔(dān)相應(yīng)的法律責(zé)任，并賠償甲方因此遭受的損失。

2.PartyBshallnotcopy,use,modify,ordisclosePartyA'sproprietarytechnologyandtradesecretswithoutPartyA'spriorwrittenconsent.

3.IfPartyBviolatestheaboveprovisions,itshallbearcorrespondinglegalliabilitiesandcompensatePartyAforanyresultinglosses.

十二、委托期限延長(zhǎng)：

12.ExtensionofEntrustmentPeriod:

1.甲方有權(quán)在委托期限到期前___________天書(shū)面通知乙方，延長(zhǎng)委托期限。

2.如乙方同意延長(zhǎng)委托期限，雙方應(yīng)當(dāng)重新協(xié)商并簽訂補(bǔ)充協(xié)議，明確新的委托期限和相關(guān)條件。

十三、爭(zhēng)議解決：

13.DisputeResolution:

1.本合同的履行、解釋及爭(zhēng)議解決適用中華人民共和國(guó)法律。

2.雙方如發(fā)生爭(zhēng)議，應(yīng)當(dāng)首先通過(guò)友好協(xié)商解決。如協(xié)商不成，任何一方均有權(quán)向有管轄權(quán)的人民法院提起訴訟解決。

1.Theexecution,interpretation,anddisputeresolutionofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.

2.Intheeventofadispute,bothpartiesshallfirstresolveitthroughfriendlynegotiations.Ifthenegotiationsfail,eitherpartyhastherighttobringalawsuittoacompetentpeople'scourtforresolution.

十四、不可抗力：

14.ForceMajeure:

1.如因不可抗力的原因?qū)е乱曳綗o(wú)法履行合同義務(wù)，應(yīng)當(dāng)向甲方及時(shí)提供書(shū)面通知，并在合理的范圍內(nèi)采取合理措施減輕損失。

2.不可抗力包括但不限于自然災(zāi)害、戰(zhàn)爭(zhēng)、恐怖襲擊、罷工、政府行為等不可預(yù)見(jiàn)、不可避免且不能克服的客觀情況。

1.IfPartyBisunabletoperformitscontractualobligationsduetoforcemajeure,itshallpromptlyprovidewrittennoticetoPartyAandtakereasonablemeasurestomitigatelosseswithinareasonablerange.

2.Forcemajeureincludesbutisnotlimitedtonaturaldisasters,war,terroristattacks,strikes,andgovernmentactionsthatareunforeseeable,unavoidable,andinsurmountable.

十五、完整協(xié)議：

15.EntireAgreement:

1.本合同構(gòu)成雙方之間關(guān)于加工委托的完整協(xié)議，取代雙方此前進(jìn)行的一切口頭或書(shū)面協(xié)議、了解或安排。

2.除非有雙方明確約定，否則任何對(duì)本合同的修改必須以書(shū)面形式進(jìn)行，并由雙方的合法代表簽字確認(rèn)。

1.Thiscontractconstitutestheentireagreementbetweenthepartiesregardingtheprocessingentrusted,replacingallpriororalorwrittenagreements,understandings,orarrangementsbetweentheparties.

2.Unlessotherwiseagreedbybothparties,anymodificationstothiscontractmustbemadeinwritingandsignedbytheauthorizedrepresentativesofbothparties.

十六、合同解除：

16.TerminationofContract:

1.本合同在以下情況下解除：

a.雙方協(xié)商一致解除；

b.一方嚴(yán)重違約，經(jīng)對(duì)方提出書(shū)面警告后未在合理期限內(nèi)改正的；

c.雙方因不可抗力原因無(wú)法繼續(xù)履行合同
