1.Tender1.1Amongthetenderdocuments,tenderersshallfilloutcompletelytheBusinessTender,TechnicalTender,TenderListandTenderQuotation.TheQuotation(allitemsintheQuotationshallbefilledoutexceptfortheprices)andthreecopies(oneOriginalandtwoDuplicates)oftheInstructionstoQuotationsaswellastheletterofguaranteefromthebankoftenderersmustbesealedseparately,andbesubmittedtogetherwiththetenderdocuments.1.2TheAttachment6tobesubmittedafterthetenderdocumentshavebeenclarifiedtheOriginalandDuplicatecopiesoftheQuotationmustbesealedseparatelyindifferentenvelops,onwhichtheitemnames,tendercodes,tendereraddresses,wordsof‘Original’,‘Duplicate’and‘ItemPrice’and‘Confidential’mustbewritten.Ane-versionoftheQuotation(inWORDformat)thatisseparatelysealedmustbefurnishedatthesametime.2.TenderOffers2.1Onthetenderoffersummarysheetandtheitemtenderoffersheets,tenderersshallindicateclearlytheunitprice(ifapplicable)andthetotalpriceofthegoodsplannedtobeprovidedaccordingtotheContract.2.2Pricesontheitemtenderoffersheetshallbefilledoutinthefollowingmanner:2.2.1GoodsprovidedfromthePeople’sRepublicofChina:1)Priceofdeliveringgoodstothesite,inclusiveoftheEXW(inclusiveofVAT),transportationcostfromfactorytosite,insurancepremium,costsgeneratedbecauseofthedeliveryofgoods,aswellasotherincidentalexpenses.2)CostfortechnicalservicesandtrainingsThisitemincludes:A)CostfortechnicalserviceprovidedbytheSeller’spersonnel:Expensesforon-siteinstallationinstruction,debugging,andinspectionB)ExpensesfortrainingthepersonneloftheBuyer3)Inthetenderpricesheet,tenderersshallincludetheunitpricesoftheattachedpartsandcomponents,specialtoolsandinstrumentationsthatarelistedintheTechnicalSpecifications.Thepriceofthesegoodsshallbeincludedintothetendersum,andshallbedeliberatedatthetenderevaluation.4)Tenderersshalllistseparatelypartsandcomponentsthatsatisfytherecommendedthreeyears’normaloperation,andquotetheirprices.Theownerhastheoptiontopurchasethesegoods,andtheirexpenseswillbereferredtoatthetenderevaluation.2.2.2GoodsprovidedoutsidethePeople’sRepublicofChina:1)ShanghaiCIFberthterms(thepriceisinclusiveofthepackagingcostofequipmentsanddocuments,aswellasunloadingexpensesinthedestination).Whenoffering,tendersmayobtaininsuranceservicesfromaneligiblecountryoforiginthatistothesatisfactionofthePeople’sRepublicofChinaortheBuyer.2)ExpensesfortechnicalservicesandtrainingsThisitemincludes:A)ExpensesfortechnicalservicesprovidedbytheSeller:costsforon-siteprojectinstallationinstruction,debugging,andtestingB)TrainingexpensesfortheBuyerTheaboveA)andB)clausesrefertotheexpensesoftheSelleritselfanddonotincludethecostforBuyer’spersonnelfortravelingabroad.TenderersshalllistandofferseparatelyaftertheitemtenderoffersheetthecostperpersonperdayforBuyer’spersonneltoattenddesigningcommunicationmeetingsandfactoryinspectionoutsideChinaandtoreceivetrainingsfromSelleroutsideChina.ExpensesoftheabovethreeitemswillserveasreferencesforBuyerwhentheContractissigned,butwillnotbeincludedintothetendersum.ItistomakeitconvenientforBuyertocompareandchoosefromthecombinationsofthefinalcontractprice.ItdoesnotrestricttherightsofBuyertochooseonequotationorthecombinationofseveralquotationstosigntheContract.3)Inthetenderpricesheet,tenderersshalllisttheunitpriceoftherequiredparts,components,specialtoolsandinstrumentationsthatarelistedintheTechnicalSpecifications.Thepricesofthesegoodsshallbeincludedinthetendersumfortenderevaluation.4)Tenderersshalllistandquoteseparatelypartsandcomponentsthatsatisfythethreeyears’recommendednormaloperation.Theownerhastheoptiontopurchasethesegoods,thepriceofwhichwillserveasreferenceforTendereeattenderevaluation.2.3Exworks(EXW),CIF,‘carriageandinsurancepaidto’(CIP)andothertechnicaltermsshallbeconstruedaccordingtothe2000ParisversionofInternationalChamberofCommerceTerms(Incoterms2000).2.4AccordingtoClause2.2oftheNotice,tenderersshalldividethetenderpriceintoseveralparts,thesoleobjectiveofwhichistomakeitconvenientforTendereeandBuyertocomparethetenderdocuments,butwillnotrestrictBuyer’srightstoconcludetheContractaccordingtoanyoftheaboveterms.2.5AtenderpriceofferedbyatenderershallremainunchangedduringtheperformanceoftheContract,butshallnotbemodifiedbecauseofanyreasons.AccordingtoClause2.3.TenderCurrencyGoodsandservicestobeprovidedbytenderersshallbequotedinthecurrencyofUSdollar.4.Tenderbond4.1Tenderersshallsubmitatenderbondthatisnolessthan2%ofthetotalsumofthetenderoffer.Itshallbepartofthetender.4.2TenderbondisdesignedtoprotectTendereeandBuyerfromlossesbecauseofanyactionsoftenderers.IncaseTendereeandBuyersuffersanylossesbecauseofanyactionsoftenderers,thetenderbondwillbeconfiscatedaccordingtoClause15.7oftheNotice.4.3Thetenderbondshallbeinthetendercurrencyandshallbeinthefollowingform:AbankthatenjoysgoodreputationinoroutsidethePeople’sRepublicofChinaissuesaletterofguaranteeandanirrevocablestand-byletterofcreditintheformprovidedbythetenderinvitationdocumentsorinaformthatisacceptabletoTenderee,thevalidperiodbeingthirty(30)daysmorethanthevalidperiodofthetender;4.4TenderstowhichatenderbondisnotattachedaccordingtoClause15.1and15.3oftheNoticeshallberejectedasnon-responsivetendersaccordingtoClause24oftheNotice.4.5Tenderbondsoftendererswhofailinthetenderwillbereturnedtotendersinfullamountassoonaspossibleandnolaterthanthirty(30)daysaftertheexpirationofthevalidperiodofthetenderasprovidedinClause16oftheNotice.4.6ThetenderbondofthesuccessfultendererwillbereturnedafterthetenderersignstheContractaccordingtoClause34oftheNoticeandsubmitstheperformancebondaccordingtoClause35oftheNotice.4.7Tenderbondwillbeconfiscatedincase:1)Tendererswithdrawtheirtenderswithinthevalidperiodofthetenderasprovidedinthetenderinvitationdocuments;or2)ThesuccessfultendererfailstosigntheContractwithintheprescribedperiodaccordingtoClause34oftheNotice;or3)ThesuccessfultendererfailstosubmittheperformancebondwithintheprescribedperiodaccordingtoClause35oftheNotice.5.Validperiodoftender5.1AccordingtoClause19oftheNotice,atenderremainsvalidwithinthe180daysaftertheprescribedtenderopeningdate.Tenderswithanineligiblevalidperiodshallberejectedasnon-responsivetenders.6．TerminationofContractforBuyer’sConvenience6.1BuyermaysendawrittennoticetoSelleratanytimeforitsownconveniencetoterminateallorpartoftheContract.TheterminationnoticeshallindicateclearlythatitisforBuyer’sconveniencethattheContractisterminated,thescaletowhichtheContractisterminated,aswellastheeffectivedateofthetermination.6.2BuyershallreceiveaccordingtotheoriginalcontractpriceandtermsgoodsthatSellerhascompletedandpreparedforshippingwithinthirty(30)daysafteritreceivestheterminationnotice.Fortherestofgoods,Buyermay:1)Acceptonlypartofgoodsaccordingtotheoriginalcontractpriceandterms;or2)Cancelthepurchasetotheremainedgoods,andpaySellertheamountagreedbybothpartiesforpartofthegoodsandservicescompletedaswellasmaterialsandpartsSellerhaspurchased.7．DisputeSettlement7.1BothpartiesshallaimtosettleanydisputesconcerningtheContractortheexecutionoftheContractthroughconsultation.Incaseanydisputecannotbesettledwithin60daysaftertheconsultationbegins,itshallbebroughttoarbitration.7.2ArbitrationshallbeheldinBeijingorsomeotherplacewithinChinabyChinaInternationalEconomicandTradeArbitrationCommittee(CIETAC)accordingtoitsarbitrationrulesandprocedures.Exceptwherebothsidesotherwiseagree,theofficiallanguageforarbitrationshallbeEnglish.7.3Thearbitrationawardshallbefinalandhaslegalbindingforcestobothsides.7.4Thecostforarbitrationshallbebornebythelosingpartyifitisnototherwiseruledbythearbitrationauthority.7.5Duringarbitration,exceptforthepartsoftheContractthatisunderarbitration,otherpartsoftheContractshallcontinuetorule.8．Contractlanguages8.1Exceptwherebothsidesotherwiseagree,theContractlanguagesshallbeChineseandEnglish,andtheChineseversionshallprevail.CorrespondencesbetweenbothsidesconcerningtheContractshallbewrittenintheContractlanguages.9．ApplicablelawTheContractshallbeconstruedaccordingtolawsofthePeople’sRepublicofChina
