2/2英文商業(yè)合同模板CommercialContract商業(yè)合同No：合同號：Date：日期：TheBuyer：ZhonghuaInternationalTechnologyCorporation賣方：菲爾德·埃米森公司TheSeller：FieldEmissionCorp.買方：中華國際技術(shù)開發(fā)公司ThiscontractismadebyandbetweentheBuyerandtheSeller，wherebytheBuyeragreestobuyandtheSelleragreestoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstatedbelow：根據(jù)本合同條款，買方同意購買，賣方同意出售下述貨品，茲簽訂本合同。1.Commodity：camera-controlequipment1、品名：攝像機(jī)控制設(shè)備Quantity：60（sets）數(shù)量：60（臺）Unitprice：USD4800.00單價：4800美元/臺Totalamount：USD288000.00總額：288000美元2.Countryoforiginandmanufacturer：FieldEmissionCorp.inUS2、原產(chǎn)國別及生產(chǎn)商：美國菲爾德·埃米森公司3.Packing3、包裝Tobepackedinstrongwoodencasesorcartons，suitableforlongdistanceocean，parcelpostorairfreighttransportationaswellaschangingclimateandwithgoodresistancetomoistureandshocks.用堅固的木箱或紙箱包裝，適宜長途海運、郵寄或空運及適應(yīng)氣候變化，并且具備良好的防潮抗震能力。TheSellershallbeliableforanydamageofthecommodityduetoimproperpackingandforanyrustattributabletoinadequateprotectivemeasuresinregardtothepacking.由于包裝不當(dāng)而引起的貨物損壞或由于防護(hù)措施不善而引起貨物銹蝕，賣方應(yīng)賠償由此而造成的全部損失費用。Onefullsetofserviceandoperationmanualshallbeenclosedineachcase.包裝箱內(nèi)應(yīng)附有完整的維修保養(yǎng)、操作使用說明書。4.Shippingmark：4、運輸標(biāo)志TheSellershallmarkoneachpackagewithfadelesspaintthepackagenumber，grossweight，netweight，measurementandwarningssuchas“HANDLEWITHCARE”，“KEEPAWAYFROMHEAT”，“KEEPAWAYFROMMOISTURE”aswellasshippingmark.賣方應(yīng)在每個貨箱上用不褪色油漆標(biāo)明箱號、毛重、凈重、長、寬、高，并標(biāo)有“小心輕放”，“防潮”及“防熱”等字樣和運輸標(biāo)志。5.Dateofshipment：Aug.8，20215、裝運日期：2021年8月8日6.Portofshipment：LosAngeles6、裝運港：洛杉磯7.Portofdestination：Ningbo7、目的港：寧波8.Insurance：8、保險TobebornebytheBuyeraftershipment.裝運后由買方投保。9.Payment，underconditions（1），（2）and（3）below：9、支付條件分以下三種條件支付：（1）Throughtheletterofcredit：（1）信用證TheBuyer，onreceiptfromtheSellerofthedeliveryadvice，shallopenanirrevocableletterofcreditwiththeBankofChina，infavoroftheSellerforthetotalvalueofshipment25–30dayspriortothedateofdelivery.ThecreditshallbeavailableagainstSeller‘sdraftdrawnatsightontheopeningbankfor100%invoicevalueaccompaniedbytheshippingdocumentsspecifiedinClause10hereof.Paymentshallbeeffectedbytheopeningbankbytelegraphictransferagainstpresentationoftheaforesaiddraftanddocuments.Theletterofcreditshallbevaliduntilthe20thdayaftertheshipmentiseffected.買方收到賣方交貨通知，應(yīng)在交貨日期前25–30天，由中國銀行開出以賣方為受益人的與裝運金額相同的不可撤銷的信用證。賣方須向開證行出具100％發(fā)票金額即期匯票并附本合同第10款所規(guī)定的裝運單據(jù)。開證行收到上述匯票和裝運單據(jù)即予以電匯支付。信用證于裝運日期后20天內(nèi)有效。（2）Collection：（2）托收TheSellermaypresentthesightdrafttogetherwiththeshippingdocuments（specifiedinClause10hereof）throughtheSeller‘sbankandBuyer’sBanktotheBuyerforcollectionaftershipment.貨物裝運后，賣方出具即期匯票，連同本合同第10款規(guī)定的裝運單據(jù)，通過賣方所在地銀行和買方銀行提交給買方托收。（3）Bydirectremittance：（3）直接付款PaymentshallbeeffectedbytheBuyer，bytelegraphictransfer，within7（seven）daysafterreceiptfromtheSelleroftheshippingdocumentsspecifiedintheClause10hereof.買方收到本合同第10款規(guī)定的裝運單據(jù)后7天內(nèi)，以電匯向賣方支付貨款。10.Documents：10、單據(jù)（1）Incaseofsea-freight：（1）海運Fullsetofcleanbillsofladingmarked“FreighttoCollect”，“FreightPrepaid”madeouttobankendorsednotifyingZhonghuaInternationalTechnologyDevelopmentCorporationattheportofdestination.全套清潔海運提單，標(biāo)明“運費付訖”，“運費預(yù)付”，做成空白背書并注明通知目的港的中華國際技術(shù)開發(fā)公司。（2）Incaseofair-freight：（2）空運Onecopyofairwaybillmarked“FreighttoCollect”，F(xiàn)reightPrepaid“andsenttotheBuyer.空運提單副本一份，標(biāo)明“運費付訖”，“運費預(yù)付”，寄交買方。（3）Invoicein4copiesindicatingcontractnumberandshippingmark，madeoutindetailsasperthecontractconcerned.（3）發(fā)票一式4份，標(biāo)明合同號和裝運標(biāo)志，發(fā)票根據(jù)有關(guān)合同詳細(xì)填寫。（4）Packinglistin2copiesissuedbythemanufacturer.（4）由生產(chǎn)商出具的裝箱單一式兩份。（5）Certificateofqualityandquantityissuedbythemanufacturer.（5）由生產(chǎn)商出具的質(zhì)量和數(shù)量保證書。（6）TheBuyershallbeadvisedbymail/cableimmediatelyaftershipment.（6）貨物裝運后立即用電報或信件通知買方。Inaddition，theSellershall，within10（ten）daysaftershipment，sendbyairmailtwosetsofaforesaiddocuments（exceptitem4）withonesetdirectlytotheBuyerandonesetdirectlytoZhonghuaInternationalTechnologyDevelopmentCorporationattheportofdestination.此外，發(fā)貨10天內(nèi)，賣方將上述單據(jù)（第5條除外）航寄兩份，一份直接給買方，一份直接給目的港的中華國際開發(fā)公司。11.Shipment11、裝運（1）IncaseofFOBterms（1）離岸價格條款（FOB條款）a.TheSellershall，30daysbeforethecontracteddateofshipment，advisetheBuyerbycableorletterofthecontractnumber，nameofcommodity，quality，value，packagenumber，grossweight，measurementanddateofreadinessattheportofshipmentfortheBuyertobookshippingspace.1）賣方于合同規(guī)定的裝運日期前30天，用電匯或信件將合同號、品名、數(shù)量、價值、箱號、毛重、裝箱尺寸和貨物抵裝運港日期通知買方，以便買方租船訂艙。b.BookingofshippingspaceshallbearrangedbytheBuyer‘sshippingagent，ChinaOceanShippingAgency.2）買方船運代理中國外輪代理公司，負(fù)責(zé)辦理租船訂艙事宜。c.TheBuyer‘sshippingagent（ChinaOceanShippingAgency）shallsendtotheSellernoticeindicatingthenameofvessel，estimateddateofloadingandcontractnumberfortheSellertoarrangeshipment10（ten）daysbeforetheestimateddateofarrivalofthevesselattheloadingport.TheSellerisrequestedtogetinclosecontractwiththeshippingagent.Whenitbecomesnecessarytochangethecarryingvesselortoadvanceordelaythearrivaldate，theBuyerortheshippingagentshalladvisetheSellerintime.Shouldthevesselfailtoarriveattheloadingportwithin30（thirty）daysafterthearrivaldateadvisedbytheBuyer，theBuyershallbearthestorageandinsuranceexpensesincurredfromthe30daythereafter.3）買方船運代理（中國外輪代理公司）預(yù)計船抵達(dá)裝運港10天之前，將船名、預(yù)計裝貨日期、合同號等通知賣方，以便賣方安排裝運。要求賣方與船運代理保持密切聯(lián)系。當(dāng)需要更換承運船只及船只提前、推遲抵達(dá)時，買方或其船運代理應(yīng)及時通知賣方。如船在買方通知日后30天內(nèi)未能到達(dá)，則第30天后倉儲費和保險費用由買方承擔(dān)。d.TheSellershallbeliableforanydeadfreightordemurrage，shouldithappenthattheyhavefailedtohavethecommodityreadyforloadingafterthecarryingvesselhasarrivedattheportofshipmentontime.4）如承運船如期抵達(dá)裝運港，賣方因備貨未妥而影響裝船，則空艙費和滯期費均由賣方承擔(dān)。e.TheSellershallbearallexpensesandrisksbeforethecommoditypassesoverthevessel‘srailandisreleasedfromthetackle.Afterithaspassedoverthevessel’srailandisreleasedfromthetackle，allexpensesandrisksshallbeinBuyer‘saccount.5）貨物超過船舷并從吊鉤卸下前，一切費用和風(fēng)險由賣方承擔(dān)；貨物超過船舷并從吊鉤卸下，一切費用和風(fēng)險由買方承擔(dān)。（2）IncaseofCFRterms（2）成本加運費價條款（CFR條款）a.TheSellershallshipthegoodswithintheshipmenttimefromtheloadingporttotheportofdestination.Transshipmentisnotallowed.1）在裝運期內(nèi)，賣方負(fù)責(zé)將貨物從裝運港裝運至目的港。不得轉(zhuǎn)船。b.Incasethegoodsaretobedispatchedbyairfreight，theSellershall，30（thirty）daysbeforethetimeofdeliveryasstipulatedinClause5，informtheBuyerbycableorletteroftheestimateddateofdelivery，contractnumber，nameofcommodity，andinvoicedvalue.TheSellershall，immediatelyafterdispatchofthegoods，advisetheBuyerbycableorletterofthecontractnumber，nameofcommodity，invoicedvalueanddateofdispatchfortheBuyertoarrangetheinsuranceintime.2）貨物空運時，賣方于本合同第5條規(guī)定的交貨日期前30天，以電報或信件把預(yù)計交貨期合同號、品名、發(fā)票金額等通知買方。發(fā)貨后，賣方立即以電報或信件將合同號、品名、發(fā)票金額、發(fā)貨日期通知買方，以便買方及時投保。12.Shippingadvice12、裝運通知TheSellershall，immediatelyonthecompletionoftheloadingofthegoods，advisetheBuyerbycableorletterofthecontractnumber，nameofcommodity，quantity，invoicedvalue，grossweight，nameofvesselanddateofsailing.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSeller‘snothavingcabledintime，alllossesshallbebornebytheSeller.貨物一俟全部裝船，賣方應(yīng)即將合同號、呂名、數(shù)量、發(fā)票金額、毛重、船名及啟航日期用電報或信件通知買方。如因賣方未能及時通知致使買方不能及時投保，賣方則承擔(dān)全部損失。13.Guaranteeofquality13、質(zhì)量保證TheSellerguaranteesthatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship，brandnew，unused，andcomplieswiththequalityandspecificationsstipulatedinthiscontract.Theguaranteeperiodshallbe12（twelve）monthsstaringfromthedateonwhichthecommodityarrivesattheportofdestination.賣方保證：所供貨物由的材料及精湛工藝制成，商標(biāo)為新的和未經(jīng)使用的，其質(zhì)量和規(guī)格符合本合同所做的說明。自貨物到達(dá)目的港起12個月為質(zhì)量保證期。14.Claims14、索賠Exceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable，shouldthequality，specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontract，within90（ninety）daysafterthearrivalofthegoodsatdestination，theBuyercanusetheInspectionCertificateissuedbyChinaNationalImportandExportCommoditiesInspectionCorporationtoclaimforreplacementascompensation.Alltheexpensesincurred（suchasinspectioncharges，freightchargesforreturningandsendingofreplacement，insurancepremium，storage，loadingandunloadingcharges）shallbebornebytheSeller.自貨物到達(dá)目的港起90天內(nèi)，如發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符，除那些應(yīng)由保險公司或由船方承擔(dān)的部分外，買方可憑中國進(jìn)出口商品檢驗總公司出具的商檢證書，有權(quán)要求更換或索賠。Inregardtoquality，theSellershallguaranteethatif，within12（twelve）fromthedateofarrivalofthegoodsatdestination，damagesoccurinthecourseofoperationbyreasonofinferiorqualityofmaterialorbadworkmanship，theBuyershallimmediatelynotifytheSellerinwritingandputforwardacertificateissuedbytheCCIC.Thecertificatesoissuedshallbeacceptedasthebaseoftheclaim.TheSeller，inaccordancewiththeBuyer‘sclaim，shallberesponsiblefortheimmediateeliminationofthedefects，completeorpartialreplacementofthecommodity，ordevaluatethecommodityaccordingtothestateofdefects.Wherenecessary，theBuyermayeliminatethedefectsthemselvesattheSeller’sexpenses.IftheSellerfailstoreplywithinonmonthafterreceiptoftheaforesaidclaim，theclaimshallbereckonedashavingbeenacceptedbytheSeller.賣方保證，貨物到達(dá)目的港12個月內(nèi)，如果使用過程中由于材料質(zhì)量低劣和工藝不佳而出現(xiàn)的損壞，買方立即以書面形式通知賣方并出具中國進(jìn)出口商品檢驗總公司開列的檢驗證書，提出索賠。商檢證書為索賠的依據(jù)。按買方索賠要求，賣方有責(zé)任立即排除貨物的缺陷、全部或部分更換或根據(jù)缺陷情況將貨物作降價處理。15.ForceMajeure15、不可抗力TheSellershallnotbeheldresponsiblefordelayinshipmentornon-deliveryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloading.TheSellershalladvisetheBuyeroftheoccurrencementionedabovewithin15（fifteen）daysandsendbyairmailacertificateoftheincidentissuedbythelocalgovernmenttotheBuyer.Eveninsuchcases，theSellerisstillliabletotakeallpossiblemeasurestoexpeditethedeliveryofgoods.在貨物制造和裝運過程中，由于發(fā)生不可抗力事故致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方在不可抗力事件發(fā)生后，應(yīng)立即通知買方并在事發(fā)14天內(nèi)，將事故發(fā)生所在地*簽發(fā)的證書航空郵寄給買方以作證據(jù)。即使在此情況下，賣方仍有責(zé)任采取必要的措施，盡快交貨。ShouldtheSellerfailstoperformthecontractedobligations10（ten）weeksaftertheaforesaidincident，theBuyershallhavetherighttotreatthecontractasnullandvoid.不可抗力事故發(fā)生后超過10個星期而合同尚未履行完畢，買方有權(quán)撤銷合同。16.Latedeliveryandpenalty16、合同延期和罰款ShouldtheSellerfailtomakedeliverywithinthecontractedperiodforreasonsotherthanForceMajeurespecifiedinClause15hereof，theBuyermayacceptthepostponementonconditionthattheSelleragreestopayapenaltywhichshallbedeductedbythepayingbankfromtheagreedamountofpayment.Thepenalty，however，shallnotexceed5%（fivepercent）ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.55（zeropointfivepercent）foreverysevendays，odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellerfailstomakedeliverytenweekslaterthantheshipmentstipulatedinthecontract，theBuyershallhavetherighttocancelthecontract.TheSeller，inspiteofthecancellation，shal
