中國對外承包工程商會頒布2019版系列分包工程合同（中英文對照）共有如下五套分包工程合同：（1）2019版國際承包工程貨物采購合同條件（中英文對照）CONTRACTCONDITIONSOFGOODSPURCHASEFORINTERNATIONALCONTRACTINGWORKS中英文共計5.4萬字，word文檔。（2）2019版施工分包合同條件（適用于單價分包合同）（中英文對照）CONDITIONSOFCONTRACTFORCONSTRUCTIONSUBCONTRACTS(applicabletounitpricesubcontracts)中英文共計11萬余字，word文檔。（3）2019版施工分包合同條件（適用于總價分包合同）（中英文對照）CONDITIONSOFCONTRACTFORCONSTRUCTIONSUBCONTRACTS(applicabletolumpsumsubcontracts)中英文共計約11萬字，word文檔。（4）2019版設計分包合同條件（中英文對照）SUBCONTRACTCONDITIONSFORDESIGN中英文共計約7.1萬字，word文檔。（5）2019版安裝分包合同條件（中英文對照）CONDITIONSOFTHEINSTALLATIONSUBCONTRACT中英文共計11萬余字，word文檔。安裝分包合同部分章節(jié)示例如下：10.4不合格的材料和設備10.4Unqualifiedmaterialsandequipment10.4.1如分包商使用了不合格的材料或設備，承包商有權指示分包商予以處理，由此造成的一切損失由分包商負責。10.4.1ProvidedthattheSubcontractorsusethesubstandardmaterialsorequipment,theContractorshallhavetherighttoinstructittodisposeofthesameandtheSubcontractorshallberesponsibleforalldamagecausedthereby.10.4.2如承包商的檢查或檢驗結(jié)果表明分包商提供的材料或設備不符合合同要求時，承包商可以拒絕驗收，并立即通知分包商予以更換。10.4.2ProvidedthattheContractor'sinspectionorexaminationshowsthatthematerialsorequipmentsuppliedbytheSubcontractorfailtoconformtotherequirementsoftheContract,theContractormayrefuseacceptanceandimmediatelynotifytheSubcontractortoreplacethesame.10.4.3如檢查或檢驗結(jié)果表明，承包商提供的材料和/或設備不符合合同要求，分包商有權拒絕接收，并可要求承包商予以更換，由此增加的費用和工期延誤責任由承包商承擔。10.4.3Providedthattheinspectionorexaminationshowsthatthematerialsand/orequipmentsuppliedbytheContractorfailtoconformtotherequirementsoftheContract,theSubcontractorshallbeentitledtorejectthesameandmayrequiretheContractortomakereplacementthereof,theresponsibilityforanyincreaseincostanddelayarisingtherefromshallbebornebytheContractor.10.55重新檢驗10.5Re-inspection不論何種原因，若承包商對以往的檢驗結(jié)果有疑問時，可以指示分包商重新檢驗，分包商不得拒絕。如重新檢驗結(jié)果證明分包商提供的材料和設備不符合分包合同要求，則應由分包商承擔重新檢驗的費用和工期延誤責任。若重新檢驗結(jié)果證明這些材料和工程設備符合合同要求，則應由承包商承擔重新檢驗的費用和工期延誤責任。If,forwhateverreason,theContractorisindoubtabouttheresultsofapreviousinspection,mayinstructthere-inspectiontobemadebySubcontractorwhichshallnotrefusetodoso.Wherethere-inspectionprovesthesematerialsandequipmentfailtomeettherequirementsofthesubcontract,theSubcontractorshallbeliableforthecostofthere-inspectionandthedelay.Wheretheresultsofthere-inspectionprovesuchmaterialsandengineeringequipmentmeettherequirementsofthecontract,theContractorshallbeliableforthecostofthere-inspectionandforanydelayintheworkschedule.10.6分包商不進行檢查和檢驗的補救辦法10.6Remediesfornon-inspectionandnon-inspection10.6.1如分包商未能完成承包商指示的檢查和檢驗工作，承包商可以指派自己的人員或委托其他有資質(zhì)的檢驗機構(gòu)或人員進行檢查和檢驗，分包商不得拒絕，并應提供一切方便。由此增加的費用和工期延誤責任由分包商承擔。10.6.1ProvidedthattheSubcontractorfailstocompletetheinspectionandexaminationworkasdirectedbytheContractor,theContractormayappointitsownpersonnelorcommissionotherqualifiedinspectionagenciesorpersonneltocarryouttheinspectionandexamination,andtheSubcontractorshallnotrefusetodosoandshallprovideallfacilitiestherefore.TheliabilityforsuchincreasedcostandconstructionperioddelayshallbebornebytheSubcontractor.10.6.2承包商和/或分包商的檢查不能替代業(yè)主和/或工程師的檢查，業(yè)主和/或工程師的檢查結(jié)果為最終結(jié)果。業(yè)主和/或工程師有權對分包商提供的材料和設備進行檢查，分包商應根據(jù)第11條的約定對業(yè)主和/或工程師的檢查結(jié)果進行整改或處理。10.6.2TheContractor'sand/orSubcontractor'sinspectionisnotasubstitutefortheEmployer'sand/orEngineer'sinspectionwhichshallbefinal.TheEmployerand/ortheEngineershallhavetherighttoinspectthematerialsandequipmentsuppliedbytheSubcontractorwhichshall,inaccordancewiththeagreementinArticle11,rectifyordealwiththeresultsoftheEmployer'sand/ortheEngineer'sinspection.11不合格的工程、材料和設備的處理11Treatmentofunqualifiedworks,materialsandequipment11.1在不損害本分包合同其他合同條款約定的情況下，如果由于分包商使用了不合格材料和設備造成了工程損害，承包商可以隨時發(fā)出指示要求分包商立即采取措施進行補救，直到徹底清除工程的不合格部位以及不合格的材料和設備，由此增加的費用和工期延誤責任由分包商承擔。若上述不合格的材料或設備由承包商提供的，應由承包商負責更換，并承擔由此增加的費用和工期延誤責任。11.1Withoutprejudicetotheothercontractualprovisionshereof,providedthatthedamagetotheWorksiscausedbytheuseofsubstandardmaterialsandequipmentbytheSubcontractor,theContractormayatanytimeissueinstructionsrequiringittotakeimmediateactionstoremedythedefectivepartsoftheWorks,thenon-conformingmaterialsandequipmentuntilwhicharecompletelyremoved,inadditiontotheliabilitiesforincreasedcostandconstructionperioddelayshallbebornebytheSubcontractor.However,ifsaidnon-conformingmaterialorequipmentissuppliedbytheContractor,itshallbetheContractor'sresponsibilitytoreplacethesameandshallbeliablefortheincreasedcostanddelaythereof.11.2如分包商無故拖延或拒絕執(zhí)行承包商的上述指示，則承包商有權委托第三方執(zhí)行該項指示，由此增加的費用及工期延誤責任由分包商承擔。11.2ProvidedthattheSubcontractorunreasonablydelaysorrefusestoexecutetheaboveinstructionsoftheContractor,theContractorshallbeentitledtoinstructathirdpartytoexecutesuchinstructionsandtheSubcontractorshallbeliableforanyadditionalcostsanddelaysresultingtherefrom.12質(zhì)量12.Quality12.1按照要求施工12.1Constructioninaccordancewiththerequirements12.1.1分包商應嚴格按照分包合同約定的通用和特別技術條款，圖紙，設計文件以及文件中所提及的相關標準和規(guī)范進行安裝工程的施工，確保工程質(zhì)量達到分包合同技術規(guī)范的要求，與此有關的所有費用全部由分包商承擔，包括但不限于試驗檢測、放樣和驗收、措施等費用。12.1.1TheSubcontractorshallcarryoutthe

instrictaccordancewiththegeneralandspecialtechnicaltermsofthesubcontract,thedrawings,thedesigndocuments,therelevantstandardsandspecificationsreferredtointhedocumentstoensurethequalityoftheworksmeetstherequirementsofthetechnicalspecificationswhichspecifiedinthesubcontract,andallcostsrelatingtheretoarebornebytheSubcontractor,includingbutnotlimitedtothecostsoftestingandinspection,constructionloftingandacceptance,constructionmeasures,etc.12.1.2分包商未經(jīng)承包商同意，自行提高工程質(zhì)量標準所產(chǎn)生的費用，由分包商自行承擔。12.1.2TheexpensesincurredbytheSubcontractorinraisingthequalitystandardsoftheWorkswithouttheconsentoftheContractorshallbebornebytheSubcontractor.12.2質(zhì)量體系文件12.2Thedocumentsofqualitysystem12.2.1分包商在安裝工程施工前應向承包商提交施工組織設計、總體施工計劃、質(zhì)保體系、安全體系、職業(yè)健康體系，質(zhì)量保證體系文件等。分包商應在分包合同約定或承包商要求的時間內(nèi)提交上述文件。12.2.1TheSubcontractorshall,priortocommencementofconstructionof

InstallationWorks,submittheconstructionorganizationdesign,generalconstructionplan,qualityassurancesystem,safetysystem,occupationalhealthsystemandqualityassurancesystemdocuments,etc.totheContractor.TheSubcontractorshallsubmittheabovedocumentswithinthetimespecifiedintheSubcontractorrequiredbytheContractor.12.2.2在承包商收到分包商提交第12.2.1款約定的文件后的14天內(nèi)，承包商應回復分包商，給出批準、意見或否決的決定。12.2.2TheContractorshall,within14daysuponreceiptofthedocumentssubmittedbytheSubcontractor,whichspecifiedinarticle12.2.1,respondtotheSubcontractorwiththedecisionsofapproval,commentorrejection.12.2.3分包商應在收到承包商回復意見后的14天內(nèi)或承包商另行要求的期限內(nèi)，按照承包商的回復意見進行修改并向承包商重新遞交文件。12.2.3TheSubcontractorshallreviseandresubmitthedocumentstotheContractorinaccordancewiththeContractor'sresponsewithin14daysofreceiptoftheContractor'sresponseorwithinsuchotherperiodastheContractormayrequest.12.3質(zhì)量檢查12.3Qualityinspection12.3.1在安裝施工過程中，分包商自檢人員必須對每一道工序進行現(xiàn)場監(jiān)督，質(zhì)量達不到合格工程標準以及不符合規(guī)范要求的，應及時予以修復和返工。如造成與其相關聯(lián)的其他工序出現(xiàn)質(zhì)量問題，分包商除了承擔本工序的修復返工費用外，同時承擔關聯(lián)工序的返工費用。每道工序完工后，經(jīng)自檢達到合格工程標準，報承包商檢查合格后方可進行下一道工序施工。12.3.1TheSubcontractor'sself-inspectionpersonnelshall,duringthe

process,superviseeachprocessonsite,theworkswiththequalityfailingtomeetthestandardofqualifiedworkandtherequirementsofthespecificationsshall,inatimelymanner,berepairedandreworked.Incaseofqualityproblemsinotherprocessesrelatedtoit,theSubcontractorshallbearthereworkcostsoftherelatedprocessbesidestherepaircostoftheprocess.Theworkwill,uponcompletionofeachprocess,bemadeself-inspectiontothesatisfactorystandardandfileitthecontractorforinspectionbeforethenextprocesscanbecarriedout.12.3.2分包商應將施工原始記錄和其他承包商要求提供的施工技術資料等及時報送承包商。12.3.2TheSubcontractorshall,withoutanydelay,submittotheContractortheoriginalconstructionrecordsandothertechnicalconstructioninformationrequiredbytheContractor,etc.12.3.3在分包合同施工期間，分包商應執(zhí)行承包商、業(yè)主和/或工程師發(fā)出的一切書面通知、意見、批示、決定等，如果對業(yè)主和/或工程師的書面通知、意見、批示、決定等不同意的，在執(zhí)行的同時應立即向承包商反映，并由承包商同業(yè)主和/或工程師交涉解決。為避免誤解和歧義，分包商對業(yè)主和/或工程師發(fā)出的一切書面通知、意見、批示、決定等提出異議，并不意味著分包商的提出的異議應得到支持。在未得到業(yè)主和/或工程師的同意或認可時，分包商應根據(jù)分包合同的約定向承包商提出索賠意向通知，由承包商遞交給業(yè)主和/或工程師，按照分包合同第33.4條[相關索賠]處理。12.3.3TheSubcontractorshall,duringtheconstructionoftheSubcontract,executeallwrittennotices,opinions,instructions,decisions,etc.,whichissuedbytheContractor,theEmployerand/ortheEngineer.ProvidedthattheSubcontractordisagreeswiththewrittennotices,opinions,instructions,decisionsandothersfromtheEmployerand/ortheEngineer,shallforthwithmakeknowntotheContractorwhilebeingexecuteandtheissuesshallberesolvedbytheContractorinconsultationwiththeEmployerand/ortheEngineer.Fortheavoidanceofmisunderstandingandambiguity,theobjectionssubmittedbytheSubcontractoronallwrittennotices,comments,instructions,decisions,etc.issuedbytheEmployerand/ortheEngineerfailtomeantheobjectionsraisedbytheSubcontractorshallbeupheld.TheSubcontractorshall,ifwithoutagreementoracceptancebytheEmployerand/ortheEngineer,givetheNoticeofIntenttoClaimtotheContractorinaccordancewiththeSubcontract,whichshallbesubmitt?edbytheContractortotheEmployerand/ortheEngineerunderarticle33.4[RelatedClaims]oftheSubcontract.12.3.4承包商有權對全部工程的所有部位及其任何一項工藝、材料和工程設備進行檢查和檢驗。分包商應為承包商的質(zhì)量檢查和檢驗提供一切方便，包括承包商赴施工現(xiàn)場或制造、加工地點或分包合同約定的其他地方進行察看和查閱施工記錄。分包商還應按承包商的指示、進行現(xiàn)場取樣試驗、工程復核測量和設備性能檢測，提供試驗樣品、試驗報告和測量成果以及承包商要求進行的其他工作。承包商的檢查和檢驗不免除分包商按分包合同約定應對工程質(zhì)量所承擔的責任。12.3.4TheContractorshallhavetherighttoinspectandexamineallpartsofthewholeWorksandanyofitsworkmanship,materialsandengineeringequipment.TheSubcontractorshallprovideallfacilitiesfortheContractor'squalityinspectionsandchecks,includingtheContractor'svisitstotheconstructionsiteorplaceofmanufacture,processingorotherplacesasspecifiedintheSubcontractforinspectionandaccesstoconstructionrecords;theSubcontractorshallalsocarryoutfieldsamplingtests,engineeringreviewmeasurementsandequipmentperformancetestsasdirectedbytheContractor;providetestsamples,testreportsandmeasurementresultsandotherworksasrequiredbytheContractor.TheContractor'sinspectionandexaminationdoesnotrelievetheSubcontractorofhisresponsibilityforthequalityoftheworkassetforthinthesubcontract.12.3.5承包商的質(zhì)量檢查不能替代業(yè)主和/或工程師的檢查。業(yè)主和/或工程師有權對分包商工程質(zhì)量進行檢查，分包商應根據(jù)業(yè)主和/或業(yè)主咨詢工程師或工程師的檢查結(jié)果進行整改。12.3TheContractor'squalityinspectionisnotasubstitutefortheEmployer'sand/ortheEngineer'sinspection.TheEmployerand/ortheEngineershallhavetherighttoinspectthequalityoftheSubcontractor'sworkandtheSubcontractorshallrectifythesameinaccordancewiththeresultsofinspectionbytheEmployer'sand/ortheEmployer'sConsultingEngineer'sortheEngineer.12.3.6如承包商質(zhì)量檢查結(jié)果與業(yè)主和/或工程師的檢查結(jié)果不一致時，應以業(yè)主和/或工程師的檢查結(jié)果為最終結(jié)果。12.3.6IntheeventofdiscrepanciesbetweentheresultsoftheContractor'squalityinspectionsandthoseoftheEmployerand/ortheEngineer,theresultsoftheEmployer'sand/ortheEngineer'sinspectionsshallbefinalandprevail.13現(xiàn)場試驗13Fieldtest13.1現(xiàn)場材料試驗13.1Fieldmaterialtest13.1.1在分包商自負費用建立現(xiàn)場實驗室的情況下，分包商應在工地建立自己的實驗室，配備足夠的人員和設備，按分包合同約定和承包商的指示進行各項材料試驗，并為承包商進行質(zhì)量檢查和檢驗提供必要的試驗資料和原始記錄。13.1.1Underthecircumstancesofestablishmentoftheon-sitelaboratoryattheSubcontractor’sownexpense,theSubcontractorshallestablishitsownlaboratoryonsitewithsufficientpersonnelandequipmenttocarryoutallmaterialtestsasspecifiedintheSubcontractandasdirectedbytheContractor,andtoprovidethenecessarytestdataandoriginalrecordsfortheContractor’squalitychecksandinspections.13.1.2承包商在質(zhì)量檢查和檢驗過程中若需抽樣試驗，所需試件應由分包商提供，承包商可以使用分包商的試驗設備，分包商應予協(xié)助。上述試驗所需提供的試件和承包商使用試驗設備所需的費用由分包商承擔。13.1.2WheretheContractorneedssamplingtestsduringthequalityinspectionandtestprocess,therequiredspecimensshallbeprovidedbytheSubcontractor.TheContractormayuseitstestequipment,forwhichtheSubcontractorshallassistandbearthecostofthetestandtestequipment.13.1.3在分包商不在現(xiàn)場建立實驗室時，則所有試驗由承包商負責進行，承包商應在試驗結(jié)果書面通知分包商，試驗費用由分包商承擔。13.1.3ProvidedthatfailureofestablishmentofthesitelaboratorybytheSubcontractor,alltestsshallbemadebytheContractorwhichshallnotifytheSubcontractorinwritingoftheresultsofthetests,andthetestexpenseshouldbefortheaccountoftheSubcontractor.13.2現(xiàn)場工藝試驗13.2Fieldtechnologytest13.2.1分包商應按分包合同約定和承包商的指示進行現(xiàn)場工藝試驗，除分包合同另有約定外，因此產(chǎn)生的一切費用由分包商承擔。13.2.1TheSubcontractorshallconducton-sitetechnologytestsasspecifiedintheSubcontractandasdirectedbytheContractorandallcostsarisingtherefromshallbebornebytheSubcontractorunlessotherwisespecifiedintheSubcontract.13.2.2分包商的工藝試驗應獲得承包商、業(yè)主和/或工程師的批準。13.2.2TheSubcontractor'stechnologytestsshallbeapprovedbytheContractor,theEmployerand/ortheEngineer.14隱蔽工程和工程的隱蔽部位14.Concealedworksandtheconcealedpartsoftheworks14.1覆蓋前的驗收14.1Acceptancebeforecoverage14.1.1隱蔽工程和工程的隱蔽部位經(jīng)分包商的自檢確認具備覆蓋條件后，分包商應提前48小時書面通知承包商進行檢查，通知應按約定的格式說明檢查地點、內(nèi)容和檢查時間，并附有分包商自檢記錄和必要的檢查資料。14.1.1TheSubcontractorshall,uponconfirmation,bytheSubcontractor'sself-inspection,ofcoverageconditionsoftheconcealedworksandconcealedpartsoftheWorks,give48hours'noticeinwritingtotheContractorforinspection,whichshallstatetheplace,contentandtimeofinspectionintheagreedformatandbeaccompaniedbytheSubcontractor'sself-inspectionrecordsandthenecessaryinspectioninformation.14.1.2承包商應按通知約定的時間指派人員和組織業(yè)主和/或工程師到場進行檢查，在承包商和業(yè)主和/或工程師確認質(zhì)量符合設計和規(guī)范要求，并在檢查記錄上簽字后，分包商才能進行覆蓋。14.1.2TheContractorshallassignitspersonnelandconvenethesite-inspectionwiththepresenceoftheEmployerand/orEngineeratthetimespecifiedinthenotice,andtheSubcontractorshallnotproceedwiththecoverageuntiltheconfirmation,bytheContractorandtheEmployerand/orEngineer,ofthequalitythereoftobe
