承租方以充分法人和法律責(zé)任，在出偽證受罰下確認(rèn)，在他和出租方簽這意向書和其他協(xié)議和文件時，他完全知道他的財務(wù)能力和他的銀行信貸額度。TheLESSEEfurtherconfirmsthattheLESSEEisauthorizedtoverifythefundsofeachtrancheoftheContractwithhisbank,ifnecessary.Intheeventofunsatisfactoryverification,thetransactionwillbesuspendedimmediatelyandtheLesseeisinbreachoftheContractandliableforlegalconsequences.承租方還確認(rèn)，如有必要，承租方已授權(quán)和他的銀行驗證合同的每一批資金。萬一驗證欠佳的情況下，該交易將被立即暫停。出租方違反本合同，將承擔(dān)法律后果。LESSOR′SOBLIGATIONS:出租的的義務(wù)TheLESSORwithfullcorporateandlegalresponsibilities,andunderpenaltyofperjury,confirmsthatLESSORisfullyawareofthecommitmentoftheInstrumentswhencountersigningthisLOI.承租方以充分法人和法律責(zé)任，在出偽證受罰下確認(rèn)，在他加簽這意向書，他完全知道他對這些銀行票據(jù)的承諾。TheLESSORfurtherconfirmstodelivertheinstruments,tonegotiateandmakeproperarrangementwiththeprovidertocontinuouslysupplytheinstrumentsuntilthewholecontractedvolumeisexhausted.Withoutexpressedwrittenpermission,neitherpartyshallcontactthebankoftheotherparty.Bothpartiesmaychangebankingcoordinateswithwrittennoticetotheotherparty.出租方進(jìn)一步確認(rèn)，他要交付這些票據(jù)，他要和開證方進(jìn)行談判和作出適當(dāng)?shù)陌才?，不斷提供這些票據(jù)，直到完成整個合同數(shù)量。沒有明確的書面允許，任何一方都不得聯(lián)系對方的銀行。雙方都可改變銀他的銀行坐標(biāo)，但要以書面通知對方。PENALTYCLAUSEFORNON-PERFORMANCE不履約罰金條款ShouldanyofthesignatoryPartieshereinfailtoperformaccordingtothetermsandasrequiredbythiscontract,oncesigned,then,thefailingPartyshallindemnifytheaggrievedPartyforanamountof2%ofthesaidtrancheintransaction.Thedistributionofthe2%penaltyshallbe1%totheaggrievedsignatoryPartyofthecontractand1%toalloftheConsultantsdesignatedintheIrrevocableMasterFeeProtectionAgreement.Said1%willbedividedaccordingtothepercentagedelineateddistributionsintheIrrevocableMasterFeeProtectionAgreement.

如果本文任何簽約方不能按照條款履約，正如本合同所要求的，一旦簽署，那么，違約方應(yīng)賠償該批交易金額的2％給受損害方。2%的罰金應(yīng)把1.0％付給合同的受害方。1%應(yīng)按照傭金保護(hù)協(xié)議所規(guī)定的分配比例，分給所有中介方。NON-SOLICITATION非懇求TheLESSEEherebyconfirmsanddeclaresthattheLessor,itsassociatesorrepresentativesoranypersonorpersonsonitsbehalfhas/havenevereversolicitedthelessee,itsshareholdersorassociatesorrepresentativesinanywaywhatsoeverthatcanbeconstruedasasolicitationforthistransactionorforfuturetransactions.
