(yùn)期內(nèi)將貨物運(yùn)輸?shù)胶贤?guī)定的交貨港交付由買方指定的空運(yùn)承運(yùn)人或其代理掌握。IncaseofCFR:TheSellershalldeliverthegoodswithinthetimeofdeliveryfromtheportofdeliverytoportofdestination.TheSellershall,immediatelyafterdispatchofthegoods,advisetheBuyerbyfaxofthecontractNo.,commodity,invoicevalueandthedateofdispatchfortheBuyertoarrangeinsuranceintime.Shouldtheportofdestinationmarkedontheairwaybillbefoundnotinconformitywiththestipulationsofthiscontract,theBuyershallhavetherighttorefusetoeffectthepayment.在CFR情況下：賣方負(fù)責(zé)在裝運(yùn)期內(nèi)將貨物從裝運(yùn)港運(yùn)輸?shù)侥康母?。賣方應(yīng)在貨物起運(yùn)后立刻用傳真通知買方合同號(hào)，商品名稱，發(fā)票金額，裝運(yùn)日期以便買方及時(shí)安排保險(xiǎn)。如果空運(yùn)單據(jù)上標(biāo)明的目的港與合同規(guī)定不符，買方有權(quán)拒付貨款。IncaseofCIFterms:a.TheSellershallshipthegoodswithinthetimeofshipmentfromtheportofshipmenttotheportofdestination.Theairfreight,insurancepremiuminrespectoftheexportationofgoodscontractedshallbebornebytheSeller.在CIF情況下：賣方負(fù)責(zé)在裝運(yùn)期內(nèi)將貨物從裝運(yùn)港運(yùn)輸?shù)侥康母邸Ｅc出口貨物有關(guān)的合同貨物的運(yùn)費(fèi)，保險(xiǎn)費(fèi)由賣方承擔(dān)。SHIPPINGADVICE:TheSellersshall,immediatelyuponthecompletionoftheloadingofthegoods,advisebyfaxtheBuyersoftheContractNo.,commodity,quantity,invoicedvalue,grossweightanddateofsailingetc.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSellernothavinginformedintime,alllossesshallbebornebytheSeller.裝運(yùn)通知：賣方應(yīng)該在貨物裝船完畢后，立刻通知買方合同號(hào)，貨物，數(shù)量，發(fā)票金額，毛重，船名及起航時(shí)間。如果由于賣方?jīng)]有及時(shí)通知買方發(fā)貨時(shí)間而導(dǎo)致買方?jīng)]有投保，所有的損失將由賣方負(fù)擔(dān)。GUARANTEEOFQUALITY:TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequalityandspecificationstipulatedinthisContractandconformstothedatasheetsortechnicalmanualsofthecommoditiescontracted.Theguaranteeperiodshallbe12monthscountingfromthedateonwhichthecommodityarrivesattheportofdestination,and/orcountingfromthedateonwhichtheAcceptanceCertificatehasbeensignedbytherepresentativesofbothparties,iftheinstallationandinspectionforacceptanceofthecommoditiescontractedarerequired..品質(zhì)保證：賣方保證此貨物是用最好的材料,一流的工藝,是原廠、原包裝，符合合同的規(guī)定的品質(zhì)和級(jí)別的新產(chǎn)品，擔(dān)保期為貨物到達(dá)目的港之日起或雙方簽署驗(yàn)收?qǐng)?bào)告之日(如有安裝)12個(gè)月。CLAIMS:Within120daysafterthearrivalofthegoodsatdestination,shouldthespecification,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbytheStateAdministrationofImportandExportCommoditiesInspectionofthePeople’sRepublicofChina(hereinafterreferredtoasSACI),havetherighttoclaimforreplacementwithnewgoods,orforcompensationorrepairandallexpenses(suchasinspectioncharges,repairingfee,freightforreturningthegoodsandforsendingthereplacement,ortherepairedgoods,insurancepremium,storageandloadingandunloadingchargesetc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,within12monthsfromthedateofarrivalofthegoodsatdestination,or12monthscountingfromthedateonwhichtheAcceptanceCertificatehasbeensignedbytherepresentativesofbothparties,iftheinstallationandinspectionforacceptanceofthecommoditiescontractedarerequired,damagesoccurinthecourseofoperationbyreasonofinferiorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbySACI.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyers'claimshallberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s).Wherenecessary,theBuyersshallbeatlibertytoeliminatethedefect(s)themselvesattheSellers'expenses.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.索賠：如果在貨物到達(dá)目的港的120天內(nèi)發(fā)現(xiàn)其質(zhì)量、規(guī)格或數(shù)量不符合本合同之規(guī)定（因保險(xiǎn)公司或船主因負(fù)責(zé)的索賠除外〕，買方有權(quán)憑中國(guó)進(jìn)出口商檢局出具的檢驗(yàn)證書要求換貨，或要求補(bǔ)償，而且所有的費(fèi)用（如檢驗(yàn)費(fèi)、退貨的運(yùn)費(fèi)以及更換貨物的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)、裝卸費(fèi)等等〕應(yīng)由賣方承擔(dān)。關(guān)于質(zhì)量問題，賣方擔(dān)保如果貨物到達(dá)目的港后的十二個(gè)月內(nèi)在操作過(guò)程中發(fā)現(xiàn)因質(zhì)量低劣、工藝不好或因采用了低劣的材料而貨物發(fā)生損壞時(shí)，買方將立即以書面形式通知賣方并憑中國(guó)進(jìn)出口商檢局出具的檢驗(yàn)證書提出索賠。開具的檢驗(yàn)證書應(yīng)作為索賠的基礎(chǔ)而予以接受。賣方應(yīng)按照買方的要求負(fù)責(zé)立即排除故障，全部或部分更換貨物。買方在必要時(shí)可自行排除故障，費(fèi)用由賣方承擔(dān)。如果在收到上述索賠要求的一個(gè)月內(nèi)不予答復(fù)，則認(rèn)為賣方已經(jīng)接受買方的索賠要求。FORCEMAJEURE:TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithin10daysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoc
