4.3

鋼結(jié)構(gòu)制造完成后，并經(jīng)買方驗(yàn)收后五個(gè)工作日內(nèi)，買方應(yīng)付予賣方合同總價(jià)之60%，即人民幣

4.4

買方支付賣方的所有款項(xiàng)均以銀行匯票或電匯方式匯至賣方指定在

銀行所開之帳號(hào)，號(hào)碼086861-10224020560。所有付款日期均以賣方收款之銀行收款憑證日期為準(zhǔn)。如買方逾期五天付款，須從第六天起按日支付該筆逾期款項(xiàng)0.1%的滯納金。若買方之逾期付款超過(guò)應(yīng)付款日三十天后，賣方有權(quán)單方面取消整個(gè)合同，并沒收買方已支付之定金、預(yù)付款和其他款項(xiàng)作為賠償。若該筆款項(xiàng)不足彌補(bǔ)賣方之損失，則買方還需就不足部分支付賠償金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller’sdesignatedaccountat

第五條

設(shè)計(jì)、制造進(jìn)度及期限Article5.ProgressandTimeLimitonDesignandManufacture5.1

賣方收到定金后四周內(nèi)，應(yīng)向買方提供設(shè)計(jì)所需的反力圖及地腳螺栓布置圖。買方應(yīng)盡快將以上資料提交負(fù)責(zé)設(shè)計(jì)地基和基礎(chǔ)的設(shè)計(jì)院。有關(guān)設(shè)計(jì)院的所有費(fèi)用（包括圖簽費(fèi)用）均由買方承擔(dān)。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.

5.2

收到預(yù)付款后

周，賣方應(yīng)完成鋼結(jié)構(gòu)制造并通知買方派員到賣方工廠進(jìn)行交貨發(fā)運(yùn)前檢驗(yàn)。Within

weeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.

5.3

買方驗(yàn)收后已付賣方第4.3條貨款后一周內(nèi)，賣方應(yīng)將產(chǎn)品運(yùn)至工地現(xiàn)場(chǎng)。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.

5.4

買方若要求變更鋼結(jié)構(gòu)規(guī)格或設(shè)計(jì)，應(yīng)以書面方式通知賣方，賣方在可能的情況下盡量滿足買方要求，但賣方可視增加之工時(shí)和材料調(diào)整本合同價(jià)格及期限，經(jīng)買賣雙方同意后才生效。所有鋼結(jié)構(gòu)規(guī)格或設(shè)計(jì)之變更，若因買方未能于兩天內(nèi)簽署賣方所提供的有關(guān)確認(rèn)文件，均視為買方取消變更要求，恢復(fù)原本規(guī)格或設(shè)計(jì)。如因此而造成鋼結(jié)構(gòu)設(shè)計(jì)或制造之延誤，則買方須承擔(dān)一切責(zé)任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.

5.5

除天災(zāi)人禍等不可抗力因素及因買方未盡本合同責(zé)任之情形以外，如賣方逾期完成以上任何一項(xiàng)義務(wù)，須從逾期第四天起按日支付該筆逾期款項(xiàng)0.1%的罰款，但該罰款不應(yīng)超過(guò)本合同總價(jià)之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.

5.6

第5.2及5.3條所提到的交貨時(shí)限是以買方在收到鋼結(jié)構(gòu)設(shè)計(jì)圖后七天內(nèi)把確認(rèn)圖還給賣方和買方在收到驗(yàn)收通知后七天內(nèi)派員到賣方工廠進(jìn)行貨物檢驗(yàn)為根據(jù)。買方每逾期一天確認(rèn)設(shè)計(jì)圖或到賣方工廠驗(yàn)貨，無(wú)論什么原因，賣方的交貨時(shí)限會(huì)延遲兩天，如該逾期超過(guò)七天，賣方有權(quán)根據(jù)其當(dāng)時(shí)的業(yè)務(wù)要求重新安排交貨時(shí)間。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.

5.7

買方應(yīng)賠償或補(bǔ)償賣方因買方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費(fèi)用，該費(fèi)用以每天每噸人民幣83元計(jì)算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.

第六條

裝運(yùn)和清點(diǎn)Article6.Packing,ShippingandInventory6.1

鋼結(jié)構(gòu)制造完畢、經(jīng)買方驗(yàn)收后方能裝運(yùn)到工地現(xiàn)場(chǎng)。賣方應(yīng)提前一周前通知買方其發(fā)運(yùn)日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場(chǎng)物資存放的道路、場(chǎng)地及水電供應(yīng)等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.

6.2

貨物到達(dá)工地現(xiàn)場(chǎng)后，買方應(yīng)即時(shí)清點(diǎn)及驗(yàn)查貨物質(zhì)量并簽收。如有損壞，買方應(yīng)即時(shí)通知賣方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.

6.3

工地現(xiàn)場(chǎng)的卸貨由買方負(fù)責(zé)，如有延誤，所有費(fèi)用由買方負(fù)責(zé)。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.

第七條

產(chǎn)品檢驗(yàn)Article7.InspectionofGoods7.1

如在驗(yàn)收過(guò)程中，買方發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復(fù)，達(dá)到合同要求。如有爭(zhēng)議，買方可申請(qǐng)上海進(jìn)出口商品檢驗(yàn)局就產(chǎn)品質(zhì)量、規(guī)格及性能進(jìn)行檢驗(yàn)，所有費(fèi)用由買方承擔(dān)。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.

第八條

賣方聲明和保證Article8.Seller’sRepresentationsandWarranties8.1

賣方對(duì)產(chǎn)品質(zhì)量作出下列聲明及保證：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:

8.2

鋼結(jié)構(gòu)設(shè)計(jì)以美國(guó)MetalbuildingMembersAssociation(MBMA)

建筑規(guī)范

（1986年版）及相關(guān)技術(shù)文本為標(biāo)準(zhǔn)。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.

8.3

賣方對(duì)產(chǎn)品的質(zhì)量保證期為一年，在產(chǎn)品送達(dá)工地現(xiàn)場(chǎng)一年內(nèi)，如產(chǎn)品在正常操作情況下出現(xiàn)質(zhì)量問(wèn)題，賣方會(huì)免費(fèi)提供維修服務(wù)。此產(chǎn)品質(zhì)量保證不包括因買方不當(dāng)處置產(chǎn)品引致之問(wèn)題或原材料引致之間接損失或隨之發(fā)生的損害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.

第九條

技術(shù)資料和單據(jù)Article9.TechnicalInformationandReceipts9.1

賣方應(yīng)在產(chǎn)品送達(dá)工地現(xiàn)場(chǎng)一周前，把下列技術(shù)資料交給買方：9.1.1由制造廠發(fā)出產(chǎn)品說(shuō)明書一份；和9.1.2施工圖一式三份。WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:9.1.1Acopyoftheproductdescriptionissuedbythemanufacturer;and9.1.2Threecopiesoftheconstructiondrawings.

9.2

賣方應(yīng)于賣方在產(chǎn)品運(yùn)出后，把下列單據(jù)交給買方：9.2.1稅務(wù)發(fā)票，內(nèi)容注明本合同編號(hào)、項(xiàng)目名稱等；9.2.2交貨清單一式四份；9.2.3制造廠簽發(fā)的質(zhì)量證明書；和Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:9.2.1Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.9.2.2Fourcopiesoftheinventorylistofthegoodsdelivered;9.2.3Thequalityandquantitycertificateissuedbythemanufacturer;and

不可抗力Article10.

ForceMajeure10.1

買賣雙方中任何一方，由于人力不可抗力事故而影響合同執(zhí)行時(shí)，則延遲履行合同的期限，延遲的時(shí)間相當(dāng)于事故所影響的時(shí)間，受事故影響一方應(yīng)于事故發(fā)生后三天內(nèi)將所發(fā)生的不可抗力事故的情況用傳真方式通知對(duì)方，并在十天內(nèi)遞交有關(guān)證明文件給另一方確認(rèn)。當(dāng)不可抗力事故終止后，受事故影響的一方應(yīng)于事故終止后三天內(nèi)用以傳真方式通知對(duì)方，并以信件證實(shí)。任何不可抗力事故影響合同執(zhí)行超過(guò)12周以上的，雙方應(yīng)應(yīng)合同執(zhí)行的有關(guān)問(wèn)題進(jìn)行協(xié)商。IftheperformanceoftheBuyerorSellerunderthisContractisaffectedbyaforcemajeure,thentheperiodforsuchperformanceshallbepostponedduringthedurationofsuchevent.Theaffectedpartyshallnotifytheotherpartybyfaxwithin3daysoftheoccurrenceofsucheventandshallprovidetheotherpartyevidenceofsucheventwithin10daysoftheoccurrenceofsuchevent.Aftertheforcemajeureeventhasterminated,theaffectedpartyshallnotifytheotherpartybyfaxwithin3dayaftertheterminationofsucheventfollowedbyalattertoevidencesuchtermination.ThepartiesshalldiscusstheproblemsofthisContractifanyforcemajeureeventshallaffectsuchperformanceformorethan12weeks.

10.2

不可抗力事故包括任何預(yù)料之外事件，如戰(zhàn)爭(zhēng)、叛亂、暴動(dòng)、騷動(dòng)、火災(zāi)、罷工、自然災(zāi)害、禁運(yùn)及任何其他賣方控制范圍以外之事件。Forpurposeshereof,forcemajeuremeansanyunforeseeableevent,suchaswar,insurrection,mobaction,civilcommotion,fire,strike,naturaldisaster,embargoandanyothereventoutsidethecontroloftheSeller.

第十一條

仲裁Article11.Arbitration11.1

凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決，如協(xié)商不成，任何一方可提交上海市經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行仲裁，仲裁裁決是最終的，對(duì)雙方都有約束力。仲裁費(fèi)用由敗訴方承擔(dān)。AlldisputesarisingoutoforinconnectionwiththisContractshallberesolvedbythepartiesthroughfriendlynegotiations.Ifthepartiesareunabletoresolvesuchdisputes,eitherpartymaysubmitsuchdisputestoarbitrationbytheChinaInternationalEconomicandTradeArbitrationCommission,whicharbitralawardshallbefinalandbindingonbothparties.Thecostsofarbitrationshallbebornebythelosingparty.

第十二條

其他條款A(yù)rticle12.OtherProvisions12.1

本合同經(jīng)雙方簽字及蓋章后生效。買賣雙方之所有責(zé)任和義務(wù)完畢時(shí)，本合同自然終止。ThisContractshallbeeffectiveafterbothpartieshavesignedandsealedit.WhenthedutiesandobligationsoftheBuyerandSellerarecompleted,thiscontractshallautomaticallyterminate.

12.2

本合同的附件為本合同不可分割之組成部分，與本合同具有同等法律效力。TheappendicestothisContractconstituteaninseparablepartofthisContractandshallhavethesamelegaleffectofthisContract.

12.3

本合同包含雙方所有談判內(nèi)容及協(xié)商的條款，并取代雙方以往對(duì)合同項(xiàng)目的一切協(xié)議。ThisContractsetsforththeentireunderstandingandagreementofthepartiesandshallsupersedeallprioragreementsbetweenthepartieswithrespecttotheprojectsetforthinthisContract.

12.4

本合同正本一式四份，由買賣雙方各執(zhí)二份。ThisContracthasfourcounterparts,theBuyerandtheSellereachtohavetwocounterparts.

合同附件Appendix設(shè)計(jì)及材料說(shuō)明Design&MaterialsSpecification

1.

主框架：MainFrame:所有鋼性框架為焊接成型的變截面“I”形柱、梁；所有端墻屋面梁和端墻柱根據(jù)設(shè)計(jì)要求同樣選擇組合焊接“I”型變截面，設(shè)計(jì)時(shí)根據(jù)AISC1989年6月1日版的“鋼結(jié)構(gòu)建筑規(guī)范”中允許應(yīng)力設(shè)計(jì)及塑性應(yīng)力設(shè)計(jì)：Allrigidframeswillbewelded,built-up“I”sections.Thecolumnsandtherafterswillbothselectwelded,built-up“I”accordingtodesignrequirementsThedesignwillbeinaccordancewiththestressdesignandplasticstressdesignpermittedbyAISC’sJune1,1989editionof“SpecificationforStructuralSteelBuildings”.

所有底板，拼接板，蓋板和加強(qiáng)板應(yīng)在工廠焊接到結(jié)構(gòu)構(gòu)件上；螺栓孔以及所有底板，拼接板和翼緣板均在工廠預(yù)制，并打好螺栓連接孔；腹板的工廠預(yù)制包括對(duì)拉桿支撐及翼緣支撐的沖孔定位。Allbaseplates,spliceplates,capplates,andstiffenerswillbeweldedintoplaceonthestructuralpartsinthefactory.Anchorboltopeningsandallbaseplates,spliceplatesandflangeswillbepre-fabricatedatthefactoryandincludeboltconnectionholes.Webswillbeshopfabricatedtoincludecablebraceandrodbraceholesandflangebraceholes.

組合焊接截面鋼材的材質(zhì)相當(dāng)于___鋼；鋼支架制作完畢后表面噴砂除銹，表面再涂覆醇酸快干底漆。Thequalityofsteelforallbuilt-upsectionswillbethesameas____.Aftertheframeismanufactured,injectingsandandundustingfromtheface,thencovercoats.

次結(jié)構(gòu)：Substructure:檁條和圍梁為冷彎“Z”型或

“C”

型薄壁型鋼，并在翼緣設(shè)置加強(qiáng)件，工廠加工時(shí)預(yù)先沖孔，以便于在現(xiàn)場(chǎng)將其與主框架用螺栓連接起來(lái)，檐口支撐為翼緣寬度不等的冷彎C型材。Purlinsandgirtsshouldbecold-formed“Z”or“C”sectionswithstiffenedflanges.Theywillbepre-punchedatthefactorytoprovideforfieldboltingtotheprimaryframing.Eavestrutsshouldbeunequalflange,cold-formed“C”sections.
