EmploymentContract勞動雇用合同BetweenAnd與年月___日11Contractpartners合同兩方CompanyFluggerCoatings(Shanghai)Co.Ltd.,(hereinafterreferredtoas“TheCompany")awhollyforeignownedenterpriseorganizedandexistingunderthelawsoftheP。R.C.,withitslegaladdressatRoom1806,TomsonInternationalTradeBuilding,No.1JiLongRoad,WaigaoqiaoFreeTradeZone,Shanghai,representedinthiscontractbyMr。HenrikLarsen.甲方業(yè)。法定地址:在本合同中以先生為企業(yè)代表Employee_______________________(hereinafterreferredtoas“TheEmployee"),IDNumber:乙方___(以下稱作“乙方”)身份證號碼:2Employment雇用關系2.1TheCompanyherebyoffersformalemploymenttotheEmployee,andtheEmployeeherebyagreestobeemployedbytheCompany,withtheworkareaoftechnicalsupport,inaccordancewiththetermsandconditionssetforthinthisContract,theJobDescriptionandtheRemunerationSchemeannexedtothisContractandtheEmployeeHandbook.AcleanreleasefromtheEmployee'spreviousemployerisrequired;otherwisetheCompanyholdstherighttorevokethisoffer.依照本合同及其隸屬的工作描繪與酬勞表以及企業(yè)員工手冊中所列的條款和要求,甲方正式雇用乙方,乙方贊同接受雇用。乙方的工作范圍屬于技術服務相關的各樣事務。乙方一定與前雇主完整離開雇用關系,不然甲方有權撤回要約。3Durationandprobationperiod合同期和試用期3。1ThisContract,signedbytheCompanyandtheEmployee,shallcontinuefrom,foraperiodofyears(hereinafterreferredtoas“TheTerm”),unlesstheContractisearlierterminatedinaccordancewithitsprovisions。本合同由甲方和乙方共同簽署.除非其因合同有關條款的規(guī)定而提早停止,合同有效期(以下稱為“合同期”)將從年月日起連續(xù)至年月日,為期年.3。2TheEmployeeshallberequiredtoundergoaperiodofprobationof3months.EmployeeswhorenewcontractsareexceptionsifagreedtobytheCompany)。乙方應該執(zhí)行為期三個月的試用期。(乙方經甲方贊同續(xù)簽合同的狀況除外)3.3TheCompanymaydismisstheEmployeeatanytimeduring,orattheendof,theprobationaryperiodiftheCompanyconsidersthattheEmployee’performancescannotsatisfytherecruitmentconditionsorthestandardsinthejobdescriptionduringtheprobationaryperiod.IftheCompanyconsidersthattheEmployee’sperformancehasbeensatisfactoryduringtheprobationaryperiod,theEmployee2shallbecomearegularemployeeoftheCompanyinaccordancewiththetermsofthisContract,andtheprobationperiodwillbewithinthecontractterm。在試用期中的任何時間或試用期末,甲方假如以為乙方的表現(xiàn)沒有達到雇用的條件或工作描繪的標準,能夠隨時解雇乙方。假如甲方對乙方在試用時期的表現(xiàn)滿意,則依據合同條款乙方將成為甲方的正式員工,并將試用期計入合同期內.3。4ExecutionofthisLaborContractshallterminateatitsexpiration.Atleast30dayspriortothescheduledexpirationoftheTerm,theCompanyshalloffertheEmployeearenewaloftheContractiftheCompanyintendstorenewtheContract。IftheCompanyofferstorenewtheContract,theEmployeeshallacceptorrefusetherenewalpriortotheexpirationoftheTerm.IntheeventthattheEmployeefailstorespondpriortotheexpirationoftheTerm,theEmployeeshallbedeemedtohaverefusedtorenewtheContract.合同期滿后本合同將停止。假如甲方打算續(xù)簽合同,應該在本合同期滿之日至少30天前向乙方發(fā)出續(xù)簽的要約。在甲方發(fā)出續(xù)簽合同的要約后,乙方應該在合同期滿前接受或拒絕該要約。假如乙方在本合同期滿前沒有表態(tài),視為放棄續(xù)約。4Workscopeandworktime工作范圍與工作時間4。1ThescopeoftheEmployee’dutiesshallbedeterminedfromtimetotimeinaccordancewiththeneedsoftheCompanybythedeputygeneralmanageroramanageroftheCompanydesignatedbythedeputygeneralmanager.TheCompanyhastheright,afterconsultingwiththeEmployee,toadjustthescopeoftheEmployee'sdutiesintermsoftheCompanyadministrative’srequirements,andtheEmployee’professionalcapabilityandworkingperformance.TheEmployeeshalldiligentlyperformhis/herdutiestothebestofhis/herabilityinaccordancewiththeinstructionsofhis/hersupervisors,workinco—operationwithhis/hersupervisorsandcolleagues,andobservethetermofthisContractandtheworkrulesoftheCompanycontainedintheEmployeeHandbookoftheCompanyorotherwiseissuedbytheCompany.乙方的職責范圍由甲方的副總經理或指定的管理人員依據甲方的需要隨時進行規(guī)定。在與乙方商討后,甲方有權依據甲方的管理需要、乙方的專業(yè)能力與工作表現(xiàn)調整乙方的職責范圍。乙方應該依照上司的指示勤懇地執(zhí)行職責并發(fā)揮最大能力,與上司和同事共同努力,恪守本合同的條款以及包含在甲方員工手冊或甲方公布的其余文件中的工作規(guī)章。4。2TheEmployeeshallbeentitledtolegalholidays,annualleave,andotherpaidleavesofabsenceinaccordancewithapplicablelawandtheCompany'sworkrules,whichareinforcefromtimetotime。ThetermsofleavesofabsenceatthedateofcommencementoftheTermisdescribedintheRemunerationSchemeattachedtothiscontract。乙方有權享受法定節(jié)假日、年假和其余時時奏效的有關法律及甲方工作規(guī)章所規(guī)定的帶薪假期。有關合同奏效日起假期的條款請參照本合同所附的酬勞表。5Remuneration勞動酬勞5.1ThemonthlysalaryoftheEmployeeduringhis/herprobationaryperiodshallbeassetforthintheRemunerationScheme.Afterthesatisfactorycompletionofthe3probationaryperiod,theCompanywillconductanassessmentoftheEmployees’technicallevel,workattitudeandefficiencyetc.ThereaftertheCompanymaychangethewageoftheEmployeefromtimetotimebasedontheperformanceoftheEmployee.乙方在試用期內的月薪將在酬勞表中列明.假如乙方在試用期的表現(xiàn)令甲方滿意,甲方將對其技術水平、工作態(tài)度、效率水同等進行評估。今后,甲方可依據乙方的表現(xiàn)合時對其薪資進行調整.5。2ItisstipulatedthatduringperiodoflegalholidaysandMarriageorBereavementLeavesandlegalparticipationinsocialactivities,theCompanyshallpaythewage。乙方在法定休假日和婚喪假時期以及依法參加社會活動時期,甲方依法支付薪資。5.3AsforothersubsidyandallowanceoftheEmployee,theCompanyshallconduceaccordingtorelevantregulationsofP。R.CortheCompany’sownremunerationsystem。乙方的其余津貼、補助等候遇,甲方按國家和本單位有關規(guī)定執(zhí)行。5。4TheCompanywillpayallremunerationdirectlytotheEmployeeincash,lessanyamountrequiredtobewithheldbytheCompanyasindividualincometax。TheEmployeeshall,however,havesoleresponsibilityforanyindividualincometaxandanyotherchargesortaxesimposedontheEmployee’sremuneration。甲方將所有酬勞在扣除依法由甲方代扣的諸如個人所得稅等花費后以現(xiàn)金形式直接支付給乙方。乙方將對繳納個人所得稅以及與酬勞有關的其余任何費稅義務擔當所有責任.6Socialinsuranceandwelfare社會保障和福利6.1AccordingtothestipulationsofP。R。C,theCompanyshallpaySocialInsuranceFundfortheEmployee,theEmployeeshallundertakehisownpartofSocialInsuranceFund。甲方按國家規(guī)定為乙方繳納社會保險金,乙方按規(guī)定繳納個人應該擔當的部分。6.2IncasetheEmployeeisillorinjuredfornon—workreasons,theCompanyshalloffertheEmployeeaperiodofmedicaltreatmentaccordingtothepatient'scircumstancesandthelengthofhis/herserviceintheCompany。ThelivingexpensesandmedicalfeesarepaidinaccordancewithrelevantregulationsofP。R。C。乙方生病或非因工負傷,甲方按其病情及在本單位工作時間長短,賜予必定的醫(yī)療期。醫(yī)療時期的生活花費和醫(yī)療花費,按國家有關規(guī)定執(zhí)行。6.3Asforotheritemsofinsuranceandwelfare,theCompanyshallconduceaccordingto。乙方的其余保險和福利待遇,甲方應將按國家有關規(guī)定執(zhí)行。7Workconditionandlaborprotection勞動條件與勞動保護47.1safetyandhygieneandregulationsonworkinghours,restandholidaysystemaswellasspecialprotectionsonfemaleemployees;andprovideoccupationalsafetyandhealthconditionsconformingtorelevantprovisionofP.R。CandnecessaryarticlestoensuretheEmployeewillbesafeandhealthyduringprocessofproductionorwork.IftheEmployeeistobeengagedinworkwithoccupationalhazards,regularmedicalcheckshouldbeprovided。甲方嚴格執(zhí)行國家勞動安全衛(wèi)生規(guī)程和標準、工作時間和歇息、休假制度及女員工特別保護規(guī)定,為乙方供給切合國家規(guī)定的勞動安全衛(wèi)生條件和必需的勞動保護用品,保障乙方在工作(生產)過程的安全和健康.如安排乙方從事職業(yè)危害的作業(yè),需對乙方按期進行健康檢查。7。2TheEmployeemuststrictlyabidebyrulesofsafeoperationsduringworkingprocess,andhastherighttorefusepeccantcommand。乙方在生產過程中一定嚴格恪守安全操作規(guī)程,并有權拒絕違章指揮。8Labordiscipline勞動紀律8.1TheEmployeeshallcomplywithallaspectsoftheCompany’srulesrelatingtolabordisciplineandotherworkrulesandproceduresoftheCompanycontainedintheEmployeeHandbookorotherwiseissuedbytheCompanyfromtimetotime。乙方應恪守甲方包含在員工手冊或甲方時時公布的其余文件中的所有有關勞動紀律、工作制度與程序的規(guī)定。8。2TheEmployeeisrequiredtodevotehis/herfullworkingpowerandabilitytotheCompany,andisnotallowedtoperformworkinhis/herleisuretimeforotheremployersorhim/herselfduringthetermofthisContract.乙方應向甲方貢獻他所有的工作能力和才華,在合同期內不得利用工作時間為其余雇主或自己自己服務。8。3TheEmployeeisnotallowedtoacceptgiftsorloansfromanypersonororganizationcommerciallyrelatedorinotherwaysrelatedtotheCompany..乙方不得從與甲方有商業(yè)或其余來往的任何個人或組織處接受禮品或貸款8。4TheEmployeeshallnotacceptgifts,loansorotherbenefitsfromothercompanyorpersonsbecauseofhis/herworkintheCompanyeitherdirectlyorindirectly,乙方不得利用其在甲方的工作關系直接或間接從其余任何組織或個人處接受禮物、貸款或其余利處。8。5TheEmployeeshallnotbehaveexceedingtheEmployee'sauthorityorabusetheEmployee’spower,obeyarrangementsandordersfromtheEmployee'ssupervisor,andmaintaingoodrelationshipwiththeEmployee’scolleagues。乙方不得越權行事和濫用職權。乙方應依照上司的安排和指示行事,并與同事保持優(yōu)秀的工作關系.8.6TheEmployeeshallprotecttheassetsoftheCompany.TheEmployeeshallneverusetheassetsoftheCompanyforthepurposeexceptfortheEmployee?!痵work5乙方應該保護甲方財產,不得將甲方的財產用于工作以外的其余目的.。1。3ofthisContract。假如乙方違反了以上任何一條都將視為嚴重違紀,甲方將以此依據本合同9。1。條和9。1。3條之規(guī)定停止合同。9TerminationofContractbytheCompany甲方一方面排除合同9。1TheCompanymaydismisstheEmployeeatanytimewithoutfurthernoticeiftheEmployee:乙方有以下情況之一的,甲方能夠不發(fā)出通知而隨時直接解雇乙方:9.1。1Isproventobeincompetentfortheemployingrequirementduringhis/herperiodofprobation;在試用期內被證明不切合錄取條件的;SeriouslybreachlabordisciplinesorregulationsasstipulatedbytheCompany;嚴重違犯勞動紀律或甲方依法擬訂的規(guī)章制度的;9。1.3Seriouslyneglectshisdutyandengagesinmalpracticesforselfishends,thuscausingsignificantharmtotheinterestsoftheCompany;or嚴重瀆職、徇私作弊,對甲方利益造成重要傷害的;9。1.4isfoundguiltyaccordingtothelawsofP.R。C。被依法追查刑事責任的9。2TheCompanymaydismisstheEmployeewith30dayspriorwrittennoticeif:乙方有以下情況之一的,甲方應提早30天以書面形式通知乙方排除合同:9.2.1theEmployeesuffersfromadiseaseorhassustainedaninjurythatisnotworkrelated,andisunabletoresumehis/heroriginalworkupontheexpirationofthemedicaltreatmentperiod,andcontinuestobeincapableofachievinganadequatelevelofperformanceaftertransfertoadifferentposition;乙方生病或非因工負傷,經治療不可以復工或調整工作崗位后仍不可以從事正常工作的;9。2.2theEmployeeisincapableofperformingthedutiesofhis/herpositionandcontinuestobeincapableofachievinganadequatelevelofperformanceaftertrainingortransfertoadifferentposition;乙方不可以勝任本員工作,經培訓或調整工作崗位仍不勝任工作的;9.2。3amajorchangeintheobjectivecircumstancespursuanttowhichthisContractwasenteredintohasrenderedtheContractincapableofbeingcarriedoutandtheCompanyandtheEmployeehavefailedtoreachagreementontheamendmentoftheContract;or合同訂即刻所依照的客觀環(huán)境發(fā)生重要改變使合同沒法正常執(zhí)行,而且甲方和6乙方對合同的改正沒法完成一致的;9。2.4theCompanyneedstoreducethenumberofitspersonnelinordertoavoidseriouseconomicproblemsorasaresultoftheoccurrenceofmajorproductionoroperationalproblems,andhasconsultedwiththeCompany’stradeunionortheEmployee.為防止嚴重的經濟問題或作為甲方生產、運轉上出現(xiàn)重要問題的結果,甲方經與工會或乙方自己磋商后需要減員的;9.3IftheCompanydismissestheEmployeepursuanttoArticle9.2,theCompanyshallpaycompensationtotheEmployeeinaccordancewithapplicablelaw。假如甲方依照9.2條解雇乙方,甲方將依據有關法律向乙方支付賠償金。9.4TheCompanycannottakeArticle9。2asbasistoterminatetheContract,ifoneofthefollowingcasesoccurstotheEmployee:乙方有以下情況之一的,甲方不得依照本合同9。2條排除合同:9.4。1theEmployeesuffersfromoccupationaldiseaseorisinjuredfromwork,andloseshislaborcapacityorpartofthelaborcapacity,thefactofwhichisapprovedbytherelevantgovernmentorganization;;乙方患職業(yè)病或因工負傷,經有關政府機構確認喪失或部分喪失勞動能力的9.4。2theEmployeeisillorinjuredandiswithinthestipulatedmedicaltreatmentperiod;乙方生病或許負傷,在規(guī)定的醫(yī)療期內的;9。4。3femalestaffduringherpregnancy,puerperiumorbreast-feedingperiod;or乙方在孕期、產期、哺乳期內;underotherconditionsstipulatedbylawsandregulations.。法律、行政法例規(guī)定的其余情況;10TerminationofthecontractbytheEmployee乙方一方面排除合同10。1TheEmployeemayatanytimeresignfromemploymentwiththeCompanywith30dayswrittennotice。IftheEmployeedoessoresign,theCompanyshallhavenoobligationtopayanycompensationtotheEmployeeinrespectoftheterminationoftheContract.乙方能夠在任何時間解雇工作,但應提早30天以書面形式通知甲方。假如乙方主動離職,甲方將對合同的排除不擔當當何賠償義務。10。2IfanEmployeewhohasreceivedtrainingfromtheCompanyresignspursuanttoArticle10。1beforetheendofthetermoftheContract,theEmployeeshall,onresignation,repaytotheCompanytrainingexpensesaccordingtotherelevantCompanyrules。假如乙方在合同期滿前依照10.1條解雇工作時已經接受了甲方培訓,則乙方一定依照甲方有關規(guī)定向甲方償還該培訓花費。10.3NotwithstandingtheprovisionofArticle10.1,theEmployeemayresignatanytimewithoutnotice:只管合同10.1條有所規(guī)定,但存在以下情況之一的,乙方能夠隨時排除勞動合同:7duringhis/herperiodofprobation;在乙方試用期內;10.3。2iftheCompanyfailstopayremunerationorprovideworkingconditionsinaccordancewiththetermsofthisContract;甲方沒有依照合同規(guī)定向乙方支付酬勞或供給工作環(huán)境的10.3。3othercasesgovernedbyapplicablelawsorregulationsofP.R。C。中華人民共和國的有關法律或法例列明的其余情況。11Confidentiality保密11。1TheEmployeeagreestomaintaintheconfidentialityofthisLaborContractandallinformationwhichmaybedisclosedtotheEmployeeconcerningmanufacturingandmanagementprocessesandtechnology,marketingorfinancialinformationoftheCompanyoranybusinessentityaffiliatedwiththeCompany,informationrelatingtotheproducts,procedures,businessandservicesoftheCompany,inthestrictestconfidenceandagreesnottodisclose,directlyorindirectly,inanymanner,anysuchinformationtoanypersoninsideoroutsidetheCompanywithoutthepriorwrittenconsentoftheCompanyorforanypurposeotherthantheEmployee’sperformanceofhis/herdutiesandobligationsunderthisContract.TheEmployeespecificallyagreesthatthisobligationwillsurvivetheterminationoftheContract。乙方應許諾對本合同以及所有可能向乙方表露的有關甲方的生產和管理程序與技術,甲方或甲方的關系經濟實體的營銷或財務信息,甲方的產品、工藝、經營、服務信息等進行嚴格保密。預先未經甲方書面贊同或出于執(zhí)行合同規(guī)定的職責或義務以外的任何其余目的,乙方均不得直接或間接以任何方式向甲方的內部或外面的任何人員流露有關信息。乙方贊同上述義務在合同停止后仍舊有效。11。2UponterminationoftheContract,theEmployeeshallpromptlyreturntotheCompanyalldrawings,blueprints,memoranda,clientlists,businesscardsbothpersonalandthosecollectedduringthetimeofemployment,keys,computerdisks,clothing,formulae,financialstatementsandmarketinginformationoftheCompanyinthepossessionoftheCompany。在合同停止時,乙方應該馬上向甲方送還工作中占用或掌握的所有圖紙、宏圖、備忘錄、客戶名單、個人名片和在工作時期采集的名片、鑰匙、計算機磁盤、制服、配方設計及甲方的財務報表和市場營銷信息.11.3Intheeventofviolationofdutiesofconfidentiality,theEmployeeshallpaypenaltytotheCompanyforbreachofcontractequalingtotheEmployee'sone—yearincomefromtheCompany.IfthepenaltyforbreachofcontractcannotcoverthelossesoftheCompanycausedbytheEmployee,theEmployeeshallcompensatealllossesoftheCompany。假如乙方違反了保密職責,其應該向甲方支付相當于其在甲方一年收入數額的罰款。假如該罰款不足以填補乙方給甲方帶來的損失,乙方應該賠償支付甲方的所有損失。812Inventions發(fā)明創(chuàng)建12。1If,duringthetermoftheContract,theEmployeeperformsworkthatresultsinthedevelopmentofanyinventionsrelatingtoprocesses,productsorformulations(the“Inventions”),suchInventionsshallbetheexclusivepropertyoftheCompany,andtheEmployeeshallpromptlydisclosetheInventionstotheCompany,andshalltakeallnecessarysteps,includingtheexecutionofdocuments,tovesttitleandownershipoftheInventionsintheCompany.Notwithstandingtheforegoing,theEmployeeshallhavetherighttoretainownershipofallpatentsobtainedonanyInventionsmadebytheEmployeeduringhis/hernon—workinghours,andwithoutuseoforreferencetotheCompany'sfacilities,informationormaterials。在合同期內,乙方假如在工作過程中創(chuàng)建了任何與生產工藝、產品或配方設計有關的發(fā)明(以下稱為“發(fā)明”),則這些發(fā)明應歸甲方獨有。乙方應該快速把發(fā)明流露給甲方并采納必需步驟(包含文件制作)使甲方獲取專利的所有權。除如前所述外,乙方對其在非工作時間不借助甲方設施或參照甲方信息資料所創(chuàng)建的任何發(fā)明,均擁有所有專利所有權。13Training培訓13。1ItisthepolicyoftheCompanytoprovidecontinuouson—the-sitetraining.TheCompanymayalsorequiretheEmployeetoundertakeanoff—sitetrainingprogramiftheCompanyconsidersitappropriate。
