ThisContractismadeandenteredintotnOCteinSulaiminiyhbyandbetweenMassIraqCementCo,Ltd(astheBuyer)andChinaJiangsuGrandEconomicDevolpmentCo.,Ltd.acompanyincorporatedunderthelawsofChina(hereinafterreferredtoastheseller).

Whereas,theBuyerdesirestoengagetheSellertoprovidetheMiningEquipment,allrelateddesign,technicaldocument,technicalserviceandtechnicaltrainingandtoobtainfromtheSelllicense)fknow-howandothertechnicainformatiorinrelationiththeEquipment'design,erection,commissioning,operationandmaintenance.Nowitisherebymutuallyagreedasfollows:

Definitions

“Acceptance”meanstheBuyeracceptedthetEquipmenrdancewithArticlexx.

“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle9.4forthpurposeofcarryingoutPerformanceTest.

“ContractmeansthisOontractsignedbyandbetweentheBuyerandtheSellerjncludingAppendicesattachedwhichshallformanintegralpartofthisContract.

“EffectiVeteoftheContract'meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle16.1.

“Equipment'meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliebytheSelleraslistedinAppendix3.

“Erection'meanstheinstallationoftheEquipmentincludingplacingarnslConnectingtheirpositionsaccordingtothedesigndrawing.

“JobSite'meansthesitewheretheEquipmentstealhrid/olrocerected,namelyMassIraqCementPlant.

“LasShipment'meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached100percentofthetotaltheEquipmentprice.

“Performanceest”meansthetestforexaminingwhethertheEquipmentisabletomeetguaranteefigures.

“TechniceDbcument”meansthetechnicalndices,pecificions,drawings,manualandinstructiorelatedothedesign,erectiontest-ruic,ommissioning,acceptanceoperatioiandmaintenanceoftheEquipmenttobeprovidedbytheSeller.

“TechnicalService”meansthetechnicalinstruction,guLsdaistanrenderedbytheSeller.

“TechnicalTraining”meansthetrainingrhndSreder.

“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.

“WarrantPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedn

Article10.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArt10.

ScopeoftheContract

TheSeller'sObligation

TheSellershallsupplytheEquipmentandspareparts,providethedesign,Technical

Document,andconducttheTechnicalServiceandTechnicalTraining,andgrantanon-exclusiveandnon-transferableghttousetheknow-howandothertechnicalnformatiorelatetotheEquipment'sdesign,Erection,Commission,operationandmaintenance.

TheSellershallprocureandsupplytheEquipmentandsparepartswhichislistednAppendix,thespecificationisdetailedinAppendix.

TheSelleishallprovidedesigninrespecttotheEquipmentandsubmittotheBuyertheTechnicalDocument.

TheSellershallconducttheTechnicalServicesattheJobSite.

TheSellershallconducttheTechnicalTrainingoftheBuyer'straineesasperAppendi

TheSellengreestograntnon-exclusivandnon-transferableghttousetheknow-how,othertechnicalnformatiorelatetotheEquipment'&esign,ErectionCommission,operationandmaintenancefreeofcharge,whichtheSellerprovidesanddisclosestotheBuyerduringtheimplementationoftheContractperiod.

TheBuyer'sObligation

TheBuyershallathisowncostsandexpenses,providetheSellerwithallinformationancdataconcerningthedesignasperAppendix.TheBuyershallensurethecorrectnessandexactitudofallsuchinformationanddata.

TheBuyershallathisowncostsandexpenses,obtainallnecessaryimportpermits,undertakecustomsclearancetakedeliveryoftheEquipmenttobesuppliecbytheSellerrndtransportthemfromporttotheJobSiteintime.

TheBuyeshallathisowncostsandexpenses,performalltheciviworks,construction,Erection,TestRunandCommissioninginaccordancewiththeTechnicalDocumentandundertheTechnicalServicesrenderedbytheSeller.

TheBuyershallathisowncostsandexpenses,performnecessaryadministratiomdsecurityguardattheJobSite.

Price

TheBuyeragreestopaythetotalContractpricetotheseller,TechnicalTrainingandServifeeisfree.

ThetotalContractprice,includingpriceoftheEquipment,designandTechnicalDocument,shallbe.

ThepriceforEquipmentis.

Feefordesignis.

FeeforTechnicalDocumentis.

ThetotalContractpricefortheEquipmentisfordeliveryCIFShanghai.CIFtermisinaccordancewithINTERNTIONALRULESOFTHEINTERPRETATIONOFTRADETERMS(INCOTERMS),2000edition,issuedbytheINTERNONALCHAMBEROFCOMMERCE(ICC).

ThetotalContractpriceincludesthepriceforsparepartslistedinAppendix.However,totalContractpricealsocoverthesupplyofanyothersparepartsusedintheMiningconstructAttheBuyer'srequestSeihermayprovidewithanyotherspareparts.Aseparateagreementwillbesignedbetweentwoparties.

Theabovepriceisfixedandfirm.

ThetotalContractpricecovertheTechnicalServicefeeandTechnicalTrainingfee.

Payment

DownPayment

AftersigningtheContract,theBuyershallpay30%percentoftheeachequipmentContractpricebyT/TtotheSellerwhenthesellerisfinishedtheindentwiththefactor.andinformtheBuyer

ThebalanceofthetotalContractpriceamounting(saysonly)shallpaidbyaconfirmeirrevocablLetterofCreditatsight,issuedwithin20daysaftersigningtheContractbyareputablebankandacceptabletothesS(Blih&nfavoroftheSeller.TheLetterofCreditshallbeavailableuponthepresentationofthefollowingdocuments:

Delivery

TheDeliveryoftheEquipment

ThedeliveryoftheEquipmentlistedinAppendixshallbecompletedwithin()monthfromtheEffectiveDateofContract.

Within()monthsaftertheEffectiveDateoftheContract,theSellershallsendtcBuyerapreliminarydeliveryschedulebyEmail..

Notlaterthan()daysbeforethefirstshipment,theSellershallsubmittotheBuyefinaldeliveryscheduleinthree(3)copiesindicatingContractnumber,dispatchnumber,nameoftheEquipment,quantityapproximatedimensions,volumeofeachpackageandtimeofeachshipment.

TheloadingportisShanghaiChina,whiletheunloadingportis.

Advanceshipment,partialshipmentandtransshipmentareallowed,however,theSellershalinformtheBuyerthirty(30)daysbeforesuchshipment.

ThedateofBillofLadingforeachshipmentshallbeconsideredastheactualdeliverydaThdateoftheLastShipmentshallbeconsideredistheactualwholedeliverydateofthe

EquipmenttobesuppliedbytheSeller.

IftheEquipmentareshippedondeck,theSellershallberesponsiblefortheirproperpacandtakespecialprotectivemeasures.

TheSellershallnotifytheBuyerbyEmailbbbofthefollowingwithinfive(5)workingdayaftereachshipmentiseffected:

IftheSellerfailstodelivertheEquipmentinaccordancewiththefinaldeliveryschedulSellershallpaytotheBuyerliquidateddamagesforsuchdelayatthefollowingrates:

TheDeliveryofTechnicalDocument

TheTechnicalDocumentshallbedelivereCIPbyairwithin()monthsaftertheEffectiveDateoftheContract.

ThedateofairwaybillshallberegardedastheactualdeliverydateoftheTechnicalDocument.

Within()workingdaysaftersendingeachlotofTechnicalDocument,theSellershalinformtheBuyeroftheContractnumber,itemnumber,numberanddateofairwaybillandtheflight.

Incaseofshortage,flarssdaomagecausedtotheTechnicalDocumentduetotheSeller'sreason,theSellershallmakesupplementtotheBuyerdwithifit4nreceivingtheBuyer'swrittennotificationwithoutanycharge.

TheLateDeliveryofTechnicalDocument

IftheSellerfailstodelivertheTechnicalDocumentintime,theSellershallpaytotheliquidateddamagesforsuchdelayatthefollowingrates:

ThepaymentofliquidatedamagesunderArticle04.1aboveshallbeincompletesatisfactioftheSeller'obligatiorNotwithstanding;heSellermakesthepaymentoftheliquidatedamagesfortheTechnicalDocument,theSellershallnotbereleaseobbligationodelivertheTechnicalDocument.

PackingandMarking

TheEquipmentshallbepackedtowithstandlongdistancetransportation,multiplehandling.

TheSellershallmarkthefollowingDntwooppositesidesofeachpackagewithindeliblepaintedEnglishwords:

TheSelleishallmarkonthepackage,ifnecessary,“HandlevithCare",“RighSideUp”,“Fragilorotherindicativearksaccordingtothecharacteristandfeaturefthegoodsaswellasdifferentrequirementfortransportation,loadingandunloadingofthegoods.

Ifthegoodsweighthree(3)ormorethanthree(3)metrictons,gravity,hoistingpositionillustrativemarksshallbemarkedsoastofacilityloading,unloadingandhanding.

AllTechnicalDocumentprovidedbytheSelleishallbeproperly)ackedtowithstandLong

distancetransportationandmultiplehandling.Thesurfaceofeachpackageshallbemarkedwiththefollowingwords:

StandardsandInspection

TheSellershallcarryoutthedesign,manufacture,inspectioandtestoftheEquipmentsuppliecbytheSelleraccordingtotheexisting;tandards)fthePeople'RepublicofChina,namelyGB.

ItismutuallyagreedbybothpartiethattheEquipmentsuppliecbytheSellershallbeinspectedbytheEntry-InspectionandQuarantineBureauofthePeople'sRepublicofChinaandthattheCertificateofInspectionshallbedeemedastheeffectiveevidenceofthequantityqualityoftheEquipment.TheinspectionfeeshallbeontheSeller'saccount.

TheBuyershouldstoretheEquipmentafteritsarrivalattheJobSiteinaccordancewiththstorageinstructiongivenbytheSeller.ThesellershouldassistanttheBuyertodothis.

TheopencaseinspectionoftheEquipmentshallbeperformedinthepresenceoftheSeller'srepresentativesathisownexpensesontheJobSite.

TheBuyershallinformtheSellerofthedateone(1)monthbeforethedateofopencase

inspectionandshallalsorenderassistancetotheSeller'sinspectorsintheirinspectionwork

Duringthejointopen-caseinspection,adetailedinspectionrecordshallbemadeandsigneebytherepresentativesofbothparties.

InasetheSellerLsresponsiblforanydefectorshortageoftheEquipment,theinspectionrecordshallbetakenasaneffectivevidencefortheBuyertoclaimrepairreplacementorsupplementtotheSeller.

Ifanymissing,defectofordamagetotheEquipmentisfoundinopen-caseinspection

attributabletotheBuyer'sresponsibilityorfault,oranythirdparty,s(suchascarrier,sorresponsibilictyfaulttheSellershallmakerepair,eplacementorsupplementattheBuyer'sexpensesinaccordancewiththeseparateagreementsignedbybothparties.

TheBuyerisnotentitledoopenthecase,assembleand/ordisassembletheEquipmentwithouttheSeller'spriorwrittenconsent.

IfthereisnotjointopenctaisoenidnusepetcotheBuyer'sreason,thequantityandapparentqualityoftheEquipmentshallbedeemedcorrectandinperfectcondition.

DesignandDesignLiaison

TheBuyershallprovidetotheSellerwithin10daysaftertheEffectiveDateoftheContracallthedesigndatawhichshallbetakenasthedesignbasis.

Adesignliaisomeetingshallbeheldintheonemonthafterreceivinghebasicdesigninformation,theSellerdiwsiplaltchhistechnicalpersonneltotheJobSitetoparticipateinthemeeting.Duringthemeetingperiod,theSellerwilldiscussviththeBuyertherelevandesigndetails.Bothpartiesshallsignanagreementoutliningthedesigndetails.

Duringthedesignliaisomeeting,theSelleiandtheBuyershallprovideassistanctotheother'dispatched)ersonnelinarrangingentryvisastotherespectiveountriesTheexpenseincurredonthedispatchedpersonnelshallbebornebythepartyrespectively.

Erection,TestRun,Commissioning,PerformanceTestandAcceptance

TheErection,TestRun,Commissioning,PerformanceTestshallbeconductedbytheBuyerwiththeassistanceoftheSellerasperAppendix6.

ChiefRepresentatives

Eachpartyshallnominateone(1)ChiefRepresentativetodealwiththetechnicalmattersduringtheperiodfromthestartoftheErectiontoAcceptanceoftheEquipment.

DetailedarrangementsshallbemadethroughfriendlydiscussionsbytheChiefRepresentativesofbothparties.TheChiefRepresentativesofbothpartiesshallfullycooperatecarryouttheirdutiesstipulateidntheContract,howevertheyhavenorighttorevise,alteroramendtheContractwithoutthewrittenauthorizationofbothparties.

TheChiefRepresentativesofbothpartiesshallcommunicatethroughLinkingSheetforthemattersrelativetoopinions,suggestionsandinformation.Thelinkingsheetshallbecountersigbytheotherparty.

ErectionandTestRun

TheSeller'sChi硅sentativeshallarriveattheJobSite10dayspriortothebeginningoftheErection.

WhenErectioniscompletedandinfullconformitywithrequirementoftheTechnical

Document,aCertificateofCompletionforErectionoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.dateofsigningsaidCertificateshallbedeemedasthedateofcompletionofErection.

AssoonasthecompletionofErection,TestRunforsinglemachineandthewholesystemoftheEquipmentshallbestarted.

ftheTestRunfailduetotheSeller'rsason,theSellershallmakenecessaryrepair,replacementand/ormodificationfeotheEquipmentasquicklyaspossibdattheSeller'csstswithintheperiodoftimeagreeduponbybothpartiesAfterrepair,replacementand/ormodification,theTestRunshallbecarriedoutagainassoonaspossible.

WhenTestRunhasbeensuccessfullyperformed,aCertificateofCompletionforTestRunCertificateoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwooriginals,oneforeachparty,withinthree(3)days.ThedateofsigningthesaidCertificatesbedeemedasthedateofcompletionofTestRunoftheEquipment.

CommissioningandPerformanceTest

Within10daysafterthecompletionoftheErectionandTestRun,theBuyershallmake

availablequalifiedoperationandmaintenancepersonnel,rawmaterials,spareparts,utilitiesaothermattersrequiredfortheCommissioning.Detailedproceduressuchasinstrumentcalibratingitemsofrecordingsamplingmethodsandanalyzingmethods,whicharenecessaryfortheCommissionshallbediscussedbytheChiefRepresentativesofbothparties.

Intheopinionofbothparties,theEquipmentisreadyfortheCommissioning,bothpartiesconfirmthereadinessfortheCommissioninginwriting.

TheCommissioningoftheEquipmentshallbestartedimmediatelyaftertheconfirmationofthereadinessfortheCommissioning.TheCommissioningperiodshall10daysaftercommencementoftheCommissioning.

WhentheSellenndtheBuyerconsideithatstable)peratioioftheEquipmenthasbeen

achieved,thedateofPerformanceTestshallbefixedbyChiefRepresentativesofbothparties.

IftheresultofPerformanceTesthasreachedtheguaranteefiguresasperAppendix5,theAcceptanceCertificatftheEquipmentshallbesignedbytheChiefRepresentativefbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.

IfthePerformanceTestcannotmeetguaranteefiguresspecifiedinAppendix5,bothpartieshalljointlymakeinvestigationssoastofindoutthereasonforclarifyingtheresponsibility

ftheguaranteefiguresarenotmetduetotheSeller'sreason,theBuyershallagreetoanextensionofonemonthssothattheSellercanmakeimprovementoradjustmenttotheEquipmentandconductfurtheiPerformanceTest.AllthecostsandexpensesformakingimprovementoradjustmenttotheEquipmentshallbebornebytheSeller.

uringtheextension)eriod,iftheguarantefigurearestilnotmetduetotheSeller'sreason,theSelleishal]paytheliquidatodamagesasperAppendix5totheBuyeragainsttheAcceptanceCertificatesignedbybothparties.

TheSeller'saggregateliabilitytopayliquidateddamagesforfailuretoattaintheperformaguaranteesshallnotexceed()percentoftheEquipmentprice.

Acceptance

AcceptanceshalloccurinrespectoftheEquipmentwhen:

PerformanceTesthasbeensuccessfullycompletedaspertheArticle9.4.6.

ErectionandCommissioninghasnotbeencoeipletehedBuyer'sreasonsuchasdelayedcivilconstruction,lackofrawmaterials,sparepartsandutilitiesinthe()monthsfromthedateofBillofLadingoftheLastShipment

TheSellerhaspaidtheliquidateddamagesasperArticle9.4.9.

AtanytimeafteranyoftheeventssetoutinArticle9.5.1hasoccurred,theSellermaynoticetotheBuyerrequestingtheissueoftheAcceptanceCertificate.

TheBuyershallwithinseven(7)daysaferreceiptoftheSeller'notice,issuesuchAcceptanceCertificate.

fwithinseven(7)daysafteireceipt)ftheSeller'nstice,theBuyerfailtoissuetheAcceptanceCertificateorfailstotihnefoSremllerwirnitingofthereasonablereasonthwehyBuyerhasnotissuedtheAcceptanceCertificattljeEquipmentshallbedeemedtohavebeenacceptedatthedateoftheSeller'ssaidnotice.

AftertheAcceptance,theSeller'sresponsibilitiesandobligationsundertheContractshdeemedtohavebeenfulfilledexceptstipulatedinArticle10.

GuaranteeandWarranty

TheSellerguaranteesthat:

TheEquipmentsuppliedbytheSellershallbenewandmadeofadequatematerials,andfreeofdefects

TheTechnicalDocumentshallbecomplete,clearandcorrect

TheperiodofwarrantygivenbytheSellerunderArticle10.1shallbe12monthsfromthedateofAcceptanceor16monthsfromthedateofLastShipment,whichevercomesearlier.

DefectoftheEquipment

DuringtheWarrantyPeriod,shouldanydefectduetoinferiomaterialsorbad

workmanshipoftheEquipmentbefoundundernormaloperation,theBuyershallgivetheSelleranoticestatingthedetails,togetherwithallavailableevidence.

TheSellershalltakeimmediateactiontoeliminatethedefectattheSeller'sexpenseswiththeperiodagreedbybothparties.

Ifcertaindefectcannotbeeliminateddespiteofseveralattempts,theSellershallrepthedefectivepartsbydetfentivepartsattheSeller'scostsandexpenses.

IfthedefectisminorandcanbecorrectedbytheBuyerhimself,allthecostsandexpenoccurredshallbeontheSeller'saccountagainsttheSeller'spriorwrittenconsent.

TheSellermaydevaluetheEquipmentaccordingtothedegreeofinferiorityorextentofdamageasagreedbybothpartiesAfterthedevaluatiotheSellershallbereleasecfromitsobligationsandliabilities.

.EDuringtheWarrantperiod,shouldanydefectduetotheBuyer'simproperoperationormaintenance,theSellerHllprovidetechnicalssistanceoeliminatthedefectorreplacethedefectedparts,thecostsandexpensesthusoccurredshayerbesoacthunBu

.6TheSellershallnotberesponsibleforanydefectordamagetotheEquipmentarisingoutthefollowingcauses:

CombinationoftheEquipmentwithanymachinery,and/orcomponentotherthanthosesuppliedbytheSeller

Alteration,modificationorrepairwithouttheSeller'spriorwrittenconsent

FailureoftheBuyertofollowtheTechnicalDocumentandinstructionsoftheSeller,includingtheBuyer'simproperoperationandmaintenance

Normalwearandtear

DuringtheWarrantyPeriod,shouldTechnicalDocumentsuppliecbytheSellei)efoundincompleteunclearorincorrecttheSelleishallbeliabltosupplement,replace)rcorrectheTechnicalDocumentfreeofcharge.

Innocircumstancesshallanypartybeliableforindirectincidentalorconsequentialdamatotheotherparty,includinglossofprofitandproduction.

NotwithstandinganythingtothecontraryprovidedintheContract,theaggregateliabilitytheSellertotheBuyerunderArticle5andanyotherliabilityunderthisContractshallnotex

IntellectualPropertyRight

InordertoputtheEquipmentintonormaloperation,theSellergrantsanon-exclusiveandnon-transferablacense)fknow-how,othertechnicainformationrelatedotheEquipment'sdesign,Erection,Commission,operationandmaintenance,whichtheSellerprovidesanddisclosestotheBuyerduringtheimplementationoftheContractperiod.

TheSellerrepresentsthatitisauthorizedtograntthelicenseforsuchpurposewithresptheEquipment.

TheBuyershallnotusesuchknow-howandothertechnicalinformationreceivedfromtheSellerforanypurposeotherthantheEquipment'sdesign,Erection,Commission,operationandmaintenanceoftheEquipment.

TheBuyeishalhotdisclosordivulgeknow-howandothertechnicalnformationoany

thirdpartywithoutpriorwrittenconsentoftheSellerwithineleven(11)yearsfromthesigninContract.

Confidentiality

AftersigningoftheContract,bothpartiesshallkeepsecretallthecontents,terms,coneoftheContractuntiltheeffectivenessoftheContract.

TaxesandDuties

TaxesandDutiesLeviedbytheBuyer'sGovernment

AlltaxesanddutiesinconnectionwiththesigningandexecutiontheContractleviedonBuyerandSellerbytheBuyer'nmdnvsrincludingbutnotlimitedtocustomsduties,incometax,salestax,value-addedtaxetc.,shallbebornandpaidbytheBuyer.

Allimporttaxesanddutiesfortoolsand/orinstruments,whichtheSeller'spersonnelmbringtotheBuyerountryfortheexecutionoftheContract,shallbebornandpaidbytheBuyer.

ForceMajeure

IfeitheroftheContractpartiesispreventedfromexecutingtheContractduetotheeventForceMajeuresuchaswar,riotcoup,strikeembargo,flood,typhoon,tornado,snowstorm,earthquakeandothereventswhichcouldnotbeexpected,avoidedandovercome,theaffected

partyshallnotifytheotherpartybyfaxwithintheshortestpossibletimeofoccurrencesofFcMajeureandsendacertificateissuedbycompetentauthoritiesoragencycertifyingtheeventoftheForceMajeurebyregisteredorexpressmailwithinfourteen(14)daysfollowingitsoccurren

TheaffectepartyshallnotbeliablforanydelayorfailurinperforminganyofitsobligationsduetotheeventofForceMajeure.HowevertheaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeureassoonaspossible.

BothpartiesshallproceedwiththeirobligationsimmediatelyupontheceaseoftheeventoForceMajeureortheremovaloftheeffectsandthetermofContractshallbeextendedcorrespondingly.ShouldtheeffectoftheeventofForceMajeurelastformorethanonehundredandtwenty(120)days,eitherpartyhastherighttoterminatetheContractbyawrittennotice.

ApplicableLawandSettleofDisputes

BothpartieagreethattheapplicabllawoftheContractarethelawsofthePeople's

RepublicofChina.

AlldisputesarisingfromtheexecutionoforinconnectionwiththeContractshallbesettthroughfriendlconsultatictetweenbothpartiesIncasenoagreementcanbereached,thedisputeshallbesubmittedforarbitration.

Thearbitrationshallbeconductedb^ntJeinationalEconomicandTradeArbitrationCommissioninBeijinginaccordancewithArbitraticRulesoftheCommission.Thetribunalshallbecomposedofthreearbitrators.

Thearbitrageawardofisfinalandbindinguponbothparties.

DuringproceedingsofarbitratiotrheundisputecpartoftheContractshallbeperformedcontinuouslybybothpartiesregardlessofsucharbitrationproceedings.
