(I).Subjecttotheapprovalofthedesignreviewagencyappointedbythecompetentauthoritiesofplanningadministration,ifanyofthefollowingchangestothedesigndrawingshasanimpactonthequalityorfunctionoftheCommodityRealPropertytobeboughtbytheBuyer,theSellershallnotifytheBuyerinwritingwithinten(10)

daysaftertheapprovalofsuchchangesgrantedbythedesignreviewagency:

(1)thestructure,layout,spacedimension,directionoftheCommodityRealProperty;

(2)Methodofheatsupply;

(5)x.IftheSellerfailstonotifytheBuyerwithintheperiodprescribedabove,theBuyershallhavetherighttocancelitspurchaseoftheCommodityRealPropertyfromtheSeller.

(II).TheBuyershallreplytotheSellerinwritingwithinfifteen(15)

daysfollowingtheserviceofthesaidnoticeindicatingwhetheritwillreturntheCommodityRealProperty.IftheBuyerfailstogiveawrittenreplywithintheabovementionedperiod,itshallbedeemedtohaveacceptedtherelevantchanges.

(III).IftheBuyerelectstoreturntheCommodityRealProperty,theSellershall,withinsixty(60)

daysaftertheserviceofthecancellationnotice,refundtotheBuyerthepurchasepricealreadypaid,togetherwithinterestaccruedthereonatthetermdepositrateannouncedbythePeople’sBankofChinaforthesameperiod.IftheBuyerelectsnottoreturntheCommodityRealProperty,theBuyershallotherwisesignasupplementaryagreementwiththeSeller.IftheBuyerdoesnotelecttoreturntheCommodityRealPropertyandfailstoenterintoasupplementaryagreementwiththeSellerwithinthirty(30)

daysfollowingtheserviceofthenoticeondesignchanges,itshallbedeemedtohaveacceptedsuchchanges.9ArticleXLiabilitiesforOverduePaymentIftheBuyerfailstopaythepurchasepriceasscheduled,theprovisionssetoutinparagraph1belowshallapply:

above),theSellershallbeentitledtoterminatethisContract,inwhichcase,theBuyershall,withinthirty(30)

daysfollowingtheserviceoftheterminationnotice,paytotheSelleradefaultpenaltyequalto3%ofthecumulativeoverdueamount,andtheSellershallrefundtotheBuyerinfullthepurchasepricealreadypaid.IftheBuyeriswillingtocontinuetoperformthisContract,thisContractmaycontinuetobeperformedwiththeconsentoftheSeller,inwhichcircumstance,theBuyershallpayadefaultpenalty,atarateof0.03%(thisratioshallnotbelessthanthatspecifiedintheprecedingparagraph)fromthedayimmediatelynexttotheexpirydateoftheagreedpaymentperiodtothedateofactualpaymentoftheoverdueprice,totheSelleronthesamedayasthepaymentoftheoverduepriceismade.TheoverduepricementionedinthisclauseshallrefertothebalancebetweenthepricepayableasagreedinArticle6andtheamountalreadypaid;inthecasethatthepriceispaidininstallments,thebalanceshallbethedifferencebetweentheinstallmentpayableandtheamountalreadypaidforsuchinstallment.

2.x.ArticleXIDeliveryConditions

(I).TheSellershalldeliverthisCommodityRealPropertytotheBuyerpriortoJanuary

7,2011.

(II).ThisCommodityRealPropertyshallbeincompliancewiththeconditionsasstatedintheItems1,2,x,x,x,x,xbelow;incasetheCommodityRealPropertyisintendedforresidentialpurposes,theSellershallalsoprovidetheQualityWarrantyofResidentialPropertyandtheInstructionsonUseofResidentialProperty.

1.ApprovaldocumentsonplanningacceptanceandtheregistrationformoncompletionacceptanceofconstructionprojectconcerningtheCommodityRealPropertyhavebeenobtained;

2.AsurveyingandmappinginstitutionwithcompetentqualificationshasissuedatechnicalreportontheactualsurveyedareaoftheCommodityRealProperty;10

3.TheSellerhasobtainedthepropertyownershipcertificateofthebuildingcomprisingtheCommodityRealProperty;

4.MunicipalinfrastructureconditionspromisedbytheSellerasstipulatedinArticle12hereinhavebeensatisfied;

5.WheretheCommodityRealPropertyisforresidentialpurposes,theSellershallprovideaFormonQualityAcceptanceofResidentialUnits.

7.x.ArticleXIIWarrantiesonMunicipalInfrastructureandOtherFacilitiesTheSellerwarrantsthatmunicipalinfrastructureandotherfacilitiesdirectlyrelatedtothenormaluseoftheCommodityRealPropertywillsatisfythefollowingrequirementsupontheagreeddate:

2.x.ArticleXIVArrangementsinCaseofAreaDifferenceTheSellershall,atthetimeofdelivery,producetotheBuyerthetechnicalreportontheactualmeasuredareaoftheCommodityRealPropertyissuedbysuchsurveyingandmappinginstitutionwithcompetentqualificationsasappointedbytheSeller,andshallprovidetheBuyerwithdataontheactualmeasuredareaoftheCommodityRealProperty(hereinafterreferredtoasthe“ActualArea”).InthecasethatthereisadifferencebetweentheActualAreaandtheestimatedareareferredtoinArticle3,bothPartiesagreethattheprovisionsofparagraph1belowwillapply:

1.WherepricingisbasedoninternalfloorareaasagreedinArticle5,thePartiesagreethatthefollowingprinciplesshallapplyindeterminingthepurchaseprice:

(1)If,intermsofinternalfloorarea,theabsoluteerrorisbelow3%(inclusive),thepriceoftheCommodityRealPropertyshallbesettledbasedontheActualArea;

(2)If,intermsofinternalfloorarea,theabsoluteerrorisabove3%,theBuyershallhavetherightstoreturntheCommodityRealProperty.13IftheBuyerelectstoreturntheCommodityRealProperty,theSellershall,withinthirty(30)

daysupontheserviceofthecancellationnotice,refundtotheBuyerthepurchasepricealreadypaidbytheBuyer,togetherwithinterestaccruedthereonatthetermdepositrateannouncedbythePeople’sBankofChinaforthesameperiod.InthecasethattheBuyerelectsnottoreturntheCommodityRealProperty,iftheinternalfloorareaactuallymeasuredexceedstheestimated,thepurchasepricecorrespondingtoadditionalinternalfloorareabelowtheabsoluteerrorof3%(inclusive)shallbepaidbytheBuyer,andthepriceofadditionalareaabovetheabsoluteerrorof3%shallbeassumedbytheSeller,withthepropertyownershipoftheentireCommodityRealPropertyheldbytheBuyer.Iftheinternalfloorareaactuallymeasuredislessthantheestimated,theSellershallrefundtotheBuyerthepricecorrespondingtotheareadifferencebelow3%(inclusive),andtwicethepricecorrespondingtotheareadifferenceabove3%.AbsoluteErrorinInternalFloorArea=(Internalfloorareaactuallymeasured-Estimatedinternalfloorarea)/Estimatedinternalfloorarea×100%

2.WherepricingisbasedonfloorareaasagreedinArticle5,thePartiesagreethatthefollowingprinciplesshallapplyindeterminingthepurchaseprice:

(1)If,intermsofbothfloorareaandinternalfloorarea,theabsoluteerrorisbelow3%(inclusive),thepriceoftheCommodityRealPropertyshallbesettledbasedontheActualArea;

(2)If,intermsofeitherfloorareaorinternalfloorarea,theabsoluteerrorexceeds3%(inclusive),theBuyershallhavetherighttoreturntheCommodityRealProperty.IftheBuyerelectstoreturntheCommodityRealProperty,theSellershall,withinthirty(30)

daysupontheserviceofthecancellationnotice,refundtotheBuyerthepurchasepricepaidbytheBuyer,togetherwithinterestaccruedthereonattheX(interestrate).InthecasethattheBuyerelectsnottoreturntheCommodityRealProperty,iftheActualAreaexceedstheestimated,thepurchasepricecorrespondingtoadditionalareabelowtheabsoluteerrorof3%(inclusive)shallbepaidbytheBuyer,andthepriceofadditionalareaabovetheabsoluteerrorof3%shallbeassumedbytheSeller,withthepropertyownershipoftheentireCommodityRealPropertyheldbytheBuyer.IftheActualAreaislessthantheagreedarea,theSellershallrefundtotheBuyerthepricecorrespondingtotheareadifferencebelow3%(inclusive),andtwicethepricecorrespondingtotheareadifferencea
