OrderofPrecedence優(yōu)先順序OrderofPrecedence優(yōu)先順序1.2DocumentsarelistedinArticle1.1(ContractDocuments）above.如果上述合同文件出現(xiàn)了模糊和沖突，其優(yōu)先順序按照第1.1條（合同文件）的次序。Definitions定義(ReferenceGC1)Definitions定義(ReferenceGC1)(參考GC1)1.32.2ItalicizedwordsandphrasesusedhereinshallhavethesamemeaningsasareascribedtothemintheGeneralConditionsofContract.斜體字和單詞的意思與合同基本條款中定義的意思相同。ContractPriceandTermsofPayment (ReferenceGC11andGC12-GeneralConditions-Volume1-ITB).條款2:合同價格和支付方式(參考第1卷的ITB中的GC11和GC12)XXherebyagreestopaytotheContractortheContractPriceinconsiderationoftheperformancebytheContractorofitsobligationsstatedintheContract.TheLumpSumContractPriceshallbetheaggregateof:(1)ForeignCurrencyPortion(amountofforeigncurrency)and(2)LocalCurrencyPortion(amountoflocalcurrency)ThebreakdownoftheLumpSumContractpriceinaccordancewithformsisgiveninPriceSchedule—Appendix9hereto.Within3monthsafterEffectiveDateofContract,ifrequestedbytheContractor,theForeignCurrencyPortionandLocalCurrencyPortionmaybere-corrected.XX同意根據(jù)合同規(guī)定的承包商的履約圍對其支付合同價格，合同價格是下列兩項之和：(1)外幣支付部分(外幣金額)(2)當?shù)刎泿胖Ц恫糠?當?shù)刎泿沤痤~)。合同價格的分項價格列于附件9:分項報價表合同生效之日起3個月，如果承包商要求，外幣支付部分和當?shù)刎泿胖Ц恫糠挚梢灾匦抡{(diào)整。TheContractPriceshallbeafixedlumpsumnotsubjecttoanyalterationexceptintheeventofaChangeintheWorks(GC38)orotherwiseprovidedintheContract.除非根據(jù)GC38(工程的變更)以及合同其它的規(guī)定，否則合同價格為固定的總價，不允許變更。TheContractPricespecifiedinArticle2.1includes:條款2.1中注明的合同價格包括AlloffeesandtaxesexceptImporttaxandVATforimportequipment(refertoGC14 allowance,…according tointernationalrules)relatetoparticipationofXXand/orConsultant inAppendix4oftheContract.承包商須在合同生效日后，立即按照合同附件4的時間進度要求開始工作。TimeforCompletion 竣工時間WithoutprejudicetoGC26.2oftheGeneralConditionsVolume1Biddingdocument,theContractorshallproceedwiththeWorksinaccordancewiththetimeschedulespecifiedinAppendix4(ProjectImplementationSchedule)heretoandshallattainProvisionalAcceptanceoftheMMCoal-firedThermalPowerPlantwithin36monthsforUnitNo.1and42monthsforUnitNo.2andthewholePlantfromtheEffectiveDateofContract.在不違背招標文件第1卷的GC26.2的規(guī)定的前提下，承包商應(yīng)該根據(jù)附件4(項目實施進度表)的規(guī)定，在合同生效之日起36個月獲得MM燃煤火電廠1號機組的臨時驗收，在合同生效之日起 42個月獲得MM燃煤火電廠2號機組和整個電廠的臨時驗收。TimeforPossession 進場時間XXshallgivefullpossessionofandaccordallrightsofaccess totheSiteandrightstoallotherareasforimplementation ofContractonorbeforethedate(s)ofContractEffectiveDate.XX在合同生效之日或者之前，給承包商進入和占用現(xiàn)場各部分實施合同的權(quán)禾.LiquidatedDamagesforDelay工期延遲約定損害賠償金IftheContractorfailstoattainProvisionalAcceptanceoftheMMCoal-firedThermalPowerPlantoranypartthereofwithintheTimeforCompletionSpecifiedinArticle5.2(TimeforCompletion)aboveorwithinsuchextendedtimetowhichtheContractorshallbeentitledunderGC39(ExtensionofTimeforCompletion)oftheGeneralConditions/Volume1-ITB,theContractorshallpaytoXXUSD120,000/dayxtotaldaysofdelayforeachUnitpursuanttoGC26.2oftheGeneralConditions.Suchamountshallbepaidasliquidateddamagesandnotexceedtenpercents(10%)ofContractPrice.如果承包商未能按照條款 5.2(竣工時間)的規(guī)定時間獲得MM燃煤火電廠的臨時驗收，或者根據(jù)第1卷(ITB)的GC39(竣工時間的延長)的規(guī)定，在延長后的擔?？⒐ぶ杖晕传@得 MM燃煤火電廠的臨時驗收，那么根據(jù)GC26.2的規(guī)定，從規(guī)定竣工之日起開始計算，承包商應(yīng)該向XX支付的工期延遲違約賠償金為每臺機組 120,000USD/天，作為延遲違約賠償金支付的金額不得超過合同總價格的 10%。GuaranteePeriod保證期TheGuaranteePeriodforthePlantshallbenotlessthan24monthseffectivefromthedateofProvisionalAcceptanceUnitissuedbyXXandinaccordancewithGC27根據(jù)GC27的規(guī)定，電廠的保證期是從XX對機組臨時驗收起的二十四(24)個月Insurance條款6:保險TheinsurancetobetakenoutandmaintainedbytheContractorpursuanttoGC34(Insurance)oftheGeneralConditionsVolume1 -BiddingDocumentshallbeasspecifiedinAppendix3(InsuranceRequirements)hereto.承包商的保險根據(jù)招標文件第1卷的GC34(保險)的和附錄3(保險要求)的規(guī)定執(zhí)行PerformanceGuaranteesandLiquidatedDamages條款7:性能保證和違約賠償金PerformanceGuarantees性能保證TheContractorguaranteestheattainmentofthePerformanceGuaranteesspecifiedinPerformanceGuarantees(Appendix8)heretoinaccordancewithGC28(PerformanceGuarantees)oftheGeneralConditions/Volume1 -ITB,subjecttoandupontheconditionsspecifiedinPerformanceGuarantees(Appendix8)hereto.承包商承諾達到附錄8(性能擔保)規(guī)定的性能擔保值，并符合第1卷(ITB)GC28的規(guī)定。LiquidatedDamagesforFailuretoAttainPerformanceGuarantees未能達到性能保證要求的違約賠償金IftheContractorfailstoattainthePerformanceGuaranteesspecifiedinPerformanceGuarantees(Appendix8)heretotheContractorshallpaytoXXliquidateddamagesassetoutinAppendix14oftheContractAgreement(PerformanceGuaranteesandPenaltyforfailuretomeetPerformanceGuarantees)hereto.TheContractor'spaymentforfailurenottoaiinPerformanceGuaranteesshallnotexceedtwentypercents(20%)ofContractprice.如果承包商未能達到附件8(性能保證)的要求，承包商應(yīng)該按照附件14(性能保證和未能達到性能保證要求的違約賠償金)中的規(guī)定，向XX支付違約賠償金，未能達到性能保證的違約賠償金不超過合同總價格的20%。Bonds條款8:保函AdvancePaymentBond
