-38-SoftwareLicenceAgreement軟件許可協(xié)議核心提示：THISAGREEMENTismadeasof_________,_________,_________(M,D,Y)BETWEENAAACorporation,acorporationdulyorganizedandexistingunderthelawsof_________(COUNTRY),whoseregisteredofficeisat_________(ADDRESS)(theLICENSOR);andBBBInc.,THISAGREEMENTismadeasof_________,_________,_________(M,D,Y)BETWEENAAACorporation,acorporationdulyorganizedandexistingunderthelawsof_________(COUNTRY),whoseregisteredofficeisat_________(ADDRESS)(theLICENSOR);andBBBInc.,acorporationdulyorganizedandexistingunderthelawof_________(PLACENAME),whoseregisteredofficeisat_________(ADDRESS)(BBB).WHEREAS(A)AAA-PocketIncorporated,acorporationdulyorganizedandexistingunderthelawsof_________(COUNTRY),whoseregisteredofficeat_________(ADDRESS)(AAA-P)developedP-mailDeluxeSoftware(PDX),aservicewhichcanbeusedinconjunctionwiththePersonalHandyphoneSystem(PHS);(B)FirstInternationalTelecomCorp.,acorporationdulyorganizedandexistingunderthelawsofTaiwan,whoseregisteredofficeisat_________(ADDRESS)(FITEL)desirestoestablishitsownPHSbusinessinTaiwan(FITELTAIWANPHSBUSINESS)anddesirestouseAAA-P’sPDXserviceinconjunctionwithsuchFITELTaiwanPHSBusiness;(C)FITELdesirestohaveBBBdevelopthenecessarysystemsandproductsandforBBBtolicencetoFITELcertainsoftwareandotherintellectualpropertyrelatingtotheFITELTaiwanPHSBusiness;(D)TheLicensorandAAA-PenteredintoadistributionagreementdocumentedintheMinutesoftheMeetingdatedasof_________,_________,_________(M,D,Y)whereby,amongotherthings(DISTRIBUTIONAGREEMENT),AAA-PauthorizedtheLicensortoenterintothisAgreementwithBBB.(E)TheLicensordesirestograntBBBandBBBdesirestoobtainfromtheLicensora_________licencetousetheSoftwareandSoftwareDocumentation(asbothtermsaredefinedinClause1)todevelopProducts(asdefinedinClause1)tobeprovidedtoFITELfortheFITELTaiwanPHSBusinessandtosublicencesuchSoftwareandSoftwareDocumentationtoFITELtoenableFITELtousesuchProductsfortheFITELTaiwanPHSBusinessuponthetermsandconditionscontainedinthisAgreement.ITISHEREBYAGREEDasfollows:DEFINITIONS1.1InthisAgreement,unlessotherwiseexpresslyprovidedfor,thefollowingexpressionsshallhavethefollowingmeanings:DELIVERYDATEmeansthescheduleddatefordeliveryoftheSoftwareMaterials;LOCATIONmeansBBBbuilding/locationwheretheSoftwareistobedelivered;MEDIAmeansthemediaonwhichtheSoftwareandtheSoftwareDocumentation,asprovidedtoBBBbytheLicensor,isrecordedorprinted;PARTIESshallmeantheLicensorandBBB(each,aPARTY);PRODUCTSmeansthesystemsandproductsdevelopedbyBBBwhicharenecessaryforFITELtooperatetheFITELTaiwanPHSBusiness;PROPRIETARYINFORMATIONmeansanyinformationcontainedorembodiedintheSoftwareMaterialsandtheSpecificationsorotherwisedisclosedormadeavailabletoBBBbyoronbehalfoftheLicensorpursuanttoorinconnectionwiththisAgreementandtheTechnicalDisclosureAgreementsonebeingbetweenAAA-PandFITELandtheotherbeingbetweenAAA-PandBBBbothdated_________,_________,_________(M,D,Y)(whetherorallyorinwriting),andwhetherornotsuchinformationisexpresslystatedtobeconfidentialormarkedassuch;SOFTWAREmeansthecomputerprogramsinmachine-readableobjectcodeonlyasspecifiedinPartAofSchedule1;SOFTWAREDOCUMENTATIONmeanstheoperatingmanuals,userinstructions,technicalliteratureandallotherrelatedmaterialsineye-readableformwrittenin_________(COUNTRY)eseassuppliedtoBBBbytheLicensorforaidingtheuseandapplicationoftheSoftwareonlyasspecifiedinPartBofSchedule1;SOFTWAREMATERIALSmeanstheSoftware,theSoftwareDocumentationandtheMedia;SPECIFICATIONSmeanthefunctionalspecificationsoftheSoftwareincludingdetailsoftheenvironmentinwhichtheSoftwareisdesignedtooperateassetoutinSchedule1describingthefacilitiesandfunctionsoftheSoftware,theenvironmentinwhichtheSoftwareisdesignedtooperateandthelanguageinwhichtheSoftwareiswritten,acopyofwhichisattachedheretoandinitialledbythepartiesforthepurposesofidentificationonlyasAppendix1;_________;USETHESOFTWAREmeanstoreadalloranypartoftheSoftware,frommagneticorotherstoragemediaattheLocation;USETHESOFTWAREMATERIALSmeanstousetheSoftware,andtoreadandpossesstheSoftwareDocumentationinconjunctionwiththeuseoftheSoftwareandtopossesstheMedia;andBASISOFTHISAGREEMENT2.1TheLicensorherebyagreesto:(a)delivertheSoftwaretoBBBonanASISbasisattheLocation;(b)provideBBBwithacopyoftheSoftwareDocumentationonanASISbasiswithoutanytranslation,modificationorupdate;(c)grantBBBa_________licenceinaccordancewithClause5to(i)usetheSoftwareMaterialstodevelopProductstobeprovidedtoFITELwhicharetobeusedinconnectionwiththeFITELTaiwanPHSBusinessand(ii)sublicencetheuseofsuchSoftwareMaterialstoFITELtoenableFITELtousetheProductsinconnectionwiththeFITELTaiwanPHSBusiness;(d)disclosetoBBBthesourcecodeoftheSoftwaretoenableBBBtousetheSoftwareMaterialstodevelopProductstobeusedinconnectionwiththeFITELTaiwanPHSBusiness;and(e)grantBBBa_________licencetomodifythesourcecodeoftheSoftwareonlyforthepurposeofdevelopingProductsinconnectionwiththeFITELTaiwanPHSBusiness;uponandsubjecttothetermsandconditionsofthisAgreement.2.2AnadditionalagreementshallberequireddetailingthetermsandconditionsfordistributionoftheProductsordisclosureoftheProprietaryInformationbyBBBtoathirdparty.2.3BBBagreesnottouse(ortoallowFITELtouse)theSoftwareMaterialortheProprietaryInformationinamannernotpermittedbythisAgreementunlesstheLicensorexpresslyagreesotherwiseinwriting.Suchprohibitedadditionalusesinclude,butarenotlimitedto,thefollowing:(a)WhereBBBintendstoprovidetheProductstothirdpartiesotherthantoFITELforuseinconnectionwiththeFITELTaiwanPHSBusiness;(b)WhereBBBorFITELintendstodistributetheProductsforuseoBBBideofTaiwaninwhichcasetheLicensormaygrantafurtherlicencetoBBBonidenticaltermstothisAgreement,withanynecessarymodificationtoreflectthechangedterritory,foranadditionaltotalsumof_________;(c)WheretheLicensorandBBBseparatelyagreetoconducttrialsormarketpromotionswithoutpayingthefullamountof_________.Suchfeesthatmaybeagreedtoforsuchtrialsormarketpromotionsshall,uponthegrantingofanyfurtherlicense,bedeductedfromthetotalamountof_________stipulatedinsection(b)aboveforafurtherlicence.PRICEANDPAYMENT3.1ThefeeforthelicencetobegrantedtoBBBbytheLicensorunderthisAgreement(theLICENCEFEE)shallbepaidbyBBBasfollows:(a)A_________paymentof_________uponexecutionoftheminutesofthemeetingbetweenAAAGroup-AAA(includetheLicensorandAAA-P)andBBBdated_________,_________,_________(M,D,Y);and(b)_________onthe_________afterthedateonwhichBBBdeliversthefinishedProductstoFITEL(theHANDLINGDATE)orthedateonwhichFITELcommencesoperationaluseoftheSoftwareinTaiwan,whichevershalloccurearlier.3.2TheLicenceFeeandanyotherchargespayableunderthisAgreementare,unlessotherwisespecified:(a)_________ofanypacking,deliveryortransportationchargesincurredin_________(COUNTRY);and(b)_________ofconsumptiontaxoranyotherdutiesortaxeswhichmaybechargeableonanygoodsorservicesprovidedtoBBBhereunderandwhichshallbepaidby_________attherateandinthemannerforthetimebeingprescribedlaw.Fortheavoidanceofdoubt,_________shallpayalltaxes,tariffs,andduties,includinganysalesorusetax(andanyrelatedinterestorpenalty),howeverdesignated,imposedasaresultoftheexecutionorimplementationofthisAgreement,exceptanytaximposeduponthe_________corporateincome.Ifthe_________isrequiredtocollecttaxtobepaidby_________,_________shallpromptlypaysuchtaxtothe_________ondemand.3.3TheLicenceFeepayablepursuanttoClause3.1(b)shallbedischargedifBBBnotifiestheLicensorbygivingwrittennotice,atanytimebeforetheHandlingDate,thatBBBdesirestoterminatethedevelopmentoftheProducts,andiftheLicensoracceptssuchnotice.3.4IfanysumpayableunderthisAgreementisnotpaidwithin_________aftertheduedate,then(withoutprejudicetotheLicensor’sotherrightsandremedies)theLicensorreservestherighttochargeinterestonsuchsumonaday-to-daybasis(after,aswellasbefore,anyjudgment),fromtheduedatetothedateofpaymentinclusive,attherateof_________perannum.3.5BBBshallnotbeentitledtowithholdpaymentofanysumbyreasonofanyrightofset-offoranyclaimordisputewiththeLicensor,whetherrelatingtothequalityorperformanceoftheSoftwareMaterialsorotherwise.3.6TheLicensorshallhavetherighttosuspenddeliverywhereitreasonablybelievesthatBBBwillnotmakepaymentinaccordancewiththisClause3.DELIVERYANDINSTALLATION4.1TheLicensorshalluseallreasonableendeavourstodelivertoBBB:(a)onecopyoftheSoftwareinsourcecode;and(b)onecopyoftheSoftwareDocumentation;ontheMediaattheLocationontheDeliveryDate.4.2Deliveryshallbeeffectedandriskofaccidentallossof,ordamageto,theSoftwareMaterialsshallpasstoBBBwhendeliveryistenderedattheLocationduringnormalworkinghours.BBBacknowledgethattheyareresponsibleforeffectinginsurancecoverfortheSoftwareMaterialsfromthetimeatwhichriskintheSoftwareMaterialspassestoit.4.3TheLicensorshallnotbeliableforanydelaycausedbyeventsbeyonditsreasonablecontrolandinsuchcaseshallbeentitledtoareasonableextensionoftimetoperformitsobligationspursuanttothisClause4.4.4TheLicensorshallnotberesponsibleforcomplyingwithstatutoryregulations,localby-laws,orthefulfilmentofanyspecialregulationsaffectingBBB.LICENCE5.1TheLicensorherebygrantsBBBa_________licenceto:(a)usetheSoftwareonlyforthepurposeofdevelopingProductstobeprovidedtoFITELtobeusedinconnectionwiththeFITELTaiwanPHSBusiness;(b)sublicencetheuseoftheSoftwareMaterialstoFITELonlytoenableFITELtousetheProductsinconnectionwiththeFITELTaiwanPHSBusiness.(c)usetheSoftwareDocumentationinsupportofitsuseoftheSoftwareforthedevelopmentofProductsandsublicenceoftheSoftwarepursuanttoClause5.1(a)and(b)above;and(d)modifythesourcecodeoftheSoftwaredisclosedbytheLicensortoBBBunderClause2.1(a)onlyforthepurposeof,andonlytheextentnecessaryfor,developingProductstobeusedinconnectionwiththeFITELTaiwanPHSBusiness.forthedurationofthisAgreement.5.2BBBshallnotpermitanythirdpartyotherthanFITELtousetheSoftwareMaterials,norshallBBBusetheSoftwareMaterialsonbehalfoforforthebenefitofanythirdpartyotherthanFITELinanywaywhatsoever.5.3BBBshallnotdisclosethesourcecodeoftheSoftwaretoanythirdpartyincludingFITEL.5.4BBBshallensurethat(i)FITELwillonlyusetheSoftwareMaterialsandProductstoenableittousetheProductsinconnectionwiththeFITELTaiwanPHSBusiness;(ii)FITELshallonlyusetheProductsinconnectionwiththeFITELTaiwanPHSBusiness;(iii)FITELwillobservethesameobligationsofconfidentialityinrespectoftheProprietaryInformationassetforthinClause11;(iv)itsagreementwithFITELwillnotresultinanybreachofanyofBBB’sobligationsunderthisAgreement;and(v)itusesitsbesteffortsnominatetheLicensorasathirdpartybeneficiaryoftheagreementbetweenBBBandFITEL.5.5ThelicencegrantedunderthisAgreementtoBBBshallnotbedeemedtoextendtoanyprogramsormaterialsoftheLicensorotherthantheSoftwareMaterialsunlessexpresslyagreedtoinwritingbytheLicensor.5.6BBBmaymakeonlysomanycopiesoftheSoftwareasisreasonablynecessaryforitsuseoftheSoftwarepursuanttoClause5.1(a)above,andshallensurethatallsuchcopiesbeartheLicensor’sproprietarynotice.AllsuchcopiesshallbesubjecttothetermsandconditionsofthisAgreement.5.7DuringthecontinuanceofthisAgreement,BBBshall:(a)effectandmaintainadequatesecuritymeasurestosafeguardtheSoftwareMaterialsandanycopiesthereoffromaccessorusebyanyunauthorisedbodyorperson;(b)retaintheSoftwareMaterialsandanycopiesthereofunderitsexclusivecontrol;and(c)maintainafullandaccuraterecordofitscopyinganddisclosureoftheSoftwareMaterialsandproducesuchrecordtotheLicensoronrequestfromtimetotime.WARRANTY6.1WhiletheLicensorhasendeavouredtousereasonablecareincompilingthesystemsandinformationincorporatedintheSoftwareMaterials,theLicensorcanacceptnoliabilityofanykindwhatsoeverfortheaccuracyandcompletenessofsuchsystemsortheSoftwareMaterials.6.2BBBacknowledgesthattheSoftwareMaterialshavenotbeenproducedtomeettheindividualrequirementsofBBBandcannotbetestedineverypossiblecombination.TheLicensordoesnotwarrantthat(i)thefacilitiesandfunctionscomprisedintheSoftwarewillmeetallofBBB’sneedsinconnectionwiththeFITELTaiwanPHSBusiness,(ii)thattheSoftwarewilloperateinthecombinationswhichmaybeselectedbyBBB,(iii)thattheoperationoftheSoftwarewillbeuninterruptedorerrorfree,or(iv)thatallSoftwaredefectscanorwillbecorrected.6.3TheLicensorshallhavenoobligationtorepairorreplacetheSoftwareMaterialsunderanycircumstancesexceptasexpresslyprovidedinthisAgreement.6.4TheLicensorwarrantsthatithasfullauthoritytolicencetoBBBonthetermsandconditionsofthisAgreement,basedonitsDistributionAgreementwithAAA-P.SUPPORTSERVICE7.1TheLicensorshallhavenoobligationtoprovideanytechnicalsupportinconnectionwiththeuseoftheSoftwareunderthisAgreementortheFITELTaiwanPHSBusiness.7.2AttherequestofBBB,theLicensormay,_________,providetechnicalsupportastotheuseoftheSoftwareortheFITELTaiwanPHSBusinessonthetermsandconditionsprovidedinAppendix2.SOFTWAREMAINTENANCE8.1UnlessBBBentersintoaseparatesoftwaremaintenanceagreementwiththeLicensoronorbeforetheDeliveryDate(ontermstobeagreedbetweentheparties),theLicensorwillnotprovideanymaintenanceinrespectoftheSoftwareMaterials.IfatalaterdateBBBwishestheLicensortoprovidemaintenanceservicesinrespectoftheSoftwareMaterials,thentheLicensormay_________providethesametoBBBsubjecttoBBBpayingtheLicensor’sanagreedmaintenancecharge.MODIFICATIONS9.1BBBmaythemselvesmodifytheSoftwareMaterialsattheirownexpenseandresponsibilitytotheextentnecessaryforthedevelopmentoftheProductsandtheiruseinrespectoftheFITELTaiwanPHSBusiness.BBBshallindemnifytheLicensoragainstanyclaimsthatsuchmodificationsinfringethecopyrights,databaserights,patents,tradesecretsorotherproprietaryorintellectualpropertyrightsofanythirdpartyofwhatevernaturehowsoeverorwheresoeverarising.9.2Thecopyrights,databaserights,patents,tradesecretsandotherproprietaryorintellectualpropertyrightsofwhatevernaturehowsoeverorwheresoeverarisinginsuchmodificationsshallbejointlyownedbyAAA-PandBBB.BBBshallbeentitledwithoutfurtherchargetousesuchmodificationsinordertodeveloptheProductsandallowFITELtousetheProductsfortheFITELTaiwanPHSBusinessuponthesametermsandconditionsastheSoftwareMaterialsbutshallnototherwisebeentitledtousesuchmodifications.AAA-Pshallbeentitledtousesuchmodificationsin_________(COUNTRY).AnadditionalagreementisrequiredfortheuseofsuchmodificationsoBBBideofTaiwanor_________(COUNTRY).9.3BBBshallpromptlynotifytheLicensorofallsuchmodificationsandshall,withoutcharge,supplytotheLicensorcopiesofalldocumentationrelatingtosuchmodifications,includingfullfunctionalandperformancespecificationsthereofandallsourcecodematerials.9.4InadditiontoprovidingBBBwiththemostcurrentversionoftheSoftwareinaccordancewithClause2.1,theLicensorshallalsoprovideBBBwithanyfuturemodificationsoftheSoftware,includingbutnotlimitedtoanychanges,modifications,improvementsorbugfixestoexistingfeatures,functionalities,designsorprotocolsthatmaybecontainedwithintheSoftware(FUTURESOFTWAREMODIFICATIONs).TheLicensorshallprovidesuchFutureSoftwareModificationstoBBB_________onlyforaperiodofonly_________fromtheexecutionofthisAgreement.ThetermsandconditionsofthelicensegrantedbytheLicensortoBBBunderthisAgreementshallalsoapplyMUTATISMUTANDIStoanyandallFutureSoftwareModificationsprovidedbytheLicensortoBBB,provided,however,thattheprovisionofFutureSoftwareModificationsbytheLicensorafterexpirationofthe_________periodfollowingtheexecutionofthisAgreementshallbesubjecttoseparatepricingtermstobenegotiatedbythepartieshereto.PROPRIETARYRIGHTS10.1TheSoftwareMaterialsandallcopyrights,databaserights,patents,tradesecrets,trademarksandotherproprietaryorintellectualpropertyrightswhatsoever,howsoeverandwheresoeverarisingintheSoftwareMaterialsandinallotherwrittenororalinformationprovidedbytheLicensorforthepurposesofthisAgreement,areandshallremaintheexclusivepropertyofAAA-P.AAA-PreservestherighttograntlicencestouseorotherwiseexploittheSoftwareMaterialstoanyotherpersonorbody.BBBshallnotacquireanyintellectualpropertyrightsofwhatevernatureintheSoftwareMaterialsandmaynotcopythemorattemptinanywaytodecompile,disassemble,imitateorreverseengineertheSoftwareexceptasexpresslypermittedinthisAgreement.10.2BBBshallnotifytheLicensorimmediatelyifBBBbecomeawareofanyunauthoriseduseorexploitationofthewholeoranypartoftheSoftwareMaterialsbyanypersonorbody.10.3BBBwillpermittheLicensortochecktheuseoftheSoftwareMaterialsbyBBBatalltimesduringnormalbusinesshours,andforthatpurposeBBBshallgranttheLicensor(anditsagents,employeesandrepresentatives)an_________licencetoenterBBB’spremisesatanytimeduringnormalbusinesshours,upongiving48hoursadvancewrittennoticebytheLicensortoBBB.CONFIDENTIALITYOFTHEPROPRIETARYINFORMATION11.1BBBundertakestotreatasconfidentialandkeepsecrettheProprietaryInformation,andshallnotwithoutthepriorwrittenconsentoftheLicensor:(a)exploittheProprietaryInformationinwholeorpartotherthanasmaybenecessarytoenableBBBtousetheSoftwareMaterialsinaccordancewiththetermsandconditionsofthisAgreement;(b)disclosetheProprietaryInformationinwholeorpartormakeanyaspectoftheProprietaryInformationavailabletoanypersonorbody,subjectalwaystoClause11.2below,otherthanto:(i)suchofBBB’ownemployeesasneedtoknoworusethesameforthepurposeofperformingtheirdutiestoBBB,forprocessingBBB’owndataforitsinternalbusinesspurposes;(ii)BBB’auditororanyotherpersonorbodyhavingtheright,dutyorobligationtoknowthebusinessofBBB,andthenonlyinpursuanceofsuchright,dutyorobligation;(iii)anypersonorbodywhoisappointedbyBBBtomaintainanyequipmentonwhichtheSoftwareisused(inaccordancewiththetermsofthisAgreement)andthenonlytotheextentnecessarytoenablesuchpersonorbodytoproperlymaintainsuchequipment.11.2BBBundertakestoensurethatanypersonorbodytowhomanypartoftheProprietaryInformationisdisclosedpursuanttoClause11.1(b)ismadeawarepriortothedisclosureofanypartoftheProprietaryInformationthat(i)thesameisconfidentialand(ii)theyoweanexpressdutyofconfidencetotheLicensor.BBBshallindemnifyandholdtheLicensorharmlessagainstanylossordamagewhichtheLicensormaysufferorincurasaresultofBBBfailingtocomplywithsuchundertaking.11.3BBBshallpromptlynotifytheLicensoriftheybecomeawareofanybreachofconfidencebyanypersonorbodytowhomBBBdivulgesalloranyaspectoftheProprietaryInformationandshallgivetheLicensorallreasonableassistanceinconnectionwithanyproceedingswhichtheLicensormayinstituteagainstsuchpersonorbodyinrespectofsuchbreachofconfidence.11.4TheforegoingobligationsastoconfidentialityshallremaininfullforceandeffectnotwithstandinganyterminationofthisAgreement.INTELLECTUALPROPERTYINFRINGEMENT12.1Ifclaimsariseoutoftheinfringementofany_________(COUNTRY)esepatentorcopyrightofanythirdpartywhichisvalidandeffectiveatthedateofthisAgreement,withrespecttotheusebyBBBand/orFITELoftheSoftwarepursuanttothetermsofthisAgreement:(a)BBBshallpromptlynotifytheLicensorinwritingofanyallegationsofinfringementofwhichithasnoticeorbecomesaware;(b)theLicensorshallhavesolecontroloverthedefenceofanysuchsuitorclaimandoverallnegotiationsinrelationthereto,responsibilityforanyandallattorneys’feesandlegalcostsrelatedtodefenceofanysuchsuitorclaim,and,inparticular,BBBshallnotmakeorattempttomakeanysettlementoradmitanyliabilityinrelationtosuchsuitorclaimwithoutthepriorwrittenconsentoftheLicensor;(c)AttheLicensor’sexpense,BBBshalltakesuchactionsandprovidesuchinformationandenterintoallsuchdocumentsastheLicensormayreasonablyrequireinrelationtothedefenceofanysuchsuitorclaim.12.2IfBBBisprohibitedbyacourtorderfromusingtheSoftware,thentheLicensorshallhavetherightatitssoleoptionto:(a)procureforBBBtherighttocontinueusingtheSoftware;(b)modifyoramendtheSoftwaresothatitbecomesnon-infringing;(c)replaceallorpartoftheSoftwarewithprogramsofsimilarcapability;or(d)terminatethisAgreementinrespectoftheSoftwaresoaffected,iftheLicensorconsidersthat,initsreasonableopinion,theforegoingalternativesarenotavailableonreasonableterms,inwhicheventBBBshallceaseusingsuchprohibitedSoftwareforthwithand,attheLicensor’sdirection,shallreturn,orcertifythatithasdestroyed,theoriginalcopiesofsuchSoftwaresoaffectedandanycopiesmadebyBBBthereof.Insuchevent,theLicensorshallbeundernofurtherliabilitytoBBBwithrespecttotheSoftwaresoaffected.12.3Whereanycomputerprogrammaterials,inrelationtowhichrightsareownedbyathirdparty,aretobecopiedorotherwiseusedbyBBBinassociationwithanySoftwareMaterials,BBBwarrantsthattheyhaveanyandallnecessarypermissions,expressorotherwise,toenablethemtocopyorotherwiseusesuchcomputerprogrammaterialswithoutinfringingsuchthirdpartiesrights.12.4IfBBBdisclosessuchcomputerprogrammaterialstotheLicensororrequestsorpermitstheLicensortocopyorotherwiseusesuchcomputerprogrammaterials,BBBwarrantsthattheyareentitledtomakesuchdisclosuresorrequestsorgivesuchpermission,andthatithasanynecessaryconsent,expressorotherwise,toenabletheLicensortocopyorotherwiseusesuchcomputerprogrammaterialsassorequestedorpermittedwithoutinfringingsaidthirdpartyrights.12.5BBBshallindemnifytheLicensoragainstanyexpenseorlosstheLicensormayincurresultingfromtheinfringementofthirdpartypatents,copyrights,databaserights,tradesecrets,trademarksorotherproprietaryorintellectualpropertyrightswhatsoever,howsoeverorwheresoeverarisinginconsequenceofanymatterreferredtoinClauses12.3or12.4.BBB’SCONFIDENTIALINFORMATION13.1TheLicensorshalltreatasconfidentialallinformationsuppliedbyBBBunderthisAgreementwhichisdesignatedasconfidentialbyBBBorwhichisbyitsnatureclearlyconfidential(theBBBCONFIDENTIALINFORMATION).ThisClauseshallnotextendtoanyinformationwhich:(a)waslawfullyinthepossessionoftheLicensorpriortothecommencementofthenegotiationsleadingtothisAgreement;(b)isalreadypublicknowledgeorbecomessoatafuturedate(otherthanasaresultofabreachbytheLicensorofthisClause13);(c)comesintotheLicensor’sknowledgefromathirdpartywholawfullypossessessuchinformation,andsuchdisclosureisnotinbreachofadutyofconfidenceowedbythedisclosingpartytoBBB.13.2TheLicensorshallnotdivulgeanyBBBConfidentialInformationtoanypersonorbodyexceptto:(a)suchofitsownemployees,consultants,agentsorrepresentativesincludingthesuppliersofanythirdpartysoftwareasneedtoknowthesameforthepurposeofperformingtheirdutiespursuanttothisAgreement.TheLicensorshallensurethatitsemployees,consultants,agentsorrepresentativesareawareofandcomplywiththeprovisionsofthisClause13;(b)theLicensor’sauditorsandanyotherbodieshavingtheright,dutyorobligationtoknowthebusinessoftheLicensorandthenonlyinpursuanceofsuchright,dutyorobligation.13.3TheforegoingobligationsofthisClause13shallsurviveanyterminationofthisAgreement.LIMITATIONOFLIABILITY14.1TheLicensorshallnotbeliabletoBBBforanyloss,expenseordamageofanykind(direct,indirect,economicorconsequentialandwhetherarisingfromnegligenceorotherwise)resultingfromthesupply,purportedsupply,failuretosupply,useorpossessionoftheSoftwareMaterials,orProducts,oranyotherserviceprovidedunderthisAgreement.14.2NoofficeroremployeeoftheLicensorshallbeliabletoBBBinanycircumstancesforanyloss,expenseordamageofanykind(direct,indirect,economicorconsequentialandwhetherarisingfromnegligenceorotherwise)arisingfromanyactoromissionduringtheperformanceofhisorheremploymentorotherduties.AllofficersandemployeesoftheLicensorfromtimetotimeshallb
