-11-MarketingCooperatingAgreement買賣合作協(xié)議核心提示：ThisMarketingCooperationAgreement(Agreement)ismadeasof_________(M/D/Y)byandbetweenAAA,Inc.,a_________(STATE)corporation,andBBB,Inc.,a_________(STATE)corporation.RECITALSA.PursuanttothatcertainStockPurchaseAgreementbThisMarketingCooperationAgreement(Agreement)ismadeasof_________(M/D/Y)byandbetweenAAA,Inc.,a_________(STATE)corporation,andBBB,Inc.,a_________(STATE)corporation.RECITALSA.PursuanttothatcertainStockPurchaseAgreementbetweenAAAandBBBdatedasof_________(M/D/Y)(theStockPurchaseAgreement),BBBhasconcurrentlyherewithsold,assigned,transferred,conveyedanddeliveredtoBBBcertainshares.B.AAAandBBBarealsopartiestoaStockholderAgreementdatedasof_________(M/D/Y)(theStockholderAgreement),pursuanttowhichBBBandtheCompanyestablishcertaintermsandconditionsconcerningBBB’sinvestmentinAAAandAAA’scorporategovernance.C.BothAAAandBBBbelievethat,inordertoformasuccessfulstrategicalliancethatwillenhancetheoverallcompetitivepositionofeachpartywithoutlimitingthecompetitionwhichmayexistbetweenthem,AAAandBBBshallparticipateinavarietyofmutuallysatisfactorymarketingcooperationeffortsdesignedtoachievemaximummarketpenetrationforbothparties.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthecovenantssetforthinthisAgreement,AAAandBBBherebyagreesasfollows:Article1.DEFINITIONSCapitalizedtermsusedinthisAgreementwithoutdefinitionshallhavetherespectivemeaningsaccordedtothemintheStockholderAgreement.Article2.SCOPEOFCOOPERATION2.1CooperationEfforts.UnderthisAgreementandinamannerconsistentwithallapplicablelawsandregulations,eachofAAAandBBBshallparticipateinavarietyofmutuallysatisfactorymarketingcooperationeffortsdesignedtoexpandthemarketpenetrationofeachofAAAandBBBthrough,amongotherthings:(i)theexpansionofdistributionbasesorchannels;(ii)thepossibleuseofco-brandingorhousebrandstrategiesforcertainproducts;and(iii)thepossiblecoordinationofpromotionalactivities.Notwithstandingtheforegoing,thepartiesagreethatthetermsofanytransactionorseriesofrelatedtransactionsbetweenAAAandBBBarisingfromorrelatingtoanysuchmarketingcooperationefforts(collectively,MarketingTransactions)shallbesubjecttotheprovisionsofSection5.3oftheStockholderAgreement.2.2MarketingCooperationConference.Withoutlimitingthegeneralityoftheforegoing,thepartiesagreethatamarketingconferenceshallbeheldatleastonceeveryninety(90)daystoidentifymarketingcooperationopportunities.BBBshallhostthefirstsuchconferencewithinthree(3)monthsofthedatehereof.Thereafter,eachpartyshallalternatehostingeveryothersuchconferenceheldthroughoutthetermhereof.Suchconferencesize,format(inperson,videoconferenceorteleconference),topicsandschedulewillbedecidedbetweentheparties.Article3.CONFIDENTIALITY3.1Definition.ThetermConfidentialInformationshallmeananyinformationdisclosedbyoneparty(theDisclosingParty)totheotherparty(theReceivingParty)concerningtheoperationsandaffairsoftheDisclosingPartyoritsAffiliatesinconnectionwiththeperformanceofthisAgreementoranyMarketingTransaction.3.2ConfidentialityObligations.ReceivingPartyanditsAffiliateswilltreatandholdassuch,andexceptascontemplatedbyanyMarketingTransaction,willnotuseforthebenefitofthemselvesorothers,anyConfidentialInformation.ReceivingPartyanditsAffiliatesshallnotdisclosesuchConfidentialInformationtoanythirdpartyduringthetermofthisAgreementoratanytimethereafter.TheReceivingPartyshallonlypermitdisclosureoftheConfidentialInformationtotheReceivingParty’sdirectors,officers,employees,agentsandadvisorswhohaveaneedtoknow(itbeingagreedthatsuchdirectors,officers,employees,agentsandadvisorsshallbeinformedbytheReceivingPartyoftheconfidentialnatureofsuchinformationandthatbyreceivingsuchinformationtheyareagreeingtobeboundbythisAgreement)andshallnotusetheConfidentialInformationforanypurposeotherthanthepurposecontemplatedbythisAgreement.3.3Exceptions.TheconfidentialityobligationssetforthinthisArticle3shallnotapplytoanyinformationwhich:(a)isrightfullyinthepossessionoftheReceivingPartypriortoreceiptfromtheDisclosingParty;or(b)isrightfullyreceivedbytheReceivingPartyfromathirdpartywithoutthebreachofanyrestrictionondisclosure;or(c)isdisclosedpursuanttoapplicablelaws,regulationsorcourtorder,providedthattheReceivingPartyshallgivetheDisclosingPartypromptnoticeofsuchrequestsothattheDisclosingPartyhasanopportunitytodefend,limitorprotectsuchdisclosure;or(d)isestablishedtobeinthepublicdomainotherthanasaconsequenceofabreachofanobligationundertakennottodisclosetheinformation;or(e)ismadepublicbytheDisclosingParty.Article4.TERMThetermofthisAgreementshallcommenceonthedatehereofandshallterminateatthefirsttimeafterthedatehereofthatthePurchaserInterestshallhavebeenlessthanthirtypercent(30%)foraperiodofatleastten(10)consecutivedays.Article5.NOTICEAnynoticerequiredorpermittedtobegivenunderthisAgreementshallbewritten,andmaybegivenbypersonaldelivery,bycable,telecopy,telexortelegram(withaconfirmationcopymailedasfollows),byFederalExpress,UnitedParcelService,DHL,orotherreputablecommercialdeliveryservice,orbyregisteredorcertifiedmail,first-classpostageprepaid,returnreceiptrequested.Noticeshallbedeemedgivenuponactualreceipt.Mailednoticesshallbeaddressedasfollows,buteachpartymaychangeaddressbywrittennoticeinaccordancewiththisparagraph.ToAAA:AAA,Inc.ADDRESS:_________Attention:_________Fax:_________withacopyto:NAME:_________ADDRESS:_________Attention:_________Fax:_________ToBBB:BBBCorporationADDRESS:_________Attention:_________Fax:_________withacopyto:NAME:_________ADDRESS:_________Attention:_________Fax:_________Article6.GOVERNINGLAWThisAgreementshallbegovernedby,construedunderandenforcedinaccordancewith,thelawsoftheStateof_________(STATE)withoutregardtoitsconflict-of-lawsprinciples.Article7.ASSIGNMENTThisAgreementandalloftheprovisionshereofshallbebindingandinuretothebenefitofAAA,BBBandtheirrespectivesuccessorsandassigns.Neitherpartyheretoshallassignortransferanyrights,privilegesorobligationshereunderwithoutthepriorwrittenconsentoftheotherpartyhereto.Article8.ARBITRATION8.1NegotiationandArbitration.AlldisputesrelatingtothisAgreementoranyMarketingTransactionshallbesettledthroughfriendlynegotiationbetweentheparties,includingprovidingwrittennoticeofthedisputetotheotherpartyinadvanceofsubmittinganydisputetoarbitrationpursuanttoSection8.2hereof.Thepartiesagreethatnosucharbitrationconcerningadisputebetweenthepartieswillbestarteduntilaftertheseniorexecutiveofeachcompanyhasattemptedtospeak(inperson,bytelephoneorbyvideophone)totheotherconcerningthedisputeandattemptedtoresolvethedispute.Incasenosettlementcanbereached,thedisputeshallbesubmittedtoarbitrationasprovidedinSectionArbitrationProcedures.AlldisputesrelatingtothisAgreementoranyMarketingTransactionwhicharenotresolvedinaccordancewithSection8.1hereofshallbefinallysettledbythearbitrationproceduressetforthbelowandinaccordancewiththeapplicableproceduresofarbitrationoftheCommercialArbitrationRulesoftheAmericanArbitrationAssociationasineffectfromtimetotime.Intheeventofsuchadispute,apartymaycommence
