ThiscontractismadebyandbetweentheBuyersandtheSellers;wherebytheBuyersagreetobuyandtheSellersagreetoselltheundermentionedcommodityaccordingtothetermsandconditionsstipulatedbelow：1、貨物及價格/Commodity&Price:序號No.貨物及主要規(guī)格Commodity&MainSpecifications數量Qty單價（USD）UnitPrice總價（USD）TotalAmount1.2共計CIP上海(歐元美元)/TotalValue（EURUSD）：56,大寫：美元CIP上海伍萬陸仟圓整USDTotalCIPShanghaiFIFTYSIXTHOUSANDONLY.2、產地及制造商/CountryofOriginandManufactures:德國/HEADACOUSTICSGMBHGERMANY/HEADACOUSTICSGMBH3、裝運期限/TimeofShipment:合同正式簽訂后90天內。（并且在收到買方通知免稅手續(xù)已辦妥之后發(fā)貨）Within90daysaftersignedthecontract,andafterreceivingtheinformationfromthebuyeroffinishingthecustomsfree-dutyapplicationofthiscontract.4、裝運口岸/PortofLoading:德國主要港口MainAirportinGERMANY5、目的地/Destination:上海機場ShanghaiAirport貨物清關和國內運輸等手續(xù)由買方負責，買方承擔貨物由上海機場到上海市環(huán)境科學研究院（地址：欽州路508號）的運保費。Thebuyerinchargeofthegoods’customclearanceandinteriortransportation,andthebuyermustpaythecostoftransportationfromShanghaiairporttoqinzhouRoad.6、保險/Insurance:賣方負責辦理一切保險（保險金額為110%合同金額）。TobecoveredbytheSellers(110%ofthetotalvalueofthecontract).7、付款方式/Payment:1）買方在合同簽訂后的30天內，T/T支付合同總價的40%；2）60%合同金額的貨款在貨物驗收結束后20個工作日內憑以下單據T/T支付：a）60%合同金額的商業(yè)發(fā)票；b）賣方、買方及最終用戶簽字的驗收合格證明書3份；c）經由買方事先書面確認的合同金額10%的不可撤消銀行質量保函。3）質量保函有效期至貨物驗收合格證書簽署后的12個月。銀行保函受益人均為買方：上海市機械設備成套（集團）有限公司。1)Advancepaymentof30%ofthecontractvalueshallbepaidbyT/Twithin30daysaftercontractsigned.2)Thebalance60%willbepaidbyT/Tagainstthefollowingdocuments:a）60%contractvaluecommercialinvoice;b）TheacceptancesheetwiththesigneroftheEndUsersandSellers;c）60%ofcontractamountqualityL/GconfirmedbytheBuyers,validitythesamewithqualitywarrantyperiod.3)Thequalityguaranteeisvaliduntilthecontractallthegoodsafterthesigningofthefinalacceptancecertificatefor12months.ThebeneficiaryoftheL/GistheBuyer:SHANGHAIMACHINERYCOMPLETEEQUIPMENT(GROUP)CORP.LTD8、包裝/Packing:以堅固的熱處理過的木箱或非木質材料包裝，適于長途運輸，能夠防潮、防震，并能抵御氣候變化。對于不妥當的包裝而引起的貨物生銹和損失，其責任應由賣方承擔。Tobepackedinwoodencase(s)withIPPCorcontainer(s)suitableforseafreightshipmentandclimatechanging.Thesellersshallbeliableforanydamagesorlossofthegoodscausedbyimpropriatepackingorrustattributabletoinadequateprotectivemeasureinpacking.9、嘜頭/ShippingMark:【買方填寫】10、空運單據/airfreightDocuments:1）標明“運費已付”（CIP）的空白抬頭、空白背書的已裝運空運提單Fullsetofcleanonboardairbillsoflading,marked“FreightPrepaid”forCIPmadeouttoorderblankendorsednotifyingtheBuyers.2）標明合同號的發(fā)票正本3份及副本2份Invoicein5copiesindicatedcontractnumber.3）裝箱單正本2份及復印件3份Packinglistin5copies4）制造商出具的貨物品質和數量證書Certificateofquantityissuedbythemanufactures5）空運保險單airInsurance6）木質包裝外包裝上標有IPPC標志或生產廠家出具的無木質包裝證明WoodpackingmaterialswithspraypaintmarksIPPCorcertificateofNoonwoodpackingmaterialusedissuedbythemanufactures7）生產廠家簽發(fā)的原產地證書CertificateofOriginsignedbythemanufactures.賣方須在裝上飛機后2個工作日內將以上所記全套裝運單據傳真給買方。TheSellersshallsendbyfaxafullsetoftheaforesaiddocumentsandinvoicewiththetotalcontractvaluetotheBuyerswithin2workdaysfromtheSeller.11、裝運通知/ShippingAdvice:貨物裝上飛機后，賣方應立即以電報或傳真通知買方合同號、重量、裝箱尺寸、班次名、起飛日期和目的地。Immediatelyafterthegoodshavebeenloading,theSellersshallnotifytheBuyersbycableorFAXthecontractnumber,weight,packingsize,flightsandtakingoffdateoftheplaneandportofdestination.12、索賠/Claims:在貨物到達目的地口岸90天內，如發(fā)現貨物品質、規(guī)格或/和數量與合同規(guī)定不符合時，除屬于保險公司或航空公司責任者外，買方有權憑中國的商品檢驗局出具的檢驗證書向賣方索賠換貨或賠款，因此而發(fā)生之一切費用（包括檢驗費、退貨及換貨運費、保險費、倉儲費及裝卸費）由賣方負責。Within90daysafterthearrivalofthegoodsatdestinationport,thequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyoraircompanyisliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbyChinaCommodityInspectionBureau,havetherighttoclaimforreplacementwithnewgoods,orforcompensation,andalltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandloadingandunloadingchargesetc.),shallbebornebytheSellers.13、質量保證/Warranty:賣方保證在加工產品材質和操作維護符合正常要求的前提下，所售設備自驗收證書簽署之日起12個月內運轉正常。TheSellerswarrantsthatthemachineunitsshallconformtothespecificationsandwarrantiesfreefromdefectsinmaterialandworkmanshipfor12monthsfromsigningtheAcceptanceCertificate.14、人力不可抗拒因素/ForceMarjorie:賣方對在設備制造及運輸期間由人力不可抗拒因素而引起的延遲交貨或不能交貨不負任何責任。例如，在出現了戰(zhàn)爭、火災、地震、臺風、自然災害以及其它賣方所不能合理控制的任何意外事故和情況而阻止或干擾了本合同的履行時，賣方應立即通知買方所發(fā)生的人力不可抗拒因素，并在14天內，通過航空郵件將由事發(fā)當地政府機關頒發(fā)的事故證書寄給買方，供其核查。在這種情況下，賣方仍有義務采取必要措施加快交貨的速度。TheSellersshallnotresponsibleforthedelayinshipmentornon-deliveryofthegoodduetoForceMarjorie,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit,suchaswar,fire,flood,earthquake,typhoon,naturalcatastropheandallothercontingenciesandcircumstanceswhatsoeverbeyondtheSellers’reasonablecontrolpreventinghinderingorinterferingwiththeperformancethereof.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.15、遲交貨罰款/DelayeddeliveryandPenalty:如賣方不能按合同規(guī)定時間交貨時，除本合同第13條中所述的人力不可抗拒因素造成的延遲交貨外，如賣方同意支付罰款，買方應同意推遲交貨期。罰款總額不應超過貨物總價的5%。罰款金額為每7天罰%，不滿7天以7天計算。如果交貨期的延遲超過10周，買方有權要求取消合同，而賣方仍應及時支付上述罰款。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMarjoriecausesspecifiedinClause13ofthiscontract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.Thepenalty,however,shallnotexceed5%ofthetotalamountthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract,theBuyersshallhavetherighttocancelthecontract,theSellersinspiteofthecancellationshallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.16、仲裁/Arbitration:凡有關執(zhí)行合同所發(fā)生的一切爭執(zhí)，雙方須通過友好協商解決，雙方如協商不能解決時，此爭執(zhí)應提交設在中國上海的上海國際金融貿易仲裁委員會，按該仲裁委員會的仲裁程序進行仲裁。仲裁地點為上海，仲裁委員會的裁決對合同雙方均有約束力。仲裁費用由敗訴方承擔。Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached,thecaseindisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninShanghaiinaccordancewiththeprovisionalrulesofprocedurespromulgatedbythearbitrationcommission.ThearbitrationshalltakeplaceinShanghai,China.AnydecisionmadebytheArbitrationCommissionshallbeacceptedasfinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtorotherauthoritiestoappealforRevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.17、商品檢驗/CommoditiesInspection:貨物到達目的地口岸后，買方應申請中國商品檢驗局（以下簡稱為商檢局）就貨物的質量、規(guī)格和數量進行檢驗。如發(fā)現貨物的規(guī)格或數量與合同不符，除應由保險公司或船運公司負責的責任外，買方于貨物到達目的地口岸卸貨后90天內憑商檢局出具的檢驗證書有權拒絕接收貨物或向賣方索賠。Afterarrivalofthegoodsatthedestinationport,theBuyersshallapplytotheChinaCommodityInspectionBureau(hereinaftercalledCCIB)forapreliminaryinspectionofthegoodsinrespectoftheirquality,specificationsandquantityorboth,exceptthoseforwhicheithertheinsurancecompanyortheshippingcompanyisresponsible,theBuyersshall,within90daysafterdischargetheSellersonthestrengthoftheinspectioncertificateissuedbyCCIB.18、銀行費用/BankingCharges
