13、向賣方通知合同號、貨物品名、 數(shù)量，發(fā)票金額，件數(shù)，毛重，尺碼及備貨日期，以便買方安排訂倉。(2)如果貨物任一包裝達(dá)到或超過重20噸，長12米、寬2.7米，高3米，賣 方應(yīng)在裝船前50天，向買方提供五份包裝圖紙，說明詳細(xì)尺碼和每件重量，以便 買方安排運(yùn)輸。(3)買方須在預(yù)計(jì)船抵達(dá)裝運(yùn)港日期前10天，通過賣方船名，預(yù)計(jì)裝船日期， 合同號和裝運(yùn)港船方代理，以便賣方安排裝船。如果需要更改載貨船只，提前或 推后船期，買方或船方代理應(yīng)及時(shí)通知賣方。如果貨船未能在買方通知的抵達(dá)日 期后30天內(nèi)到達(dá)裝運(yùn)港，從第31天起，在裝運(yùn)港所發(fā)生的一切倉儲費(fèi)和保險(xiǎn)費(fèi) 由買方承擔(dān)。(4)船按期抵達(dá)裝運(yùn)裝港后，如果賣方未能

15、寄本條(1)款規(guī)定 的技術(shù)文件，否則買方有權(quán)拒開信用證或拒付貨款。第十三條 保質(zhì)條款 賣方保證貨物系用上等的材料和一流工藝制成，嶄新、未曾使用，并在各方 面與合同規(guī)定的質(zhì)量、規(guī)格和性能相一致，在貨物正確安裝、正常操作和維修情 況下，賣方對合同貨物的正常使用給予 _ 天的保證期，此保證期從貨物到達(dá)_ 起開始計(jì)算。第十四條 檢驗(yàn)條款(1)賣方/制造廠必須在交貨前全面、準(zhǔn)確地檢驗(yàn)貨物的質(zhì)量、規(guī)格和數(shù)量， 簽發(fā)質(zhì)量證書，證明所交貨物與合同中有關(guān)條款規(guī)定相符，但此證明書不作為貨 物的質(zhì)量、規(guī)格、性能和數(shù)量的最后依據(jù)。賣方或制造廠商應(yīng)將記載檢驗(yàn)細(xì)節(jié)和 結(jié)果的書面報(bào)告附在質(zhì)量證明書內(nèi)。(2)在貨物抵達(dá)目的港

16、之后，買方須申請中國商品檢驗(yàn)局(以下稱商檢局)就貨 物質(zhì)量、規(guī)格和數(shù)量進(jìn)行初步檢驗(yàn)并簽發(fā)檢驗(yàn)證明書。如果商檢局的檢驗(yàn)發(fā)現(xiàn)到 貨的質(zhì)量、規(guī)格或數(shù)量與合同不符，除應(yīng)由保險(xiǎn)公司或船方負(fù)責(zé)者外，買方在貨 物到港后天有權(quán)拒收貨物，向賣方提出索賠。(3)如果發(fā)現(xiàn)貨物質(zhì)量和規(guī)格與合同規(guī)定不符，或貨物在本合同第13條所規(guī) 定的保證期內(nèi)證明有缺陷，包括內(nèi)在缺陷或使用不良的原材料，買方將安排商檢 局檢驗(yàn)，并有權(quán)依據(jù)商檢證書向賣方索賠。(4)如果由于某種不能預(yù)料的原因，在合同有效期內(nèi)檢驗(yàn)證書不及辦妥，買方 須電告賣方延長商檢期限 _ 天。第十五條 索賠(1)如果賣方對貨物不符合本合同規(guī)定負(fù)有責(zé)任且買方按照本合同第1

17、3條和 第14條規(guī)定，在檢驗(yàn)和質(zhì)量保證期內(nèi)提出索賠時(shí)，賣方在征得買方同意后，可按 下列方法之一種或幾種理賠：a.同意買方退貨，并將所退貨物金額用合同規(guī)定的貨幣償還買方，并承擔(dān)買 方因退貨而蒙受的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)、 檢驗(yàn)費(fèi)、倉儲、碼頭裝卸及監(jiān)管保護(hù)所退貨物的一切其他必要的費(fèi)用。b.按照貨物的質(zhì)量低劣程度、損壞程度和買方蒙受損失的金額將貨物貶值。c.用符合合同規(guī)定規(guī)格、質(zhì)量和性能的部件替換有瑕疵部件，并承擔(dān)買方所 蒙受的一切直接損失和費(fèi)用。新替換部件的保質(zhì)期須相應(yīng)延長。(2)如果賣方在收到買方索賠書后一個(gè)月之內(nèi)不予答復(fù)，則視為賣方接受索賠。 第十六條 不可抗力(

18、1)簽約雙方中任何一方受不可抗力所阻無法履約，履約期限則應(yīng)按不可抗力 影響履約的期限相應(yīng)延長。(2)受阻方應(yīng)在不可抗力發(fā)生或終止時(shí)盡快電告另一方，并在事故發(fā)生后14天內(nèi)將有關(guān)當(dāng)局出具的事故證明書掛號航空郵給另一方認(rèn)可。(3)如果不可抗力事故持續(xù)超過一百二十天，另一方有權(quán)用掛號航空郵寄書面 通知，通知受阻方終止合同。通知立即生效第十七條 仲裁(1)雙方對執(zhí)行合同時(shí)發(fā)生的一切爭執(zhí)均應(yīng)通過友好協(xié)商解決。如果不能解決， 則可訴諸仲裁。(2)仲裁應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，根據(jù)該會的仲裁程序進(jìn)行仲裁， 也可提交雙方同意的第三國仲裁機(jī)構(gòu)。(3)仲裁機(jī)構(gòu)的裁決具有最終效力，雙方必須遵照執(zhí)行，仲裁費(fèi)用由

19、敗訴方承 擔(dān)，除非仲裁機(jī)構(gòu)另有裁定。(4)仲裁期間，雙方須繼續(xù)執(zhí)行合同中除爭議部分之外的其他條款。第十八條 延期和罰款 如果賣方不能按合同規(guī)定及時(shí)交貨，除因不可抗力者外，若賣方同意支付延 期罰款，買方應(yīng)同意延期交貨。罰款通過在議付行付款時(shí)扣除，但罰款總額不超 過延期貨物總值的5%，罰款率按每星期0.5%計(jì)算，少于七天者按七天計(jì)。如果賣 方交貨延期超過合同規(guī)定船期十星期時(shí)，買方有權(quán)取消合同。盡管取消了合同，但賣方仍須立即向買方交付上述規(guī)定罰款。第十九條 附加條款(如果上述任何條款與下列附加條款不一致時(shí)，應(yīng)以后者 為準(zhǔn))此鑒： 本合同由雙方于 年 月_日用 _ 文簽署。原本一式 _份，買賣雙方各執(zhí)

The Sellers shall advise the Buyers immediately ofthe occurrence mentioned above and within fourteen days thereafter，the Sellersshall send byairmail to the Buyers for their acceptance
