2、ofHanoverEnterprisesLtd.YichangUnionInc.（hereinafterreferredtoasPartyA）代理商:（以下簡稱“乙方”）Age（hereinafterreferredtoasPartyB）nt:2. 獨家代理權的授予AppointmentofExclusiveAgent甲方授權乙方為其單頭電磁爐產(chǎn)品在日區(qū)域特約總經(jīng)銷商，全權負責甲方生產(chǎn)的產(chǎn)品在日本市場的推廣，銷售和售后服務事宜。PartyAherebyappointsPartyBasitssoleagencyintheJapanmarkettoengageinthepromotion,sale

3、sandaftersalesserviceofitssingle-hobinductioncooker.產(chǎn)品：由甲方生產(chǎn)的單頭電磁爐。Commodity:Single-hobinductioncookersproducedbyPartyA.代理區(qū)域：僅限日本區(qū)域內。Territory:InJapanonly.3. 訂單的確認ConfirmationonOrders關于協(xié)議所規(guī)定的上述商品的每筆交易，其數(shù)量、價格及裝運條件等以甲乙雙方另行簽定的銷售合同為準Thequantities,pricesandshipmentofthecommoditiesstatedinthisAgreementsha

4、llbeconfirmedforeachtransaction,theparticularsofwhicharetobespecifiedintheSalesContractssignedbythetwopartieshereto.4. 付款PaymentTerms訂單確認后，乙方須通過T/T先向甲方支付30%定金，在出貨前須將余款通過T/T的方式付清，或者按照有關銷售合同所規(guī)定的時間開立以甲方為受益人的保兌的、不可撤消的即期信用證。乙方開出信用證后，應立即通知甲方，以便甲方準備交貨。Afterconfirmationoftheorder,PartyBshouldpay30%fordeposi

6、，則為發(fā)貨前100%付清款。Remark:Incasethequantityofordersislessthan500pcs,100%T/Tbeforeshipment.5. 價格條款PriceTerms價格：為了保證長期的合作，促進共同的發(fā)展，甲方提供產(chǎn)品價格表給乙方，各款報價詳見其他附件。Price:PartyAprovidequotationlistofproductstoPartyBsoastoensurethelongtermcooperationandjointdevelopment.Detailedquotationisasadditionalattachment.注1，如甲方推

7、出新款產(chǎn)品，甲方將通過電郵通知乙方;注2，甲方保證報給乙方的價格為在日本區(qū)域內最低的價格。注3，乙方不得擅自將價格表內容透漏給任何第三方，乙方必須嚴格執(zhí)行和遵守甲方的價格體系。Remarks:1,OncePartyApromotenewproducts,willinformPartyBbyemail.2, PartyAmakesureofferedthelowestpriceforPartyBwithinJapanarea.3, PartyBshouldnotletoutthequotationstoanythirdpartiesbutmustexecutestrictlyandadheret

8、othepricesystemofPartyA.6. 甲乙雙方責任LiabilityofTwoParties產(chǎn)品質量QualityofProduct:甲方保證向乙方提供優(yōu)質產(chǎn)品(甲方生產(chǎn)的電磁爐等一系列產(chǎn)品)，保證供貨穩(wěn)定;當產(chǎn)品出現(xiàn)重大的質量問題，引起相關的投訴和法律糾紛時，甲方需要承擔相應的責任。PartyAguaranteeallproducts(seriesofinductioncookers)providedwithhighqualityandstablesupply.Ifthereoccursbigproblemsonqualityandcausedcomplaintsorlega

9、ldisputes,PartyAshouldaffordtherelatedresponsibility.產(chǎn)品配置ProductConfiguration如乙方?jīng)]有特殊要求，則按照甲方公司提供的產(chǎn)品標準機型配置(如有特殊要求需要重新報價)。WithoutspecialrequestfromPartyB,allproductsarejustasPartyAoffered,orwillbeneededtorenewthequotation.產(chǎn)品包裝及交貨時間PackagingandDeliveryTime甲方發(fā)貨要保證貨物的安全及包裝適合長距離運輸。產(chǎn)品的顏色，商標，包裝由乙方指定或中性包裝。一般

10、貨物的交貨期為30個工作日，特殊機種雙方另行約定交貨時間。PartyAshallguaranteethesecurityandsuitablepackageforlong-distanceofshipment.PartyBcouldappointthecolor,brandandpackageofproductsorneutralpacking.Normallythedeliverytimeis30workingdaysexceptsomespecialproductswhichneedtobeagreedseparately.產(chǎn)品認證CertificationofProducts甲方現(xiàn)有產(chǎn)品

11、及以后由甲方單獨開發(fā)或者委托第三方生產(chǎn)的產(chǎn)品，由甲方提供出口日本所需的相關產(chǎn)品認證證書。PartyAshouldprovidethenecessarycertificationforallproducts(nowavailableanddevelopedlonelyinthefutureorproducedbytheappointedthirdparty)exportingtoJapan.乙方需嚴格保密甲方的產(chǎn)品報價，技術資料，合作方式等商業(yè)機密。經(jīng)營活動不得損壞甲方的聲譽。PartyBshouldkeepthequotation,technicaldata,businessinformati

12、onofPartyAstrictlyconfidential.OperatingactivitiescannotdamagethereputationofPartyA.乙方應盡力在日本區(qū)域市場推廣銷售產(chǎn)品，未經(jīng)甲方許可，嚴禁跨區(qū)域銷售甲方產(chǎn)品。PartyBshoulddobestpromotingproductsinJapan,cannotsellproductsinotherareawithoutpermissionofPartyA.乙方無論任何情況下，不得銷售假冒偽劣或者未經(jīng)授權許可產(chǎn)品，若因此引發(fā)第三方法律責任，則由乙方負責，一概與甲方無關，甲方將保留日后法律追究權利。Inanycase

13、,PartyBcannotsellcounterfeitandshoddyproductsorotherunauthorizedproducts.Ifitcausedlossforthirdparty,PartyBshalltakeallresponsibility.NoanymatterwithPartyAbutwillreservetherightstopursuelegalactioninfuture.7. 業(yè)績考核PerformaneeEvaluation在本協(xié)議期限內，乙方應當銷售甲方的產(chǎn)品到達金額。如乙方在本協(xié)議期限內未完成前述銷售金額，則甲方可另行選擇第三方作為日本區(qū)域的總代理商

14、。Withintheagreedperiod,PartyBshallachievethesalesgoalofPartyA'sproduct:IncasePartyBcan'tachievethegoalwithintheagreedperiod,PartyAshallchoosethethirdpartytobethegeneralagentinJapan.8. 知識產(chǎn)權保護IntellectualPropertyProtection乙方應當承擔起協(xié)助保護該產(chǎn)品在其銷售區(qū)域的專利保護責任，如協(xié)助在日本區(qū)域申請專利保護、申請注冊商標及制止他人的侵權等，另外，甲方應申請注冊商標。

15、PartyBshallundertaketheresponsibilityofassistingwithpatentprotectioninthesalesarea,suchastoapplyforregionalpatentprotection,registeredtrademarksandstoptheinfringementofothersinJapan.Inaddition.PartyAshallapplyforregisteredtrademark.9. 協(xié)議終止的情形TerminationofAgreement協(xié)議期限屆滿或甲乙雙方當事人協(xié)商一致終止本協(xié)議止等情況應當自動終止；Th

16、eagreementshallbeterminatedautomaticallyonceintheendofagreedperiodorbothpartiesinvolvedagreedtoendtheagreement如乙方在協(xié)議期限內無法完成本協(xié)議第7條的業(yè)績金額，則甲方有權單方提前終止本協(xié)議；IncasePartyBcouldn'tachievethesalesgoalasArticle7stated,PartyAshallhavetherighttoendtheagreementinadvanee.在本協(xié)議有效期內，如果一方被發(fā)現(xiàn)違反本協(xié)議條款，另一方有權終止本協(xié)議。Withi

17、ntheagreedperiod,incaseonepartywasfoundagainsttheagreement,theotherpartyshallhavetherighttoendtheagreement.10. 違約責任LiabilityofDefault若乙方每逾期一天支付貨款，則乙方每天按照應付金額的千分之一向甲方支付違約金。IncasePartyBoverduethepaymentforoneday,PartyBshallpaypenalty(milliofsumpayable)toPartyAeachday.11. 技術支持Technicalsupport甲方會提供完整的產(chǎn)品

18、信息資料及必要的售后服務技術培訓給乙方。注：甲方免收培訓費用，乙方需自行承擔相關住宿往返交通費用。ThePartyAwillofferthefully-formedproductsdatatothePartyB,aswellasthenecessarytechnicaltrainingforafter-salesservice.Remarks:Freechargeontraining,butPartyBwillhavetoaffordtherelativechargesonaccommodationandtransportationbyitself.12. 協(xié)議有效期ValidityofAgr

19、eement為年一月_日開始至年_月_日有效，雙方須嚴格按照本協(xié)議執(zhí)行，若發(fā)現(xiàn)任何一方違背協(xié)議規(guī)定，雙方均有權終止本協(xié)議，違約方造成的損失法律責任由違約一方承擔。本協(xié)議未盡事項及需變更事項，經(jīng)甲乙雙方協(xié)商后以補充協(xié)議形式確定，補充協(xié)議與本協(xié)議具有同等效力。ThevalidityofthisAgreementisfromto,eachpartyshallexecutesstrictlyinaccordaneewiththeagreement,ifanypartyviolatesthisagreement,bothpartieshavetherighttoterminatethisagreemen

20、t,thedefaultingpartyhastoassumethelossandlegalliability.Mattersnotmentionedinthisagreement,andneedtochange;throughconsultationbetweeneachpartyintheformofsupplementaryagreement,supplementaryagreementandthisagreementhasthesameeffect.13. 適用法律ApplicableLaw甲乙雙方確認，本協(xié)議履行過程中適用中國法律。Asbothpartiesagreed,theper

21、formanceoftheagreementshallbegovernedbyChineseLaw.14. 仲裁Arbitration在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應友好協(xié)商解決。若通過友好協(xié)商未能達成協(xié)議，則提交華南國際經(jīng)濟貿易仲裁委員會(原中國國際經(jīng)濟貿易仲裁委員會華南分會)，根據(jù)該會仲裁程序進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用、律師費及擔保公司擔保費，除另有規(guī)定外，由敗訴一方負擔。Alldisputesarisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.

22、Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheForeignTradeArbitrationCommissionoftheSouthernChinaCouncilforthePromotionofInternationalTrade(SCIA)forArbitrationinaccordancewithitsProvisionalRulesofProcedure.Thedecisionmadebythiscommissionshallberegardedasfinalandbindinguponbothpar
