10、n sshipme nt is allowed. partial shipme nt is not allowed.運(yùn)輸：賣(mài)方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。11. shipp ing advice:the sellers shall, immediately upon the completi on of the load ing of the goods, advise by fax the buyers of the con tract n o., commodity, qua ntity, inv oiced value, gross weight, n

11、ame of vessel and date of delivery etc. in case due to the sellers not hav ing faxed in time, all losses caused shall be borne by the sellers.裝運(yùn)通知：賣(mài)方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià) 值、毛重、運(yùn)輸工具名稱(chēng)、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買(mǎi)方。如果由 于賣(mài)方未能通知買(mǎi)方而造成的所有損失均由賣(mài)方承擔(dān)。12. guara ntee of quality:the sellers guara ntee that the commo

12、dity hereof is made of the best materials with first class workma nship, brand new and unu sed, and complies in all respects with the quality and specificati on stipulated in this con tract.質(zhì)量保證：賣(mài)方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過(guò)、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。13. claims:damages occur in the course of operatio n by rea

13、s on of in ferior quality, badworkma nship or the use of in ferior materials, the buyers shall immediately no tify the sellers in writ ing and put forward a claim supported by in specti on certificate issued by the state adm ini strati on for en try-exit in specti on and quara nti ne of p.r.c. .the

14、certificate so issued shall be accepted as the base of a claim. the sellers, in accorda nee with the buyers' claim shall be resp on sible for the immediate elim in ati on of the defect(s), complete or partial replaceme nt of the commodity or shall devaluate the commodity accord ing to the state

15、of defect(s), . if the sellers fail to an swer the buyers within one month after receipt of the aforesaid claim, the claim shall be reck oned as hav ing bee n accepted by the sellers.索賠：由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞， 買(mǎi)方應(yīng)立即書(shū)面通知賣(mài)方，并同時(shí)隨附中國(guó)商檢局出具的檢驗(yàn)報(bào)告作為索賠依 據(jù)。賣(mài)方在接到買(mǎi)方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問(wèn)題、全部或部分地 替換貨物或根據(jù)貨物損壞

16、的程度進(jìn)行折價(jià)；如果賣(mài)方在收到買(mǎi)方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣(mài)方所接受。14. force majeure:the sellers shall not be held resp on sible for the delay in shipme nt or non-delivery of the goods due to force majeure, which might occur duri ng the process of manu facturi ng or in the course of load ing or tran sit. the sellers sh

17、all advise the buyers immediately of the occurre nee men ti oned above and withi n fourtee n days thereafter, the sellers shall send by airmail to the buyers for their accepta nee a certificate of the accide nt issued by the compete nt gover nment authorities where the accide nt occurs as evide nee

18、thereof. un der such circumsta nces the sellers, however, are still un der the obligati on to take all n ecessary measures to haste n the delivery of the goods.不可抗力：對(duì)于制造或裝船運(yùn)輸過(guò)程中可能產(chǎn)生的不可抗力而造成的遲交貨或 不能交貨，賣(mài)方可以不承擔(dān)責(zé)任。賣(mài)方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān) 情況通知買(mǎi)方，并且賣(mài)方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門(mén)出具的證明不可抗力 產(chǎn)生的文件寄送給買(mǎi)方。在此情況下，賣(mài)方仍應(yīng)盡最大努力采取各種措施促

19、使貨 物的發(fā)運(yùn)。15. late delivery and pen alty:should the sellers fail to make delivery on time as stipulated in the con tract, with exceptio n of force majeure causes specified in clause 15 of this con tract. the buyers shall agree to postp one the delivery on con diti on that the sellers agree to pay a pe

20、n alty which shall be deducted by the pay ing bank from the payme nt. the pen alty, however, shall not exceed 5% of the total value of the goods invo Ived in the late delivery. the rate of pen alty is charged at 0.5% for every seve n days. odd days less tha n seve n days should be coun ted as seve n

21、 days. in case the sellers fail to make delivery ten weeks later tha n the time of shipme nt stipulated in the con tract, the buyers shall have the right to can cel the con tract and the sellers, in spite the can cellati on, shall still pay the aforesaid pen alty to the buyers without delay.遲交貨和罰金：如

22、果賣(mài)方未能按合同規(guī)定及時(shí)交貨（除了本合同15條款所言的 不可抗力），買(mǎi)方同意在賣(mài)方付罰金的前提下遲交貨。罰金的金額不超過(guò)遲交貨 的合同貨物部分的價(jià)值的5%,罰金按每7日0.5%計(jì)算，少于7日的增加天數(shù)按 7日計(jì)。如果賣(mài)方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買(mǎi)方有權(quán)取消該 合同，除此之外，賣(mài)方仍要將有關(guān)罰金不加拖延地付給買(mǎi)方。16. term in ati on of con tract:term in ate con tract by through n egotiati on by both sides. sellers should give back mould that have paid, the tran sport costs of give back mould, to be covered by buyers.合同終止：經(jīng)雙方協(xié)商終止合同的。賣(mài)方應(yīng)將買(mǎi)方已付費(fèi)的模具全部歸還買(mǎi)方， 歸還模具產(chǎn)生的運(yùn)輸費(fèi)用，由買(mǎi)方支付。17. arbitrati on:any dispute aris ing from or in con
