RESPONSIBILITIES & RELIABILITIESParty A- According to the information of XXXX business access standards, investment environment an

6、d taxpolicy which provided by Party B, Party A shall recommend the high-quality companies fromChina to conduct business through Party B in XXXX.- Provide the full documentations of Chinese companies to conduct business in XXXX.- Ensure the authenticity and legality of all the documentation provided

7、by the Chinese comp anies. - As authorized by Party B, Party A is responsible to the signing and interpretation of various documents for mutual business.- Assist Party B to conduct the business promotions and publicities in China. Party B- Party B shall provide all the financial support on their bus

8、iness in China; it includes busines s initiation, management and promotion.- As Party A shall refer the Chinese Companies to Party B. Party B shall provide these compa nies theconsultant services regarding legal, audition, taxation, financial, risk management, accounting a nd other related areas.- I

9、n order to establish the intensiveness business co-operation. Party B shall provide all the b usinessrelated documents, information, legal acts and governmental information in XXXX for the refer ence of Party A.- Party B shall provide a systematic training course on XXXX businesses SOP (Standard Ope

10、rat ionProcedure), XXXX law & Tax regulations and IIM Billing system for Party A employees. 二 責(zé)任與義務(wù) 甲方- 甲方根據(jù)乙方所提供的 XXX 業(yè)務(wù)進(jìn)入標(biāo)準(zhǔn)、投資環(huán)境以及稅收政策，為乙方推薦中國(guó)國(guó)內(nèi)優(yōu)質(zhì)企業(yè)到 乙 方公司開展業(yè)務(wù)。- 提供中國(guó)公司在 XXXX 進(jìn)行業(yè)務(wù)所需的所有文件。- 確保中國(guó)公司文件的真實(shí)性、合法性。- 負(fù)責(zé)乙方在中國(guó)業(yè)務(wù)各種文件的簽署、解釋工作。 - 協(xié)助乙方在中國(guó)展開相關(guān)業(yè)務(wù)的推廣及宣傳。乙方- 乙方將提供其相關(guān)項(xiàng)目的所有開展、管理及推廣業(yè)務(wù)的資金。- 甲方所推薦到 X

11、XXX 地區(qū)的企業(yè)，乙方須為其提供后續(xù)的經(jīng)營(yíng)、管理、法律法規(guī)咨詢、會(huì)計(jì)及其他相 關(guān)的顧問(wèn)服務(wù)工作。- 乙方根據(jù)甲方在中國(guó)開展業(yè)務(wù)的需要，提供一系列必要的宣傳類資料，包含當(dāng)?shù)氐亩愂照?、投資環(huán) 境分析、乙方公司的官方宣傳材料等。乙方須向甲方特定人士進(jìn)行XXXX當(dāng)?shù)貥I(yè)務(wù)的標(biāo)準(zhǔn)操作步驟、政府法律/稅則規(guī)定及 IIM 收費(fèi)系統(tǒng)的培訓(xùn)課程。3. COMMUNICATION STRUCTURE For a better future business development, Party A and Party B shall establish a regular meeti ng schedule f

12、or the business assessment, business flow and information exchange. 三 業(yè)務(wù)溝通交流機(jī)制 為了將來(lái)更佳的業(yè)務(wù)拓展，甲、乙雙方須定時(shí)展開會(huì)議，進(jìn)行業(yè)務(wù)發(fā)展的評(píng)估、流程及信息交流。4. CONVENANT AGAINST REVEALING TRADE SECRETSNo party shall, during the continuance of the co-operation relationship or for 5 years after its termination by any means, divulge to

13、any person not a member of both firms any trade sec ret or special information employed in or conductive to the co-operation business and which may come to the both party ' sknowledge in the course of the co-operation relationship, without the consent in writing of th e other party, or of the ot

14、her party 'hesir s, administrators, or assigns.四 保守商業(yè)秘密的承諾在甲、乙雙方展開合作業(yè)務(wù)的存續(xù)期間或無(wú)論以何種方式終止合作業(yè)務(wù)后5年內(nèi)，如果沒有其他合伙人或其繼承人、管理者或受讓人的書面同意，任何合伙人不得向非公司成員泄漏任何商業(yè)秘密或有官合作 業(yè)務(wù)采用或有助于合作業(yè)務(wù)的信息，在合作業(yè)務(wù)的運(yùn)營(yíng)過(guò)程中，該信息可能會(huì)成為合作雙方的專有知識(shí)。5. DURATION OF AGREEMENTThe term of this agreement shall be for 1 year, commencing on DATE, and termi

15、nating on DATE, unless sooner terminated by mutual consent of the parties or by operation of the pro visions of this agreement. 五 協(xié)議期限本協(xié)議期限為 1年，從 2017 年1月1日開始到 2018 年1月1日 結(jié)束，除非甲、乙雙方同意或本協(xié)議條款 規(guī)定可終止該協(xié)議。6. GOVERNING LAWThe enforcement and interpretation of this agreement shall be governed by the laws of

RESOLUTION OF DISPUTESAny dispute arising out if or in connection with this Agreement, shall be governed and constr ued by the laws of the PEOPLE 'RSE PUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE七 爭(zhēng)議的解決方案及管轄 所有因履行本協(xié)

17、議引起的，與之相關(guān)的或不能夠通過(guò)協(xié)商解決的爭(zhēng)議及糾紛，任何一方均可將爭(zhēng)議提交 中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，并且依照中華人民共和國(guó)規(guī)定，在北京通過(guò)仲裁的方式進(jìn)行解決。8. PREVAIL OF LANGUAGE VERSIONAny contradiction between Chinese and English version, Chinese version shall prevail. 八 中文及英文版本間的效力 所有因中、英文版本引起的矛盾及爭(zhēng)議，以中文版本為準(zhǔn)。9.
