會(huì)員服務(wù)協(xié)議

1、會(huì)員服務(wù)協(xié)議【中英】會(huì)員服務(wù)協(xié)議AGREEMENT根據(jù)中華人民共和國(guó)合同法及相關(guān)法律法規(guī)規(guī)定，北京$有限公司(以下簡(jiǎn) 稱本公司)及會(huì)員根據(jù)本協(xié)議所列條文，以及同意此協(xié)議受法律所約束的情況 下，一致達(dá)成如下協(xié)議：Beijing $ Co. , Ltd. ( the Company ) and the Member, intending to be legally bound, and in consideration of the mutual promises and covenants contained herein, agree as follows：1.服務(wù)Service本協(xié)議所指的服

2、務(wù)，是指本公司將自己所有或第三方合法所 有并授權(quán)的法律資料置于互聯(lián)網(wǎng)上，會(huì)員通過(guò)賬號(hào)及密碼登錄本公司網(wǎng)站數(shù)據(jù) 庫(kù)，按照會(huì)員章程及訂閱表格所列的權(quán)限查詢各類資料。The Service herein referred to, is the search and retrieval service through which the member can read on the Internet the Company s own legal information or legal information legally obtained from third parties The right

3、 to access to the Service is through a set of login name and password provided by the Company to the Member 2適用 Application 2. 1 本公司有 絕對(duì)酌情權(quán)拒絕任何會(huì)員申請(qǐng)而無(wú)須提供理山；The Company may in its absolute discretion reserve the rights to reject any application to register as a Member, without the need to give any rea

4、son. 2. 2在本公司在接受訂閱者的申請(qǐng)及在訂閱者遵守本協(xié)議規(guī)定的悄況 下，訂閱者即成為會(huì)員。本公司向會(huì)員提供服務(wù)并保證持續(xù)更新所提供的信息。Upon the application accepted by the Company and the subscriber s compliance of this Agreement, the subscriber becomes a Member The Company agrees to provide the Service to the Member and warrants to continuously update the inf

5、ormation provided in the Service 2 3 i丁閱 者在訂閱服務(wù)時(shí),保證 By subscribing to the Service, the subscriber warrants that：(a) 其所提供的資料為完整，最新及正確無(wú)誤；all information provided by the subscriber is accurate, complete and current；(b) 本協(xié)議一經(jīng)簽署，即具法律效力并同意受其約束；the Agreement, when concluded, constitutes legal obligations t

6、hat are binding and enforceable：(c) 所簽署協(xié)議的人士已得必要的授權(quán)。the Subscriber has obtained necessary authorization to sign the Agreement. 3.費(fèi)用的訃算與支付Price and Payment Terms 3. 1會(huì)員同意根據(jù) 訂閱表格注明的訂閱年期向本公司繳付訂閱費(fèi)用；The Member agrees to pay the amount of subscription fees for the fixed term of service as listed in the Su

7、bscription Form to the Company 3.2 透過(guò)支付訂閱費(fèi)用，會(huì)員按會(huì)員章程內(nèi)所載的權(quán)限享用服務(wù)；By paying the subscription fees, the Member enjoys the rights and is subjected to the limitation listed in the Terms Conditions 3. 3 本公司 在收到已簽署的協(xié)議和匯款憑證后，在一個(gè)工作日內(nèi)為會(huì)員設(shè)置好賬號(hào)。若會(huì)員 在提交的資料中未付匯款憑證，則須在收到賬號(hào)的5個(gè)工作日內(nèi)以訂閱表格 內(nèi)所載的方式，繳清表內(nèi)所列款項(xiàng)；Upon receiving

If there is not advance payment, the member shall pay the funds within 5 working days after receiving the login account ID and password by any of the prescribed methods as set in the Su

9、bscription Form. 3. 4 除根據(jù) 3. 2 所享有的服務(wù)外, 會(huì)員同意根據(jù)本公司在會(huì)員使用期間所訂定的價(jià)格向本公司支付其它透過(guò)所持 賬號(hào)及密碼而獲取的服務(wù)的費(fèi)用。Other than the rights enjoyed by the Member under 3. 2、the Member agrees to pay all charges incurred by the use of login name and password provided by the Company at the rates and in accordance with the Company

10、 s billing policies in effect during each period in which the charges are incurred 4.責(zé)任限制Disclaimers 41會(huì)員完全理解并同意自行承擔(dān)使用網(wǎng)絡(luò)服務(wù)的風(fēng) 險(xiǎn)。The Member fully understands and agrees that the use of the Service is at the Subscriber s own risk. 4. 2由于網(wǎng)絡(luò)服務(wù)提供商的服務(wù)故障,造成本 公司暫時(shí)不能正常通過(guò)互聯(lián)網(wǎng)發(fā)布信息，本公司不為此承擔(dān)責(zé)任，但有義務(wù)與網(wǎng) 絡(luò)服務(wù)提供商交涉，以盡快解

11、決該問(wèn)題。The Company is not responsible for any interruption of Service due to problems occurred on the Internet platform or any other reasons that cannot be controlled by the Company. The Company shall make effort to liaise with its Internet Service Provider in order to restore the Service as soon as p

12、ossible. 4. 3 ill于政府有權(quán)部門(mén)或司法機(jī)構(gòu)的命令，造成本公司 不能通過(guò)互聯(lián)網(wǎng)正常提供檢索服務(wù)的，本公司不為此承擔(dān)責(zé)任，但本公司應(yīng)歸還 已收取的未履行期間的服務(wù)費(fèi)用。The Company will not be responsible for the interruption of Service owing to orders of government authorities or judicial bodies The Company agrees to refund the paid fees pro rata to the remaining subscription

13、 period. 4. 4由于本公司除維護(hù)服務(wù)器、添加資料等事項(xiàng)外的其它原因造成信息 檢索服務(wù)中斷，本公司將雙倍補(bǔ)償會(huì)員中斷的時(shí)間。如會(huì)員原因造成本公司無(wú)法 正常提供服務(wù)，會(huì)員應(yīng)承擔(dān)相應(yīng)責(zé)任。Other than interruptions arising from the maintenance of server or regular update, the Company agrees to compensate the Subscriber in an amount of time equal to twice as the time lost attributable to the

14、fault of the Company. Accordingly, the Subscriber agrees to compensate the Company any loss attributable to the fault of the Subscriber 4. 5 |絳本 第4. 2, 4. 3及4. 4條規(guī)定的補(bǔ)償或賠償外，雙方一致同意：本違約規(guī)定所述其 它任何賠償應(yīng)限于因已方違約而給對(duì)方造成的直接經(jīng)濟(jì)損失，并不包括間接損失 （此間接損失包括但不僅限于營(yíng)業(yè)收入或利潤(rùn)損失、技術(shù)或經(jīng)營(yíng)權(quán)利的喪失、業(yè) 務(wù)喪失等），也不包括懲罰性的賠償。The Company and the Sub

15、scriber agree that all claims, except stated in 3. 2、 3. 3, and 3 4 above, shall be limited to direct damages due to the breach of this Agreement. In no event shall either party be liable to the other for any penalty, consequential, indirect, special or incidental damages including, but not limited

16、to, loss of profit or loss of technology or operation rights or loss of business rights 5違約規(guī) 定Termination任何一方違反本協(xié)議的任何條款，不承擔(dān)或不及時(shí)、充分地承 擔(dān)本協(xié)議項(xiàng)下其應(yīng)承擔(dān)的義務(wù)構(gòu)成違約行為，守約的一方有權(quán)以書(shū)面通知要求違 約的一方糾正其違約行為并釆取充分、有效、及時(shí)地措施消除違約后果并賠償守 約方因違約方的違約行為而遭致的損失。Either party of this Agreement may serve notice to the other side that is in

17、breach of whole or part of this Agreement and may require the party in breach to take immediate action to redeem its responsibilities under the Agreement and to minimize the impact of the breach The party in breach shall be liable for any claims for damages made by the other side 6 不可抗力Force Majeure

18、遭受不可抗力事件的一方可暫行中止履行本協(xié)議項(xiàng)下 的義務(wù)直至不可抗力事件的影響消除為止，并且無(wú)需為此而承擔(dān)違約責(zé)任；但應(yīng) 盡最大努力減輕該事件負(fù)面影響。Neither party will be liable for, or will be considered to be in breach of or default under this Agreement on account of, any delay or failure to perform as required by this Agreement as a result of any causes or conditions t

19、hat are beyond such party* s reasonable control and that such party is unable to overcome through the exercise of commercially reasonable diligence If any force majeure event occurs, the affected party will use commercially reasonable efforts to minimize the impact of the event. 7.保密條款Confidentialit

20、y 7. 1協(xié)議任何一方對(duì)在合同履行過(guò)程 中所獲知的對(duì)方的商業(yè)秘密等均負(fù)有保密義務(wù)，未經(jīng)對(duì)方書(shū)面許可，任何一方不 得將其泄露給第三方，否則應(yīng)承擔(dān)違約責(zé)任并賠償損失。Except as expressly set forth herein, the parties shall maintain in confidence the Confidential Information of the other side The parties shall not disclose such Confidential Information to any third party without the

21、prior written consent of the other side 7 2 在本協(xié)議終止 之后，各方仍需遵守本協(xié)議之保密條款，履行其所承諾的保密義務(wù)，直到對(duì)方同 意其解除此項(xiàng)義務(wù)，或事實(shí)上不會(huì)因違反本協(xié)議的保密條款而給對(duì)方造成任何形 式的損害為止。Both parties shall abide by the terms of Confidentiality in this Agreement and have obligation to maintain the Confidential Information after the termination of the Agree

22、ment The obligation shall end only upon the consent of the other side or only if the disclosure of the Confidential Information will not cause any loss of the other side 8.爭(zhēng)議的解決 Dispute Resolution 8. 1本協(xié)議的訂立、執(zhí)行和解釋及爭(zhēng)議的解決均適用中華 人民共和國(guó)法律。This Agreement is constructed and to be executed and interpreted by

23、 the laws of the People s Republic of China. 8. 2如雙方就本協(xié)議內(nèi)容或其執(zhí)行 發(fā)生任何爭(zhēng)議，應(yīng)進(jìn)行友好協(xié)商；凡協(xié)商不成時(shí)，雙方一致同意指定北京市海淀 區(qū)人民法院管轄。In case of any dispute under this Agreement, both parties shall try to resolve it through negotiation. If negotiation fails, both parties agree to submit the matter to binding arbitration in ac

24、cordance with the People s Court of Haidian District, Beijing 9.協(xié)議生效 Commencement 本協(xié)議在本公司收到會(huì)員已妥善簽署并蓋上印章的訂閱表格當(dāng)日正式生效。This Agreement commences on the date when the Company receives the Subscription Form duly signed and affixed with the Subscriber s company chop. 10.其它協(xié)議Other provisions 10. 1除非協(xié)議另有規(guī)定,未經(jīng)

25、本公司書(shū) 面同意，會(huì)員不得擅自將協(xié)議的權(quán)利、義務(wù)轉(zhuǎn)讓給協(xié)議以外的笫三方。Notwithstanding any contrary term herein, the rights specified in this Agreement are not transferable Without the written consent of theCompany, the Subscriber cannot transfer or assign its rights or obligation to the third party and cannot reproduce» duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service
